c. Verify Company Name – the following information are required to be filled up:
c.2. Registration Guidelines –30 days will be given to complete the company
registration. There may restrictions depending on the nature or type of
business provided during the verification of company name.
Add Business Activity – Select the closest business activity applicable. This will
be submitted to BIR, SSS, Philhealth and Pag-ibig.

g. Payment of Assessed Fees: SEC has provided an online calculator to compute the Registration
Fee of Stock Corporation which may be viewed at http://www.sec.gov.ph/online-
services/registration-calculator-2/
Print the Order of Payment attached in the email (except when paying online
through the Landbank ePayment)
Payment for corresponding fees may be done at any of the following methods:
Landbank ePayment
Landbank on Collection
SEC Cashier/Over the Counter
Point of Sales (POS)
Registration fee is computed as below:
Filing Fee: 1/5 of 1% of the authorized capital stock or the subscription price of the
capital stock whichever is higher but not less than P 2,000.00
Legal Research Fee: 1% of Filing fee but not less than P 10.00
By Laws: P1,010.00
Stock Transfer Book: Approximately P 470.00
The above Certificates grant juridical personally to the applicant corporation or partnership. These do
not authorize said entities to undertake business activities that require Secondary Licenses or Permits to
Operate from the SEC or other government agencies, such as but not limited to: broker or dealer in
securities, government securities eligible dealer (GSED), investment adviser of an investment company,
close-end or open-end investment company, investment house, transfer agent, commodity or financial
futures exchange/broker merchant, financing company, pre-need plan issuer, general agent in pre-need
plans and time shares/club shares/membership certificates issuers or selling agents thereof.
Assuming all required documents are submitted and all information therein provided is in
order, applications for registration of new corporations/partnerships with the SEC are
processed within an approximate of 7 days from date of filing.

All registered corporations are required to submit a yearly General Information Sheet (GIS)
and Audited Financial Statement (AFS) in the appropriate formats specified by the
Commission. Deadline for submission are as follows:
For Audited FS, the schedule is based on the last numerical digit of SEC registration/
License No.
For General Info Sheet, all corporations shall file their GIS within 30 Calendar Days
