INTRODUCTION
Real Estate Industry in India witnessed a historic boom during 2002 to 2007. Record number ofprojects
were launched and sold during this period. Real Estate Developers in India grewmultifold very fast.
Land and property prices skyrocketed. Many developers went for publicissue of shares at very high
valuations. Attracted by liberalization of foreign investmentregulations, International investors invested
billions of dollars in Indian real estate sector. The global economic boom, easy availability of money,
crazy jumps in asset valuation and mad rush to go for the IPOs and desire to claim very high company
valuation typically characterized realestate industry at that time.A number of real estate companies went
for IPOs between 2006 and 2008. Some companies approached International Markets, like Alternative
Investment Market of London StockExchange or Singapore Stock Exchange, using innovative structures
for raising funds. Innovative multi-tiered structures, using off shore tax shelters like Mauritius and
BVI/Panama, were created to ensure tax efficiency and help getting subsidiaries listed in overseas
market without having togo through regulatory rigor with SEBI in India.All these IPOs and fund raising
exercises had one thing in common, they all valued real estate companies on the basis of NAV (Net
Asset Value) models. Expected future free cash flows fromdifferent projects were discounted, and
liabilities netted off against such discounted NPVs (Net Present Value), to arrive at company NAVs,
which formed the basis of issue pricing. Interest in Real Estate, availability of cheap money and dearth
of quality stocks made it possible forcompanies to get away with such highly probabilistic valuation
models for IPOs. In their zeal to achieve highest possible price for their shares; companies also included
NPVs of projects forwhich the land acquisition had not even started. Such questionable practices were
overlooked by investors, riding the global asset price boom, assuming that the growth and profitability
of these companies would continue to sky rocket due to insatiable demand for housing and
commercialproperties.This paper examines the growth of real estate industry in India and attempts to
test sharevaluations made by real estate companies.
REVOLUTION
The Indian real estate sector is witnessing a quiet revolution, owing to a flourishing economy and a
positive government attitude, which includes a liberalized foreign direct investment regime. The realty
sector, which is growing at an amazing 35 per cent, is estimated to be worth US$ 15 billion. It is also
expected to grow at 30 per cent annually over the next decade, attracting foreign investments worth US$
30 billion. This double-digit growth is mainly attributed to the off-shoring business, including high-end
technology consulting, call centres and software businesses. The IT and ITES sector is estimated to

require 150 million sq ft of office space across urban India by 2010. This will have a domino effect
since for every square feet of developed office area; around 10 sq ft of residential space needs to be
developed for accommodation of the employees.
Almost 80 per cent of real estate developed in India is residential space, the rest comprising of offices,
shopping malls, hotels and hospitals. According to the Tenth Five Year Plan, there is a shortage of 22.4
million dwelling units. Thus, over the next 10 to 15 years, 80 to 90 million housing dwelling units will
have to be constructed with a majority of them catering to middle and lower income groups.
After agriculture, the real estate sector is the second largest employment generator in India and
contributes heavily towards gross domestic product (GDP). Five per cent of the country's GDP is
contributed to by the housing sector. In the next five years, this contribution to the GDP is expected to
rise to 6 per cent.
The real estate sector is also responsible for the development of over 250 other ancillary industries such
as cement, steel, paints etc. A study by rating agency ICRA shows that the construction industry ranks
3rd among the 14 major sectors in terms of direct, indirect and induced effects in all sectors of the
economy. A unit increase in expenditure in this sector has a multiplier effect and the capacity to
generate income as high as five times. If the economy grows at the rate of 10 per cent, the housing
sector has the capacity to grow at 14 per cent and generate 3.2 million new jobs over a decade.

PREFACE – A PRACTICAL APPROACH
How much is it worth?”
Every investor begins with this question. The question of value is at the core of the decision. It is the
essence of the decision to buy one property and to reject another. Value is a complex topic because it is
partly subjective and partly determined by outside forces. A particular piece of property—whether
residential, commercial, or industrial—will be valued based on its location, improvements, zoning,
competition, local employment, and the availability (or lack of availability) of other, similar properties.
For the serious analyst, the question should be how is real estate value properly determined? There are
numerous methods and theories available, some scientific and others utilizing inaccurate statistical bases
or national (rather than regional or local) trends. We propose the use of scientific methods and, at the
same time, an overlay of practical considerations regarding local markets, risk tolerance, cash flow,
experience, tax benefits, and real estate-focused fundamental analysis. Just as stock investors recognize
the importance of the fundamental analytical tools in the selection of stock, the same approach can and
should be used in the analysis of real estate. It is neither possible nor advisable to try to determine value
based merely on a visual inspection or other nonfundamental indicators. Such decisions are better made
based on comparative shopping and analysis and a thorough comparative approach to the entire real
estate market. Ironically, some investors make a decision to purchase without careful and thorough
analysis and, in some cases, without even defining the means for assigning value. For some consumers,
a property is worth whatever its listed price may be, or whatever a real estate broker says. Considering
that the same consumers are likely to purchase automobiles with greater care, this is a puzzling way to
buy real estate. A car buyer will likely visit two or more dealers and, at the very least, take cars out for a
test drive.
The example of the impulse-buying real estate buyer is the extreme. Most people are not that impulsive.
However, real estate investors are faced with the problem of how to analyze real estate values and, if
they are to succeed, they also need to develop the means for reliably analyzing the real estate they are
considering buying. What factors determine value? What are the appropriate means for comparison
between like-kind properties? Why does a subtle difference in location make a vast difference in price?
These and similar questions are enormous challenges for the real estate investor. We cannot shop for
property based on a single criterion, and we cannot limit our examination to the same criteria in all cases.
For example, it is not prudent to shop for commercial rental property using the same valuation methods

as we use when buying residential property. We cannot even make the same underlying assumptions
about two similar properties in different locations. The collective economic, demographic, and local
factors affecting real estate values have to be studied and analyzed collectively if we are to make an
informed decision. Real estate analysis can be performed by anyone; however, it is not enough to place
trust in a broker or seller, and we cannot pick real estate from classified advertising. Those media are
starting points in the search; informed decisions rely on more detailed analysis and study. It is a mistake
to rely on others to identify value without further study. Even so, a vast number of investors do not ask
the right questions or even know what questions to ask. Those who do inquire usually limit their
dialogue to one with a real estate broker, who may not even be conversant in the art of real estate
analysis. Most state tests for real estate licensing are surprisingly easy and require little in the way of
actual analytical knowledge. Emphasis is usually placed on more mundane matters such as knowing
how to fill in the standard forms for real estate contracts; agent and broker liability and how to prevent it;
and knowing about buyer and seller rights and duties. Few real estate agents can provide advice on
estimating cash flow, analyzing relative value and investment potential, or the current state of local
supply and demand. Even so, the buying public (including many mom-and-pop investors) presumes that
the real estate broker has the answers. The broker’s job is to move property onto the market, and the
more properties they close, the more commission they earn. Emphasis is placed on bringing together a
willing seller and a willing buyer. But as many prospective buyers often overlook, the broker usually
works for the seller. Consequently, so the process of real estate analysis—which is of greater interest to
buyers than to sellers—is not within the bundle of motivations that the broker has in mind. Therefore, if
you do not know how to critically analyze real estate values and you depend on the assurances of a
broker, you are on your own. This book addresses the problems of analyzing real estate with several
possible readers A number of investors allocate a portion of their capital to real estate through direct
ownership, partnerships, or pooled investments (mortgage pools, for example, operate much like mutual
funds, with portfolios consisting of mortgage debt rather than stocks or bonds). Business and real estate
students and professors will also find this reference to be valuable in developing—at the very least—an
approach to issues of valuation and investment in real estate. The book has been organized to present
material in a practical manner. What does this mean? Many years ago, a workshop was held at a
conference for stockbrokers. One of the audience members asked a panel, “How can we do a better job
helping our clients to make investment decisions?” One of the panel members advised, “Pretend it’s real
money.” We are going to offer the same advice in this book. When we use theory by itself, we can have
all of the answers. However, to make theory practical, we also need to provoke thought within ourselves.

We ask basic questions and try to provide answers that may surprise many readers. Good rule-of-thumb
advice, whether conceptual or practical, is valuable as a starting point; but we want to go beyond, to
help our readers to think of money invested in the real estate market as real money, and not just as an
exercise in the theoretical process of investing.
Throughout the book, our goal has been to provide useful tools in the form of statistical information,
examples, charts and graphs, and case studies. The organization and format of the book is intended to
ensure that the information can be absorbed and converted to practical applications.

EXECUTIVE SUMMARY
The ‘Delhi-NCR Residential Real Estate Overview – May, 2015’ provides a comprehensive insight into
the key trends that have emerged in the residential markets of Delhi-NCR and some of the upcoming
peripheral locations. The report is an outcome of a rigorous survey conducted by ICICI Home Finance
Company across the different regions of Delhi-NCR. Some of the key findings are as follows:
The Delhi-NCR real estate market witnessed a slowdown during 2013, and this trend continued
in 2014. Residential markets across the Delhi-NCR region witnessed subdued levels of activity
in CY2014 both in terms of new launches and sales volume. On the demand side, this slowdown
largely owes to a mix of factors such as unfavourable macroeconomic scenario and weak
investor sentiment. Also, an impending interest rate cut kept the buyer preference to remain
focused on secondary and emerging markets of Delhi- NCR. On the supply side, pressures of a
substantial amount of unsold inventory and liquidity constraints due to slow absorption made the
developers to focus on project execution and keep a check on new launches.
There has been an increased interest in cost effective micro–markets such as Greater Noida
which accounted for a majority of the total sales volume in CY2014 in the Delhi-NCR region.
Capital values across majority of the micro-markets of NCR witnessed stagnation due to
subdued demand levels. Also, supply pressures are expected to remain high as a lot of projects
are yet to be delivered.
New launches primarily took place in the mid-segment, in the micro-markets of Noida, Noida
Extension and affordable housing projects in Gurgaon. The mid and affordable housing
segments are expected to witness capital appreciation in the short term.
The Delhi-NCR region has been witnessing a host of infrastructural developments which are
expected to create a positive impact on the overall real estate market scenario. The marquee
projects such as DMIC (Delhi Mumbai Industrial Corridor), KMP Expressway (Kundli-
Manesar-Palwal Expressway) and the FNG Corridor (Faridabad-Noida-Ghaziabad Corridor) are
expected to give a boost to the economy in Congruence with the other infrastructural
development projects such as the mass transit systems and smart cities project.
The Gurgaon real estate market has been traditionally heavily investor driven. Residential prices
in the Gurgaon real estate market are expected to be stagnant in the short run owing to the slow

pace of inventory absorption. Buyers are maintaining a cautious stance with respect to the high
prices and are increasingly shifting their focus towards the secondary markets that have
witnessed minor price Corrections. However, prices in the long run are expected to trend up
owing to the increasing cost of construction coupled with the imminent infrastructure
developments in the city.
During the survey, it was observed that the Noida market has been going through a wait-and-
watch phase, leading to a subdued sentiment because of the deliveries not happening as per
schedule. But the deliveries are expected to start in another year’s time which should have a
significant positive impact on the sentiment of the market as the occupancy rates start to rise.
However, Noida remained a priority destination for mid-segment and affordable housing
segments and is predominantly end-user driven.
Greater Noida market also witnessed significant real estate activity in 2014 in terms of both new
launches and absorption, with a large number of units concentrated in Noida Extension and
Yamuna Expressway. Due to the comparative affordability and planned development of these
areas, developers continued to prefer launching projects in these locations.
Ghaziabad has also emerged as an important micro-market catering primarily to the mid-segment
and affordable housing investors. This micro-market primarily includes local investors and end-
users who are looking for upgrading their current accommodation or investment.
Certain peripheral locations of Gurgaon such as Sohna, Dharuhera, Neemrana and Bhiwadi have
witnessed healthy demand from both end users and investors.
Sohna, an emerging city adjoining Gurgaon, is being developed as per the ‘Sohna Master Plan-
2031’ with an area of 6,110 hectares earmarked for future development and more than 28% of
the land area set aside for residential development. The region is set to benefit from its proximity
and good connectivity with the prime locations of Gurgaon. Residential real estate is still in a
very nascent stage in the region, however in the near future, this location is expected to cater to
the spill-over demand from Gurgaon in addition to the local demand. The region should also
benefit from the existing and planned industrial developments such as IMT Sohna and Ascendas
IT SEZ.
Dharuhera has emerged as an affordable real estate destination in NCR over the past few years.
Residential demand has predominantly been from local end-users or investors from neighboring
regions of NCR, seeking affordable options. The area benefits from its strategic location on NH-

8, industrial development and good connectivity with Gurgaon. Residential units available in this
belt are priced in the average range of INR 2,500 - 3,500 / sq. ft.
Neemrana is one of the fastest growing industrial centres in north India. It is strategically located
on NH-8 and in proximity to the other industrial sub-markets of Bhiwadi, Bawal, Khushkhera
and Tapukhera. Situated in Rajasthan and as a part of Delhi-NCR, this sub-market has attracted
heavy industrial investments from Japanese manufacturing firms. With 70% of the 1,200-acre
Japanese Zone being operational, the investment in manufacturing facilities by firms such as
Daikin, Mitsui Chemicals, Nissan, Nippon and NYK Logistics will enhance the development of
this area.
Bhiwadi is an industrial town and a part of Delhi-NCR. RIICO (Rajasthan State Industrial
Development and Investment Corporation) has been instrumental in the industrialization of
Bhiwadi since 1975. The region is also a part of the prestigious DMIC project. Market demand is
largely driven by local and neighboring regions of Delhi-NCR such as Manesar and Rajasthan,
as residential units in this belt are still in the affordable range.

BASIC MARKET ANALYSIS CONCEPT—AN OVERVIEW
We view market analysis as a broad overview of supply and demand attributes for property, including
site-specific and local factors and current as well as emerging competition. To begin, we provide some
basic definitions. Additional definitions may also be found in the book’s Glossary. Studies that focus on
the market include:
Analysis of local economies: Studies the fundamental determinants of the demand for all real estate in
the market.
Market analysis: Studies the demand for and supply of a particular property type in the market.
Marketability analysis: Examines a specific development or property to assess its competitive position
in the market. Studies that focus on individual decisions include:
Feasibility analysis: Evaluates a specific project as to whether it is likely to be carried out successfully if
pursued under a proposed program. May relate to developability. Most often related to financial
feasibility.

2 THE ESSENCE OF ANALYSIS
In market analysis, three phases are involved: collection of data, analysis, and recommendations. It all
starts with data, which may be found in many places. Primary or raw data is unanalyzed, often collected
in person by the analyst. It may include reading classified ads, new development announcements and
legal notices, or Census data. Secondary data has gone through the analytical process by someone else,
who tells the analyst what to conclude. Secondary data has bias. The analyst needs to consider bias for
all types of data. For example, even primary data may include unintentional bias. Even Census data may
include undercounts of immigrants, as one example. Secondary data helps the analyst develop a sense of
the market, but primary data is much more valuable and accurate. Think of the data as coming from two
sides—demand and supply— and in that order. Why? On the demand side, the analyst includes:
Information sources are not limited, either. Analysts may include, among other sources newspapers,
Census and private databases, tax rolls, advertisements, and maps—in other words, any source that
reveals something of interest. The value of direct interviews should not be forgotten in this information-
gathering process. The analyst may interview brokers, owners, urban planners, local officials, and so on.
Interviews provide guidance and open the analyst’s eyes. The goal in the interview is to ask as many
people as many questions needed to understand the marketplace in order to synthesize a complete
picture. The data gathering process should be thought of as competitive intelligence. Market analysis

should be tied in with an understanding of the psychology of the different players. In order to understand
whether a proposed project is real, we need to understand the game of business. It is not enough to just
say what is going on; we need to understand the players involved. Going even further, it is not just
enough to know the players. The analyst also needs to know the local government. In the real estate
business, government is your largest partner. If you want to do a project, you need to understand how
the political framework either supports or hinders you based on the desires of elected officials. Market
analysis is generated by virtually everyone in real estate:
1. Appraisers.
2. Brokers (leasing and sales).
3. Developers.
4. Investors.
5. Asset managers.
6. Lenders.
1. Urban planners.
2. Economic development consultants.
3. Public agencies.
It is interesting to determine—and to study—whether private and public analyses mesh or even agree in
their conclusions. There are certain ways that the two sides may be specifically biased. In the private
sector, market analysis is used to maximize profits (and to reduce losses by reducing market risks).
However, the goals of the public sector are often quite different, including a context of impacts beyond
profitability or feasibility, such as density, traffic, or design.
Is there such a thing as an unbiased analysis? The answer: Yes. Whichever one you are doing. The
serious analyst—absence of bias aside—should be keenly aware that the process itself invites bias. The
analyst cannot fall in love with a project and remain objective. One effective method for identifying
market analysis is by taking note of which group or groups use the analysis. These may include
developers/builders, investors and lenders, designers, marketing managers, local governments,
appraisers, assessors, tenants and occupants, sellers, purchasers, landowners, and property managers.

Within the context of identifying the end-user, it also is important to note that the market analysis data
feeds into the process of feasibility analysis. The two phases—market and feasibility—are directly
affected by the analyst’s conclusions about market area. Defining the market area can be broken down
into attributes of the question, What location and physical space make up the market area? This includes
natural features, constructed barriers, population density, political boundaries, neighborhood boundaries,
type and scope of development, and location of the competition. This level of analysis next leads to a
study of primary and secondary trade areas. Some important considerations define how accurate the
analyst’s work will be. For example, do you use geographic rings to define the trade area? Putting it
another way, is the trade area a circle? In practice, trade areas are actually formed by travel time and
other market factors, and true trade areas are rarely suitable to explain with the use of perfect circles. For
example, residential zoning and commercial clusters may more accurately define the trade area.
Following the gathering of data, the next step is to analyze. A site’s advantages and disadvantages can
be studied and compared in terms of zoning and comparisons to the competition: location/linkage to
other services and properties, rent or purchase price, unit sizes, occupancy costs, parking ratios,
building/project amenities, technology, security, and maintenance (current expense level and any
deferred maintenance). In performing the range of analytical tasks, one aspect of real estate valuation
within the broader scope is the more concentrated analysis of local economics. This study of supply and
demand is viewed as specific to a narrowly focused region or city. Furthermore, whereas market
analysis tends to be associated with the economic conditions affecting valuation of a particular property
or property type, analysis of local economics applies to all real estate within a region. We also want to
make a clear distinction between market analysis and marketability analysis. The latter is a study of the
relative competitive position of a project within the existing market and anticipated market trends in the
near future. While studies such as these (market analysis, local economics, and marketability) tend to be
broad-view market studies, two additional types of analyses are more specific to a particular project.
First is the process of feasibility analysis, which is intended as a study of whether the numbers work,
given the current perception about how a project should proceed, what it will cost, and who will buy or
rent the property. The range of analysis includes a feasibility study, which we examine later in this
chapter. However, the analysis is a larger process focused on financial questions but intended as a
critical review. If the financial aspects of the project are impractical, it needs to be modified so that
questions relating to financial feasibility produce more favorable answers. A related process is called
investment analysis, and it looks at the same financial questions but from the investor’s point of view.
Feasibility— usually associated with developers and project management—is a part of the developer’s

market analysis, whereas investment analysis takes the same issues and examines them with a different
set of choices. A developer may tend to compare various projects, sites, and real estate markets; an
investor is likely to compare potential real estate investments to nonreal estate alternatives as well. The
investor will, of course, review financing considerations as part of the analysis; however, financing is
not isolated to investors alone. Lenders and potential lenders will perform a variation of investment
analysis to analyze risk and to identify the most appropriate type of project financing. Overall,
investment analysis, whether performed on behalf of equity investors or potential lenders, will want to
include an analysis of cash flow, tax benefits and costs, and comparative return analysis. To what extent
should analysis go? Is it expensive, formal, and time consuming in all situations, or should the extent of
the process be determined by the project? For an experienced speculator, for example, who is familiar
with local conditions and trends, an analysis may include a quick and informal study of a specific
property. For an outsider, analysis may involve a more detailed study. For someone requiring local
approval or extensive financing, that analysis may be a thorough research on many levels. An expanded
definition explains how analysis continues to work after initial decisions have been made concerning
where, when, and how to build a project. Market analysis and research are not isolated functions
occurring only at the very front processes of the project but are best utilized throughout:
Market analysis is a crucial part of the initial feasibility study for a real estate project, but it does not end
there. Market research continues to play an important role in shaping the project throughout its
development and management phases. Market analysts are commonly consulted for repositioning
strategies after a project is up and running and the developer realizes that absorption does not meet
projections. As many types of market analysis exist as variations in development projects, stages of
development, and interests being served
In its final form, analysis may be published as a market study or a feasibility study. In some cases, these
are one and the same. However, we make a clear distinction. Market analysis, as a collective process,
includes an identification of the timing for demand; the direct relationship between demand and supply
(the analysis of which should consider the role of competition), and calculations of investment rates of
return.

DELHI CITY
Delhi, the national capital of India, is situated in the northern part of the country with
Uttar Pradesh bordering it in the east and Haryana in the north, west and south. The city
is spread over an area of 1,483 square kilometers and lies 216 meters above the sea level.
Two prominent features of Delhi’s geography are the Yamuna flood plains and the Delhi
ridge. The low lying Yamuna flood plains provide fertile alluvial soil, which is suitable
for agriculture but the plains are prone to floods. However, the Delhi ridge forms a
dominating feature in the region. It starts from the Aravali Range in the south and
encircles the west, northwest and northeast parts of the city. The Hindon River separates
Delhi from Ghaziabad.
The name Delhi originates from the Persian word ‘Dahleez’ (threshold of frontier) or
from the name of the Mauryan king, Raja Dhillu. Some historical literature also refers to
the original name as ‘Dhillika’. The satellite towns like Faridabad, Gurgaon and Noida,
collectively known as the National Capital Region (NCR), surround Delhi. NCR was
developed as the city needed room to expand and bear the burden of the increasing
growth and development in the region. The city boasts of its historical importance from
the fact that it has been home to the Mughal Empire. Delhi is the political center of India.

CONTRACT FOR INTERIOR WORK AND ASSOCIATED SERVICES
This Contract for Interior Work and Associated Services (hereinafter referred to as the “Contract”)
entered into at Mumbai on this __ day of ______, December, 2010 between
___________________Company Limited, having its Office at
___________________________________, India (hereinafter referred to as the “Client”), which
expression where the context admits shall include it’s representatives and permitted assigns).
AND
Transitions Architects Private Limited, a company incorporated, under the Indian Companies Act
1956, having its registered office at 593. Yashodhan, Jam-e-jamshed Road, Matunga CTRL
Railway, Mumbai 400019, Maharashtra, India,(hereinafter referred to as the “Interior
Contractor”).
WITNESSETH:
PART A
1. The Interior Contractor agrees to perform the interior work and associated services required for
the design, construction, implementation and delivery of Client’s facility at Unit nos. 909, 910,
911 and 912 on the 9th floor of Wing “B” of the building named "Atrium”, situated at Andheri
Kurla Road, Mumbai-400 069 comprising Carpet area of approximately sq. ft. (herein the
“Premises", the layout of which is provided in Exhibit A) in accordance with this Contract
including “General Conditions of Contract for Interior Work and Associated Services” in Part
B, ”Scope of Work and Services” in Exhibit B, “Remuneration & Payment Schedule” in
Exhibit C - “Summary of Insurance” in Exhibit D hereto attached and by reference made a
part hereof. The entire Interior Work shall be completed and delivered to the satisfaction of the
Client, by the Interior Contractor before _________ (“Delivery Date”).
4. The all inclusive Contract Price for the entire Interior Work is as provided in Exhibit C and shall
be payable in the manner provided therein, against the respective milestones.
5. The Interior Contractor shall furnish to the Client at the end of the first week of execution of this
Contract, a confidential list of the employees assigned to the work covered under this Contract,
indicating the roles and responsibilities of each employee and a copy of the Interior Contractor’s
normal work schedule and holiday schedule. This list shall be submitted at the end of each
month till the completion of the Contract and shall include names of additional employees if and
when assigned to Client’s work. Unless otherwise specifically approved by the Client in writing,
the Interior Contractor shall only engage his own employees that are on the employment rolls of
the Interior Contractor and shall not sub-contract or out-source any part of the Interior Work. A
permission by the Client to the Interior Contractor to sub-contract any part of the Interior Work
or to engage any other person for performing such part of the Interior Work shall not in any way
dilute the obligations of the Interior Contractor as contained in the Contract and the Interior
Contract shall continue to be liable for ensuring due and timely performance under the Contract.
6. The Parties have agreed on the necessary project criteria and the same is made part of this
Contract, including Exhibit B.
7. The Interior Work must be complete and be provided in a professional manner comparable with
best of the industry standards. The Interior Contractor confirms that the Interior Work to be
provided hereunder would substantially be the same and shall meet the specifications as
indicated in Exhibit B.
PART B
1. ASSIGNMENT

The Interior Contractor shall not assign this Contract or subcontract any portion of the work
hereunder without the prior written consent of Client’s Representative(s).
2. AUDIT
The Interior Contractor agrees to maintain complete, clear and accurate records of the work performed
by it in relation to the Contract. The Client shall have the right, through it’s accredited representatives,
to examine and audit at all reasonable times, any technical, commercial or other matters relating to the
Interior Work, from the date of this Contract and up to a period ending one (1) year after completion of
the Interior Work.
3. CHANGES
Client’s Representative may at any time make additions to, alterations of, or deductions or deviations
from the work to be performed (hereinafter referred to as “Changes”). Such changes shall be by written
order and shall be binding upon the Interior Contractor to the same effect as if they have been included
in the original Scope of Services, unless the Interior Contractor has provided his comments (including
any delay in execution of the Interior Work that may result due to such changes) within 5 days of receipt
of any such Changes from the Client and the Parties have agreed on any such comments.
The Interior Contractor shall procure and provide (at its cost) the drafting machines, CADD equipment,
drafting tables, and all other furniture, supplies and working facilities needed to implement the Contract.

All project tracings, specifications and engineering calculations carried out by the Interior Contractor
and/or its employees, agents, consultants under the Contract shall be forwarded to and become the
exclusive property of the Client before the final payment is made on this Contract unless otherwise
agreed upon in writing by the Client in writing and shall form part of the commissioning report.
If required by the Client, during or after the term of validity of the Contract, the Interior Contractor will
execute such further documents and do such acts as may be required by the Client to ensure that the title,
ownership and other rights in relation to materials specified above in this Clause, vest solely and
absolutely in the Client.
The Interior Contractor will have free access to the designated areas of the Premises at all reasonable
times unless otherwise specified by the Client.
6. IDENTIFICATION
The Interior Contractor shall make no use of the name or any trade mark or trade name or any other
intellectual or industrial property of the Client or its affiliated companies in its advertising or
promotional material unless it obtains prior written permission from the Client.
7. IMPLEADER
The Interior Contractor shall not implead nor bring any action against the Client, Client’s affiliates or
Client’s directors, officers or other employees, based on any claim for personal injury or death of an
employee of the Interior Contractor (or Interior Contractor’s affiliates, or any sub-contractor engaged by
the Interior Contract, as permitted hereunder) occurring while carrying out any work under the Contract.

Interior Contractor agrees that time is of essence of the Contract and hence delay on account of any
reason (other than (i) that caused due to any major design change requested by the Client; or (ii) delay in
the Client effecting undisputed payments due to the Interior Contractor, as envisaged in this Contract) in
the Interior Contractor’s performance under the Contract would cause substantial loss and damage to the
operations of the Client and hence such Liquidated Damages are fair estimate of the loss and damage
that may be suffered by the Client, in the event of delay in performance by the Interior Contractor.
Further, if the Interior Work carried out by the Interior Contractor does not meet the specifications
indicated by the Client or that agreed between the parties, then without prejudice to any other rights
available to the Client, the Client shall be entitled to claim and recover from the Interior Contractor,
appropriate amounts by way of damages. The Interior Contractor agrees with and confirms to the Client
that any amounts claimed by the Client or as may be due to the Client, may either be recovered by the
Client from the Interior Contractor or set off by the Client against any other amounts that may be
payable by the Client to the Interior Contractor under this Contract or under any other agreement. While
snag list will be taken care after handover of virtual completion.
1) By the Personnel of Interior Contractor, for personal injury/death or damage to property resulting
from the acts of error and omissions of the Interior Contractor or Personnel of Interior Contractor;
and
2) By the Personnel of Interior Contractor under the Workmen's Compensation Act, 1923 or other
applicable laws, rules or regulations etc. The Interior Contractor further agrees to indemnify and

save and keep the Indemnified Persons harmless and indemnified from any and all claims that may
result from the Interior Contractor’s failure to comply with the terms and conditions of this Contract;
and
3) Arising out of any negligence, willful omissions or breach of this Contract by the Interior Contractor
or Personnel of Interior Contractor, which results in any damage, costs, claims or attorney’s fees
(including any claims from the owners of the Premises), which may be incurred by any of the
Indemnified Persons; and
4) Any claims made by any person, including without limitation, on account of infringement or alleged
infringement of any of intellectual or industrial property rights of such person, arising due to the
Client’s use of any drawings, software, document or other material provided by the Interior
Contractor pursuant to the Contract.
9. INSURANCE
The Interior Contractor confirms that no claim, right of action or right of subrogation shall lie against
any of the Indemnified Persons for any damage caused to the Premises during the performance of the
Contract. Any such claims that may be made against any of the Indemnified Persons will be defended or
satisfied by the Interior Contractor, at its own cost, whether or not such claim for damages, loss or
liability relating to the Premises is covered by the insurance coverage mentioned below. The details of
the insurance coverage obtained by the Interior Contractor are attached hereto as Exhibit D.
10. INVENTIONS
If any inventions or discoveries are made or developed, in connection with or
as a result of drafting design or engineering work performed under, or in anticipation of this Contract,
by the Interior Contractor or any of the Personnel of Interior Contractor (as defined in Clause 8 above)
shall be considered as work made for hire and the Client shall have, with respect to such inventions and
discoveries, and under any patents that may issue thereon in any country of the world, sole and
unrestricted, rights to make use of such inventions, discoveries and embodiments thereof. Further, the
title in all such inventions and discoveries and any embodiments thereof shall at all times vest in the
Client. If required by the Client, during or after the term of validity of the Contract, the Interior
Contractor will execute such further documents and do such acts as may be required by the Client to

ensure that the title, ownership and other rights in relation to materials specified above in this Clause,
vest solely and absolutely in the Client. The Interior Contractor will ensure (including by getting
executed appropriate documents) that each of the Personnel of Interior Contractor will abide by the
above terms.
12. LIENS
The Interior Contractor represents that the work called for under this Contract shall be performed,
finished, and delivered to the Client free from all claims, liens and charges of any kind within the spirit
of this Contract.
14. SUPERVISION
The Interior Contractor confirms that any incidental consultation or advise provided by the Client or
Client’s Representative would not in any way dilute the responsibility and obligation of the Interior
Contractor in providing the work or services as envisaged herein and the Interior Contractor alone shall
be responsible for performing its obligations as envisaged herein. Any changes in Personnel of Interior
Contractor that may be requested by Client’s Representatives to the Interior Contractor, whether relating
to the number of employees assigned to the work, or the acceptability of particular employees, shall be
addressed and a mutually agreed solution arrived at by the concerned parties.
During the term of execution of the Interior Work, the Interior Contractor shall depute a supervision
team inclusive of the Architect, Civil Engineer and Interior Designer (“the Team”) at the Premises to

supervise and to ensure proper co-ordination of various works, including that of associated consultants.
The members of the Team shall visit the site to monitor and supervise the progress of the work, to
clarify any decision or interpretation of the drawings and specifications that may be necessary and
attend conference and meetings as and when required and to ensure that the work proceeds smoothly
and in accordance with the terms contained in the Contract.
15. TERMINATION
The Client may terminate the Contract by providing the Interior Contractor written notice of 7 days for
the same. Payment to the Interior Contractor (except when the termination is due to reasons attributable
to the Interior Contractor), as herein provided under Exhibit C, for work done up to the effective date of
termination, shall constitute full satisfaction of all claims of the Interior Contractor with reference to this
Contract. Interior Contractor may terminate the Contract only in the event of non-payment by the Client
of any of the undisputed invoices raised as prescribed in Clause 11 of this Part B, even after the Interior
Contractor has issued a notice of not less than 15 days indicating such non-payment of undisputed
amounts.

Neither party shall be liable to the other for delay in performing its obligations or for failure to
perform its obligations under the Contract if the delay or failure results from any of the following
acts of force majeure - Act of God such as earthquakes, floods, fire, accidents, explosion, civil
disturbance, any Governmental act, or anything beyond the control of either party. Payments due to
Interior Contractor is at all times, linked to the milestones as specified in Exhibit B. The parties shall
use all reasonable endeavors to minimize any such delay. Upon cessation of the event giving rise to
the delay the parties shall, in so far as may be practicable under the circumstances, complete
performance of their respective obligations hereunder notwithstanding the foregoing. If any of the
above mentioned events shall prelude the Interior Contractor from meeting any or all of its
obligations hereunder, for a period of more than 7 (seven) days from the date of first occurrence of
such an event, it shall be open to the Client to rescind this Contract by giving 7 (seven) days notice to
the Interior Contractor.
18. ARBITRATION
In the event of any question or dispute or difference arising between the parties with regard to the
interpretation or working of this Contract or the rights, liabilities or duties arising out of it or otherwise
in connection with this Contract, the same shall be referred to arbitration to be conducted by a sole
arbitrator to be appointed in accordance with the provisions of the Arbitration and Conciliation Act,
1996, whose decision shall be final and binding on the parties. The seat of arbitration shall be in Delhi
and the proceedings shall be conducted in the English language.
Any reference to arbitration under this clause shall not discharge or excuse the Interior Contractor from
performing its obligations and the Interior Work under the Contract shall continue subject to
adjudication of the dispute by the arbitrator. In the first instance, (i) each party shall bear its own
expenses incurred on account of the arbitration proceedings and (ii) the common costs of arbitration
shall be borne equally by the parties, unless the arbitrator decides otherwise.

The Interior Contract confirms and agrees that the Interior Work and services provided by it hereunder
shall meet all the specifications agreed and be of good quality. Should the Client point out any defects in
the provisions of the Interior Work or services, within a period of 365 days after virtual completion, the
Interior Contractor agrees to attend to the same and rectify such defects as pointed out by the Client and
to the satisfaction of the Client and at the Interior Contractor’s cost and expense. However if any
damage or defect caused to material or interior work due to client’s mishandling or negligence of usage
instructions, the interior contractor will not be responsible for such any and all defects or damages and
will charge the client for rectifying such damages or defects The interior contractor agrees that the
client will hold the defects liability amount which is 5% of the Contract Price (as stated in Exhibit C)
and will release 50% of defects liability amount after 90 days from the date of virtual completion
handover and will release remaining 50% of defects liability amount after 180 days from the date of
virtual completion handover of the project.
The parties agree that the Interior Work and services to be provided by the Interior Contractor shall also
comply with the general terms agreed in the said Exhibit D (in addition to other detailed terms
including that contained in Exhibit B). This Contract (including all Exhibits attached herein) constitutes
the entire agreement reached between the parties and supercede any prior agreements or understanding
reached between them. Any amendments to this Contract may be made only by a document signed by
both parties. The parties recognize that the Interior Contractor has already commenced Interior Work
and services, which shall be deemed to be provided as envisaged in this Contract.

The Interior Contractor shall be responsible for making necessary security arrangements at the Premises
from the date it started providing the Interior Work and Services. The Interior Contractor shall also
comply with such restrictions as may be imposed by the owner of the Premises (or any person providing
maintenance or other services therein) while performing the Interior Work.

The Scope of Work for the Interior Work shall consist of Interior and Design and Fit-Out work and
related services for the Client to be performed in relation to the Premises by the Interior Contractor, on
terms contained in this Exhibit A.

1. Interior Contractor is required to provide design, engineering, construction, fit-out and delivery of
interior work and provide related services including Civil, Partitions and Partitioning, Doors, Wall
Finishes, Floor Finishes, Ceiling Finishes, Workstation & Cabin Furniture including chairs,
Plumbing & Sanitary, Electrical, Cabling, additional Sprinkler, Fire and Smoke Detection System,
Air Handling Unit with Air-conditioning With insulation, , Steel Work and other miscellaneous
work as indicated below (“Interior Work”) including coordination of Client supplied and installed
materials and equipment, if any.
2. Interior Contractor is required to field verify tenant space in the Premises. Field measurement to be
performed immediately in conjunction with first drawings.
3. Interior Contractor confirms that it has been handed over a space plan, which needs to be verified
with respect to the available space, confirm the design is suitable for the space, and confirm the
location of various utilities with respect to available infrastructure in the building.
4. Interior Contractor is required to review and confirm the design of all engineering services in
relation to the space plan, as agreed in para 3 and provide the design drawings for approval of Client
and then provide the execution drawings, during construction and execution of the Interior Work.
5. Prior to the Client making the last of the payment towards Contract Price, the following drawings
have to be submitted by the Interior Contractor to the Client, it being understood that the following
are not exhaustive:
Final Layout of offices showing work stations, semi cabins, cabins, meeting rooms, corridors,
electrical & server room, mobile rack room, cafeteria, pantry & toilet blocks etc. all as approved
& finalized with the Client and indicating partition type, height, floor, ceiling & wall finishes &
furniture etc.
Furniture Layout (bought out & custom made) drawings, detail drawings of furniture to be made
at site. This includes reception area, office areas, meeting/conference/cafeteria/cabins/pantry &
stores.
Reflected ceiling plans with false ceiling details including all ceiling mounted fixtures such as
light fixtures, air-conditioning grills/registers, smoke detectors, fire alarms etc.

After satisfaction of each of the milestones specified above, the Interior Contractor will raise an invoice
for the respective amounts that have become due and payable and the invoice shall be accompanied by
(i) a certificate from the Interior Contractor that it has performed and completed the activities indicated
in the respective milestone; (ii) copies of relevant documents indicating completion of such activities.
The Client shall have 3 (Three) working days to review and verify the work done by the Interior
Contractor before making the payment. If the Client is satisfied about the details of the invoice and the
actual work performed by the Interior Contractor, the Client shall effect payments immediately after the
expiry of the said period of 3(Three) working days. If there are any differences between the Client and
the Interior Contractor about the completion of work or the actual amounts that have become due, the
parties shall endeavor to have negotiations without delay and sort out the matters. Notwithstanding any
such disputes or differences, the Interior Contractor shall perform and continue to perform its
obligations under the Contract, which shall not be withheld or delayed. Site report will be based on
material ordered, material delivered on site and work completed on site.
It is clearly agreed between the parties that the above price has been agreed between the Parties as fixed
price payable for the performance of obligations of the Interior Contractor. Interior Contractor have
included all the necessary taxes and fees required by necessary authorities to execute this Contract,
therefore whether imposable now or as may be imposed later, shall be borne and paid by the Interior
Contractor without directly or otherwise charging the same to the Client. In other words, the entire and
sole liability of the Client shall be to pay the maximum of the Contract Price and no further. Should

however, the Client be required to bear or pay any such taxes, whether imposable now or as may be
imposed later, then the Client shall be entitled to reduce the amounts payable to the Interior Contractor
accordingly, so that the maximum amounts payable by the Client (on account of payments made to the
Interior Contractor and other taxes), is limited to the Contract Price. Client has the right to deduct
appropriate taxes, as required under the applicable law (including the Income Tax Act, 1961 and any
other), before effecting any payments to the Interior Contractor, pursuant to this Contract. In such cases,
the Client will provide to the Interior Contractor, appropriate documents evidencing deduction of such
amounts.

with given jurisdiction, with DG of Inspection at the Central level and Chief Inspector at the state level

A) Building and Other Construction Workers (Regulation of Employment and Conditions of
Service) Act, 1996.
An Act to REGULATE THE EMPLOYMENT AND CONDITIONS OF SERVICE of building and
other construction workers and to provide for their safety, health and welfare measures and for other
matters connected therewith or incidental thereto be it enacted by Parliament in the Forty-seventh Year
of the Republic of India.
Introduction
There are about 8.5 million building and other construction workers in India as per the estimates of
National Sample Survey (1987-88). These workers are one of the most numerous and vulnerable
segments of the unorganized sector in India. The building and other construction works are
characterized by their inherent risk to the life and limb of the workers. The work is also characterized by
its casual nature, temporary relationship between employer and employee, uncertain working hours, lack
of basic amenities and inadequacy of welfare facilities. Although the provisions of various Labor Laws
i.e., Minimum Wages Act 1948, Contract Labor (Regulation & Abolition) Act1970 and Inter-State
Migrant Workmen (Regulation of Employment & Conditions of Services) Act 1979 etc., are applicable
to the building and other construction workers, a need was felt for a comprehensive Central Legislation
for this category of workers. Towards the above goal the following two enactments have come on the
Statute Book w.e.f. 20.8.96 initially brought in as ordinances on 3.11.95.
1. The Building & Other Construction Workers (Regulation of Employment and Conditions of
Service) Act, 1996; and
2. The Building & Other Construction Workers Welfare Cess Act, 1996.
Aims And Objectives
The above law aims to provide for regulation of employment & conditions of service of the building and
other construction workers as also their safety, health and welfare measures in every establishment,
which employs or employed during the preceding year ten or more workers. The exception made is only
in respect of residential houses for own purpose constructed with a cost not exceeding Rs. 10 lakh and
such other activities to which the provisions of Factories Act, 1948 and Mines Act, 1952 apply. Some of
the other main provisions of the Main Act are given below:
1. 1. Provision for an Advisory Committee at the Central and the State levels with the function to advise
the Governments concerned on such matters arising out of the administration of the Act as may be
referred to it.

2. 2. Provision for registration of each establishment within a period of sixty days from the
commencement of work to ensure that there are no malpractices and to discourage non-compliance of
law by circumventing.
3. 3. Provision for registration of building workers as beneficiaries under this Act.

State Government to exercise the powers conferred on, and perform the functions assigned to it, under
the Act.
5. 5. Provision for immediate assistance in case of accidents, old age pension, loans for construction of
house, premier for group insurance, financial assistance for education, to meet medical expenses,
maternity benefits etc.

ENFORCEMENT
The Building & Other Construction Workers’ Welfare Cess Act, 1996 . ( 28 of 1996 )
An Act is provide for the levy and collection of a cess on the cost of construction incurred by employers
with a view to augmenting the resources of the Building & Other Construction Workers’ Welfare
Boards constituted under the Building & Other Construction Workers (Regulation of Employment and
Conditions of Service) Act,1996. It extends to the whole of India and come in to force on the 3rd day of
November, 1995.
Under the Act 1% cess shall be collected from every employer where the cost of construction is more
than Rs. 10 lakhs. The proceeds of the cess so collected shall be paid by the local authority or the State
Government collecting the cess to the Board after deducting the cost of collection of such cess not
exceeding 1% 0f the amount collected.

Further, the Central Government may, by notification in the Official Gazette, exempt any employer or
class of employers in a State from the payment of cess payable under this Act where such cess is already
levied and payable under any corresponding law in force in that State.
Responsibility for enforcement of the Act primarily lies with the State Governments/UTs.

making people started using baked clay bricks (commoner) and exquisite forts & palaces by kings.
For the commoners, they used small stones, pebbles and concrete to make their home more strong apart
of that they decorate their home with designs of floral and texture with some colours ( herbal colours
like yellow, red blue and black) these all were done by women. They always love to decorate their
home. And in the journey of the monuments we can see that big stones which is well polished to
smooth in touch and then the real work of giving the deep base and the formation of big monument
happened. Using of red sand stones ,lime stones, precious marble stone and granite stones with costly
stones, gems and metal like gold to give strong structure & beautiful eye capturing look and unique
architectures to give full ventilation in summer and warmth in winter. There location is like that they can
watch their commoner. And about the monument decoration thousands of craftsmen did hard work for
inscribing the Islamic verse, floral textures making archives, domes and shields and gods goddesses
pictures in temple to give it a look of something out of the heaven. On that time making such kind of
building is only to show the power of king and spending time of lavish life style. In our historical
monuments get the influence of Persian architecture.
But now, time is changed. We are in 21st century and our requirement is also changed. Our home
making starts with a dream and then searching of good land. Sushank Kumar says “take soil in your
hand and smell it, if you get the smell of soil then this soil/ land is yours and if you get the smell of
rotten leave or something else then it is not yours.” Searching land as per the wish is not easy. In India
people also believe in “Vaastu Shastra” ("science of construction").Many people in India when they are
searching the land they try to search land according to the “shastra” ( teaching), like where the face of
the land? Is it on the east or not? ( east is for the symbol of progress). Whether it is rectangular , square
or L shaped? Is there any thing which may block the sunrays? and many more. It is very interesting to
know that during the land selection or plot selection rectangular plot is good for house making because
according to Indian “Vaastu Shastra” it shows the sign of prosperity in one way. Having a square plot,
means flow of wealth and happiness
After that home making process. In this process base should be very strong, for this people made it
according to the floors it’s like if a person want two floor building then base should be 1and ½ floor
deep. This should be very strong so there is a hard labour of one month. For base formation they use

concrete mixture, good quality cement and A1 bricks. As the base formed the next work is to form pole
as support of the whole house. Mr. Sanjeev Pal Said “seeing a making of base of your home is a kind of
making your own base more strong to the world and feeling of completing one responsibility for the
family.” Indian people think so much about the law of the direction whenever they make home the face
should be in the direction of east . It is for the positive vibration in the house and the origin of sun
means origin of good and divine inside the house. In india house people always try to make the window
in the north east direction. Think !!!!! it is interesting to know it relates with the law of magnetism ( Law
of north pole and south pole magnetic energy flow) In India people do make window in the direction
for the good flow of positive magnetic energy in it but Mr. Sanjeev Pal said “ I made the window
looking to rising sun which gives the fresh feeling of day.
This is all about making house in the concrete manner lets move to some village area. Village houses
may be artists' delight, and cement structures in villages may look like incongruous ugly dots in a
picturesque landscape. But while urbanites may feel that village houses should retain their traditional
appearance - and therefore be made of wood, stone, mud etc. - villagers themselves are quick to point to
the irony in this: the well-meaning urbanites themselves have long ago abandoned traditional housing!
Low cost, aesthetics, preserving traditions, and living in climatically suitable houses are all fine notions,
but the durability of homes is also an important consideration. A mud house with a thatched roof needs
continuous maintenance, whereas a brick and cement house is far sturdier, and has a longer life span.
And villagers are as interested in the longevity of their homes as their urban counterparts.
No matter how it different from the urban home , there is manner of making home in villages if we look
to the house in north of India (Jammu and Kashmir, Uttarakhand ) they live n wooden houses reason
wood are the good insulator for cold wind but making house by wood is unique in it’s self . it’s window
also made up of wood move to north east there houses are made up of bamboo and grass roof . when we
asked Mrs. Kalpana Dhar who is living in Delhi but her childhood was in her native village in Assam
said “ basically we made bamboo house because it’s a part of our culture out ancients used these kind of
house but now time is changed it s according to the climate the climate as you know north east India is
very moist area so it s very hard to make concrete houses it get flow out and regarding the flood every
person know about bamboo houses are not that much comfortable but it is reasonable to afford .my
mother always says these houses are much better then the concrete house it is more connected with
nature, no dirt and every thing is so clean to feel good in the bamboo house.” Mr. Phonic Sutra Dhar
from Assam Said regarding his house making “ I was born in bamboo house , it looked very big and

spacious but now I am living in concrete home ,hardly but I made it you know the weather of Assam
but living in the bamboo home and concrete home is different both gives a different feeling living
bamboo home give the feeling if oneness living with family and concrete gives the feeling of safety.
Giving a structure is not enough for the Indian people . for them home means something more let’s
move to interior of the home If we move to the different places in India one can easily find that every
kilometer gives the different visionary in home making. If we look in Rajasthan they decorate with the
traditional decorative like hand made curtain , wall hangings pots etc move to Jammu and Kashmir
amazing mattresses metal decoratives , North East India , bamboo made sittings ,straw made wall
hangings and wooden carved statues etc. distinctive way to make home as you feel happy.
But Now a days world is getting advanced our taste , our creativity every thing is changing but moving
with time never change our way to think how to start of dreaming home. It doesn’t matter whether you
living in flat/apartment or house, it is big or small. Your home is only home Mr. Durga Prasad said “ I
want to make home which will contain three floor and floor only for our parents. According to Ratna
Gupta her house should contain one room as a small temple which should be just opposite to the entry
door. She said “ Our home should give place to god also because he is the real creator and whenever you
go to any place you should see the face of god to make your journey good and he will protect your home
during your absence.”
Whatever will be the reason but people really think about home where they can stay with their family,
“happy go lucky family”, cozy home, lots of love, lots of affection, lots of satisfaction, lots of relaxation
and place of togetherness. Really it’s a “HOME”
