UNDERTAKING

I, Carlo M. Bahil, in my capacity as __Project Assistant II of Philippine Textile Research

Institute-Finance and Administrative Division, and hereby being referred to as RECEIVING
PARTY, with Contract of Services as follows:

DOST-PTRI represented by Celia B. Elumba, Director IV, herein referred to as the

DISCLOSING PARTY, hereby agree that:

1. during, or at anytime after the termination of, my engagement with the DOST-PTRI in the
above capacity as RECEIVING PARTY, not to use for myself or others, or disclose or
divulge to others, any confidential or proprietary information received from the
DISCLOSING PARTY; and upon termination of my engagement, to return to the DOST-
PTRI all documents and property of the DOST-PTRI obtained by me during the course of
my engagement, and not to retain copies, notes, or abstracts of the same;

2. “all confidential and proprietary information” shall include all information received from

3. DISCLOSING PARTY in the course of the undertaking, in any manner whatsoever, be it
orally transmitted, by written presentation, or visually transcribed through meetings,
emailed communication, lectures, videos, audio tapes or any other means or forms of
media, and whether or not the same has been identified as “confidential and proprietary”
by the DISCLOSING PARTY;

4. that the terms of this non-disclosure and confidentiality undertaking is in consideration of

the RECEIVING PARTY’s acceptance of his appointment in DOST-PTRI.

5. this UNDERTAKING shall be binding on myself, my employees, and representatives, on

the copyright and other Intellectual Property/Intellectual Property Rights (IP/IPR)
resulting from and/or arising from the performance of the work.
