TO BUY OFF OUTSTANDING LIABILITY WITH THEM UNDER THE
APPROVED OVERDRAFT LIMIT OF TK. 25.00 LAC PENDING MORTGAGE
FORMALITIES OF THE COLLATERAL SECURITIES TO BE MORTGAGED
WITH US WITHIN 07 (SEVEN) DAYS TIME FROM THE DATE OF FIRST
DISBURSEMENT.
C. WAIVER OF INSURANCE COVERAGE FOR THEFT & BURGLARY, FLOOD &
CYCLONE THROUGH UNDERTAKING TO THE EFFECT THAT THE CLIENT
WILL BEAR LOSSES WHEN AFFECTED. HOWEVER THE CLIENT WILL
EXECUTE INSURANCE AGAINST FIRE & RSD HAZARD.

Dear Sir,

Please refer to your credit proposal vide memo # SEBL/Tongi/CR/2018/180 dated May
07, 2018 recommending for approval of the subject mentioned facility favoring the
subject client. Upon your recommendation and subsequent recommendation of the Head
Office Credit Review Committee, the Board of Directors of the Bank in its 549 th meeting
held on 29.07.2018 has approved the following facilities on the debt structure, terms and
conditions as under:

Purpose : To meet up working capital requirement of client's business
and its expansion.
Rate of Interest : 12.50% p.a. or as may be fixed by head office from time to
time
Interest Service : Interest will be charged and realized on quarterly rest or
Arrangement upon expiry whichever is earlier.
Loan Processing : As per schedule of charge
Fee
Validity / Expiry : 01 (one) year from the date of disbursement
Mode of Operation : Continuous
Repayment : By depositing daily sale proceeds or cash from own source of
Arrangement the client. Full and final adjustment shall be made within the
expiry.
Special Condition : i. Branch will continuously monitor and follow up the
client’s ongoing business and depositing its daily sales
proceeds in its OD account.
ii. No transaction beyond the purpose for which the limit has
been sanctioned shall be allowed.

Allowing disbursement to the extent of Tk. 20.00 lac by issuing pay order to Jamuna Bank
Ltd., Tongi Branch, Gazipur to buy off outstanding liability with them under the approved
overdraft limit of Tk. 20.00 lac pending mortgage formalities of the collateral securities to be
mortgaged with us within 07 (seven) days time from the date of first disbursement.

Line -C
Waiver of insurance coverage for theft & burglary, flood & cyclone through undertaking.
However the client will execute insurance against fire & RSD hazard.

Security Arrangement for the above Credit Facilities:


i. Hypothecation of stock in trade at the sales outlet(s) / godown(s) & receivables of the firm.
ii. Irrevocable General Power of Attorney (IGPA) duly notarized favoring the Bank
authorizing it to sell / foreclose the items of the firm under hypothecation without further
reference to the court in case of default.
iii. Undated cheque(s) covering the OD limit along with a letter of authority to insert date on
the cheque. Branch will arrange for signature verification and ensure that the cheque is
perfect in all respect.
iv. Personal guarantee of the Proprietor of the firm.
v. Personal guarantee of the Spouse of the Proprietor.
vi. Personal guarantee of the mortgagor(s).
vii. Fresh set of usual charge documents.

Note : After taking over the loans of the borrower from Jamuna Bank Ltd. Tongi Branch the
above mentioned properties will be mortgaged against the approved Overdraft and approved
Home loan facilities with us
2. Other Terms & Conditions:
Guidelines for buying-off liabilities from Jamuna Bank Ltd. Tongi Branch Gazipur :
i. Bank’s payment will not exceed Tk.20.00 Lac favoring Jamuna Bank Ltd. Tongi Branch.
If the Jamuna Bank Ltd. Tongi Branch’s quoted amount exceeds funded facility of
Tk.20.00 Lac, the client has to deposit that excess amount from his own sources. An
undertaking to be obtained from the client in this regard. Any other liabilities of Jamuna
Bank Ltd. Tongi Branch in the name of the client have to be adjusted by client from his
own sources.
ii. Branch shall obtain an outstanding liability position along with a confirmation from
Jamuna Bank Ltd. Tongi Branch that upon receiving Payment Order of that amount for
adjustment against Overdraft Loan of Tk. 20.00 lac Jamuna Bank Ltd.. Tongi Branch
shall directly hand over all the property documents (which are offered) relating to the
properties as mentioned above to the Southeast Bank Limited, Tongi Branch.

iii. An undertaking shall be obtained from the client on a 300.00 Taka non - judicial stamp to
the effect that upon adjustment of his liabilities with Jamuna Bank Ltd. Tongi Branch
he will mortgage the property in favor of Southeast Bank limited, Tongi Branch, with in 07
(seven) days from the date of disbursement.
iv. Branch shall obtain photocopies of all the required property documents duly attested by
Jamuna Bank Ltd. Tongi Branch. If there is any wanting paper which is not in
possession of Jamuna Bank Ltd. Tongi Branch the client shall be advised to provide the
original document of the same to the Southeast Bank Limited, Tongi Branch. In addition to
these papers, any more papers, if the Bank’s lawyer suggests to be obtained, the same
shall be collected.
v. The photocopies of the property documents shall be vetted by our legal advisor and legal
opinion shall also be obtained. If the property is acceptable, all required documents to
charge the property as per sanction shall be prepared for execution.
vi. Branch shall separately verify the genuineness of the papers including title deed, Porcha,
khatian, rent receipt etc. from the office of the respective Sub-Register, ADC (Revenue)
and Tohshil Office before disbursement of the facility.
vii. Branch shall execute settlement of dues of the clients as above with Jamuna Bank Ltd.
Tongi Branch through Pay Order in such a manner that original property documents are
released by Jamuna Bank Ltd. Tongi Branch on the day of delivery of pay order and
our charges on the properties / mortgages are executed comfortably within 07 (seven)
days from the date of the pay order issued to Jamuna Bank Ltd. Tongi Branch
viii. Immediately after creation of mortgage / charge, original property documents shall be
vetted further by our legal advisor to reconfirm the previous legal opinion. The
documentation will also be completed as per the legal vetting of our approved legal
advisor. If any lapses arise, the mortgagor / borrower shall immediately rectify those
lapses.
ix. Location, possession, demarcation and valuation of the land/property shall be physically
verified jointly by the HOB & Credit-in-charge through Amin or Surveyor who has valid
license before issuance of payment order.

Other Terms & Conditions


i. The property documents / papers including the original Title Deeds of the above
mentioned land(s) will be vetted by our legal advisor and mortgage documentation
formalities will be completed as per the legal vetting. The land revenue, Municipal tax
etc. will be paid out by the property owner(s) / mortgagor(s). The legal fees
documentation and incidental charges will be borne by the clients / mortgagors. The
mortgagor will execute personal guarantee in the prescribed form of the Bank.
ii. The mortgagor(s) shall execute Irrevocable General Power of Attorney (registered)
empowering Southeast Bank Limited, Tongi Branch to sell the mortgaged property
without intervention of the Court in case of default.
iii. Branch must specially ensure the followings:
A. Location, possession, demarcation and valuation of the land/property shall be
physically verified jointly by the HOB & Credit-in-charge through Amin or Surveyor
who has valid license. However, in case of big branches like Principal, Tongi, Banani,
Dhanmondi, Corporate, Agrabad, Jubilee Road, Khatungonj, Laldighirpar, Motijheel
Islami Banking, Eskaton branches etc. if the HOB can not make it convenient to make
physical verification and valuation of land, he may authorize an Executive not below
the rank of SAVP to make such verification and valuation. In such cases the HoB shall
keep a record mentioning the reasons for his not being able to make physical
verification.

B. Branch must ensure that they have obtained the following documents and verified
their genuineness of the followings by sending an branch official physically nominated
by HoB(s) to the concerned Sub-Registry Office / Tahsil Office / ADC Revenue / AC
land:
a. Original Title Deed, DCR, Up to date rent receipt
b. Mutation C.S. , R. S, & S. A. Khatian
c. Latest settlement Jarip Khatian
d. Non encumbered Certificate
e. Other papers as per requirement of Bank’s legal advisor/ retainer to ascertain the
ownership & genuineness of the property.
C. The mortgaged land/property is to be checked with different negative lists, e.g.
whether the property is under khas land, vested property list, census list, abandoned
property and acquired property/property under process of acquisition, Waqf property,
Court of words or any other list from the Office of the concerned AC Land to confirm
that the property is free from all the interest of the Government.
D. In this regard, the Branch shall meticulously comply with all the guidelines as per
Operation Circular#03/2012 dated January 18, 2012 and Operation
Circular#32/2012 dated November 27, 2012.
iv. Branch must comply with the instructions of CRM Circular letter # 01/2012 dated
06.09.2012 regarding verification of collaterals offered by the client as security.
v. Branch must ensure the title, possession, location and demarcation of the mortgaged
property as per Head Office ICCD letter ref. no. ICCD/Audit-com 49(25)/11/818 dated
August 17, 2011 before disbursement of the loan.
vi. The HOB shall visit the property(ies) to be mortgaged with Southeast Bank Limited and
ensure the authenticity of all documents in consultation with bank’s lawyer.
vii. Branch must meticulously comply with the instructions of Credit Circular # 14/2007
dated 06.09.2007 regarding revaluation of collateral securities held against different
credit facilities at the time of sending proposal for renewal.
viii. The Branch must complete mortgage formalities as complying CAD Circular
HO/CAD/5173/2009 dated October 03, 2009.
ix. Incase of enhancement of facility registered mortgaged / charge to be created covering
the enhanced facility as per the laws of land.
x. Branch must display a sign board on the above mentioned property mentioning
that the property has been mortgaged with Southeast Bank Limited, Tongi
Branch and ensure that the mortgagor(s) is the sole owner of the property.
xi. Letter of disclaimer from the landlord of the premise regarding control, possession, take
over and removal of machinery and other movable assets of the company by the Bank at
any time is to be obtained.
xii. No Objection Certificate (NOC) from the client and the landlord to the effect that Bank’s
officials shall have free access into the factory for visit and supervision at any time is to
be obtained.
xiii. The client must provide the copy of the last settlement Jarip or a copy of field Porcha if
the settlement Jarip is not completed.
xiv. Branch must confirm that the property schedules are in conformity with the property
documents and if any variance is found, the same shall be intimated immediately to
Head Office.
xv. Any building structure and / or other construction works have already been constructed
or to be constructed on the offered collateral property must be in accordance with the
structure and specification approved by the competent government authority like
RAJUK, PWD etc. / competent authority.

xvi. If approval from any government authority like RAJUK, PWD etc. / competent authority is
required for completion of the registered mortgage formalities of the offered collateral
property in favor of the Bank, the client must obtain such NOC from the competent
authority prior to completion of the mortgage formalities.
xvii. The hypothecated items will remain insured 10% above the funded liability at the client’s
cost covering the risk of Fire & RSD, Theft & Burglary, Flood & Cyclone with bank
mortgage clause. If the client is unwilling to take insurance covering Theft & Burglary ,
undertaking to be obtained to the effect that in case of Theft & Burglary the client will
bear all the losses..
xviii. The client will submit the monthly statement of hypothecated stocks to the Bank and
properly maintain stock card.
xix. Branch shall conduct surprise stock verification at least 04 (four) times in a year. Such
verification shall be conducted jointly by a team comprising of any two of HoB, MO,
Credit Officer and Authorized Officer. The outcome of each stock verification shall be
noted on the lastly submitted stock report along with appropriate remarks.
xx. The client will pay Duty / Sales Tax, VAT if any, and other charges from the own sources
and will provide undertaking to that effect.
xxi. The customer shall route all their business transaction through your branch.
xxii. The client shall undertake to execute all charge documents and security documents as
may be asked by the branch from time to time in a legally enforceable manner and to the
satisfaction of the branch.
xxiii. The client shall provide an undertaking to the effect that they shall keep necessary funds
/ arrangements in their account with the Bank on which the cheques are drawn to honor
the same.
xxiv. For irregular and overdue situation in the account the Bank may, at its discretion, apply
penal interest.
xxv. The client must keep the bank informed of any change in their official and Proprietor’s
residential address.
xxvi. Bank reserves the right to set off between accounts.
xxvii. In the event of default Bank reserves the right to take any action to realize it’s dues
along with up to date interest including circulation of debt claim to the other lending
institutions, Bangladesh Bank or any other regulatory bodies as well as for information
to General Public through Print / Electronic media with or without the photograph of the
borrower and the guarantor, if any.
xxviii. The client shall furnish any information that Southeast Bank Limited, Tongi Branch
may request from time to time and allow the officials of Southeast Bank Limited to visit /
inspect the shop / godown.
xxix. The client will explicitly undertake that all information supplied to the Bank in
connection with the approved credit lines is correct.
xxx. If any adverse CIB report is found during the tenure of the loan the client must rectify
the same immediately. In case of failure to rectify the same bank may callback the
facility(ies) or withhold the drawings in the loan accounts.
xxxi. Any material or adverse change in business condition will cause the amount due to
the Bank from the client immediately repayable.

xxxii. Branch shall issue a sanction advice incorporating debt structure and all terms and
conditions of the facility advising the client to provide acceptance, if agreeable, thereof
within 15 (fifteen) days from the date of issuance of sanction advice to the branch,
failing which the facility shall stand as cancelled.
xxxiii.In respect to facilities having guarantor(s), a copy of sanction advice shall be endorsed
to such guarantor(s) and acceptance thereof shall also be obtained.The acceptance of
sanction advice by the client and guarantor(s) shall be treated as integral part of the
documentation formalities.
xxxiv. The Bank retains the right to call back / suspend /cancel any of the facility / all the
facilities in part or full at any time with or without any reason whatsoever. In case of
such suspension / cancellation the total amount due shall be repaid by the client
immediately along with up to date interest, failing which a penal interest @ 0.50% or
higher as may be decided by the bank shall be applicable.
xxxv. The sanction is not applicable and stands as cancelled if any of the directors of
Southeast Bank Limited, as per meaning of Bank Company Act 1991 and its subsequent
amendments, has any direct or indirect interest in the business under consideration.
xxxvi. The acceptance of the sanction shall constitute client’s required acceptance
authorization / declaration / undertaking to different requirements under the sanction
which includes but not limited to:
a) Southeast Bank Limited to act and take necessary steps to ensure the cause of the
sanction.
b) Southeast Bank Limited is authorized to debit the account as may be warranted from
time to time.
c) To abide by the terms and conditions imposed / to be imposed by Southeast Bank
Limited from time to time.
xxxvii. The facilities made available to the borrower are subject to any conditions or
limitations specified, from time to time, by the Bangladesh Bank and / or any other
regulatory authority. The borrower must agree to be bound by all regulations issued,
from time to time, by the Bangladesh Bank and / or any other regulatory authority.
xxxviii. All other terms and conditions for such type of financing shall be applicable.
xxxix. The client shall bear all legal and other expenses relating to the disbursement of
facilities as well as maintaining of such facilities till those are fully liquidated including
interest.
xl. Effective and constant supervision and follow-up should be maintained by the branch to
ensure timely repayment of advances and it should also be taken care of that the loan
does not become overdue under any circumstances.
xli. The Branch must keep close follow up & monitoring and to ensure timely recovery as per
revised monitoring and recovery system as circulated through Head Office Operation
Circular # 03/2012 dated January 18, 2012. The Branch must annex a sheet for
monitoring & recovery systems as per the said circular which will be treated as
integrated part of the sanction advice.

xlii. Proposal for renewal of the limit, if required, in future must be submitted to Head Office
detailing the performance of the customer at least 02 (two) months before expiry of the
validity date of the limit.
xliii. The client shall have to submit an application for renewal of the facilities together with
required papers including financial statements and cash flow statements to the branch at
least three (03) months before expiry for facilitating the branch for credit appraisal and
obtaining Head Office approval.
xliv. In each renewal / enhancement / rescheduling a fresh set of charge documents and
personal guarantee of the borrower(s) / mortgagor(s) and guarantor(s) is to be obtained.
xlv. Branch shall not allow the facility before completion of all the required documentation
formalities as per approved security arrangement.
xlvi. Branch shall not waive or relax any of the terms and conditions without Head Office
approval.
