CONTRACT OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Agreement, made and entered into this ____ day of
November 2018 in __________, Philippines, by and between:

JACK ULAN of legal age, Filipino, married, with postal address at ____,
Anakan, Gingoog City hereinafter referred to as the FIRST PARTY;

- AND –

__________________ of legal age, Filipino, __________, with postal address at

___________________ hereinafter referred to as the SECOND PARTY;

WITNESSETH:

WHEREAS, the First Party is the sole proprietor of TABLEA, which

produces pure and homemade tablea;

WHEREAS, the Second Party desires to become the sole and exclusive
distributor of the products of the First Party;

NOW, THEREFORE, for and in consideration of the above premises, the

parties hereby agree and stipulate the following terms and conditions, to wit:

1. The First and the Second Party agree that the Second Party shall be the
exclusive distributor of the products produced by TABLEA specifically
the pure and homemade Tablea. The term exclusive distributor shall
mean that the First Party cannot sell/deliver/give any tablea products
to the customers or client of the Second Party. However, the First Party
may continue to market/sell his tablea products locally provided that
these are not sold/delivered or given to the client/customer of the
Second Party;
2. The First party undertakes to deliver to the Second Party fresh and
newly roasted tablea.
3. The Second Party agrees to notify the First Party of any order at least
five (5) days before the intended date of delivery;
4. The parties agreed that the products (tablea) shall be placed in a
transparent cellophane without any labels;
 5. The parties agree that each pack/cellophane of tablea must contain 14
pieces, with a total weight of at least ____grams at the amount of
P______. Prices may change upon the agreement of the parties made in
writing.
6. The Second Party shall place an order to the First Party a minimum of
50 packs and a maximum of 100 packs per order/transaction. The
Second Party acknowledges that the First Party is largely after the
quality of the products rather than its quantity;
7. The parties agreed that that in every order of atleast 50 packs the First
Party shall add 3 packs for free and in every order of atleast 100 packs
the First Party shall add 6 packs for free to the Second Party;
8. The parties agreed that payment by the Second Party of the items
ordered shall be made to the First Party within ____ days from its
delivery. Payment shall be in cash/check/money transfer/online
banking (choose 1);
9. The parties agreed that when these products are delivered to the
Second Party, the First Party shall place these items in an ordinary box
or “carton”;
10. Once delivered to the Second Party personally or via LBC/JRS/or any
other mode of shipping, the First Party shall not be liable for any
damage of the product or any delay in the delivery/shipping;
11. The Second Party assumes sole responsibility for the payment or the
cost of shipping fee for its delivery;
12. This contract may be terminated within 5 days five upon the mutual
agreement of the parties made in writing and duly signed by them. Any
party may also terminate the contract within 5 days for violating any of
the terms of this agreement provided that such termination was duly
communicated in writing by the aggrieved party to the erring party.
13. All actions arising from or connected with this agreement shall be
brought only and exclusively in the proper courts of___________,
Philippines;
