A rather misleading description of how the legal clarifications were obtained was

published by the village administrator recently so below is set out the actual
sequence of events.

At the AGM on May 23rd Zenon Papaloziou said that he would ask for legal
clarification on several sections of the GA which he had reviewed meticulously and
he would aim to get responses within 2 months. He therefore asked 7 specific
questions of Mantis and Athinodorou the village’s lawyers of many years but several
weeks passed without getting a reply. Because Zenon was on holiday I contacted
the lawyers myself to move things along and finally got a response telling me to
talk to Zenon as he would now have a reply. The reply Zenon received was:

"Further to your email dated 12​th​ June 2019 and the emails of several other
owners/occupiers, I would like to point out that agreements are agreements people make
and they can be as the parties make them.

The norm is that only owners are members of committees and only owners can have voting
rights. Also they can vote by proxy properly signed and certified.

If in the case of Zephyros the agreement has been amended and the people are not happy,
they can always amend it.

In the meetings the Committee resigns put themselves for re-election and if members vote
for them, they will be re-elected.

I noted your questions but my above clarification gives you the replies, you can re-amend
the General Agreement to be as the normal ones."

A somewhat disappointing response from a professional lawyer but it did seem to


answer the crucial question of whether the committee had to be re-elected at each
AGM so we could proceed with the committee election. But the village administrator
interpreted it differently:

"I assume you are referring to the email from Michael Mantis, in which his first line states “I
would like to point out that agreements are agreements people make and they can be as
the parties make them.” He then goes on to state what would be in a normal agreement
e.g. only owners can be on the committee, committee resigning and being re-elected. The
current General Agreement does not make this compulsory"

So in an effort to be absolutely clear on this the 7 questions were again submitted


to the lawyers and with no response having appeared Zenon suggested that myself
and Eli Kallenberg go down to the law office and try to get the seven questions
answered. We did this but after waiting for an hour and then spending an hour with
a lawyer we only managed to get the one key question answered unequivocally,
both verbally and then in an email:
Dear Sirs,

RE: Our reference: Z2810


Zephyros Village
General Agreement

Further to our meeting we confirm that as per clause 17 of the agreement all the members
of the committee are elected for a year.

At the end of the year, if they resign or not they cannot be members of the new committee
if they are not re-elected.

The last two lines at paragraph 17 state clearly the above.

So had one very crucial question been answered?

Well apparently not, in the village administrator's latest communication she says

"[one of Zenon's questions was] ..... whether the whole committee has to resign each year
and be re-elected. The current General Agreement does not make this obligatory, and states
that they may individually resign if they wish ........ at each AGM, ....."​.

It appears that her personal view is that committee members are elected for life
and only resign ‘if they wish’ and if the village’s lawyer disagrees with this they are
wrong. It’s very difficult to know how any further clarification could be obtained.

Meanwhile all 7 questions have been answered by Mantis & Athinodorou.
