ARTICLE 1 - Object
The Producer grants to the Licensee to worldwide exploit one or more phonograms..

 Terms of contract

ARTICLE 2 - Authorization of exploitation

The Producer authorizes the reproduction and the sales of the phonograms. Therefore, the Licensee shall have the
right to publish and sell the phonograms defined in Article 1.

ARTICLE 3 - Royalties
3-1 Sales
a) The Producer will earn 60 % of the net received income from the sales of the phonograms defined in Article 1.

3-2 Other Uses

a) The Producer accepts, in advance, that the phonograms produced in execution of the present agreement could be
exploited as part of compilations, including multi-artist compilations.
b) Any exploitation other than the uses mentioned in this contract, including uses in advertising, film, broadcasting
or special performances shall be subject to the prior authorization of both Parties and to payment of a specific
remuneration to the Producer and the Licensee (fifty-fifty).

ARTICLE 4 - Copyright
a) The producer will always remain the full owner of the phonograms defined in Article 1.
b) The Producer certifies that he owns the full rights on his tracks in idea, music, sound and other audio material
which we can hear in the phonograms. The Producer certifies as well he owns the full rights on all the provided
graphic elements. The Producer certifies that his producer name is not used by another artist.
c) The Licensee shall not be liable for any breach of copyright by the Producer. Any consequence or fine related to an
infringement of copyright by the Producer is the full responsibility of the Producer.

ARTICLE 5 - Exclusivity
The Producer grants exclusivity of exploitation to the Licensee. The Producer certifies that the phonograms have not
already been released and are not available for sale or download elsewhere. The Producer must refrain from
entering into other licensing contracts for the exploitation of the phonograms defined in Article 1.

ARTICLE 6 - Accounts and payment of royalties

a) Royalties shall be paid with PayPal. However the Licensee is allowed to use other means of payment.
b) Royalties will be paid by sums of at least 60€. Each time this amount is reached at the end of a quarter, the
Licensee shall send the statement and pay the royalties. Lower royalties are automatically reported.
c) The Producer is entitled to request a proof relating to the royalty accounts and statements on a yearly basis.
Nota bene : It can take up to 2 quarters (6 months) before the Licensee receives the full statements from the stores.

ARTICLE 7 - Miscellaneous
a) The Licensee is allowed either to adapt or to stop the present agreement at any time in case of; no respect of the
terms of the present contract by the Producer, end of contract with third parties, change of terms of third parties or
end of activity.
b) In case of doubt about statements in this agreement, the Licensee will specify those statements in written form.
c) The Licensee can not be held responsible for issues with third parties (stores,...)
