ARTICLES OF INCORPORATION

EXCEED MISSISSIPPI

Other Provisions

The purpose of this corporation is to encourage citizens to advocate for programs public policies,
that will help Mississippi not only succeed economically and educationally but exceed
expectations.

This corporation is a Mississippi non-profit organized and operated exclusively for the purposes
permitted under Miss. Code Ann. §79-11-101, et seq. and within the meaning of Section 501(c)
(4) of the Internal Revenue Code of 1986, as amended, or the corresponding provisions of any
subsequent federal tax law (hereinafter, “Code”). No part of the net earnings of this corporation
shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private
persons, except that the organization shall be authorized and empowered to pay reasonable
compensation for services rendered and to make payments and distributions in furtherance of the
purposes set forth in the purpose clause hereof. This corporation shall never carry on any
activities not permitted to be carried on by a corporation exempt from federal income taxation
under Section 501(c)(4) of the Internal Revenue Code of 1986 or any corresponding provisions
of any future United States revenue law.

Upon the dissolution of this corporation, the liquidator or liquidators of this corporation shall,
after paying or making provision for the payment of all of the liabilities of the corporation,
dispose of all the assets of this corporation exclusively to one or more corporations, associations
or agencies exempt from the payment of federal income tax under the provisions of Section
501(c)of the Internal Revenue Code of 1986 (or under any corresponding provision of any future
United States Revenue law), and, in the event of voluntary dissolution and liquidation, the
resolution to dissolve this corporation may provide for the disposition of such surplus assets,
designating the recipient or recipients thereof from among organizations exempt from payment
of federal income tax under the provisions of said Section 501(c)of the Internal Revenue Code of
1986 (or under any corresponding provision of any future United States Revenue law), and in the
event that the resolution to dissolve the corporation shall fail to name any such recipient of such
surplus assets, such surplus shall be disposed of to any recipient or recipients named by a
Mississippi Court having jurisdiction, from among organizations exempt from payment of
federal income tax under the provisions of said 501(c)of the Internal Revenue Code of 1986 (or
under any corresponding provision of any future United States Revenue law).
