CONDITIONAL CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT made and entered into in

SELLER/VENDOR;

hereinafter referred to as the BUYERS/VENDEES;

WITNESSETH: THAT

WHEREAS, the seller is the registered owner of two (2)


parcels of land with improvements located at Camarin,
Caloocan City and covered by Transfer Certificates of Title Nos.
_________________ containing a total area of One Hundred
Twenty-Five (125) square meters, more or less, and more
particularly described as follows:

WHEREAS, the BUYER/VENDEE would like to avail the


said property through Bank Financing;

WHEREAS, the SELLER/VENDOR is willing to grant the


BUYERS/VENDEES this request;

NOW THEREFORE, for and in consideration of the


foregoing premises, the SELLER/VENDOR agrees to sell and
the BUYERS/VENDEES agree to buy the above described
properties under the following terms and conditions:

1. The BUYER/VENDEE shall apply for a house and lot


purchase loan with _________________ Bank in the
amount of ONE MILLION FIVE HUNDRED
THOUSAND (P1,500,000.00) to pay the
SELLER/VENDOR for the house and lot. The
proceeds/check of the bank loan shall be paid to and in
the name of SELLER/VENDOR;

2. The total consideration shall be payable through CASH


OR MANAGERS’ CHECK as follows:

a. The amount of the P200,000.00 representing


the earnest money deposit shall be payable
upon execution of this Contract to Sell and
shall be considered part of the total contract
price;

b. The remaining balance amounting to


P1,300,000.00 shall be payable within
_____________ (time frame) upon execution
of this Contract to Sell;

c. In case the BUYERS/VENDEES could not


fulfill any of their obligation stated in this

Contract to Sell, the earnest money shall be
forfeited in favor of the SELLER/VENDOR.

3. The parties hereby agree that the capital gains tax on


this transaction shall be paid by the
SELLER/VENDOR, while the documentary stamp tax,
transfer tax and all other expenses necessary to
transfer the title of the above-described property in the
name of the BUYERS/VENDEES shall be for the
account of the latter.

4. Possession to the subject property shall be delivered


by the SELLER to the BUYER upon full payment of the
total consideration;

5. Upon full payment of the total price, the


SELLER/VENDOR shall sign and execute a DEED OF
ABSOLUTE SALE in favor of the BUYERS/VENDEES.
The SELLER/VENDOR shall likewise execute and/or
deliver any and all documents, including but not limited
to the original copy of Transfer Certificate of Title, Tax
Declaration and all other documents necessary for the
transfer of ownership from SELLER/VENDOR to the
BUYER/VENDEE.

This Contract shall be binding upon the heirs,


successors, executors, administrators and assigns of the
respective parties hereto.
