MEMORANDUM OF AGREEMENT

(LABAN NG LAHI RELOADED)

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM AGREEMENT is made and entered into by and between:

MR ARSENIO O JUNTILLA, of legal age, married and presently residing at Brgy. Soriano,
Cabadbaran City, hereinafter referred to as“CAPITAL OWNER”.

-and-

CAMBOAYON SPORTS EVENTS MANAGEMENT, herein represented by its Founder MR

JOENEL S POGOY, of legal age, married and a resident of Purok Bukidbukid, Bgy La Union, Cabadbaran
City, Agusan del Norte hereinafter referred to as the “PARTNER FOUNDER”.

WITNESSETH

WHEREAS, “CAPITAL OWNER”is desirous to voluntarily offer a “LOAN SUPPORT” in the

amount of TEN THOUSAND PESOS (P10,000.00) as additional capitalization for the upcoming global
competition called LABAN NG LAHI RELOADED – 18K GLOBAL PLATOON RUN CHALLENGE.

WHEREAS, the“PARTNER FOUNDER”is desirous to avail of the LOAN SUPPORT being offered
by the “CAPITAL OWNER” to help finance the company’s flagship project.

NOW THEREFORE, for and in consideration of the foregoing premises and covenants mutually
agreed upon, as well as the provisions hereinafter set forth, the Parties have hereunder agreed and do
hereby agree as follows:

1. PLACE AND LOCATION

The “PARTNER FOUNDER” shall provide the company’s legal documents of its existence, event permits
and other documentary papers relative to this agreementand must submit the same to the office of
“CAPITAL OWNER” located at Cabadbaran City.

2. LOAN SUPPORT DETAILS

The “CAPITAL OWNER” agrees to voluntarily contribute an amount for the working capital
worth Ten Thousand Pesos (P10,000.00). This voluntary loan support entitles the “CAPITAL OWNER”
to receive “four times” total amount return” for the whole 4-month duration of the event preparation and
staging (Total amount return already includes the Capital amount). This “four times” total return will be
paid via one-time Post-dated checks on:

December 15, 2019 - P40,000.00

Correct tax obligation as mandated by the Bureau of Internal Revenue (BIR) will be shouldered by
the “PARTNER FOUNDER”. Below is the VAT computed tax obligation:

P10,000.00 x 4 = P40,000.00
P40,000.00 – P10,000.00 = P30,000.00 (subject to 12% VAT)
12% VAT of P30,000.00 gross income = P3,600.00

“CAPITAL OWNER” is free (but not required) to promote the event in whatever way she thinks
can help the event to succeed. He may use his vast network of connections, fraternal friends including
political influence or business connections to maximize publicity and productivity of the event and protect
the business, social and advocacy interest of both parties as manifested in the concept of competition &
business operation.

 3. REGULAR EVENT UPDATING

The “PARTNER FOUNDER”on his end is amenable to make regular event updating in order to
avoid unnecessary misconception on the development of the project.

Lastly, all expenses shall be managed by the company designated Finance Management Team and
all proceeds generated by LABAN NG LAHI RELOADED project shall be deposited directly to the official
bank account of Camboayon Sports Events Management/“PARTNER FOUNDER”particularly Security
Bank Checking Account 0000-2420-8495 under the name of Mr. JOENEL POGOY or Camboayon Sports
Events Management or another bank account designated by the “PARTNER FOUNDER” in the near
future.

IN WITNESS WHEREOF, the parties who have caused this instrument voluntarily signed and executed
this agreement on the date and place written below.

BEFORE ME, a Notary Public in the City of Cabadbaran, personally appeared to me this ____ Day of
August 2019, MR ARSENIO O JUNTILLA with Senior Citizen ID NO. KAT 1702973 as “CAPITAL
OWNER” and MR JOENEL S POGOY with UMID ID NR 0113-0006-8547, as the “PARTNER
FOUNDER” are both known to me to be the same persons who executed the aforementioned Contract
and they acknowledged to me to be the same persons who acted at their own free will and voluntary deed.
