Position
General Manager – Legal & Group Company Secretary
reports to
ROLES & RESPONSIBILITIES

Primary position To handle Company Law & Secretarial matters for various group companies and
assist in litigation and other legal matters and in case of disputes. Ensure compliance
Objectives of various statutes by all stakeholders

Key  Assist in drafting and review of various legal documents including


responsibilities concession agreements, due diligence reports, contracts, MOUs etc
 Preparation of Background notes, information updates, ensuring
monitoring of costs in various legal matters.
 Assist in all kinds of legal disputes/matters/ litigation for and against
company including review of notices, Petitions, Written Statements,
Rejoinders, Power of Attorneys, Affidavits, etc. Coordination with
lawyers to ensure availability of timely information from Company’s end
& update status report.
 Liasioning with Advocates/Counsels engaged in Arbitration matters,
lower courts and High Courts for filing and defending cases.
 Assist the GM –Legal & GCS in ensuring compliance of the provisions
of Companies Law and rules made there-under and other statutes and
Articles of Association. for various companies within the group
 Preparation of Registers, maintenance of records and compliance as per
companies Act, 2013 and other applicable Statues. Compliances with the
secretarial standards issued by Institute of Company Secretaries of India.
 Assist in /independently handle formation of companies & in merger of
Group Companies.
 Preparation/filing of statutory forms & returns and liasioning with
RoC/RBI/MCA/FIPB/ R & T Agents, Depositories, Govt. Authorities
wherever required within the stipulated time limits
 Timely preparation of agenda and minutes of Board/Committee
meetings, AGM/EGM. Follow-up Board Directives & Feed back
 Issuance of Share certificates, dealing with RNT agents and maintaining
all secretarial records and statutory books.
 Streamlining the process of claims, damages, Insurance and other
disputes
QUALIFICATIONS & COMPETENCIES
 C.S. with Law Degree desired
 10-11 years experience in Legal cum Company Secretary
 Demonstrate problem solving and analytical skills
 Excellent communication skills, drafting and negotiation skills
 Ability to interpret legal requirements and apply to relevant business
operations.
 Work as a team member for various corporate actions,
strong interpersonal skills.
