MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This agreement is made and entered into by and between:

MELLIE GRACE T. POSTRERO, Filipino, single, of legal age and a resident of P-Apitong
Brgy. Pangabugan, Butuan City, hereinafter referred to as the “First Party”,

and

EDNA P. CLOMA, Filipino, married, of legal age and a resident of P-1 Brgy. Lumbocan,
Butuan City, herein referred to as the “Second Party”,

WITNESSETH, that:

WHEREAS, the First Party is the owner of the AKI Resto Bar, a business enterprise located
at Imadejas Triangle, Brgy. Imadejas, Butuan City;

WHEREAS, the First Party needs additional funding for the improvements and operations
of the aforementioned business enterprise;

WHEREAS, the Second Party intends to provide additional financial support to the AKI Bar
Resto Bar;

WHEREAS, the First Party accepts the intention of the Second Party to provide additional
financing support to the AKI Resto Bar.

NOW THEREFORE, for and in consideration of the foregoing premises, MELLIE GRACE T.
POSTRERO and EDNA P. CLOMA, hereby agree and stipulate the following terms and conditions
of the agreement:

1. That, the Second Party shall finance the amount of ______________________________

in words (P __________) to support the improvements and operations of the
aforementioned business owned by the First Party;

2. That, the First Party shall guarantee to give, deliver and pay the amount equivalent to
seven (7%) percent of the total amount financed as interest by the Second Party at every
end of the month, beginning __________________ (month), 2019;

3. That, should the business becomes profitable and the net income thereof by the end of
every quarter amounts to at least THREE HUNDRED THOUSAND PESOS (P 300,000.00),
the Second Party shall be entitled to an additional interest, which shall be considered as
bonus and shall be given at every end of the quarter by the First Party;

4. That, the amount of the bonus aforementioned shall be determined by the parties;
5. That, if the Second Party wishes and intends to withdraw the amount financed to the
business of the First Party, she may do so without any reason. She shall notify the latter
in writing of her intention to withdraw, which shall be effective two (2) months from the
date of receipt by the First Party of such notice;

6. That, if the First Party shall have received the written notice of the withdrawal by the
Second Party, she shall refund in full, the amount financed by the Second Party within
two (2) months from the date of receipt of such notice.

IN WITNESS WHEREOF, the parties hereby affix their handwritten signature this 26th day
of August, 2019 at Butuan City.
