Re: Default under Master Loan and Servicing Agreement with VW Credit, Inc. dated May

Dear Mr. Crow:
On or about May 20, 2018, Bellemoto LLC (“Bellemoto”), Ducati Seattle LLC (“DSL”, and
together with Bellemoto, “Borrower” or “Borrowers”), Corsa Holdings, LLC (“Corsa”) and Howard Crow
(“Crow”, and together with Corsa, “Guarantors”) executed and delivered to VW Credit, Inc. that certain
Master Loan and Servicing Agreement (the “MLSA”). Guarantors also executed continuing guarantee
agreements on the same date (the “Guaranties”). The MLSA controls the lending relationship between
those parties and VW Credit, Inc. (“VCI”). Pursuant to the terms of the MLSA, it is an event of default for
Borrowers to fail to make payments when due of any amount of principal or interest required by the terms
of the MLSA. It is further an event of default for any Borrower or Guarantor to be in default under any
material loan, indebtedness, obligation or agreement in favor of any other person or entity in any way
related to the conduct of any Borrower’s business. It is additionally an event of default for any of the
Borrowers to become insolvent or apply for bankruptcy. Additionally, it is an event of default for there to
be a material adverse change the financial condition of any Borrower or Guarantor. Finally, if VCI
reasonably believes that the prospect of payment or performance under the MLSA to be impaired, or that
any of the Collateral is in danger of misuse, loss, seizure or confiscation, or deems itself insecure with
regard to payment of the loan reflected in the MLSA, that is also an event of default. Each Borrower is
jointly and severally liable to VCI for all obligations owed by any other Borrower under the MLSA. The
Guaranties similarly guarantee the prompt and punctual payment, when due, of all of the Obligations that
any Borrower may incur in VCI’s favor. If and when VCI makes a demand for payment under the
Guaranties, Corsa and Crow are obligated to immediately pay VCI all amounts due under the Guarantee
and the MLSA.
VW Credit, Inc. (dba Ducati Financial Services) is a servicer for VW Credit Leasing, Ltd. and VCI Loan Services, LLC.
EXHIBIT C
VCI recently performed an audit on Borrowers and determined that each Borrower is currently
closed for business, as is an additional store, (Noble Rush, LLC) owned by Crow that is not financed by
VCI but has common ownership with Borrowers. Further, from discussions with employees of Borrowers,
it is VCI’s understanding that Wells Fargo is in the process of liquidating all collateral that it has financed
for Noble Rush. Finally, based on our discussions with employees of Borrowers, it is unclear if or when
the dealership entities that VCI financed will reopen. Further, VCI’s audit indicated that certain collateral
financed by VCI was located on Noble Rush’s lot, leaving open questions about whether collateral financed
by VCI has already been liquidated, and about the interrelationships between Borrowers and Noble Rush.
VCI has also been informed that Noble Rush has either already filed for bankruptcy or is in the process of
filing for bankruptcy at this time. Each of the above stated issues is an event of default under the terms of
the MLSA, in that they represent adverse material changes in the financial condition of Borrowers; leave
VCI to reasonably believe that the prospect of payment has been impaired; that VCI’s collateral is in danger
of loss, seizure or confiscation; and that there may be a default on a Noble Rush agreement which is directly
impacting the conduct of Borrower’s business.
As a result of these deteminations, VCI is declaring Borrowers in default of their obligations under
the MLSA and the Guaranties. Further, VCI is declaring the entire outstanding balance owed under the
MLSA and Guaranties to be due and owing, as allowed under the express terms of the MLSA and the
Guaranties. Payment must be made immediately, and in any event no later than September 24, 2019, of the
entire balance owed under the MLSA by all Borrowers and Guarantors. The current outstanding balance
owed under the MLSA is $2,662,799.93, consisting of $1,350,927.63 owed by DSL, and $1,311,872.30
owed by Bellemoto.
Alternatively, Borrowers and Guarantors may sign and return the attached Voluntary Surrender
Agreement, by which they would voluntarily return all of the Collateral which VCI has financed to VCI
for immediate liquidation. The proceeds of such sale would be applied as allowed by the terms of the
MLSA, and Borrowers and Guarantors will remain liable for any deficiency that might be owed after
liquidation. Again, the deadline for return of the Voluntary Surrender Agreement is September 24, 2019.
In the event that Borrowers and/or Guarantors fail or refuse to pay in full all sums currently due
and owing, or to sign and return the Voluntary Surrender Agreement, or should there be any additional
default before September 24, 2019, VCI reserves the right to utilize its full ranges of remedies available
under the MLSA, or at law, and informs Borrowers and Guarantors prospectively that VCI will likely file
suit for replevin of the Collateral if the Collateral is not voluntarily surrendered to VCI. VCI has already
placed all credit lines of Borrowers on hold, and will continue to do so for so long as VCI, in its sole
discretion, determines appropriate. VCI reserves the right to exercise further remedies allowed under the
MLSA, including placing a “keeper” on the property of Borrowers; increasing the interest rate on
Borrowers’ balance owed; and any other remedy allowed VCI by the MLSA or law. VCI further demands
that all manufacturer statements of origin and vehicle keys be returned to VCI immediately, pending
resolution of these defaults.

VCI expressly reserves all rights granted to it under the terms of the MLSA and at law, and any failure to
exercise those rights immediately is not and should not be construed as a waiver of those rights.
VCI looks forward to receipt of your payment in the amount of $2,662,799.33 before September
24, 2019.
