DEVELOPMENT CORPORATION, a corporation duly organized and existing under
Philippine laws, with principal address at 21 Rose St., Panorama Homes Subd., Buhangin,
Davao City, under oath, hereby state that:

1. During the special meeting of the Board of Directors of E & S Corporation on

October 5, 2019, at its principal office, at which meeting a quorum was present and
acting all throughout, the following resolution was passed:

“RESOLVE, as it is hereby resolved, that the corporation be authorized, as it is

hereby authorized, to sell a parcel of land registered in its name, as follows:

of the subdivision plan. Beginning at the point market “1” on plan
being N. 24 deg. 25’E., 5032 91 m. from B.L.L.M. No. 1, Pls-566-D.

Bearings, true; Date of original survey Sept. 18, 1959 and that of
the subdivision survey August 19, 1994 executed by Geodetic
Engineer Enecio A. Magno, and approved on Feb. 22, 1995.

“RESOLVED FURTHER, that the president NOE C. ELIZAGA be duly authorized to

represent the corporation and sign all documents to effect the foregoing authority;

2. The foregoing resolution is not contrary to the by-laws of the corporation and is valid
and effective to date.
