1WELLNESS SOLUTIONS INC.

DISTRIBUTOR POLICY:
As a new distributor of 1Wellness Solutions Inc., I/We understand and agree that:
1) I/We am/are of legal age upon entering into this agreement
2) I/We have personally attended was/were personally presented with 1Wellness Sales
Presentation and product demonstration prior to selling the 1Wellness products
3) This application shall constitute a binding agreement between me/us and 1Welness effective
upon such time that this application is received and approved by 1Wellness
4) As distributor/s, I/We can now engage in the direct selling of all 1Wellness’ products and I/We
shall be entitled to corresponding bonuses, discounts and privileges given by the company based
on my performance in the sale or delivery of products
5) As long as I/We am/are distributor/s and not in violation of this agreement and the other rules
and regulations of the company, 1Wellness shall pay me/us for my/our successful sales efforts in
accordance with the various bonuses established in the 1Wellness Marketing Plan
6) There is no required minimum product purchase or minimum inventory purchase requirement
7) This agreement does not create an employer-employee relationship between 1Wellness and
I/Us neither I/We shall claim to be a legal representative of 1Wellness nor shall I/We bind
1Wellness in any agreement
8) As distributor/s, I/We will abide by the company’s rules and regulations and shall be obliged
to follow its Code of Ethics. Should I/We commit any violation, I/We shall be subject to the
existing sanctions and penalties provided in the Code of Ethics and company policy and I/We
absolve 1Wellness from any liability this sanction may cause me/us
9) I/We shall secure a written approval from 1Wellness’ Board of Director representative before
making any form of advertising in print, media or electronic form, including but not limited to
audio, visual and printed materials, other than the company’s existing marketing collaterals and
postings on its official website
10) I/We am/are prohibited from making any misrepresentations, revisions, modifications, or
alterations of the company’s trademark, brand, logos, marks, marketing plan, products,
marketing collaterals and other company-provided marketing and sales tools. Any such
misrepresentations, revisions, modifications or alterations shall be deemed a violation of the
company's rules, regulations and polices
11) As a general rule, should my spouse join 1Wellness, my spouse shall automatically be under
my sales team structure. Otherwise, it shall constitute a violation of the company’s policy on the
cross-lining provision
12) I/We agree that this agreement is personal in nature and cannot be assigned nor transferred
except in the event of my/our death wherein the same may be inherited pursuant to existing laws
by an individual who can qualify as a distributor
13) I/We shall only join the sponsor indicated in the application form and I/We shall follow the
“six month rule” in the event I/We decide to join another sponsor line
14) I/We am/are fully aware that the company reserves the right to modify, revise and update its
existing policies and business plan for the best interest of 1Wellness and its distributors without
prior notice
15) I/We shall diligently pay to the designated government agency/local government unit all the
tax due from the taxable sales bonuses I/We have earned from the sales of 1Wellness products
16) I/We shall conduct all my/our sales activities in accordance with the laws of the Republic of
the Philippines and I/We shall exclude 1Wellness from any liability or issues that may arise from
my/our own personal action and will

I/We hereby certify that all the above information are true and correct to the best of my/our
knowledge. I/We am/are aware and I/We agree that in case of violation of this agreement, my/our
privileges as distributor/s may be revoked and/or terminated without prejudice to being charged
criminally and/or civilly as may be warranted by the circumstances. I/We am/are aware that any
false information I/We provide may also subject me/us to criminal or civil liabilities

For this purpose, I/We hereby authorize 1Wellness to revoke, deactivate and/or suspend my/our
privileges as distributor/s in the event that I/We violate the terms and conditions of this
agreement, the policies and ethical guidelines of the company. I/We fully understand and further
confirm this authority that I/We am/are giving 1Wellness and I/We do so of my/our own free will
and volition, without any force, intimidation or undue influence exerted upon my/us.
