ADDENDUM TO AGREEMENT

This addendum (“Addendum”) to agreement (“Merchant Master Agreement”) is made at [New Delhi]
on this day of DEC 2019 (“Effective Date”) by and amongst:

1. Pine Labs Private Limited, a company duly incorporated under the Companies Act, 1956 having
its registered office at 207 Gupta Arcade, L.S.C, Plot No. 5 Mayur Vihar Phase-I Ext., Delhi-
110091 & corporate office at Candor TechSpace, 2nd & 3rd Floor Building 2, Plot no. B2, Sector
62, Noida -201301, U.P, India (hereinafter referred to as “Pine Labs”, which expression shall,
unless repugnant to the context or meaning thereof, mean and include its successors and permitted
assigns) of the One Part;

AND

2. Moynal Hossain , a company

duly incorporated under the laws of India and having its registered office at
MELAGARH MOTOR STAND, SIPAHIJALA, TRIPURA 799115
(hereinafter referred to as “Merchant”, which expression shall, unless repugnant to the context
or meaning thereof, mean and include its successors and permitted assigns) of the Other Part.

Pine Labs and the Merchant shall together and collectively for the purposes of this Addendum be referred
to as the “Parties” and individually as a “Party”.

WHEREAS:
(A) The Parties have entered into the Merchant Master Agreement, wherein Pine Labs provides certain
Services (as defined in the Merchant Master Agreement) to the Merchant;
(B) Pine Labs has entered into a payment services agreement with Google India Digital Services Private
Limited (“Google”) (the “Google Agreement) in terms of which Pine Labs through Google will offer
payment services through integration of the Google Platform on the electronic data capture devices
provided by Pine Labs to the Merchant (“Google Pay Services”);
(C) “Google Platform” shall mean Google Pay (or such other name, as may be modified by Google from
time to time);
(D) The Merchant is desirous of availing the Google Pay Services, and Pine Labs has agreed to provide
the Google Pay Services to the Merchant, and the Parties are now desirous of entering into this
Addendum to record the terms and conditions to provide and to avail the Google Pay Services.
NOW THEREFORE, in consideration of the premises, the mutual covenants, terms and conditions and
understandings set forth herein, the Parties with the intent to be legally bound hereby covenant and agree
as follows:

1. GOOGLE PAY SERVICES

1.1 The Parties agree that on and from the Effective Date, Pine Labs shall provide the Google Pay
Services as an optional service on devices provided by Pine Labs to the Merchant.

1.2 Pine Labs shall undertake and perform the necessary integration at the backend to enable
Google Pay as a payment option for the Merchant.

2. MERCHANT COVENANTS

2.1 The Merchant covenants and agrees that that:

a) The Merchant shall, upon completion of the linking of the interface with the Google Pay,
comply at all times with the following policies: (i) the Google’s Privacy Policy and Terms

 Conditions; (ii) Google’s Brand Guidelines and Google Pay Brand Guidelines; and (iii)
Google Pay Policies including the terms set out in “Prohibited Restricted products and
services” and “Prohibited products and services”, as amended from time to time;

b) Pine Labs and Google shall be entitled to make all public announcement and press release in
relation to the Google Pay Services being provided under this Addendum including the
Merchant’s name, logo, related images and other brand features and trademarks, without any
prior consent of the Merchant;

c) Pine Labs shall be entitled to access the records and registers of the Merchant in relation to
the Services provided under this Addendum by providing a reasonable notice to the
Merchant; and

d) Pine Labs shall not be liable for any claims, disputes, penalties which may arise in connection
with any payments not received or for refunds or Chargebacks under the Google Pay
Services. All disputes in relation to the payments including refunds or Chargebacks shall be
between the Merchant and UPI acquiring bank.

e) Pine Labs shall be entitled to deploy any marketing material relating to Google Pay Services
at merchant outlets.

3. MISCELLANEOUS

3.1 All the other terms and conditions shall remain the same as agreed between the Parties in the
Merchant Master Agreement, unless the Parties agree otherwise in writing. The Parties agree
that this Addendum constitutes part of the Merchant Master Agreement between the Parties.
The rights and obligations of the Parties set out in this Addendum shall be performed in
consonance with the terms contained in the Merchant Master Agreement. This Addendum shall
be co-terminus with the Merchant Master Agreement.

IN WITNESS WHEREOF, the Parties hereto have set and subscribed their hands through their respective
duly authorized representatives as of the date first above written.
