PARTNERSHIP DEED

This DEED OF PARTNERSHIP is executed on the 20th day of Feburary 2016 by and between :

Shri Amit Das S/o Mr.Damodar Das aged about 37 years , R/o PK-9 Maurya Enclave Pitampura

(hereinafter referred to as the FIRST PARTY which expression shall unless it is repugnant to

The context , mean and include his legal heirs , successors , administrators and assigns or

Anyone claiming through or under him).

AND

Shri Ranjan Gupta S/o Mr.Naman Gupta aged about 40 years , R/o Club Road P-123 Punjabi

Bagh (hereinafter referred to as the SECOND PARTY which expression shall unless it is repugnant

To The context , mean and include his legal heirs , successors , administrators and assigns or

Anyone claiming through or under him).

WHEREAS both the parties have decided to enter into a partnership for carrying on the bussines

Of recruitment services .

WHEREAS the partners agree that this deed of partnership shall be deemed to have come into

Force on the day of 27th of Feburary 2016.

WHEREAS the partners have decided to have reduce the terms and conditions of their

Partnership into writing as per the terms and conditions appearing hereinafter:

NOW THE DEED OF PARTNERSHIP WITNESSETH AS FOLLOWS :

1.The parties hereby agree that the partnership firm shall (be deemed or have to) come
Into force on 27th day of Feburary 2016 .

2.The partnership shall carry on the business in the anme and the style of Das and Gupta’s
Firm .

3.The partnership firm shall carry on it’s business from it’s principal place of business at
Greater kailash or at such other places /place as the partners may from time to time decide

4.The partners have agreed that each of them shall contribute a sum of Rs.500000 rupees
Five lakhs to the capital of the firm as their capital contribution.
The firm shall pay simple interest 15% p.a. on the total capital contributions of the partners.

5.On amounts specifically brought in as loans to the firm by the partners ,simple interest
Of @18% p.a. shall be payable.

6.The partners will mutually decide ,from time to time, the work to be undertaken by each
Of them .Remuneration payable to the partners for the work done by them shall be decided
By the partners from time to time .

7.Proper books of account shall be maintained in the usual course of business and the same
Shall be closed once in a year to ascertain the net profit or loss of the firm for that year and
They shall be kept at the place of business and either partner should have access to all the
Books of accounts of firm at all reasonable times and shall be at liberty to take copies of
The same . The parties have agreed to share profits /losses in the following proportion:-
First Party:-50%
Second Party:-50%

8.The partnership shall be one at will .

9.The firm may rise funds from any banks ,financial institutions and other private parties for
The purpose of the business of the firm and all the documents shall be signed by both the
Parties.

10.The firm may open one or more bank accounts and such accounts shall be operated by
The partners (severally or jointly).

11.If during the continuance of the partnership ,any partner dies or become bankrupt the
Remaining partner have the option of purchasing his share on giving written notice within
Three months from his death or bankruptcy to his legal representative or trustee bankruptcy .
The purchase price shall be the amount of the share of deceased or outgoing partner as

Determined at the last general annual account plus interest at ___ p.a. thereon up to the date
Of purchase ,or if no such account had been taken ,the amount credited to him as his share in
The capital at the commencement of the partnership plus interest at the aforesaid rate.

12.Except to the extend mentioned hereinabove ,the provisons of the Indian Partnership Act ,
1932 shall be applicable to the firm and the partners.

13.No partner shall sell mortgage or transfer or assign his share or interest in the partnership
Property or business without the written consent of the other party .
