CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:

This Contract to Sell is made and entered into by and between, THERESA MERCADO-
HONDANERO, of legal age, married and a resident of Polanco, Zamboanga del Norte, hereinafter
called the VENDOR, and RAFFY TABEFRANCA, likewise of legal age, Filipino, married and a
resident of ______________ hereinafter referred to as the VENDEE, by these presents hereby

WITNESSETH

WHEREAS, the VENDOR is one of the compulsory heir of the late ARTEMIO MERCADO
and by virtue of partition plan, the vendor is adjudged as her share of Lot 20-I containing an area of ONE
THOUSAND TWO (1,239) SQ. METERS, covered by Transfer Certificate of Title No. T-35841 of a
parcel of land (Lot 20) of the consolidation subdivision plan, Pcs-09-003189 being a portion of Lots
2780, 2782, Dipolog Cad. 85, situated in the Barangay of Dicayas, City of Dipolog.

WHEREAS, the VENDEE has offered to buy a portion of TWO HUNDRED TWENTY (220)
SQ, METERS, more or less of the above described land of Lot 20-I containing an area of ONE
THOUSAND TWO (1,239) SQ. METERS, which portion shall be determined and segregated later on by
a surveyor.

WHEREAS, the VENDOR does hereby accept the VENDEE offer and bind herself to sell the
aforesaid portion, together with all the improvements thereon, in favor of the VENDEE, or his heirs and
assigns, under the following terms and conditions, to wit;

1. The selling price shall be ONE HUNDRED THOUSAND (154,000.00) PESOS, Philippine
currency;
2. Upon execution of this contract, the VENDEE shall make an advance payment of FIFTY
THOUSAND (50,000.00) PESOS;
3. The balance of P104,000.00 shall be paid when the title of the above-described parcel of land
shall have been duly issued in the name of the VENDOR, and only upon full payment shall the
Deed of Absolute Sale shall be executed;
4. That the remaining balance shall be payable within TWO (2) years;

5. All expenses relative to the sale and transfer, including but not limited to Attorney’s fee,
Capital Gain Tax, Documentary Stamp Tax, transfer fee/tax, registration fee, survey, etc., shall
be for the sole account of the VENDEE;

6. Unless this contract shall have been rescinded, revoked and rendered no further force and
effect, the VENDOR shall not sell or encumber the subject portion to any third person;

7. The VENDEE is hereby allowed to possess or continue to possess the subject portion;

8. Violation of any of the provisions of this contract shall give rise to a cause of action by one
party against the other;

That the above described parcel of land is a PARAPHERNAL PROPERTY of the VENDOR;
IN WITNESS WHEREOF, I have hereunto affixed our hands this____ day of
