LEASE AGREEMENT

The Lease Agreement (this Agreement) made and entered at New


Delhi on ____________ Day of ________________, 2009, in between,

_______________________S/O__________________________, residing at _
_____________________________________ hereinafter called the Lessor
(which expression shall wherever the context permits, mean and
include his heirs, successors, assigns, executors and administrators) of
the ONE PART.

AND

adidas India Marketing Pvt. Ltd., a company incorporated under


the Companies Act, 1956, and having its registered office at C-2, Ansal
Villa, Satbari, New Delhi–110 074 and corporate office at Plot No.93,
Sector- 32, Institutional Area, Gurgaon – 122 001 represented herein
by Andreas Gellner, Managing Director and Tushar Goculdas, Director
hereinafter called Lessee (which expression shall unless it be
repugnant to the subject or context thereof be deemed to include its
successors and permitted assigns) of the OTHER PART.

WHEREAS the Lessor is the exclusive and lawful owner of and
absolutely seized and possessed of or otherwise well and sufficiently
entitled to the property situated at _________________________________.
(hereinafter referred to as the said premises).

AND WHEREAS The Lessee has requested and the Lessor have agreed
to allow the Lessee‘s officer Mr. _____________________, employed as
_____________________ (the Occupant), to occupy and use the said
premises on lease for a period of ___________________ for the residential
purposes of the Occupant and his family members only, on the terms
and conditions as detailed hereunder.

NOW THEREFORE THIS AGREEMENT WITNESSETH AND IT IS HEREBY


AGREED BY AND BETWEEN THE PARTIES HERETO AS FOLLOWS:

1. The Lessor hereby at the request of the Lessee, allow the


Lessee and his family members and domestic servants to
use and occupy the said premises for a period of 11
months and the lease of the said premises shall commence
from ________________ on the terms and conditions
hereinafter mentioned. The term of the lease can be
renewed, with mutual consent between both the parties

2. The said premises shall be exclusively used only for the


residence of the Occupant and his family members and for
no other person / person’s or purpose whatsoever. In the
event of the transfer of the Occupant to any other location
outside NCR or termination of employment with the
company, the lease stands automatically terminated.

3. The Lessee shall pay to the Lessor rent of Rs. _______________/-


(Rupees ______________________ Only) per month subject
to deduction of TDS as per I.T rules, for the use of the said
premises. The rent shall be paid to the Lessor in advance
on or before _7th of every month.

4. The Lessee agrees to pay a sum of Rs. __________________/-


(Rupees ______________________ Only) to the Lessor being
interest free security deposit being refundable to the
Lessee at the earlier termination or expiry of the Lease
agreement.

5. The Occupant shall remove himself and his family


members and their belongings and effects entirely from
the said premises on the expiry or earlier termination of
this Agreement, leaving the premises in reasonable good
condition as it was at the time of the Agreement allowing
scope only for regular wear & tear.

6. The Occupant shall be at liberty to fix or install or bring all


furniture, fittings, including air conditioners, etc., into the
said premises required for such residence with
responsibility to remove the same on expiry or termination
of this Agreement without causing any damage to the said
premises, expecting regular wear & tear.

7. The Occupant shall not make any structural alterations of
any kind whatsoever and also not erect, build, in the said
premises and not cause any damage to the said premises
or to the fittings therein.

8. The Occupant shall not carry out any willful acts as would
be construed as breach of standard rules, regulations of
society, Bye - Laws or indulge in any activities which are
obnoxious, antisocial, illegal or prejudicial to the norms of
decency or etiquette or which cause a nuisance to the
other members of the society in the building.

9. The Lessee shall be entitled or permitted to use the said


premises for residential purpose for the Occupant only and
shall not use or permit the use of the said premises for any
unlawful purposes.

10. The Lessee shall not be entitled or permitted to assign, underlet


or sublet the said premises or any part thereof to anybody
whatsoever.

11. The Lessor or their appropriate agent or representative can


inspect the said premises by giving two days notice in
writing to the Lessee.

12. Either party shall have the right to terminate this


agreement without assigning any reason by giving ONE
MONTHS NOTICE.

13. The Lessor shall be liable for Society Maintenance,


Municipal and Property Tax in respect of the said premises
all throughout & before the tenure of the Agreement. The
Occupant alone shall pay charges for car parking and
charges for cable, Internet, electricity, Mahanagar Gas &
telephone (if installed) and maintain a file of bills be
handed over to the Lessor at the end of the term.

14. In the event of the Lessor being unable to pay the interest free
Security Deposit to the Lessee on expiry of this agreement
or on earlier termination thereof, the Lessee shall have the
right to occupy the said premises till such time the Lessor
refunds the Security Deposit to the Lessee. The Lessee
shall not be liable to pay the License fee for the period of
occupation of the said premises by reason of non – refund
of the Security Deposit by the Lessor to the Lessee. In
addition the Lessor shall also be liable to pay interest on
the security deposit for the period of such delay (i.e. period
between the date of the expiry of the License period or on
the prior termination of the agreement and the date of the
refund) which shall be calculated at the rate of 18% per
annum.

15. Any notice to be served to the Lessee hereunder shall be


deemed to have been properly and sufficiently served if
served by registered post / courier C at the address first

given above and upon the Lessor by registered post or
courier at their address first hereinabove mentioned.

16. Before handing over possession, maintenance charges bills


electricity bills & telephone bills shall be cleared upto date
by the Occupant and proof thereof furnished to the Lessor.

17. The jurisdiction of this Agreement shall be New Delhi


Courts Only.

IN WITNESS WHEREOF the Lessor and Lessee have set their


respective hands and seals on the day and year first above written.
