I/ We have to inform you that I/we desire to avail the Transnet facility provided by StockHolding.

In view of the above, I/we request you to issue Digital Certificate in the name of
___________________________________ and allow me/us the Transnet facility. All applicable
charges and software infrastructure as required by you will be paid and maintained on regular basis
and from time to time.

Power of Attorney executed by the joint holders in this regard is attached(**).

I/ We have read and understood the terms and conditions attached hereto regarding the usage of the
said facility. I/ We hereby agree to abide by the said terms & conditions and shall remain bound by
the same.

Terms and Conditions for Transnet Facility

1. Definitions :

“Client” shall mean the person who opened the demat account with SHCIL.

“CDSL” means Central Depository Services (India) Ltd., a depository registered with SEBI
under the Depository Act, 1996 of which SHCIL is a Depository Participant.

“Digital Signature” & “Digital Signature Certificate” to mean as defined under information
Technology Act, 2000.

“Execution Date” means the date on which the instruction will get executed.

“NSDL” means the National Securities Depository Limited, a depository registered with the
Securities and Exchange Board of India under the Depositories Act, 1996, of which SHCIL
is a depository participant.

“Transactions on Net ('TRANSNET')” means and refers to a facility provided by SHCIL


whereby the Clients who have opted for this facility can issue trade instructions to SHCIL or
access the status of their holdings and transactions through Request Transmitting Machine
(RTM) of internet.

“Working Day” shall mean any day, which SHCIL has declared as working day for the
provision of depository services to the Client.

2. The Client agrees and understands that the Transnet facility is optional and not mandatory.
The Client is herein seeking the Transnet facility on voluntary basis.

3. The Client agrees that the Client shall use his specified computer system / configuration to
access the Transnet system of SHCIL.

4. The Client agrees and undertakes to take adequate safety measures for accessing
TRANSNET system, including but not limited to taking all the necessary steps to ensure
confidentiality and secrecy of the Client's Password and shall not reveal the same to any
agent or official of SHCIL or to any other person. The Client acknowledges and undertakes
that failure to adhere to safety and security measures prescribed by SHCIL could lead to a
loss of confidentiality and secrecy of the Digital Certificate, thereby exposing the Client to
the risk of financial losses.

5. The Client grants express authority to SHCIL for carrying out the transactions performed by
the Client through Internet/electronic mode. SHCIL has no obligation to verify the
authenticity of any transaction received from the Client‘s PC or purported to have been sent
by him other than by means of verification of the digital signature.

6. The Client agrees and undertakes that the Client is responsible for the correctness of the
instructions / information provided by the Client to SHCIL through the facility. SHCIL
accepts no liability for the consequences arises out of instructions/ information provided by
the Client. If the Client suspects that there is an error on the information supplied to SHCIL
by the Client then the Client shall advise and inform the SHCIL as soon as possible. SHCIL
shall endeavour to correct the error wherever possible on a best efforts basis.
(a) SHCIL may, in its discretion, withdraw temporarily or terminate the facility, either
wholly or in part, at any time. SHCIL may, without prior notice, suspend temporarily the
facility at any time during which any maintenance work or repair is required to carried
out or in case of any emergency or for security reasons, which require the temporary
suspension of the facility.

(b) The Client agrees and accepts that SHCIL is authorised to provide any information or
details relating to the Client or his account to the internet service provider or any service
provider so far as is necessary to give effect to any instructions.

7. From time to time, the Client shall comply with the measures specified by SHCIL as may be
required to ensure the safety and security of the Client's access to and usage of TRANSNET
system.

8. The client shall establish necessary systems/process in place to confirm that the instructions
digitally signed by the client are received by the authorised person of SHCIL. SHCIL agrees
that electronic instructions received by SHCIL from the client must be authenticated using
signature verification utility (SVU).

9. The Client acknowledges that all instructions received by SHCIL shall be conclusive
evidence of such instructions having been issued by the Client and shall be attributed to and
binding on the Client. SHCIL shall not be held liable for acting on the instructions so
received.

10. If the Client has reason to believe that the confidentiality has been compromised, the Client
shall intimate SHCIL forthwith about such compromise or loss. SHCIL shall take best
efforts to disable the Client's access to TRANSNET system. However, if any instructions are
received prior to such disablement, SHCIL shall not be liable for losses, if any, arising out of
execution of such instructions.

11. In the event, the Client desiring to operate any joint account through TRANSNET system
the client shall execute a Power of Attorney favouring any one of the joint holders to issue
of instructions to SHCIL through its TRANSNET system. In the event the Client changes
the holder of the power of attorney, the Client shall deposit the new power of attorney with
SHCIL and ensure that digital signature certificate is issued to the new power of attorney
holder. .

12. The Client shall enter all its instructions in a timely manner to ensure that the same are
capable of being received by SHCIL as per the prevalent time-limits applicable for physical
instructions. SHCIL will not be responsible for any losses arising out of incomplete
processing of the instruction by the Client on the net. If the instructions are received by
TRANSNET system after the aforesaid time-limits, a message to this effect will be
displayed to the Client on the screen and the instructions may be executed by SHCIL on a
best effort basis and SHCIL shall not be liable for non-execution of the same. The Client
further acknowledges that the Client shall not have any right to any claim on SHCIL for
losses, if any, incurred due to non-execution of such instructions received late and executed
on a best-effort basis.

13. SHCIL will not be responsible for duplicate execution of trades as a result of the Client
carrying out the following:-
(i) Transmission of the same instruction more than once
(ii) Uploading the same file more than once
(iii)Submitting a physical instruction for an instruction already transmitted through
TRANSNET system or vice versa.

14. The Client will submit trade instruction / pledge instruction and any other instruction with
respect of his / her demat account in electronic mode (TRANSNET) and will operate his/her
demat account by using digital signature certificate issued by the certifying authority and
comply with the requirement in this regard by SHCIL from time to time.

15. SHCIL shall promptly inform the Client about the status of the instructions but in no case
later than 12.00 noon of the next Working Day of execution date of instructions.

16. The Client agrees that the transaction / file transmitted by him using his private key
password shall be non-repudiable and shall be binding on him. Once the instructions are
issued to SHCIL and the same are accepted and transmitted to NSDL/CDSL by SHCIL, the
same cannot be cancelled by the Client. Cancellation of instructions may be carried out by
SHCIL on best effort basis only in such cases where the instructions accepted by SHCIL
have not been transmitted to NSDL/CDSL.

17. The right to use TRANSNET system by a Client cannot be assigned to/ transferred by the
Client under any circumstances, otherwise than through a duly executed power of attorney.
It can be used to issue instructions to SHCIL and access the status of holdings and
transactions in terms hereof.

18. Non Resident Indian (NRI) Clients should ensure that necessary permission and approvals
have been obtained from Reserve Bank of India under Foreign Exchange Management Act,
1999 or under Exchange Control Regulations or any other rules or laws as may be framed
from time to time relating to investments in Indian corporate.

19. The Client agrees to indemnify, keep indemnified and hold SHCIL harmless from any loss,
damage, claim, suits, legal proceedings, investigations, expenses of every kind and any other
liability whatsoever, including reasonable attorney's fees and fees of such experts as may
become necessary for SHCIL to engage, caused to/suffered or incurred by SHCIL due to the
availing of the services by the Client in any and all circumstances including without
limitation, the following

a) Falsehood or misrepresentation of any nature by the Client (or any person acting on
behalf of the Client
b) Failure to use a trustworthy computer system for access to TRANSNET system.
c) Failure to take the precautions necessary to prevent the compromise, loss, disclosure,
modification, or unauthorised use of the private key used to execute the Client 's Digital
Certificate.

20. Notwithstanding anything, the liability of SHCIL shall be limited to direct loss or damage
and shall not extend to any consequential, indirect or remote loss or damages.

21. The Client recognises and acknowledges that SHCIL may, prescribe such other security
measures as it deems fit, in replacement of or supplementing the validation process
including without limitation the use of biometrics and such other methods as would validate
the identity of the Client for access to the TRANSNET system. The Client agrees that the
Client shall provide such information in order to enable SHCIL to generate such biometric
criteria or other criteria in accordance with the security measures prescribed by SHCIL.
22. SHCIL may withdraw the access of the Client to TRANSNET system at any time provided a
notice of at least five (5) days is given to the Client . SHCIL may suspend or terminate the
service without prior notice if the Client has breached any of the terms and conditions or the
Rights and Obligations of Beneficial Owner and Depository Participant as
prescribed by SEBI and Depositoriesor if SHCIL learns of the death, bankruptcy, lunacy
or loss of legal capacity of the Client

23. If performance of obligations herein is prevented or delayed for any causes due to Act of
God, natural disaster, fire, floods, explosions, earthquakes, war, insurrection, riots, hacking,
technological failure, loss or damage to Satellite, loss of satellite linkage or communication
link, loss of connectivity or computer breakdown either due to computer virus or any other
factor, any Act of Central Govt. / State Govt. or any Statutory / Regulatory Authority or any
cause beyond the affected party's reasonable control, the same shall not be considered as a
default of performance of obligations herein.

24. The terms and conditions are in addition to and do not undermine in any manner whatsoever
the terms and conditions forming a part of the Rights and Obligations of Beneficial
Owner and Depository Participant as prescribed by SEBI and Depositories".
