Subject: PROBATIONARY EMPLOYMENT TERMS and CONDITIONS

Dear Mr./Ms. __________________________:

We are pleased to confirm your appointment as a/an __________________________, under


__________________________, __________________________ with IBIDEN Philippines, Inc. (the
“Company”). This Agreement outlines the terms and conditions of your employment.

1. DATE OF COMMENCEMENT

Your employment shall commence on ________________________. You will be employed as a


probationary employee for a maximum period of One Hundred Eighty (180) days or until
__________________________.

2. EMPLOYMENT AND DUTIES

You shall perform the tasks in accordance with the job description attached hereto as Annex “A” and
made an integral part of this Agreement and all other tasks which are necessary for the accomplishment of
your responsibilities.

Specific standards of work shall be discussed by your immediate superior. You shall be evaluated by your
immediate superior to determine if you meet the standards to become a regular employee.

The standards for evaluation, which are made known and explained to you shall be the following:

You will be informed of other metrics and standards that will apply to you.

3. NO GUARANTEE OF REGULAR STATUS

This Agreement does not guarantee regular status prior to or upon the expiration of the probationary
period.

Your regularization shall depend on your performance during the probationary period and the Company’s
evaluation. You shall be bound to fully comply with the Company’s decision on this matter.

4. REGULAR WORK HOURS AND DAYS

From Monday to Friday and on scheduled Saturdays in accordance with the company calendar, you shall
work a minimum of eight (8) hours per day. The Company may require you to vary the pattern of your
working hours if required on a temporary or permanent basis should the needs of the post require this
following the shift schedules below:

Normal shift: 0800H – 1700H


A shift 0600H – 1400H
B shift 1400H – 2200H
C shift 2200H – 0600H
D shift 1800H – 0200H
AN shift 0600H – 1500H

You agree to adjust your work hours to start at an earlier or later time of the day whenever so required by
the Company. You also agree to render regular work as well as overtime work, even on rest days or
holidays, whenever so demanded by the Company in accordance with law. In such case, you shall be
entitled to corresponding overtime or premium pay for work rendered beyond eight (8) hours and during
holidays.

5. COMPENSATION

You shall be paid a Monthly Basic Salary of __________________________ (Php _________) which shall
be credited to your ATM savings account twice a month every 10th and 25th subject to the government-
mandated withholding taxes, Social Security System, Philhealth and Pag-Ibig Fund deductions and other
necessary deductions allowed by law.

You shall receive a pay slip with a detailed breakdown of your gross pay including basic salary,
allowances, salary adjustment, if any, and net salary on the same frequency and schedule as the salary is
credited.

You shall receive a 13th month pay in the amount not less than 1/12 of your total basic salary earned within
the calendar year in accordance with law.

6. BENEFITS

Being on a probationary status, you shall not be entitled to the benefits which are given to employees of
regular or permanent status. However, you are entitled to the benefits listed below:

a. All applicable Government-Mandated Benefits; and

b. Company Benefits:
o Meal Allowance : Php 52.00 / working day
o OT Meal Allowance : Php 52.00 / minimum of 4 hours OT / day
o Transportation Allowance : Php / month
o Rice Subsidy : Php / month
o HMO Coverage (Employee) : Php 155,000.00 / illness/injury

Upon attaining regular employment status, and subject to the Company’s policies and rules on availment,
you shall be entitled to the following benefits:

a. All applicable Government-Mandated Benefits

b. Company Benefits:
o Meal Allowance : Php 52.00 / working day
o OT Meal Allowance : Php 52.00 / minimum of 4 hours OT / day
o Transportation Allowance : Php / month
o Rice Subsidy : Php / month

c. Vacation Leave - Fifteen (15) days’ paid vacation leave per year, which is non-cumulative but
convertible to cash up to maximum of ten (10) days. Vacation leave credits shall be pro-rated for the
then current year. In case of resignation, all remaining vacation leave credits shall be computed based
on current salary rate.

d. Sick Leave – Fifteen (15) days’ paid sick leave, which is non-cumulative and but convertible to cash up
to maximum of ten (10) days. For absences due to illness of two (2) days or more, a medical certificate
shall be submitted for proper credit of sick leave. Sick leave credits shall be pro-rated for the then
current year. In case of resignation, all remaining sick leave credits shall be computed based on
current salary rate.

e. HMO Coverage of 200,000.00/illness/year for the employee and 80,000.00/illness/year for two (2)
qualified dependents; and

f. Life Insurance Coverage – 30 months x monthly basic salary

7. SIGNING BONUS

You shall be paid a Signing Bonus in the amount of TWO HUNDRED THOUSAND PESOS (P200,000.00).

In relation to this, it is understood that in the event that your employment is terminated by the Company for
any authorized and just causes authorized by law prior to the two 2-year anniversary from your Date of
Commencement, or in the even that you resign prior to the twelve (12)-month anniversary of your Date of
Commencement, you shall be obligated to repay the full amount of the Signing Bonus to the Company no
later than thirty (30) days following the Date of Termination/Resignation. In the event that you resign on or
following the twelve (12)-month anniversary of your Date of Commencement, but prior to the two (2)-year
anniversary of your Date of Commencement, you shall be obligated to repay the Company a proportional

sum of the Signing Bonus, pro-rated in accordance with the period of time for which you were employed in
the Company, as a percentage of two (2) fully years. You shall be required to repay such sum to the
Company by no later than thirty (30) days following the Date of Termination/Resignation.

8. NON-COMPETE CLAUSE

You agree not to enter into any agreements or contracts to perform services with any third party which may
be in competition, directly and/or indirectly, with the Company. Said prohibition shall be effective during
your employment with the Company and for additional five (5) years from the time your relationship with the
Company is severed.

Violation of any of the above prohibition entitles the Company to take appropriate actions to protect its
interests and hold you liable for damages in the amount of at least ONE HUNDRED THOUSAND PESOS
(P100,000.00).

9. DISCLOSURE/OWNERSHIP OF INVENTION/CREATION

You shall immediately inform the Company of any invention or creation that you make during the course of
your employment. You shall assign to the Company any title and interest in any works, whether these
rights are patentable or registrable, created by yourself or jointly with other employees during the period of
employment.

10. COMPLIANCE WITH THE COMPANY’S RULES AND REGULATIONS

You shall observe and comply with the rules and regulations of the Company including those that may
hereafter be implemented and revised from time to time.

You shall receive a copy of the Employee Manual which describes in more detail the Company’s
fundamental policies, rules and regulations which the Company expects you to comply with. You will be
asked to sign an Acknowledgement Form as an indication that you have read, understood and accept said
policies, rules and regulations.

11. CONFIDENTIALITY CLAUSE

You agree not to disclose or divulge unless expressly authorized by the Company, even after the
separation of your employment with the Company, in whole or in part, to any third party, or to any
employee except on a "need-to-know basis", any confidential and/or proprietary information belonging to
and/or in the possession of the Company that you may have access to or knowledge of during the course
of your employment.

Violation of this clause shall make you liable for damages.

12. CONFLICT OF INTEREST

You agree not to engage in any activity which in the judgment of the Company may be prejudicial and/or
detrimental to the Company’s interest/s or which may interfere with your undivided job performance,
whether done within or outside the company’s premises.

Upon termination of your employment, you shall return all records, manuals and other documents in your
possession during the course of your employment. You shall also turn-over all equipment issued to you for
use in the performance of your duties and functions.

The Company reserves the right to terminate your employment even prior to the expiration of the
probationary period for just and authorized causes provided under the law. The Company may also
terminate you for failure to pass the evaluation and meet the standards and expectations made known and
explained to you at the start of your employment.

Should you wish to resign from the Company during your employment, you are required to give the
Company at least one (1) month prior written notice.

If you agree to, or accept the foregoing terms and conditions, please sign and return a copy of this letter to the
undersigned as an indication of your conformity herein. Once signed, the terms and conditions of this Agreement
shall govern the relationship between you and the Company, and shall define the rights and obligations of both
parties.

You also acknowledge and understand that the contents of this letter should be treated with utmost
confidentiality and should not be shared with anyone.
