COMUNICADO AO MERCADO

São Paulo, 19 de novembro de 2020 - Anima Holding S.A. (“Ânima Educação”), companhia
aberta de capital autorizado, vem ao mercado informar que assinou, nesta data, juntamente
com sua subsidiária integral Brasil Educação S.A., um CONTRATO DE COMPRA E VENDA DE
PARTICIPAÇÃO SOCIETÁRIA E OUTRAS AVENÇAS e demais instrumentos conexos (“Contratos”),
por meio dos quais celebrou negócio jurídico (“Transação”), que resultará na aquisição do
controle da ROOM SISTEMAS INTERATIVOS LTDA (“MEDROOM”), empresa de base tecnológica
(“startup”) líder no Brasil no desenvolvimento de soluções em tecnologias imersivas (Realidade
Virtual – RV e Realidade Aumentada - RA) para educação médica.

A MEDROOM é uma “startup” constituída com o objetivo de construir objetos educacionais e

ambientes de simulação em realidade virtual (“RV”) e realidade aumentada (“RA”) para a
educação médica. Nesta jornada de 5 anos avançou de forma estruturada alcançando parcerias
significativas para a estruturação da empresa, desenvolvimento de seu corpo de conhecimento
e a implementação de suas soluções em instituições de destaque no ensino de medicina.

A MEDROOM se tornará um dos componentes da proposta de trabalho da INSPIRALI como

plataforma completa de educação médica, em seus quatro eixos principais de atuação: a
divulgação do valor da educação médica conectada aos melhores recursos de ensino e
aprendizagem do globo; o ensino médico de graduação inserido em suas comunidades de
atuação e aos sistemas de saúde; a preparação dos graduando e recém-graduados aos seus
primeiros ciclos profissionais; e o acesso dos profissionais médicos aos avanços metodológicos,
tecnológicos e de negócio da medicina, fornecendo a base tecnológica e o conhecimento para a
criação de ambientes virtuais de simulação realística de alta interatividade.

Esta aquisição está alinhada à força acadêmica da INSPIRALI, vertical da Ânima Educação
responsável pela integração, gestão e desenvolvimento de suas escolas médicas e traz para o
seu portfólio de soluções educacionais a capacidade de construção de ambientes de simulação
realística em VR e AR. A aplicação dessas soluções tecnológicas de imersão, que continuará
atendendo os atuais clientes, além das IES do Ecossitema Ânima, é pré-requisito para a
superação das dificuldades inerentes à aprendizagem ao longo da vida (“lifelong learning”),
relacionadas às características de individualização deste processo específico de aprendizagem.
Adicionalmente, a chegada da MEDROOM coroa o movimento de aproximação da Ânima
Educação ao ecossistema de startups com a criação do seu primeiro hub de inovação, o
LEARNING VILLAGE, que tem como intuito fortalecer e fomentar a inovação e educação no País,
por meio da aplicação de tecnologias exponenciais, desenvolvimento de pessoas e colaboração
no ecossistema.

O novo hub oferecerá, para as startups, programas de desenvolvimento de negócios que

incluem conexão com grandes empresas, mentoria, espaço de trabalho, programas da
SingularityU Brazil, acesso à rede global da Singularity University e a programas específicos
realizados internamente com startups e grandes corporações.

O LEARNING VILLAGE já conta com vários parceiros como Founding Partners: BP – A

Beneficência Portuguesa de São Paulo, Hospital Sírio-Libanês, Deloitte, Vibra (empresa digital do
Grupo Bandeirantes) e Ambev e também partners como Athie Wohnrath, CI&T, Egon Zehnder e
Grupo Kallas. O hub abrigará também HRtechs e EDtechs, além de escolas de mindfulness e de
programação.

A aquisição da MEDROOM foi realizada por uma das empresas controladas pela Ânima
Educação, não havendo incidência dos procedimentos descritos pelo art. 256 da Lei 6.404/76. A
Ânima Educação manterá seus acionistas e o mercado em geral devidamente informados, nos
termos da legislação geral aplicável.

NOTICE TO THE MARKET

São Paulo, November 19, 2020 - Anima Holding SA (“Ânima Educação”), a publicly-held
company with authorized capital, informs the Market that, on this date, it has signed, with its
wholly-owned subsidiary Brasil Educação S.A., a PURCHASE AND SALE AGREEMENT
PARTICIPATION AND OTHER AGREEMENTS and other related instruments (“Contracts”), through
which it entered into a legal transaction (“Transaction”), which will result in the acquisition of
control of ROOM SISTEMAS INTERATIVOS LTDA. (“MEDROOM”), a startup, leader in Brazil in the
development of solutions in immersive technologies (Virtual Reality - VR and Augmented Reality
- AR) for medical education.

MEDROOM is a startup with the goal of building educational objects and simulation
environments in virtual reality (“VR”) and augmented reality (“AR”) for medical education. In
this 5-year journey, it has progressed in a structured way, reaching significant partnerships for
structuring the company, developing its body of knowledge and implementing its solutions in
leading institutions in medical education.

MEDROOM will become one of the components of INSPIRALI's work proposal as a complete
medical education platform, in its four main areas of action: the dissemination of the value of
medical education connected to the best teaching and learning resources in the world; the
teaching of medicine inserted in their communities of activity and health systems; the
preparation of undergraduates and recent graduates to their first professional cycles; and the
access of medical professionals to methodological, technological and business advances in
medicine, providing the technological base and the knowledge for the creation of virtual
environments of realistic simulation with high interactivity.

This acquisition is in line with the academic strength of INSPIRALI, Ânima Educação vertical
responsible for the integration, management and development of its medical schools, bringing
to its portfolio of educational solutions the ability to build realistic simulation environments in
VR and AR. The application of these immersion technological solutions, which will continue to
serve current customers, in addition to the HEIS of Ânima´s Ecossytem, is a prerequisite for
overcoming the difficulties inherent to lifelong learning, related to the individualization
characteristics of this specific learning process.
Additionally, the arrival of MEDROOM crowns the movement to bring Ânima Educação closer to
the startup ecosystem with the creation of its first innovation hub, the LEARNING VILLAGE,
which aims to strengthen and foster innovation and education in the country, through the
application of exponential technologies, people development and ecosystem collaboration.

The new hub will offer startups business development programs that include connection to
large companies, mentoring, workspace, SingularityU Brazil programs, access to Singularity
University's global network and specific programs carried out internally with startups and large
corporations.

The LEARNING VILLAGE already has several partners such as Founding Partners: BP - The
Beneficência Portuguesa Hospital of São Paulo, Hospital Sírio-Libanês, Deloitte, Vibra (digital
company of the Bandeirantes Group) and Ambev and also partners such as Athie Wohnrath,
CI&T, Egon Zehnder and Kallas Group. The hub will also house HRtechs and EDtechs, as well as

The acquisition of MEDROOM was carried out by one of the companies controlled by Ânima
Educação, with no impact on the procedures described in art. 256 of Law 6,404/76. Ânima
Educação will keep its shareholders and the market in general duly informed, under the terms
of the applicable general legislation.
