Planejamento Estratégico & Implantação do VALID Labs

Rio de Janeiro, 23 de março de 2021 - A multinacional brasileira Valid Soluções S.A. (“Companhia”) (B³:
VLID3 ON), empresa especializada em plataformas para identificação segura, em cumprimento ao
disposto na Lei nº 6.404, de 15 de dezembro de 1976, conforme alterada (“Lei das S.A.”), na
regulamentação da Comissão de Valores Mobiliários (“CVM”), vem informar ao mercado o que segue.

No contexto das mudanças recentes realizadas em seu Conselho de Administração, na liderança

executiva e na revisão geral dos seus negócios, a Companhia comunica que concluiu seu Planejamento
Estratégico realizado em conjunto com a consultoria internacional Bain&Co (“Plano Estratégico”). Esse
trabalho teve duração de 4 meses e seu produto final será objeto de um Capital Markets Day – CMD a
ser realizado no 2º trimestre de 2021 (possivelmente já no mês de abril).

Para reforçar ainda mais a capacidade de execução da Companhia no que diz respeito ao referido Plano
Estratégico, a Companhia informa que:

- Firmou contrato exclusivo e de longo prazo com os empreendedores Rafael Sbampato e Rafael
Arb através da Companhia TKStudio. O principal objetivo desta contratação é acelerar a expansão
das iniciativas digitais da VALID em especial por meio da: (i) implantação do VALID Labs que
trabalhará com iniciativas ágeis de desenvolvimento, (ii) orquestração de todos os times de
desenvolvimento digital da VALID, (iii) utilização de inteligência artificial para criação de valor
através de dados, (iv) Identificação de novas parcerias com empresas do setor para a criação de
novas linhas de receita e (v) prospecção de potenciais investimentos e/ou aquisições em conjunto
com a área de finanças corporativas da companhia.

- Promoveu reorganização interna e trouxe sua área de tecnologia para reporte direto ao seu CEO
por meio da figura do CTO da VALID Sr. Marcio Nunes. Marcio possui MBA em Conhecimento,
Tecnologia e Inovação pela USP; com pós-graduação e graduação em Análise de Sistemas com
ênfase em modelagem de dados. Possui experiência profissional em empresas públicas e privadas
de serviços atuando em TI, desenvolvimento de software e segurança digital. Especialista em
engenharia de software, certificação digital, serviços de identificação, blockchain, biometria e
modelos de negócios digitais. Márcio é presidente do Conselho da Associação Nacional da
Certificação Digital e na Valid possui 274 recursos dedicados full-time ao desenvolvimento de
negócios tecnológicos.

Strategic Plan & Implementation of VALID Labs
Rio de Janeiro, March 23, 2021 - Brazilian multinational Valid Soluções S.A. (”Company”) (B³: VLID3
ON), specializing in secure identification platforms, pursuant to Law 6,404, of December 15, 1976, as
amended (“Brazilian Corporate Law”), and regulations issued by the Brazilian Securities and Exchange
Commission (“CVM”), hereby informs the market as follows:

Within the context of the recent changes in its Board of Directors, the executive leadership and the
general review of its business, the Company announces that it has concluded its Strategic Plan developed
together with the international consulting firm Bain&Co (“Strategic Plan”). This work lasted for four
months, and its final product will be the subject of a Capital Markets Day – CMD to be held in second
quarter of 2021, probably in April.

In order to further reinforce the Company’s execution capacity regarding said Strategic Plan, the
Company announces that:

- It has entered into an exclusive and long-term agreement with the entrepreneurs Rafael
Sbampato and Rafael Arb through the Company TKStudio. The main purpose of this agreement is
to accelerate the expansion of VALID’s digital initiatives, especially through (i) the implementation
of VALID Labs, which will work with agile development initiatives, (ii) orchestration of all VALID’s
digital development teams, (iii) the use of artificial intelligence to create value through data, (iv)
identification of new partnerships with companies of the sector to create new revenue lines and (v)
prospecting potential investments and/or acquisitions together with the Company’s financial area.

- It has carried out a reorganization and the technology area will now report directly to the CEO
through Valid’s CTO, Mr. Márcio Nunes. Márcio has an MBA in Knowledge, Technology and
Innovation from USP and bachelor’s and graduate degrees in System Analysis with emphasis on
data modeling. He has experience in public and private service companies, working in IT, software
development and digital security. He specializes in software engineering, digital certification,
identification services, blockchain, biometrics and digital business models. Márcio is the Chairman
of the Board of Directors of the National Association of Digital Certification, and, at Valid, he has
274 resources dedicated to technological development.
