Dear Ramanath Reddy, 
We  are  pleased  to  advise  you  that  you  have  been  identified  as  a  professional  consultant       
(herein  after  referred  to  as  consultant)  to  provide  professional  services  in  “  Informatica  ”  
Skills to our Company and or at our clients place as determined by us from time to time. 
 
 
1. Term: The term of this Agreement shall continue in full force and effect for [period 
of 6 months] from April 30th  2010 until October  29th  2010. The Project may be 
extended,  subject  to  requirement  of  the  client.  The  Company  may  require  you  to 
provide services to various location/s, clients, department, establishment, or branch, 
or any subsidiary, associate, or affiliate of the Company, and in such capacity as the 
Company may from time to time determine.    
 
2. Compensation: For work performed under this Agreement, Consultant will be paid 
an  amount  of  Rs.25,000/‐[Rupees  Twenty  Five  Thousand  Only]  per  month.  Any 
taxes  applicable,  as  per  the  Law  will  be  deducted  at  source.  You  will  be  receiving, 
professional fees, for the previous month on the basis of approved timesheet. 
 
3. Reporting:  You  will  be  reporting  to  the  Managing  Director,  Mr.  A.V. 
Raghuraman at ObjectWin Technology India Pvt. Ltd. 
 
4) Representation: 
a. Consultant agrees to perform the task with the end result being the Works, 
the  express  intent  of  which  is  to  vest  Company  with  all  rights,  title,  and 
interest therein; 
b. Consultant  agrees  that  all  Works  shall  be  Consultant’s  sole  effort  in 
conjunction with Company, unless third party contributions are addressed by 
appropriate  written  agreements,  approved  by  Company  objectively  for  the 
purpose of achieving the intent of this Agreement;  
c. Consultant  agrees  and  confirms  that  the  Works  are  done  as  “Work(s)‐for‐
Hire” and further that all right, title, and interest in and to the Works will be 
the  sole  property  of  Company,  including  all  copyrights,  trademarks  (and 
goodwill),  slogans,  other  rights,  and  registrations  and  extensions/renewals 
there for in any part of the World; 
d. Consultant  agrees  to  work  required  number  of  hours/shift  as  scheduled  by 
your  reporting  manager  and  to  at  all  times  abide  by  company  policies  and 
procedures.

 e. In the event of availing any transport  facility @ client’s place, the cost of the 
same would be recovered from monthly compensation. 
 
5) Indemnity:  Consultant  shall  indemnify  and  hold  Company  harmless  against  all  third 
party claims relating to the Works, including but not limited to claims of infringement, 
invasion of privacy, right of publicity, defamation, and libel; 
 
6) Exclusivity: Consultant gives Company the right to assign this Agreement and any or 
all  of  the  rights  granted  hereunder  to  any  other  person,  firm,  corporation  or  other 
entity; 
 
7) Confidential and Proprietary Information:  
a. The Consultant agrees that the Consultant shall not disclose any of the terms 
or  provisions  of  this  Agreement  to  third  parties  without  the  prior  written 
consent of Company.  
b. Consultant  agrees  that all  confidential  and  proprietary  information,  learned 
during the Consultant’s assignment, whether or not in writing, of Company, 
Company’s Vendors or Company’s clients is secret and shall not be disclosed.  
Confidential and proprietary information shall mean but is not limited to, any 
information  relating  to  and  including  trade  programs,  client  lists,  client 
contacts  and  requirements,  referral  lists,  consultant  lists,  Consultant  lists, 
vendors,  suppliers,  business  information,  strategic  plans,  business  dealings, 
ideas,  processes,  designs,  discoveries,  inventions,  improvements,  concepts, 
methods, common procedures, techniques, written material, know how not 
generally  known  in  the  trader  industry,  records,  protocols,  programs  and 
other similar information that is part of Company. Consultant agrees that all 
confidential  and  proprietary  information  is  the  property  of  Company  or 
Company’s clients, end‐clients, end‐users or vendors. Consultant agrees that 
the  Consultant’s  obligation  to  treat  all  confidential  and  proprietary 
information  as  secret  shall  survive  the  termination  of  the  Consultant’s 
assignment.  
c.  In the event of the Consultant’s termination from Company Consultant shall 
return within twenty‐four (24) hours of the Consultant’s termination any and 
all  confidential  and  proprietary  information  in  the  Consultant’s  possession, 
custody or control. 
Remedies.  In the event of a breach of the above stated Consultant agrees that 
Company  will  be  irreparably  harmed  entitling  Company  to  injunctive  relief,  in 
addition  to  any  monetary  damages and  Consultant  consents  to  the entry  of  an 
injunction prohibiting a continued breach.

 8)  Non Solicitation :  The consultant hereby agrees that he/she shall not approach the 
client for employment, either Permanent or Contract, within a period of one year of 
joining OTIPL, unless and otherwise approved by OTIPL in writing in advance. 
 
9) Termination: Company reserves the right to terminate the agreement immediately in 
the event of breach of any of the terms of this agreement by consultant. 
 
 
10) Miscellaneous:  
 
a. Jurisdiction & Dispute resolution: Any claim or controversy arising out of or 
relating to this Agreement, or the making or performing or interpreting of it, 
shall be settled by Arbitration and the proceedings shall be held according to 
the  Indian  Arbitration  and  Conciliation  Act,  1996  and  the  venue  shall  be  at 
Bangalore, Karnataka, India  
b. This Agreement may be altered or amended only by an instrument in writing 
executed by Company and Consultant. 
c. If any information furnished by Consultant to the Company proves to be false 
or  if  you  are  found  to  have  willfully  suppressed  any  material  information, 
your services may be terminated at the Company’s sole option
