FATO RELEVANTE

Em cumprimento à Instrução CVM nº 358/2002, de 03 de janeiro de 2002, conforme

alterada, o AgroGalaxy Participações S.A. (“Companhia” ou “AgroGalaxy”) vem
comunicar aos acionistas e ao mercado em geral que assinou, nessa data, um
Contrato de Compra e Venda de Ações (“Contrato”), para a aquisição de participação
societária representativa de 80% do capital social (“Participação Societária”) da FZ
Brasil Participações Societárias Ltda. ou Ferrari Zagatto Comércio de Insumos Ltda.
(“FZ” ou “Ferrari Zagatto”) (“Operação”), que opera no varejo de insumos agrícolas no
estado do Paraná.
Sujeito aos termos, condições e eventuais ajustes definidos no Contrato, e nos demais
instrumentos vinculados à Operação, no ato de fechamento, dentre outras medidas:
(i) deverá ter sido realizada a transformação da FZ em sociedade por ações de
capital fechado;
(ii) a Companhia realizará o pagamento aos vendedores do valor total de
R$112.887.000, podendo tal montante sofrer ajustes pré ou pós fechamento
nos termos do Contrato, para a aquisição da Participação Societária; e
(iii) a Companhia firmará acordo de acionistas da FZ com os titulares da
participação societária remanescente na FZ, correspondente a 20% de seu
capital social (“Participação Remanescente” e “Acordo de Acionistas”).
A conclusão e o fechamento da Operação estão sujeitos à verificação de
determinadas condições precedentes definidas no Contrato, incluindo a obtenção de
todas as aprovações regulatórias necessárias para a consolidação do controle
societário da FZ, incluindo mas não se limitando, a aprovação do Conselho
Administrativo de Defesa Econômica (CADE).
A Operação e a assinatura do Contrato foram aprovadas em reunião do Conselho de
Administração da Companhia realizada em 10 de junho de 2021.
A conclusão da Operação, quando do fechamento, representará mais um importante
passo da Companhia em sua estratégia de crescimento inorgânico e consolidação,
através da aquisição de mais uma empresa ao grupo AgroGalaxy para fortalecer
ainda mais o atendimento aos seus clientes e a posição de consolidadora do grupo,
reforçando seu objetivo de ser uma das maiores plataformas de varejo de insumos
agrícolas e serviços voltados para o agronegócio brasileiro.
Sobre a Ferrari Zagatto:

Fundada em 1988, atua no varejo de insumos agrícolas no estado do Paraná, por

meio de 14 lojas localizadas nas cidades de Astorga, Atalaia, Boa Esperança,
Engenheiro Beltrão, Itambé, Ivaiporã, Ivatuba, Japurá, Jussara, Mamborê, Marialva,
Maringá, São Jorge do Ivaí e São Pedro do Ivaí, além de 9 silos.

Em 2020, a receita auditada da FZ foi de R$ 579 milhões, com a venda de insumos

representando 45% deste total e com a venda de grãos representando 55% do total
da receita, conforme informações disponíveis em suas demonstrações financeiras
auditadas do encerramento do exercício em 31 de dezembro de 2020. Atualmente, a
FZ possui carteira de aproximadamente 2.700 clientes e 240 colaboradores, dos quais
31 CTVs.

A Companhia acredita que existem várias sinergias potenciais da Operação, dentre

elas o seu modelo de gestão e governança, de relacionamento com clientes e cultura
digital, combinada à expertise do time da FZ no segmento de especialidades.

RELEVANT FACT

In compliance with CVM Instruction No. 358/2002 of January 3, 2002, as amended,

AgroGalaxy Participações S.A. (the “Company” or “AgroGalaxy”) hereby informs
shareholders and the market in general that on this date we have signed a Share
Purchase and Sale Agreement (the “Agreement”), for the acquisition of equity interest
representing 80% of the stock capital (“Equity Interest”) of FZ Brasil Participações
Societárias Ltda. (“FZ” or “Ferrari Zagatto”“) or Comércio de Insumos Ltda. (“FZ” or
“Ferrari Zagatto”) (the “Transaction”), which operates in the retail of agricultural inputs
in the state of Paraná.
Subject to the terms, conditions and any adjustments defined in the Agreement, and
in other instruments related to the Transaction, at the closing act, among other
measures:
(iv) the transformation of FZ into a privately held joint-stock company must have
taken place;
(v) the Company will pay the sellers a total of R$112,887,000, this amount being
subject to pre or post-closing adjustments pursuant to the Agreement, for the
acquisition of said Equity Interest; and
(vi) the Company will execute the FZ Shareholders Agreement with the holders of
the remaining equity interest in FZ, corresponding to 20% of its capital stock
(the “Remaining Interest” and “Shareholders Agreement”).
The completion and closing of the Transaction are subject to the achievement of
certain precedent conditions defined in the Agreement, including obtaining all
regulatory approvals necessary for the consolidation of FZ’s corporate control,
including but not limited to approval by the Administrative Council for Defense
Economic (CADE).
The Transaction and the signing of the Agreement were approved at a meeting of the
Company’s Board of Directors held on June 10, 2021.
The completion of the Transaction, at the closing, will represent another important step
for the Company in our strategy of inorganic growth and consolidation, through the
acquisition of yet another company to the AgroGalaxy group to further strengthen
customer service and our position as a consolidator of the group, while reinforcing our
objective of being one of the largest retail platforms for agricultural inputs and services
for Brazilian agribusiness.
About Ferrari Zagatto:
Founded in 1988, we operate in the retail of agricultural inputs in the state of Paraná,
