Proposta de incorporação da DOMINO’S PIZZA® em 09/07, para entrada no mercado de pizza, o segundo
maior em QSR no Brasil.
Em relação a Popeyes, temos acompanhado um amadurecimento importante da marca que, mesmo com sua exposição
exclusiva à shoppings centers, já conseguiu chegar em níveis de vendas muito similares ao patamar de 2019. Como
parte do plano de nacionalização, expandimos nossas unidades no Rio de Janeiro e os níveis de vendas para um novo
mercado são animadores.
A combinação dessas iniciativas contribuiu para que a Cia. pudesse usar a tecnologia para ser mais eficiente em suas
principais linhas de custos. A recuperação da margem bruta, ainda em um cenário desafiador de inflação em
commodities, foi possível graças ao avanço do programa de CRM, que reduz os descontos massivos no app e ao
contínuo trabalho de revenue management conduzido pelo nosso time. Nas demais linhas de custos, ainda impactados
pela desalavancagem operacional, conseguimos fazer movimentos, alinhados com a nossa estratégia de digitalização,
que permitiram que a Cia. pudesse fechar o trimestre em território positivo de caixa gerado em suas operações.
Com o intuito de equilibrarmos um contexto operacional, ainda em recuperação, e as oportunidades de crescimento que
enxergamos para as nossas marcas, concluímos também a abertura de 10 restaurantes no trimestre com foco no formato
de Free Standings para Burger King e Food Courts para Popeyes.
Por fim, como evento subsequente ao trimestre, anunciamos em Julho a nossa associação com a Domino´s para que
passemos a ser os desenvolvedores da marca no país. Essa combinação, coloca a Cia. como a principal operadora de
restaurantes do Brasil, com presença muito forte nos 3 principais segmentos dentro da indústria de QSR. Entendemos
que esse movimento tem um potencial de geração de valor expressivo para a Cia. e que certamente as sinergias serão
significativas. A transação ainda está sujeita à aprovação do CADE e dos acionistas em Assembleia.
No Brasil, dentro do mercado de Quick Service Restaurants (“QSR”), a categoria de pizzas é a segunda maior no país,
ficando apenas atrás de hambúrguer. Representou em 2019 uma fatia de R$ 4 bilhões e cresceu, entre 2010 e 2019, a
CAGR de 10,7%, segundo a Euromonitor1. Este mercado é altamente fragmentado no país, o que representa uma
oportunidade significativa de crescimento e consolidação para a Companhia, através de uma marca líder do segmento
no Brasil e no mundo. A incorporação está sujeita à aprovação do CADE e dos acionistas da Companhia em Assembleia
Geral Extraordinária que ocorrerá em outubro deste ano.
Ao longo do 2T21, a Companhia realizou a abertura líquida de 8 lojas, sendo 10 aberturas (5 BK’s próprios, 1
BK franqueado e 4 Popeyes) e fechamento de 2 franquias.
Foram abertas 6 lojas da marca Burger King (5 lojas próprias e 1 franquia), sendo todas no formato Free
Standing. Além disso, 2 fechamentos de franquias e 1 repasse de restaurante próprio para franqueado, da
marca Burger King, ocorreram no trimestre. Assim, o sistema BURGER KING® finalizou o trimestre com 870
restaurantes em operação no país.

As vendas digitais, representadas pelo delivery, totem e app VENDAS DE CANAIS DIGITAIS (R$ MM)
(mobile), apresentaram recorde no trimestre totalizando R$187,0
milhões, alta de 75% se comparadas ao 2T20, o que representou
75%
33,3% da receita da Companhia versus 36,9% no 2T20. Se 187
comparado ao 1T21, as vendas digitais apresentaram alta de
15,5%, com crescimento em todos os canais, destacando-se as 107
vendas dos tótens de autoatendimento, presentes em 455 lojas no
2T21 vs 269 lojas no 2T20.
O delivery apresentou, em vendas totais, alta de 15% versus o 2T20 2T21
2T20 e de +1% versus o 1T21, mostrando sua resiliência mesmo
em meio à retomada das vendas on premise. Conforme
mencionamos anteriormente, vale ressaltar que no 2T20 as
vendas de balcão foram significativamente impactadas com os
fechamentos e restrições de fluxo, contribuindo para o aumento
de participação do canal delivery naquele período. Nesse
trimestre, alinhados com o desenvolvimento da nossa
funcionalidade de delivery próprio, trouxemos um novo parceiro
de logística especializado em comida, através do qual já
atendemos 60 operações em nosso sistema em 20 cidades.

Período pré pandemia: de 01/03 a 15/03 de 2020.
Com o intuito de melhorar a cada dia a experiência dos nossos usuários, lançamos uma nova versão do site
do delivery próprio e novos meios de pagamento, como PIX e e-wallet (AME e Mercado Pago), foram
disponibilizados dentro do aplicativo. Seguindo a construção do nosso ecossistema digital, nosso aplicativo
tem papel fundamental e conta atualmente com quase 34 milhões de downloads e mais de 10 milhões de
clientes cadastrados, que tem nos ajudado a ganhar escala rapidamente, alimentando também nossa base da
dados. Ainda, fizemos o roll out dos cupons com QR Code para 100% das ofertas no aplicativo neste trimestre
e lançamos também o aplicativo para a marca Popeyes. Em relação ao CRM, nossas vendas identificadas que
representavam pouco mais de 10% das vendas da Companhia no 1T21, representaram mais de 22% no
2T21. Este crescimento é fundamental para que a Companhia enriqueça sua base de dados, podendo oferecer
cada vez mais interações personalizadas, aumentando a frequência do consumo, com maiores tickets e
consequentemente melhorando margens.
No nosso Programa de Fidelidade Clube BK, encerramos o trimestre com 1,1 milhão de usuários
cadastrados, um rápido crescimento desde seu lançamento no início do ano. Já os totens de autoatendimento
foram destaque com ganho de 10,4 pp de representatividade sobre as vendas totais versus o 2T20, atingindo
receita de R$ 63,2 milhões. Se comparado ao 1T21, o canal cresceu 58,8%, um ganho de 4,1 p.p. Este
resultado demonstra a eficiência do autoatendimento nas lojas, melhorando a experiência do usuário durante
sua compra e permitindo que a Companhia fique mais eficiente. Adicionalmente, nossas lojas com Wi-Fi já
somam mais de 245 unidades, tornando a jornada em nossos restaurantes ainda mais completa.

A retomada operacional, aliada a uma forte redução de custos ao longo do 2T21, fizeram com que o prejuízo
líquido da Companhia atingisse R$97,1 milhões no 2T21, uma melhora de R$89,6 milhões versus o 2T20.
Em junho de 2021 o endividamento bruto total da Companhia atingiu R$825,0 milhões que combinado a um
caixa total disponível de R$507,0 milhões nos leva a uma dívida líquida de R$318,0 milhões.

Os investimentos totais da Companhia atingiram R$61,4 milhões no 2T21, aumento de 61,8% quando
comparado ao 2T20. Esta alta está relacionada à retomada do plano de expansão da Companhia, com abertura
líquida de 8 lojas no período. Adicionalmente, a Companhia manteve seus investimentos nas frentes de
tecnologia, cujo montante já representa parte significativa do capital alocado para crescimento.

No 2T21, o consumo de caixa operacional da Companhia foi de R$12,1 milhões versus um consumo de caixa
de R$77,8 milhões no 2T20, desempenho significativamente melhor em razão do avanço do resultado
operacional da Companhia. O impacto do capital de giro no trimestre aconteceu principalmente em virtude de
postergações feitas no 2T20, que não aconteceram em 2021, e à retomada das vendas.

Proposal for the merger of DOMINO'S PIZZA® on 07/09, for entry into the pizza market, the second largest in
QSR in Brazil.
We continue to observe the resilience of our Free Standing stores, which showed a slight growth versus 2Q20. Digital
channels continued to show their strength and were fundamental to the quarter's results, both in terms of sales recovery
and efficiency in our restaurants. Our delivery sales continued to grow when compared to 2Q20 and to 1Q21, which
shows us the potential benefit that this channel can generate for us once the on premise consumption gets back to
normal. In addition to delivery, the self-service totems, in which we have been investing over the past 2 years and which
are now in almost 500 restaurants, had significant growth and already represent around 11% of all the Company’s sales.
This digitization movement, in line with the digital ecosystem vision that we are building, has already allowed us to reach
the important mark of 22% of all identified sales. This advance is essential for us to have an increasingly efficient CRM
and interact in a personalized way with all our customers. Also, our loyalty program, pioneer in the QSR industry in Brazil,
in 6 months has already reached the mark of 1.1 million users. These initiatives have pointed to important results that will
certainly be visible when the operational activity is back to normal.
Regarding Popeyes, we have been following an important maturation of the brand, which, even with its exclusive exposure
to malls, has already managed to reach sales levels very similar to the level of 2019. As part of the nationalization plan,
we expanded our units in Rio de Janeiro and sales levels for a new market are encouraging.
The combination of these initiatives contributed to the Company being able to use the technology to be more efficient in
its main cost lines. The gross margin recovery, still in a challenging scenario of inflation in commodities, was possible
thanks to the advancement of the CRM program, which reduces mass discounts in the app and the continuous revenue
management work conducted by our team. In the other cost lines, still impacted by operational de-leveraging, we were
able to perform movements, in line with our digitalization strategy, which allowed the Company to close the quarter in
positive cash position generated by its operations.
In order to balance an operational context, which is still recovering, and the growth opportunities we see for our brands,
we also concluded the opening of 10 restaurants in the quarter with a focus on the Free Standing format for Burger King
and Food Courts for Popeyes.
Finally, as an event subsequent to the quarter, in July we announced our partnership with Domino's to become the brand's
developers in the country. This combination places the Company as the main restaurant operator in Brazil, with a very
strong presence in the 3 main segments within the QSR industry. We understand that this movement has the potential to
generate significant value for the Company and that the synergies will certainly be significant. The transaction is still
subject to approval by CADE (Brazilian antitrust agency) and shareholders at an Extraordinary General Meeting.
In Brazil, within the Quick Service Restaurants (“QSR”) market, the pizza category is the second largest in the country,
just behind hamburgers. In 2019 represented a slice of R$ 4 billion and, between 2010 and 2019, the CAGR grew by
10.7% according to Euromonitor1. This market is highly fragmented in the country, which represents a significant
opportunity for growth and consolidation for the Company, through a leading brand in the segment in Brazil and in the
world. The merger is subject to approval by CADE and the Company's shareholders at an Extraordinary General Meeting
to be held in October this year.
Throughout 2Q21, the Company’s net openings totaled 8 stores, with 10 openings (5 BK owned restaurants, 1
BK franchised restaurant and 4 Popeyes) and the closure of 2 franchises.
6 Burger King stores were opened (5 owned units and 1 franchise), all in the Free Standing format. In the quarter
there were also the closure of 2 franchises and 1 transfer from owned restaurant to franchise, of the Burger
King brand. With this, BURGER KING® ended the quarter with a total of 870 restaurants operating across the
country.

Digital sales, represented by delivery, totem and App (mobile) , posted DIGITAL CHANNEL SALES (R$ MM)
record in the quarter totaling R$187.0 million, an increase of 75%

15.5%, with growth in all channels, highlighting the sales of self-service 107

against 1Q21, showing its resilience even amid the resumption of on

net loss to reach R$97.1 million in 2Q21, an improvement of R$89.7 million versus 2Q20.

The Company's total investments reached R$61.4 million in 2Q21, an increase of 61.8% when compared to
2Q20. This increase is related to the resumption of the Company's expansion plan, with net opening of 8 stores
in the period. Additionally, the Company maintained its investments in the technology fronts, which already
represent a significant part of our capital allocated for growth.
