s and agency supplements to them. Use, duplication or disclosure by the U.S. Gov
ernment is subject to restrictions as set forth in subparagraph (c)(1)(ii) of th
e Rights in Technical Data and Computer Software clause at DFAR 255.227-7013 et.
seq. or 252.211-7015, or subparagraphs (a) through (d) of the Commercial Comput

you want to use SecureBlackbox, you have to pay a fee. The fees for use of diff

According to this license you have the right to use SecureBlackbox without payin
g runtime fees in your end-user applications. Only the applications that are not
distributed in complete source code are allowed to use SecureBlackbox. The goal

to fix the reported bugs if possible.
SecureBlackbox License Agreement
EldoS Corporation is willing to license SecureBlackbox to you only upon the cond
ition that you accept all the terms of this license.

This license defines and uses the following terms:
1.1. The Software - SecureBlackbox source code, binary (machine-executable) code
in electronic, printed or other form that can be distributed and/or used, accom

1.2. Licensee - a company or individual who is given the right to use and/or dis

1.3. Licenser -- EldoS Corporation in whole represented by EldoS Corporation pri

1.4. Middleware - software products which are developed by Licensee for use by t

included as a part of third-party's software products. This includes, but is no

2. Scope of use.
2.1. This license is applied to use of The Software by any Licensee that has pai
d a fee as defined by EldoS Corporation and agreed to the terms of this license.
2.2. This license defines terms and conditions for use of Software in Licensee's
End-User Applications.
2.3. This license does not grant to the Licensee the right to use The Software i
n development of Middleware. Such use is defined by other licenses.
3. Terms of use.
3.1. This license grants the Licensee non-exclusive, non-transferable, royalty-f
ree right to install and use The Software in software development.
3.2. The Software is owned by Licenser and is protected by copyright law, intern
ational copyright treaties, as well as other proprietary notices.
3.3. The total number of installed copies of The Software used by Licensee may n
ot exceed the number of Licensed Copies paid for by the Licensee. One Installed
Copy is defined to be a group of computer files in electronic form used by singl
e software developer on any number of computers.
3.4. Distribution of The Software source code is prohibited. Licensee has the ri
ght to create a copy of The Software for backup and security purposes.
3.5. Distribution of binary code of The Software is allowed when The Software is
included into End-User Applications of the Licensee as a part of software packa

4. Termination and transfer.
4.1. Rent, lease, sublicense or any other temporary transfer of rights given by
this license is prohibited. Use of The Software by Licensee's subcontractors req
uires a separate license given to those subcontractors.
4.2. Transfer of the rights is allowed only after notifying the Licenser about s
uch transfer and on a permanent basis provided that Licensee doesn't possess any

6.2. The Software must not be used in or exported to Iran, Iraq, Syria, Sudan, L

7. Governing law.

within any created application to any country, person, entity or end user subje
ct to U.S.A. export restrictions. Restricted countries currently include, but a
re not necessarily limited to Cuba, Iran, Iraq, Libya, North Korea, Sudan, and S
yria. You warrant and represent that neither the U.S.A. Bureau of Export Admini
stration nor any other federal agency has suspended, revoked or denied your expo
rt privileges.
NOTE ON JAVA SUPPORT. Certain SOFTWARE COMPONENT PRODUCT(S) may contain support
for programs written in Java. Java technology is not fault tolerant and is not
 designed, manufactured, or intended for use or resale as on-line control equipm
ent in hazardous environments requiring fail-safe performance, such as in the op
eration of nuclear facilities, aircraft navigation or communication systems, air
traffic control, direct life support machines, or weapons systems, in which the
failure of Java technology could lead directly to death, personal injury, or se
vere physical or environmental damage.

y and which is returned to DEVEXPRESS with a copy of your receipt. DO NOT RETUR

MENT AND OBTAINED A RETURN AUTHORIZATION NUMBER. This Limited Warranty is void

ranted for the remainder of the original warranty period or thirty (30) days, wh

s of the State of Nevada, U.S.A. This EULA gives you specific legal rights; you

DEVEXPRESS reserves all rights not specifically granted in this EULA.
GENERAL PROVISIONS. This EULA may only be modified in writing signed by you and
an authorized officer of DEVEXPRESS. If any provision of this EULA is found voi
d or unenforceable, the remainder will remain valid and enforceable according to
its terms. If any remedy provided is determined to have failed for its essenti
al purpose, all limitations of liability and exclusions of damages set forth in
the Limited Warranty shall remain in effect.
If this PRODUCT(s) was acquired outside the United States, then you, as the Deve
loper End User, agree and ascend to the adherence to all applicable internationa
l treaties regarding copyright and intellectual property rights which shall also

IMPORTANT- READ CAREFULLY: This DEVELOPER EXPRESS CORPORATION ("DEVEXPRESS") End
-User License Agreement ("EULA") is a legal agreement between you, an individual
developer of software applications, ("Developer End User") and DEVEXPRESS for a
ll DEVEXPRESS software components, source code, demos, intermediate files, media
, printed materials, and "online" or electronic documentation ("SOFTWARE COMPONE
NT PRODUCT(S)") contained in this installation file.
DEVEXPRESS grants to you as an individual, a personal, nonexclusive license to i
nstall and use the SOFTWARE COMPONENT PRODUCT(S) for the sole purposes of design
ing, developing, testing, and deploying application programs which you create. I
f you are an entity, you must designate one individual within your organization

o reverse engineer, decompile, and the exploitation or unauthorized transfer of
any DEVEXPRESS intellectual property and trade secrets, to include any exposed m
ethods or source code where provided, no licensed right of use shall exist, and
any PRODUCT(s) created as a result shall be judged illegal by definition of all
applicable law. Any sale or resale of intellectual property or created derivativ
es so obtained will be prosecuted to the fullest extent of all local, federal an
d international law.
1. GRANT OF LICENSE. This EULA, if legally executed as defined herein, licenses
and so grants the single individual Developer End User the following rights:
SOFTWARE COMPONENT PRODUCT(S). You may install and use one copy of the SOFTWARE
COMPONENT PRODUCT(S), including any and all source code if provided, or any prio
r version legally licensed for the same operating system, on a single computer.
The primary user of the computer on which the SOFTWARE COMPONENT PRODUCT(S) is i
nstalled may make a second copy for his or her exclusive use on a portable compu
ter. You acknowledge and agree that the SOFTWARE COMPONENT PRODUCT(S) in source
code form remains a confidential trade secret of DEVEXPRESS.
(a) Storage/Network Use. You, as Developer End User, may also store or install a
copy of the SOFTWARE COMPONENT PRODUCT(S) on a storage device, such as a networ
k server, used only to install or run the SOFTWARE COMPONENT PRODUCT(S) on your
other computers over an internal network; however, Developer End User must acqui
re and dedicate a license for each separate computer on which the SOFTWARE COMPO
NENT PRODUCT(S) is installed or run from the storage device. A license for the S
OFTWARE COMPONENT PRODUCT(S) may not be shared or used concurrently on different
computers.
DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
2. Not for Resale Software. If the SOFTWARE COMPONENT PRODUCT(S) is labeled and
provided as "Not for Resale" or "NFR", then, notwithstanding other sections of
this EULA, you may not resell, distribute, or otherwise transfer for value or be
nefit in any manner, the SOFTWARE COMPONENT PRODUCT(S) or any derivative work us
ing the SOFTWARE COMPONENT PRODUCT(S). You may not transfer, rent, lease, lend,
copy, modify, translate, sublicense, time-share or electronically transmit the S
OFTWARE COMPONENT PRODUCT(S), media or documentation. This also applies to any a
nd all intermediate files, source code, and compiled executables.
Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not
reverse engineer, decompile, or disassemble the SOFTWARE COMPONENT PRODUCT(S),
and only to the extent that such activity is expressly permitted by applicable l
aw notwithstanding this limitation. The provision of source code, if included wi
th the SOFTWARE COMPONENT PRODUCT(S), does not constitute transfer of any legal
rights to such code, and resale or distribution of all or any portion of all sou
rce code and intellectual property will be prosecuted to the fullest extent of a
ll applicable local, federal and international laws. You agree to take all reaso
nable, legal and appropriate measures to prohibit the illegal dissemination of t
he SOFTWARE COMPONENT PRODUCT(S) or any of its constituent parts and Distributab
les to the fullest extent of all applicable local, US and International Laws and
Treaties regarding anti-circumvention, including but not limited to, the Geneva
and Berne World Intellectual Property Organization (WIPO) Diplomatic Conference
s.
Separation of Components, their constituent parts and Redistributables. The SOF
TWARE COMPONENT PRODUCT(S) is licensed as a single PRODUCT(s). The SOFTWARE COMP
ONENT PRODUCT(S) and its constituent parts and any provided Distributables may n
ot be reverse engineered, decompiled, disassembled or separated for use on more
than one computer, nor placed for distribution, sale, or resale as individual cr
eations by Developer End User. The provision of source code, if included with th
e SOFTWARE COMPONENT PRODUCT(S), does not constitute transfer of any legal right
s to such code, and resale or distribution of all or any portion of all source c
ode and intellectual property will be prosecuted to the fullest extent of all ap
plicable local, federal and international laws. All DEVEXPRESS libraries, source
code, Redistributables and other files remain DEVEXPRESS's exclusive property.
Regardless of any modifications that you make, you may not distribute any files
(particularly DEVEXPRESS source code and other non-executable files) except tho
se that DEVEXPRESS has expressly designated as Redistributable. DEVEXPRESS PRODU
CT(s) may include certain files ("Redistributables") intended for distribution b
y you to the users of programs you create. Redistributables include, for exampl
e, those files identified in printed or on-line documentation or identified by D
EVEXPRESS as redistributable files, or those files preselected for deployment by
an install utility provided with the SOFTWARE COMPONENT PRODUCT(S) (if any). In
any event, the Redistributables for the SOFTWARE COMPONENT PRODUCT(S) are only
those files specifically designated as such by DEVEXPRESS. From time to time, D
EVEXPRESS may designate other files as Redistributables. You must contact DEVEX

Subject to all of the terms and conditions in this EULA, you may reproduce and d
istribute exact copies of the Redistributables, provided that such copies are ma
de from the original copy of the SOFTWARE COMPONENT PRODUCT(S) or the copy trans
ferred to the single hard disk. Copies of Redistributables may only be distribu
ted with and for the sole purpose of executing application programs permitted un
der this EULA that you have created using the SOFTWARE COMPONENT PRODUCT(S). Un
der no circumstances may any copies of Redistributables be distributed separatel

3. Rental. You may not rent, lease, or lend the SOFTWARE COMPONENT PRODUCT(S).
SOFTWARE COMPONENT PRODUCT(S) Transfer. You may NOT permanently or temporarily t
ransfer ANY of your rights under this EULA to any individual or entity. Regardl
ess of any modifications which you make and regardless of how you might compile,
link, and/or package your programs, under no circumstances may the libraries, c
ode, Redistributables, and/or other files of the SOFTWARE COMPONENT PRODUCT(S) (
including any portions thereof) be used for developing programs by anyone other
than you. Only you as the licensed Developer End User have the right to use the
libraries, code, Redistributables, or other files of the SOFTWARE COMPONENT PRO
DUCT(S) (or any portions thereof) for developing programs created with the SOFTW
ARE COMPONENT PRODUCT(S). In particular, you may not share copies of the Redist
ributables with other co-developers. You may not reproduce or distribute any DE
VEXPRESS documentation without DEVEXPRESS's permission.
4. Termination. Without prejudice to any other rights or remedies, DEVEXPRESS wi
ll terminate this EULA upon your failure to comply with all the terms and condit
ions of this EULA. In such event, you must destroy all copies of the SOFTWARE CO
MPONENT PRODUCT(S) and all of its component parts including any related document
ation, and must remove ANY and ALL use of such technology immediately from any a
pplications using technology contained in the SOFTWARE COMPONENT PRODUCT(S) deve
loped by you, whether in native, altered or compiled state.
5. Additional Restrictions. ONLY THE LEGALLY REGISTERED DEVELOPER END USER IS LI
CENSED TO DISTRIBUTE ROYALTY-FREE THE EXPRESSMEMDATA, AND ALL ACCOMPANYING VCL C
ONTROLS AS PART OF AN EXECUTABLE PROGRAM ONLY, subject to all of the conditions
of this agreement.
You may use the SOFTWARE COMPONENT PRODUCT(S) and related source code to create
new VCL components for your company's internal use ONLY. THE SOURCE CODE, PACKAG
ES, LIBRARIES AND ALL RESULTING INTERMEDIATE FILES (DCU, OBJ, DLL, ETC.) ARE CON
FIDENTIAL AND PROPRIETARY TRADE SECRETS OF DEVEXPRESS.
YOU MAY NOT CREATE NEW 'VCL' COMPONENTS OR 'ACTIVE X' COMPONENTS, or ANY OTHER C
OMPONENT ARCHITECTURE, INCLUDING BUT NOT LIMITED TO DLLs, FOR DISTRIBUTION OUTSI
DE OF YOUR COMPANY IN ANY FORM, MANNER OR MEDIA OR USING ANY DISTRIBUTION CHANNE
L, WHICH UTILIZES ALL OR ANY PORTION OF THE SOFTWARE COMPONENT PRODUCT(S) AND IT
S RELATED SOURCE CODE.
YOU MAY NOT CREATE ANY TOOL OR SOFTWARE COMPONENT PRODUCT(S) THAT DIRECTLY OR IN
DIRECTLY COMPETES WITH THE SOFTWARE COMPONENT PRODUCT(S) WHICH UTILIZES ALL OR A
NY PORTION OF THE SOFTWARE COMPONENT PRODUCT(S) AND ITS RELATED SOURCE CODE. MO
DIFICATION OF SOURCE CODE AND SUBSEQUENT REDISTRIBUTION OF ANY SUCH MODIFICATION
S IS PROHIBITED.
6. UPGRADES. If the SOFTWARE COMPONENT PRODUCT(S) is labeled as an upgrade, you
must be properly licensed to use a PRODUCT(s) identified by DEVEXPRESS as being
eligible for the upgrade in order to use the SOFTWARE COMPONENT PRODUCT. A SOFTW
ARE COMPONENT PRODUCT labeled as an upgrade replaces and/or supplements the SOFT
WARE COMPONENT PRODUCT that formed the basis for your eligibility for the upgrad
e, and together constitute a single PRODUCT. You may use the resulting upgraded
PRODUCT only in accordance with all the terms of this EULA.
7. COPYRIGHT. All title and copyrights in and to the SOFTWARE COMPONENT PRODUCT(
S) (including but not limited to any images, demos, source code, intermediate fi
les, packages, photographs, distributables, animations, video, audio, music, tex
t, and "applets" incorporated into the SOFTWARE COMPONENT PRODUCT(S), the accomp
anying printed materials, and any copies of the SOFTWARE COMPONENT PRODUCT(S) ar
e owned by DEVEXPRESS or its subsidiaries. The SOFTWARE COMPONENT PRODUCT(S) is
protected by copyright laws and international treaty provisions. Therefore, you
must treat the SOFTWARE COMPONENT PRODUCT(S) like any other copyrighted material
except that you may install the SOFTWARE COMPONENT PRODUCT(S) on a single compu
ter provided you keep the original solely for backup or archival purposes. You m

GENERAL PROVISIONS. This EULA may only be modified in writing signed by you and

-User License Agreement ("EULA") is a legal agreement between you, an individual
developer of software applications, ("Developer End User") and DEVEXPRESS for a

, printed materials, and "online" or electronic documentation ("SOFTWARE COMPONE

ethods or source code where provided, no licensed right of use shall exist, and
any PRODUCT(s) created as a result shall be judged illegal by definition of all
applicable law. Any sale or resale of intellectual property or created derivativ
es so obtained will be prosecuted to the fullest extent of all local, federal an
d international law.
1. GRANT OF LICENSE. This EULA, if legally executed as defined herein, licenses
and so grants the single individual Developer End User the following rights:
SOFTWARE COMPONENT PRODUCT(S). You may install and use one copy of the SOFTWARE
COMPONENT PRODUCT(S), including any and all source code if provided, or any prio
r version legally licensed for the same operating system, on a single computer.
The primary user of the computer on which the SOFTWARE COMPONENT PRODUCT(S) is i
nstalled may make a second copy for his or her exclusive use on a portable compu
ter. You acknowledge and agree that the SOFTWARE COMPONENT PRODUCT(S) in source
code form remains a confidential trade secret of DEVEXPRESS.
(a) Storage/Network Use. You, as Developer End User, may also store or install a
copy of the SOFTWARE COMPONENT PRODUCT(S) on a storage device, such as a networ
k server, used only to install or run the SOFTWARE COMPONENT PRODUCT(S) on your
other computers over an internal network; however, Developer End User must acqui
re and dedicate a license for each separate computer on which the SOFTWARE COMPO
NENT PRODUCT(S) is installed or run from the storage device. A license for the S
OFTWARE COMPONENT PRODUCT(S) may not be shared or used concurrently on different
computers.
DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
2. Not for Resale Software. If the SOFTWARE COMPONENT PRODUCT(S) is labeled and
provided as "Not for Resale" or "NFR", then, notwithstanding other sections of
this EULA, you may not resell, distribute, or otherwise transfer for value or be
nefit in any manner, the SOFTWARE COMPONENT PRODUCT(S) or any derivative work us
ing the SOFTWARE COMPONENT PRODUCT(S). You may not transfer, rent, lease, lend,
copy, modify, translate, sublicense, time-share or electronically transmit the S
OFTWARE COMPONENT PRODUCT(S), media or documentation. This also applies to any a
nd all intermediate files, source code, and compiled executables.
Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not
reverse engineer, decompile, or disassemble the SOFTWARE COMPONENT PRODUCT(S),
and only to the extent that such activity is expressly permitted by applicable l
aw notwithstanding this limitation. The provision of source code, if included wi
th the SOFTWARE COMPONENT PRODUCT(S), does not constitute transfer of any legal
rights to such code, and resale or distribution of all or any portion of all sou
rce code and intellectual property will be prosecuted to the fullest extent of a
ll applicable local, federal and international laws. You agree to take all reaso
nable, legal and appropriate measures to prohibit the illegal dissemination of t
he SOFTWARE COMPONENT PRODUCT(S) or any of its constituent parts and Distributab
les to the fullest extent of all applicable local, US and International Laws and
Treaties regarding anti-circumvention, including but not limited to, the Geneva
and Berne World Intellectual Property Organization (WIPO) Diplomatic Conference
s.
Separation of Components, their constituent parts and Redistributables. The SOF
TWARE COMPONENT PRODUCT(S) is licensed as a single PRODUCT(s). The SOFTWARE COMP
ONENT PRODUCT(S) and its constituent parts and any provided Distributables may n
ot be reverse engineered, decompiled, disassembled or separated for use on more
than one computer, nor placed for distribution, sale, or resale as individual cr
eations by Developer End User. The provision of source code, if included with th
e SOFTWARE COMPONENT PRODUCT(S), does not constitute transfer of any legal right
s to such code, and resale or distribution of all or any portion of all source c
ode and intellectual property will be prosecuted to the fullest extent of all ap
plicable local, federal and international laws. All DEVEXPRESS libraries, source
code, Redistributables and other files remain DEVEXPRESS's exclusive property.
Regardless of any modifications that you make, you may not distribute any files
(particularly DEVEXPRESS source code and other non-executable files) except tho
se that DEVEXPRESS has expressly designated as Redistributable. DEVEXPRESS PRODU
CT(s) may include certain files ("Redistributables") intended for distribution b
y you to the users of programs you create. Redistributables include, for exampl
e, those files identified in printed or on-line documentation or identified by D
EVEXPRESS as redistributable files, or those files preselected for deployment by
an install utility provided with the SOFTWARE COMPONENT PRODUCT(S) (if any). In
any event, the Redistributables for the SOFTWARE COMPONENT PRODUCT(S) are only

Subject to all of the terms and conditions in this EULA, you may reproduce and d
istribute exact copies of the Redistributables, provided that such copies are ma
de from the original copy of the SOFTWARE COMPONENT PRODUCT(S) or the copy trans
ferred to the single hard disk. Copies of Redistributables may only be distribu
ted with and for the sole purpose of executing application programs permitted un
der this EULA that you have created using the SOFTWARE COMPONENT PRODUCT(S). Un
der no circumstances may any copies of Redistributables be distributed separatel

3. Rental. You may not rent, lease, or lend the SOFTWARE COMPONENT PRODUCT(S).
SOFTWARE COMPONENT PRODUCT(S) Transfer. You may NOT permanently or temporarily t
ransfer ANY of your rights under this EULA to any individual or entity. Regardl
ess of any modifications which you make and regardless of how you might compile,
link, and/or package your programs, under no circumstances may the libraries, c
ode, Redistributables, and/or other files of the SOFTWARE COMPONENT PRODUCT(S) (
including any portions thereof) be used for developing programs by anyone other
than you. Only you as the licensed Developer End User have the right to use the
libraries, code, Redistributables, or other files of the SOFTWARE COMPONENT PRO
DUCT(S) (or any portions thereof) for developing programs created with the SOFTW
ARE COMPONENT PRODUCT(S). In particular, you may not share copies of the Redist
ributables with other co-developers. You may not reproduce or distribute any DE
VEXPRESS documentation without DEVEXPRESS's permission.
4. Termination. Without prejudice to any other rights or remedies, DEVEXPRESS wi
ll terminate this EULA upon your failure to comply with all the terms and condit
ions of this EULA. In such event, you must destroy all copies of the SOFTWARE CO
MPONENT PRODUCT(S) and all of its component parts including any related document
ation, and must remove ANY and ALL use of such technology immediately from any a
pplications using technology contained in the SOFTWARE COMPONENT PRODUCT(S) deve
loped by you, whether in native, altered or compiled state.
5. Additional Restrictions. ONLY THE LEGALLY REGISTERED DEVELOPER END USER IS LI
CENSED TO DISTRIBUTE ROYALTY-FREE THE EXPRESSPRINTING SYSTEM, AND ALL ACCOMPANYI
NG VCL CONTROLS AS PART OF AN EXECUTABLE PROGRAM ONLY, subject to all of the con
ditions of this agreement.
You may use the SOFTWARE COMPONENT PRODUCT(S) and related source code to create
new VCL components for your company's internal use ONLY. THE SOURCE CODE, PACKAG
ES, LIBRARIES AND ALL RESULTING INTERMEDIATE FILES (DCU, OBJ, DLL, ETC.) ARE CON
FIDENTIAL AND PROPRIETARY TRADE SECRETS OF DEVEXPRESS.
YOU MAY NOT CREATE NEW 'VCL' COMPONENTS OR 'ACTIVE X' COMPONENTS, or ANY OTHER C
OMPONENT ARCHITECTURE, INCLUDING BUT NOT LIMITED TO DLLs, FOR DISTRIBUTION OUTSI
DE OF YOUR COMPANY IN ANY FORM, MANNER OR MEDIA OR USING ANY DISTRIBUTION CHANNE
L, WHICH UTILIZES ALL OR ANY PORTION OF THE SOFTWARE COMPONENT PRODUCT(S) AND IT
S RELATED SOURCE CODE.
YOU MAY NOT CREATE ANY TOOL OR SOFTWARE COMPONENT PRODUCT(S) THAT DIRECTLY OR IN
DIRECTLY COMPETES WITH THE SOFTWARE COMPONENT PRODUCT(S) WHICH UTILIZES ALL OR A
NY PORTION OF THE SOFTWARE COMPONENT PRODUCT(S) AND ITS RELATED SOURCE CODE. MO
DIFICATION OF SOURCE CODE AND SUBSEQUENT REDISTRIBUTION OF ANY SUCH MODIFICATION
S IS PROHIBITED.
6. UPGRADES. If the SOFTWARE COMPONENT PRODUCT(S) is labeled as an upgrade, you
must be properly licensed to use a PRODUCT(s) identified by DEVEXPRESS as being
eligible for the upgrade in order to use the SOFTWARE COMPONENT PRODUCT. A SOFTW
ARE COMPONENT PRODUCT labeled as an upgrade replaces and/or supplements the SOFT
WARE COMPONENT PRODUCT that formed the basis for your eligibility for the upgrad
e, and together constitute a single PRODUCT. You may use the resulting upgraded
PRODUCT only in accordance with all the terms of this EULA.
7. COPYRIGHT. All title and copyrights in and to the SOFTWARE COMPONENT PRODUCT(
S) (including but not limited to any images, demos, source code, intermediate fi
les, packages, photographs, distributables, animations, video, audio, music, tex
t, and "applets" incorporated into the SOFTWARE COMPONENT PRODUCT(S), the accomp
anying printed materials, and any copies of the SOFTWARE COMPONENT PRODUCT(S) ar
e owned by DEVEXPRESS or its subsidiaries. The SOFTWARE COMPONENT PRODUCT(S) is
protected by copyright laws and international treaty provisions. Therefore, you
must treat the SOFTWARE COMPONENT PRODUCT(S) like any other copyrighted material
except that you may install the SOFTWARE COMPONENT PRODUCT(S) on a single compu
ter provided you keep the original solely for backup or archival purposes. You m

8. DUAL-MEDIA SOFTWARE COMPONENT PRODUCT(S). You may receive the SOFTWARE COMPON
ENT PRODUCT(S) in more than one medium. Regardless of the type or size of medium
you receive, you may use only one medium that is appropriate for your single co
mputer. You may not use or install the other medium on another computer. You may
not loan, sell, rent, lease, or otherwise transfer in any manner the other medi
um to another user or entity.
9. Installation and Use. The license granted in this EULA for you to create your
own compiled programs and distribute your programs and the Redistributables (if
any), is subject to all of the following conditions:
(i) all copies of the programs you create must bear a valid copyright notice, ei
ther your own or the DEVEXPRESS copyright notice that appears on the SOFTWARE CO
MPONENT PRODUCT(S); (ii) you may not remove or alter any DEVEXPRESS copyright,
trademark or other proprietary rights notice contained in any portion of DEVEXPR
ESS libraries, source code, Redistributables or other files that bear such a not
ice; (iii) DEVEXPRESS provides no warranty at all to any person, other than the

RODUCT(S), and you will remain solely responsible to anyone receiving your progr

suppliers, harmless from and against any claims or liabilities arising out of th

ubject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in
Technical Data and Computer Software Products clause at DFARS 252.227-7013 or su
bparagraphs (c)(1) and (2) of the Commercial Computer SOFTWARE Products Restrict

EXPORT RESTRICTIONS. DEVEXPRESS expressly complies with all export restrictions
imposed by the government of the United States of America. You, as Developer E
nd User, must agree not to export or re-export the SOFTWARE COMPONENT PRODUCT(S)
within any created application to any country, person, entity or end user subje
ct to U.S.A. export restrictions. Restricted countries currently include, but a
re not necessarily limited to Cuba, Iran, Iraq, Libya, North Korea, Sudan, and S
yria. You warrant and represent that neither the U.S.A. Bureau of Export Admini
stration nor any other federal agency has suspended, revoked or denied your expo
rt privileges.
NOTE ON JAVA SUPPORT. Certain SOFTWARE COMPONENT PRODUCT(S) may contain support
for programs written in Java. Java technology is not fault tolerant and is not
designed, manufactured, or intended for use or resale as on-line control equipm
ent in hazardous environments requiring fail-safe performance, such as in the op
eration of nuclear facilities, aircraft navigation or communication systems, air
traffic control, direct life support machines, or weapons systems, in which the
failure of Java technology could lead directly to death, personal injury, or se
vere physical or environmental damage.

o reverse engineer, decompile, and the exploitation or unauthorized transfer of,
any DEVEXPRESS intellectual property and trade secrets, to include any exposed
methods or source code where provided, no licensed right of use shall exist, and
any PRODUCT(s) created as a result shall be judged illegal by definition of all
applicable law. Any sale or resale of intellectual property or created derivati
ves so obtained will be prosecuted to the fullest extent of all local, federal a
nd international law.
1. GRANT OF LICENSE. This EULA, if legally executed as defined herein, licenses
and so grants the single individual Developer End User the following rights:
SOFTWARE COMPONENT PRODUCT(S). You may install and use one copy of the SOFTWARE
COMPONENT PRODUCT(S), including any and all source code if provided, or any prio
r version legally licensed for the same operating system, on a single computer.
The primary user of the computer on which the SOFTWARE COMPONENT PRODUCT(S) COMP
ONENT PRODUCT(S) is installed may make a second copy for his or her exclusive us
e on a portable computer. You acknowledge and agree that the SOFTWARE COMPONENT
PRODUCT(S) in source code form remains a confidential trade secret of DEVELOPER
EXPRESS CORPORATION.
(a) Storage/Network Use. You, as Developer End User, may also store or install a
copy of the SOFTWARE COMPONENT PRODUCT(S) on a storage device, such as a networ
k server, used only to install or run the SOFTWARE COMPONENT PRODUCT(S) on your
other computers over an internal network; however, Developer End User must acqui
re and dedicate a license for each separate computer on which the SOFTWARE COMPO
NENT PRODUCT(S) is installed or run from the storage device. A license for the S
OFTWARE COMPONENT PRODUCT(S) may not be shared or used concurrently on different
computers.
DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
2. Not for Resale Software. If the SOFTWARE COMPONENT PRODUCT(S) is labeled and
provided as "Not for Resale" or "NFR", then, notwithstanding other sections of
this EULA, you may not resell, distribute, or otherwise transfer for value or be
nefit in any manner, the SOFTWARE COMPONENT PRODUCT(S) or any derivative work us
ing the SOFTWARE COMPONENT PRODUCT(S). You may not transfer, rent, lease, lend,
copy, modify, translate, sublicense, time-share or electronically transmit the S
OFTWARE COMPONENT PRODUCT(S), media or documentation. This also applies to any a
nd all intermediate files, source code, and compiled executables.
Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not
reverse engineer, decompile, or disassemble the SOFTWARE COMPONENT PRODUCT(S),
and only to the extent that such activity is expressly permitted by applicable l
aw notwithstanding this limitation. The provision of source code, if included wi
th the SOFTWARE COMPONENT PRODUCT(S), does not constitute transfer of any legal
rights to such code, and resale or distribution of all or any portion of all sou
rce code and intellectual property will be prosecuted to the fullest extent of a
ll applicable local, federal and international laws. You agree to take all reaso
nable, legal and appropriate measures to prohibit the illegal dissemination of t
he SOFTWARE COMPONENT PRODUCT(S) or any of its constituent parts and Distributab
les to the fullest extent of all applicable local, US Codes and International La
ws and Treaties regarding anti-circumvention, including but not limited to, the
Geneva and Berne World Intellectual Property Organization (WIPO) Diplomatic Conf
erences.
Separation of Components, their constituent parts and Redistributables. The SOF
TWARE COMPONENT PRODUCT(S) is licensed as a single PRODUCT(s). The SOFTWARE COMP
ONENT PRODUCT(S) and its constituent parts and any provided Distributables may n
ot be reverse engineered, decompiled, disassembled or separated for use on more
than one computer, nor placed for distribution, sale, or resale as individual cr
eations by Developer End User. The provision of source code, if included with th
e SOFTWARE COMPONENT PRODUCT(S), does not constitute transfer of any legal right
s to such code, and resale or distribution of all or any portion of all source c
ode and intellectual property will be prosecuted to the fullest extent of all ap
plicable local, federal and international laws. All DEVEXPRESS libraries, source
code, Redistributables and other files remain DEVEXPRESS's exclusive property.
Regardless of any modifications that you make, you may not distribute any files
(particularly DEVEXPRESS source code and other non-executable files) except tho
se that DEVEXPRESS has expressly designated as Redistributable. DEVEXPRESS PRODU
CT(s)s may include certain files ("Redistributables") intended for distribution
by you to the users of programs you create. Redistributables include, for examp

4. Termination. Without prejudice to any other rights or remedies, DEVEXPRESS. w
ill terminate this EULA upon your failure to comply with all the terms and condi
tions of this EULA. In such event, you must destroy all copies of the SOFTWARE C
OMPONENT PRODUCT(S) and all of its component parts including any related documen
tation, and must remove ANY and ALL use of such technology immediately from any
applications using technology contained in the SOFTWARE COMPONENT PRODUCT(S) dev
eloped by you, whether in native, altered or compiled state.
5. Additional Restrictions. ONLY THE LEGALLY REGISTERED DEVELOPER END USER IS LI
CENSED TO DISTRIBUTE ROYALTY-FREE THE EXPRESS BARS, EXPRESS SIDEBAR, AND ALL ACC
OMPANYING VCL CONTROLS AS PART OF AN EXECUTABLE PROGRAM ONLY, subject to all of
the conditions of this agreement.
You may use the SOFTWARE COMPONENT PRODUCT(S) and related source code to create
new VCL components for your company's internal use ONLY. THE SOURCE CODE, PACKAG
ES, LIBRARIES AND ALL RESULTING INTERMEDIATE FILES (DCU, OBJ, DLL, ETC.) ARE CON
FIDENTIAL AND PROPRIETARY TRADE SECRETS OF DEVEXPRESS.
YOU MAY NOT CREATE NEW 'VCL' COMPONENTS OR 'ACTIVE X' COMPONENTS, or ANY OTHER C
OMPONENT ARCHITECTURE, INCLUDING BUT NOT LIMITED TO DLLs, FOR DISTRIBUTION OUTSI
DE OF YOUR COMPANY IN ANY FORM, MANNER OR MEDIA OR USING ANY DISTRIBUTION CHANNE
L, WHICH UTILIZES ALL OR ANY PORTION OF THE SOFTWARE COMPONENT PRODUCT(S) AND IT
S RELATED SOURCE CODE.
YOU MAY NOT CREATE ANY TOOL OR SOFTWARE COMPONENT PRODUCT(S) THAT DIRECTLY OR IN
DIRECTLY COMPETES WITH THE SOFTWARE COMPONENT PRODUCT(S) WHICH UTILIZES ALL OR A
NY PORTION OF THE SOFTWARE COMPONENT PRODUCT(S) AND ITS RELATED SOURCE CODE. MO
DIFICATION OF SOURCE CODE AND SUBSEQUENT REDISTRIBUTION OF ANY SUCH MODIFICATION
S IS PROHIBITED.
6. UPGRADES. If the SOFTWARE COMPONENT PRODUCT(S) is labeled as an upgrade, you
must be properly licensed to use a PRODUCT(s) identified by DEVEXPRESS. as being
eligible for the upgrade in order to use the SOFTWARE COMPONENT PRODUCT. A SOFT
WARE COMPONENT PRODUCT labeled as an upgrade replaces and/or supplements the SOF
TWARE COMPONENT PRODUCT that formed the basis for your eligibility for the upgra
de, and together constitute a single PRODUCT. You may use the resulting upgraded
PRODUCT only in accordance with all the terms of this EULA.
7. COPYRIGHT. All title and copyrights in and to the SOFTWARE COMPONENT PRODUCT(
S) (including but not limited to any images, demos, source code, intermediate fi
les, packages, photographs, distributables, animations, video, audio, music, tex
t, and "applets" incorporated into the SOFTWARE COMPONENT PRODUCT(S) the accompa
nying printed materials, and any copies of the SOFTWARE COMPONENT PRODUCT(S)) ar
e owned by DEVEXPRESS. or its subsidiaries. The SOFTWARE COMPONENT PRODUCT(S)) i
s protected by copyright laws and international treaty provisions. Therefore, yo
u must treat the SOFTWARE COMPONENT PRODUCT(S) like any other copyrighted materi
al except that you may install the SOFTWARE COMPONENT PRODUCT(S) on a single com
puter provided you keep the original solely for backup or archival purposes. You

8. DUAL-MEDIA SOFTWARE COMPONENT PRODUCT(S). You may receive the SOFTWARE COMPON
ENT PRODUCT(S) in more than one medium. Regardless of the type or size of medium
you receive, you may use only one medium that is appropriate for your single co
mputer. You may not use or install the other medium on another computer. You may
not loan, sell, rent, lease, or otherwise transfer in any manner the other medi
um to another user or entity.
9. Installation and Use. The license granted in this EULA for you to create your
own compiled programs and distribute your programs and the Redistributables (if
any), is subject to all of the following conditions:
a) (i) all copies of the programs you create must bear a valid copyright notice,
either your own or the DEVEXPRESS copyright notice that appears on the SOFTWARE
COMPONENT PRODUCT(S); (ii) you may not remove or alter any DEVEXPRESS copyrigh
t, trademark or other proprietary rights notice contained in any portion of DEVE

ureau of Export Administration nor any other federal agency has suspended, revok
ed or denied your export privileges.

eations by Developer End User. The provision of source code, if included with th
e SOFTWARE COMPONENT PRODUCT(S), does not constitute transfer of any legal right
s to such code, and resale or distribution of all or any portion of all source c
ode and intellectual property will be prosecuted to the fullest extent of all ap
plicable local, federal and international laws. All DEVEXPRESS libraries, source
code, Redistributables and other files remain DEVEXPRESS's exclusive property.
Regardless of any modifications that you make, you may not distribute any files
(particularly DEVEXPRESS source code and other non-executable files) except tho
se that DEVEXPRESS has expressly designated as Redistributable. DEVEXPRESS PRODU
CT(s)s may include certain files ("Redistributables") intended for distribution

ransfer ANY of your rights under this EULA to any individual or entity. Regardle

4. Termination. Without prejudice to any other rights or remedies, DEVEXPRESS. w
ill terminate this EULA upon your failure to comply with all the terms and condi
tions of this EULA. In such event, you must destroy all copies of the SOFTWARE C
OMPONENT PRODUCT(S) and all of its component parts including any related documen
tation, and must remove ANY and ALL use of such technology immediately from any
applications using technology contained in the SOFTWARE COMPONENT PRODUCT(S) dev
eloped by you, whether in native, altered or compiled state.
5. Additional Restrictions. ONLY THE LEGALLY REGISTERED DEVELOPER END USER IS LI
CENSED TO DISTRIBUTE ROYALTY-FREE THE EXPRESS BARS, EXPRESS SIDEBAR, AND ALL ACC
OMPANYING VCL CONTROLS AS PART OF AN EXECUTABLE PROGRAM ONLY, subject to all of
the conditions of this agreement.
You may use the SOFTWARE COMPONENT PRODUCT(S) and related source code to create
new VCL components for your company's internal use ONLY. THE SOURCE CODE, PACKAG
ES, LIBRARIES AND ALL RESULTING INTERMEDIATE FILES (DCU, OBJ, DLL, ETC.) ARE CON
FIDENTIAL AND PROPRIETARY TRADE SECRETS OF DEVEXPRESS.
YOU MAY NOT CREATE NEW 'VCL' COMPONENTS OR 'ACTIVE X' COMPONENTS, or ANY OTHER C
OMPONENT ARCHITECTURE, INCLUDING BUT NOT LIMITED TO DLLs, FOR DISTRIBUTION OUTSI
DE OF YOUR COMPANY IN ANY FORM, MANNER OR MEDIA OR USING ANY DISTRIBUTION CHANNE
L, WHICH UTILIZES ALL OR ANY PORTION OF THE SOFTWARE COMPONENT PRODUCT(S) AND IT

6. UPGRADES. If the SOFTWARE COMPONENT PRODUCT(S) is labeled as an upgrade, you
must be properly licensed to use a PRODUCT(s) identified by DEVEXPRESS. as being
eligible for the upgrade in order to use the SOFTWARE COMPONENT PRODUCT. A SOFT
WARE COMPONENT PRODUCT labeled as an upgrade replaces and/or supplements the SOF
TWARE COMPONENT PRODUCT that formed the basis for your eligibility for the upgra
de, and together constitute a single PRODUCT. You may use the resulting upgraded
PRODUCT only in accordance with all the terms of this EULA.
7. COPYRIGHT. All title and copyrights in and to the SOFTWARE COMPONENT PRODUCT(
S) (including but not limited to any images, demos, source code, intermediate fi
les, packages, photographs, distributables, animations, video, audio, music, tex
t, and "applets" incorporated into the SOFTWARE COMPONENT PRODUCT(S) the accompa

ENT PRODUCT(S) in more than one medium. Regardless of the type or size of medium
you receive, you may use only one medium that is appropriate for your single co
mputer. You may not use or install the other medium on another computer. You may
not loan, sell, rent, lease, or otherwise transfer in any manner the other medi
um to another user or entity.
9. Installation and Use. The license granted in this EULA for you to create your
own compiled programs and distribute your programs and the Redistributables (if
any), is subject to all of the following conditions:
a) (i) all copies of the programs you create must bear a valid copyright notice,
either your own or the DEVEXPRESS copyright notice that appears on the SOFTWARE
COMPONENT PRODUCT(S); (ii) you may not remove or alter any DEVEXPRESS copyrigh
t, trademark or other proprietary rights notice contained in any portion of DEVE

ureau of Export Administration nor any other federal agency has suspended, revok
ed or denied your export privileges.

SOFTWARE COMPONENT PRODUCT(S) Transfer. You may NOT permanently or temporarily t
ransfer ANY of your rights under this EULA to any individual or entity. Regardl
ess of any modifications which you make and regardless of how you might compile,
link, and/or package your programs, under no circumstances may the libraries, c
ode, Redistributables, and/or other files of the SOFTWARE COMPONENT PRODUCT(S) (
including any portions thereof) be used for developing programs by anyone other
than you. Only you as the licensed Developer End User have the right to use the
libraries, code, Redistributables, or other files of the SOFTWARE COMPONENT PRO

ARE COMPONENT PRODUCT(S). In particular, you may not share copies of the Redist
ributables with other co-developers. You may not reproduce or distribute any DE

4. Termination. Without prejudice to any other rights or remedies, DEVEXPRESS wi
ll terminate this EULA upon your failure to comply with all the terms and condit
ions of this EULA. In such event, you must destroy all copies of the SOFTWARE CO
MPONENT PRODUCT(S) and all of its component parts including any related document
ation, and must remove ANY and ALL use of such technology immediately from any a
pplications using technology contained in the SOFTWARE COMPONENT PRODUCT(S) deve
loped by you, whether in native, altered or compiled state.
5. Additional Restrictions. ONLY THE LEGALLY REGISTERED DEVELOPER END USER IS LI
CENSED TO DISTRIBUTE ROYALTY-FREE THE EXPRESSQUANTUMGRID, AND ALL ACCOMPANYING V
CL CONTROLS AS PART OF AN EXECUTABLE PROGRAM ONLY, subject to all of the conditi
ons of this agreement.
You may use the SOFTWARE COMPONENT PRODUCT(S) and related source code to create
new VCL components for your company's internal use ONLY. THE SOURCE CODE, PACKAG
ES, LIBRARIES AND ALL RESULTING INTERMEDIATE FILES (DCU, OBJ, DLL, ETC.) ARE CON
FIDENTIAL AND PROPRIETARY TRADE SECRETS OF DEVEXPRESS.

6. UPGRADES. If the SOFTWARE COMPONENT PRODUCT(S) is labeled as an upgrade, you
must be properly licensed to use a PRODUCT(s) identified by DEVEXPRESS as being
eligible for the upgrade in order to use the SOFTWARE COMPONENT PRODUCT. A SOFTW
ARE COMPONENT PRODUCT labeled as an upgrade replaces and/or supplements the SOFT
WARE COMPONENT PRODUCT that formed the basis for your eligibility for the upgrad
e, and together constitute a single PRODUCT. You may use the resulting upgraded
PRODUCT only in accordance with all the terms of this EULA.
7. COPYRIGHT. All title and copyrights in and to the SOFTWARE COMPONENT PRODUCT(
S) (including but not limited to any images, demos, source code, intermediate fi
les, packages, photographs, distributables, animations, video, audio, music, tex
t, and "applets" incorporated into the SOFTWARE COMPONENT PRODUCT(S), the accomp
anying printed materials, and any copies of the SOFTWARE COMPONENT PRODUCT(S) ar
e owned by DEVEXPRESS or its subsidiaries. The SOFTWARE COMPONENT PRODUCT(S) is
protected by copyright laws and international treaty provisions. Therefore, you
must treat the SOFTWARE COMPONENT PRODUCT(S) like any other copyrighted material
except that you may install the SOFTWARE COMPONENT PRODUCT(S) on a single compu
ter provided you keep the original solely for backup or archival purposes. You m

mputer. You may not use or install the other medium on another computer. You may
not loan, sell, rent, lease, or otherwise transfer in any manner the other medi
um to another user or entity.
9. Installation and Use. The license granted in this EULA for you to create your
own compiled programs and distribute your programs and the Redistributables (if
any), is subject to all of the following conditions:
(i) all copies of the programs you create must bear a valid copyright notice, ei
ther your own or the DEVEXPRESS copyright notice that appears on the SOFTWARE CO
MPONENT PRODUCT(S); (ii) you may not remove or alter any DEVEXPRESS copyright,
trademark or other proprietary rights notice contained in any portion of DEVEXPR
ESS libraries, source code, Redistributables or other files that bear such a not
ice; (iii) DEVEXPRESS provides no warranty at all to any person, other than the

re not necessarily limited to Cuba, Iran, Iraq, Libya, North Korea, Sudan, and S
yria. You warrant and represent that neither the U.S.A. Bureau of Export Admini
stration nor any other federal agency has suspended, revoked or denied your expo
rt privileges.
NOTE ON JAVA SUPPORT. Certain SOFTWARE COMPONENT PRODUCT(S) may contain support
for programs written in Java. Java technology is not fault tolerant and is not
designed, manufactured, or intended for use or resale as on-line control equipm
ent in hazardous environments requiring fail-safe performance, such as in the op
eration of nuclear facilities, aircraft navigation or communication systems, air
traffic control, direct life support machines, or weapons systems, in which the

ENGAGING IN ANY OF THE ACTIVITIES LISTED BELOW WILL TERMINATE THE SOFTWARE LICEN
SE. IN ADDITION TO SOFTWARE LICENSE TERMINATION, FAST REPORTS INC. MAY PURSUE CR
IMINAL, CIVIL, OR ANY OTHER AVAILABLE REMEDIES.
Distribution of any files contained in this software package, other than the run
time packages explicitly listed above, including but not limited to .PAS, .DFM,
.DCU files, .DCP files, and design-time packages.
Modification, decompilation, disassembly, reverse engineering or translation of
the Product.
Removal of proprietary notices, labels or marks from the Product or Product Docu
mentation.
Inclusion of the Product in a development environment.
Creation of an application that does not differ materially from the Product.
Development and/or distribution of a stand-alone reporting application based on
the Product.
Creation of an application (whether it be freeware, shareware or a commercial pr
oduct) which competes directly or indirectly with the Product.
AGREEMENT PERTAINING TO THE RELEASE OF SOURCE CODE by Fast Reports, Inc. to Reci
pient:
USE OF SOURCE CODE
Recipient will not utilize the source for the creation of Product (whether it be
freeware, shareware or a commercial product) which competes directly or indirec
tly with Product. In addition, Recipient will not disclose the source itself, no
r the implementations discovered therein, to any party involved in the creation
of software which competes directly or indirectly with Product.
DISTRIBUTION OF SOURCE CODE
Recipient will not distribute the Product. Specifically this includes all .dcu,
.dfm, and .pas files which Fast Reports has provided.
CHANGES TO SOURCE CODE
Fast Reports reserves the right to change any part of the source in future versi
ons of the Product. These changes may include the removal of classes, properties
and methods or the creation of new classes, properties and methods.
TECHNICAL SUPPORT FOR SOURCE CODE
Fast Reports will not provide support for changes Recipient makes to the source.
Recipient assumes full responsibility for supporting any code or application w
hich results from such modification. Recipient will not hold Fast Reports liabl
e, directly or indirectly, for any changes made to the source, including changes
which Recipient has made based on advice or suggestions provided by Fast Report
s.
You must clearly indicate any modifications at the start of each source file. Th
e user of any modified Product code must know that the source file is not origin
al.
SOURCE IS PROVIDED AS IS
PRODUCT IS DISTRIBUTED "AS IS". NO WARRANTY OF ANY KIND IS EXPRESSED OR IMPLIED.

TERM AND TERMINATION.
The license granted under this Agreement will continue in force until terminated
, as set forth herein. If Licensee fails to pay any monies or provide any servi
ces due in connection with the Product, or violates any term or condition of thi
s Agreement, Fast Reports or its agent may terminate this License immediately by
giving notice of termination to Licensee. Licensee is responsible for providing
valid contact information to Fast Reports. If no valid contact information is a
vailable for Licensee in Fast Reports' records, Fast Reports is not required to
give notice of termination to Licensee. Licensee also may terminate this Licens
e voluntarily by giving notice of termination to Fast Reports and destroying or
returning to Fast Reports all copies of all or any part of the Product and relat
ed user documentation in Licensee's possession or under Licensee's control.
EFFECT OF TERMINATION.
Immediately upon termination, Licensee will destroy or return to Fast Reports al
l copies of all or any part of the Product in Licensee's possession or under Lic
ensee's control. Licensee will have no right to keep or use any copy of the Prod
uct and related user documentation for any purpose after termination of this Agr
eement.
TRANSFER OF PRODUCT
Licensee shall not have the right to transfer this Product license, without the
prior written consent of Fast Reports.
CONFIDENTIALITY.
The parties to this Agreement will take all reasonable steps to ensure that any
material or information identified by either party to be confidential ("Confiden
tial Information"), which the other party has possession or knowledge of in conn
ection with this Agreement, will not be disclosed to others, in whole or in part
, without the prior written permission of the other party. Neither party will h
ave the obligation to maintain the confidentiality of any data or information wh
ich (i) was in the receiving party's lawful possession prior to receipt from the
other party, (ii) is later lawfully obtained by the receiving party from a thir
d party having no obligation of secrecy to the other party, (iii) is available t
o the public through no act or failure of the receiving party, (iv) is readily a
vailable in the public domain, or (v) is independently developed by the receivin
g party. The receiving party will immediately return or destroy any or all Conf
idential Information that has been provided to it by the other party, upon the o
ther party's request.
PRODUCT WARRANTY
Fast Reports warrants the Product to conform to the description of its function
and performance. In the event that the Software does not perform in accordance
with this warranty, Fast Reports agrees to repair or fix any non-conformity free
of charge, or to refund any amount paid by Licensee for the Product. Product t
hat does not perform in accordance with its description due to one or more of th
e following causes will not be covered by this warranty: (i) The code or related
files are changed by anyone other than Fast Reports, or (ii) if the Product is
custom Product developed for Licensee, the custom Product is installed by anyone
other than Fast Reports.
REFUNDS
In the event that Fast Reports refunds any amounts paid by Licensee for the Prod
uct, pursuant to Paragraph above, Licensee understands and agrees that this Agre
ement and the Product license are terminated, and Fast Reports will withdraw Pro
duct, code and related documentation provided under this Agreement. Upon receip
t of such refund, Licensee agrees that it will no longer use, display or otherwi
se control the Product, code or related documentation for which the refund was i
ssued.
DISCLAIMER OF WARRANTY FOR PRODUCT
EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS AGREEMENT, FAST REPORTS DISC
LAIMS ALL IMPLIED WARRANTIES FOR THE PRODUCT, INCLUDING WARRANTIES OF MERCHANTAB
ILITY AND FITNESS FOR A PARTICULAR PURPOSE. FAST REPORTS MAKES NO REPRESENTATION
S CONCERNING THE QUALITY OF THE PRODUCT AND DOES NOT PROMISE THAT THE PRODUCT WI
LL BE ERROR FREE OR WILL OPERATE WITHOUT INTERRUPTION.
LIMITATION OF LIABILITY
IN NO EVENT WILL FAST REPORTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SP
ECIAL, CONSEQUENTIAL OR OTHER DAMAGES ARISING OUT OF THE USE OF THE PRODUCT BY A
NY PERSON, REGARDLESS OF WHETHER FAST REPORTS IS INFORMED OF THE POSSIBILITY OF
DAMAGES IN ADVANCE. THESE LIMITATIONS APPLY TO ALL CAUSES OF ACTION, INCLUDING B
REACH OF CONTRACT, BREACH OF WARRANTY, FAST REPORTS' NEGLIGENCE, STRICT LIABILIT

OWNERSHIP OF PRODUCT
Fast Reports has and will retain all ownership rights in the Product, including
all patent rights, copyrights, trade secrets, trademarks, service marks, related
goodwill and confidential and proprietary information. Licensee will have no r
ights in the Product except as explicitly stated in this Agreement.
ASSIGNMENT AND DELEGATION
Licensee may not assign this Agreement or any rights under it and may not delega
te any duties under this Agreement without Fast Reports' prior written consent.
Any attempt to assign or delegate without that consent will be void.
GENERAL
This Agreement constitutes the entire understanding between Fast Reports and Lic
ensee with respect to subject matter hereof. Any change to this Agreement must
be in writing, signed by Fast Reports and Licensee. Terms and conditions set fo
rth in any purchase order which differ from, conflict with, or are not included
in this Agreement, shall not become part of this Agreement unless specifically a
ccepted by Fast Reports in writing. Licensee shall be responsible for and shall
pay, and shall reimburse Fast Reports on request if Fast Reports is required to
pay, any sales, use, value added (VAT), consumption or other tax (excluding any
tax that is based on Fast Reports' net income), assessment, duty, tariff, or ot
her fee or charge of any kind or nature that is levied or imposed by any governm
ental authority on the Product.
All rights not expressly granted here are reserved by Fast Reports Inc.

Relationship Between the Parties
The relationship between you and us is that of licensee/licensor. Neither party

ement shall be construed to limit either party's right to independently develop
