Overview      

The Company was incorporated on May 1, 1995 under the Companies Act,
1956 as Info Edge (India) Private Limited. and converted into a Public
Limited on April 27, 2006.

Info Edge (India) Limited (Info Edge) is India’s premier on-line classifieds
company in recruitment, matrimony, real estate, education and related
services. Our businesses comprise the following:

BUSINESSES

 Recruitment – This comprises online recruitment classifieds


(www.naukri.com, India’s leading job site and www.naukrigulf.com a
job site focused at the Middle East job market) and offline executive
search (www.quadranglesearch.com). Related sites in this business
are a professional networking site (www.brijj.com) and a fresher hiring
site (www.firstnaukri.com).
 Matrimony – This comprises online matrimony classifieds
(www.jeevansathi.com) and 14 offline Jeevansathi Match Points.
 Real Estate – This comprises online real estate classifieds
(www.99acres.com), a real estate brokerage business
(www.allcheckdeals.com, housed in a subsidiary named
www.allcheckdeals.com India Private Limited).
 Education - This comprises online education classifieds
(www.shiksha.com).
The company undertakes investments in companies / start-up ventures. In
the year 2008-09 the company invested in Applect Learning Systems Pvt
Limited (www.meritnation.com) and Etechaces Consulting and Marketing
Pvt Limited (www.policybazaar.com).

Info Edge has established and currently maintains a network of 49 offices


located in 32 cities throughout India. These offices primarily engage in
sales, marketing and payment collection activities for our businesses. To
cater to the Gulf market we have 2 offices in Dubai and 1 in Bahrain and
Riyadh each. As on March 31, 2010, our employee strength was about
1,550 persons.

As of March 31, 2010 we had six subsidiaries and one associate company -
Naukri Internet Services Private Limited and Jeevansathi Internet Services
Private Limited, which own internet domain names and related trademarks
used in our business; Allcheckdeals.com India Pvt Limited
(www.allcheckdeal.com) which provides brokerage services in the Indian
real estate sector; Applect Learning Systems Private Limited which owns
and operates the site www.meritnation.com; Info Edge (India) Mauritius
Limited and Info Edge Inc, USA. Etechaces Consulting and Marketing Pvt
Limited is an associate company of Info Edge.

Board of Directors

Mr. Kapil Kapoor, an Indian national, is our Chairman and non-


executive Director. He obtained a Bachelor of Arts degree in
Economics from the University of Delhi and a Post Graduate
Diploma in Management (PGDM) from Indian Institutue of
Management (“IIM”), Ahmedabad. Mr. Kapoor is currently the Chief
Operating Officer for Timex Group USA, Inc. Before that he has
been the Managing Director of the publicly held Timex Group India
Kapil Kapoor Limited from Oct 2000 and until Oct 2009 was the Senior Vice
President of the Asia-Pacific Region for the Timex Group. He also
continues to serve as Vice Chairman of Timex Group India Limited
Mr. Kapoor started his professional career in 1987 with Nestle India
Limited. He later worked with Bausch & Lomb, where he was part
of the start up team that launched RayBan sunglasses and the
Bausch & Lomb vision care range in India; and subsequently went
on to manage the overseas marketing territories of Russia, Ukraine
and East Africa in addition to the SAARC region. In 1996, Mr.
Kapoor relocated to Thailand as the Country Manager for Bausch &
Lomb and was promoted to Commercial Director in 1998 with
regional responsibility for South East Asia and the SAARC region.
 
Sanjeev Bikhchandani, an Indian national, is our Founder and
Executive Vice-Chairman. Mr. Bikhchandani obtained a Bachelor
of Arts degree in Economics from St. Stephen College, Delhi
University in 1984 and a Post Graduate Diploma in Management
("PGDM") from IIM, Ahmedabad in 1989. He joined us in April
2000. His work experience includes an advertising position at
 
Hitesh Oberoi, an Indian national, is our Managing Director and
Chief Executive Officer. Mr. Oberoi obtained a Bachelor of
Technology degree in Computer Science from the Indian Institute of
Technology, Delhi in 1994 and MBA from IIM Bangalore in 1996. At
IIM he featured in the Director's Merit List. He joined us in March 1,
2000. Mr. Oberoi has set up our sales and marketing operations
and has been instrumental in launching new products and services

99acres.com and Shiksha.com & other new businesses. Prior to
joining us, Mr. Oberoi was the Regional Planning and Distribution
Manager (North India) for the Ice Cream Division of Hindustan
Lever Limited, the Indian arm of Unilever Plc, where he worked for
almost four years. Hitesh, along with his partner Sanjeev
Bikhchandani, won the “Ernst and Young – Entrepreneur of the
Year” award in 2008 for Business Transformation.
 
Ambarish Raghuvanshi, an Indian national, is our Whole Time
Director, Group President-Finance and Chief Financial Officer.
Mr. Raghuvanshi obtained a Bachelor of Commerce degree from
St. Xavier's College, Kolkata in 1983 and a Post Graduate
Diploma in Business Management ("PGDBM") from XLRI,
Jamshedpur in 1987. He is a qualified Chartered Accountant. Mr.
Raghuvanshi joined us in October 20, 2000 and has been part of
Ambarish the early management team. Prior to joining us, Mr. Raghuvanshi
Raghuvanshi has had a wide range of experience in corporate and investment
banking with Standard Chartered Bank, HSBC, and the Bank of
America, where he has assisted and advised corporates across a
wide spectrum of the industry on capital raising, mergers and
acquisitions, and raising working capital.
 
Arun Duggal is an experienced international Banker and has
advised companies on Financial Strategy, M&A and Capital
Raising.

He is Chairman of Board of Directors of Shriram Transport Finance


Company, Shriram Properties Ltd, Shriram City Union Finance Ltd.,
and Shriram EPC Limited. He is the Vice Chairman of International
Arun Duggal Asset Reconstruction Company.

He is on the Board of Directors of Jubilant Energy NV., Patni


Computers (Chairman, Audit Committee), Fidelity Fund
Management, Manipal Acunova Limited, Zuari Industries, Info Edge
(India), Dish TV India Ltd., Mundra Port & SEZ Ltd., and Hertz
(India) and Mortice Limited (Singapore). Mr. Duggal is Advisor to
IMA (formerly Economist Intelligence Unit, India). He is a member
of the Investment Committee of Axis Private Equity. He is Vice
Chairman of Indian Venture Capital Association.

He was on the Board of Governors of the National Institute of Bank


Management. He is a Board Member and erstwhile Chairman of the
American Chamber of Commerce, India.

Mr. Duggal is involved in several initiatives in social sector. He is a


founder Director of Bellwether Microfinance Fund which provides
equity capital to promising Micro Finance organizations and helps
them in capacity building. He is a Trustee of Centre for Civil
Society, New Delhi, which focuses on improving the quality and
access of education to students especially for the poor. He is
Senior Advisor (Asia Pacific) to Transparency International Berlin,
which is undertaking a number of initiatives to combat corruption
problem around the world.

Mr. Duggal had a 26 years career with Bank of America, mostly in


the U.S., Hong Kong and Japan. His last assignment was as Chief
Executive of Bank of America in India from 1998 to 2001. He spent
ten years (1981-1990) with the New York Corporate Office of Bank
of America handling multinational relationships. From 1991-'94 as
Chief Executive of BA Asia Limited, Hong Kong he looked after
Investment Banking activities for the Bank in Asia. In 1995, he
moved to Tokyo as the Regional Executive, managing Bank of
America's business in Japan, Australia and Korea. From 2001 to
2003 he was Chief Financial Officer of HCL Technologies, India.

A Mechanical Engineer from the prestigious Indian Institute of


Technology, Delhi, Mr. Duggal holds an MBA from the Indian
Institute of Management, Ahmedabad. He teaches Banking &
Finance at the Indian Institute of Management, Ahmedabad as a
visiting Professor.

He has dual citizenship of India as well as of the U.S. A theatre


enthusiast, he also plays tennis and enjoys trekking in the
Himalayas. He is married to Dr. Rita Duggal and they have two
daughters.
 
Ashish Gupta, an U.S. national, is a non-executive Director. He has
obtained a Bachelors of Technology degree in Computer Science
from Indian Institute of Technology ("IIT"), Kanpur, where he was
awarded the President's Gold medal; and a Ph.D. in Database
Technology from Stanford University, U.S.A. Mr. Gupta is a partner
 
Saurabh Srivastava, an Indian national, is a non-executive
Director. He has obtained a Bachelors of Technology degree from
the IIT, Kanpur and a Masters of Science degree from Harvard
University, USA. Mr. Srivasatva is one of India's leading IT
entrepreneurs, angel investors and venture capitalists. He chairs
or sits on the board of several companies. He founded one of
India's most trendsetting IT companies, Xanza Plc.(previously IIS
Saurabh Infotech). Xansa plc. is a USD 600 million IT company listed on the
Srivastava London Stock Exchange. Mr. Srivasatva chairs Infinity, India's
leading seed-stage VC fund as also the Indian Venture Capital
Association; and sits on the boards of several of India's central and
state governments' VC funds. Mr. Srivasatva is a co-founder and
past chairman of NASSCOM, the Indian software industry
association, President of The Indus Entrepreneurs ("TiE"), Delhi
and on the global board of TiE, which is the world's largest
organisation devoted to entrepreneurs. He is on the advisory board
of the Imperial College, Business School London, an adjunct
professor of entrepreneurship at IIT, Mumbai. The IIT, Kanpur has
conferred on him the "Distinguished Alumnus" award.
 
Bala Deshpande is working (since 2008) as Senior Managing
Director with New Enterprise Associates (India) Pvt. Ltd based in
Mumbai. Prior to this, she was Director of Investments at ICICI
Ventures where she had been since 2000. At ICICI Venture, she
used her operational experience to identify opportunities for
investment and to play a strategic role in shaping the future of
investee companies. She launched leading e-commerce ventures
Bala like Traveljini and BillJunction and was a Director at Subhiksha,
Deshpande Pantaloon Retail, Air Deccan, Nagarjuna Construction, Welspun,
TechProcess Solutions and Info Edge (India) Ltd. Her private
equity experience has seen the full cycle from nurturing young
companies to executing over ten exits including IPO, buy-back,
strategic sale, and capital market divestments. Prior to ICICI
Venture, Ms. Deshpande worked with leading multi national
companies such as Bestfoods, Cadburys, and ICI. She was a part
of the Strategic Planning Team at Bestfoods and was also
nominated for the Women Leadership Forum held at Bestfoods,
New York. Ms. Deshpande has a master’s degree in Economics
and Business Administration from Jamnalal Bajaj, Mumbai.
 
Dr. Naresh Gupta is a B. Tech in Computer Science from the
Indian Institute of Technology, Kanpur, where he was named a
Gold Medalist. He holds master's and doctorate degrees in
computer science from the University of Maryland, College Park.

As part of the ‘Guess Who's Just Heard from Us’ – the ‘Hari Sadu’
campaign won a Bronze Effie in the Consumer Services Category, at the
2008 Asia Pacific Effie Awards. It has been recognized as one of the most
effective campaigns developed and executed by agencies across the
region. The campaign was one among the three winner campaigns from
India. The awards were conferred at a ceremony held in Singapore on 29th
Feb, 2008.

 
In November 2007, at the CASBAA TV Advertising Awards 2007, Hari
Sadu’ campaign won the “Best TVC India and South Asia.” The CASBAA
(Cable and Satellite Broadcasting Association of Asia) awards, now in its
fourth year, recognize and promote the outstanding achievements of
advertising creative excellence in multi-channel TV in Asia Pacific.The
“Best TVC India and South Asia” came from FCB Ulka for Naukri’s ‘Hari
Sadu’ campaign.

 
The “Red Herring Asia 100" 2006: Naukri won The “Red Herring Asia
100" 2006 award, for the INSTA HIRE Solution. Insta Hire is a closed loop
application, which provides for instant contact by recruiters and instant
application by recruitees via SMS. It is a breakthrough recruitment solution
available on a revolutionary new platform going beyond the standard.

The “Red Herring Asia 100" is given to the top 100 Asian tech companies
on the basis of technology innovation, management strength, market size,
investor record, customer acquisition and financial health. This year the
awards were held in Hong Kong.

 
Silver EFFIES 2006: Naukri’s “Hari Sadu” campaign won the “Silver
Effies” 2006 in Mumbai EFFIE awards Ideas that Work - the great ideas
that achieve real results and the strategy that goes into creating them. The
EFFIE Awards gaze the co-relation between the add release and the
increase in sales. Whether mainstream or alternative; digital or print; design
or advertising; paid or unpaid, if the campaign can demonstrate
measurable results its is eligible to enter EFFIE.

 
Ad Club Calcutta Consumer Connect Awards 2006: Naukri won two
awards at the Advertising Club Calcutta “Consumer Connect Awards’, for
the “Hari Sadu” campaign. One is the National Trophy in the Consumer
Services category & the other is the Campaign of the Year.

In these Awards the consumers play a major part. Each entry goes through
the two-panel study to generate a Consumer Connect Score. Each entry is
taken through two separate consumer panels. First a "Market Assessment"
is conducted to determine current perception of the brand. Then a
"Stimulus Assessment" is conducted with a matched panel to measure the
impact the entry had on consumer's perceptions of the brand. The winner is
chosen based on a live presentation of the case study.

 
Naukri.com had won a ‘Bronze Effie’ in the Consumer Services Category
at the Bombay Effies 2005 for the ‘Washroom’ TVC, the first ad in the
‘Guess who’s just heard from us campaign’.

Online Recruitment Classifieds & Related Services


We provide recruitment classifieds and related services to job seekers
and Corporate Customers, (employers and recruitment consultants) on
our website www.naukri.com, supported by our network of our offices in
India, spread across cities. We also run the website
www.naukrigulf.com which targets the middle eastern market with
offices in Dubai, Bahrain and Riyadh. Job seekers can upload their
resumes on our website. We provide assistance to job seekers in
preparing resumes and listing them on our website. For our employer
and recruitment consultant customers, we list / advertise - their job
vacancies, provide tools to conduct searches in our database of
resumes and provide job application screening programs. As of March
31, 2010 Naukri.com had a database of about 21 million registered job
seekers, and over 80,000 live job listings from Corporate Customers.
During the Fiscal year 2009-10 Naukri.com serviced approximately
35,500 Corporate Customers and an average of about 11,000 resumes
were added daily to the Naukri.com database in Fiscal year 2009-10.
Real Estate

The site www.99acres.com is one of India’s first platforms to cater to


the real estate market online and has a pan India listing of properties
for sale, purchase and rent spanning 25 plus cities. It brings together
builders, brokers, dealers and interested buyers /sellers and connects
them over the online medium. Property listings were over 700,000
during 2009-10. The site has continued to increase its traffic share
during 2009-10 as per Comscore data.

The business allcheckdeals is that of a real estate broker. It manages a


website www.allcheckdeals.com which helps it showcase its offerings
and attract customers online.
Matrimony

The site www.Jeevansathi.com was acquired by Info Edge in


September 2004. The site enables brides or grooms or their families to
identify potential marriage partners by providing suitable matching
tools. In India, arranged marriages, are very prevalent and the Indian
online matrimony market is highly fragmented along religion, caste,
community, linguistic group and geography. The websites active in the
matrimony market cater to specific markets and so does Jeevansathi.
As of March 31, 2010 we had 3.7 million profiles ever loaded on our
site.

To complement our online offering we have set up 14 offline


Jeevansathi Match Points which are located in high footfall retail
areas in certain cities. These outlets provide assisted services and help
prospective brides or grooms or their families understand and interact
with our site.
Education

Shiksha.com is a market place that connects the education seeker with


the education provider. Shiksha.com provides information for over
70,000 colleges, courses, scholarships and admission notifications. It
provides tools that enable its users make a well informed decision by
interacting with other Shiksha users, Shiksha experts and college
/school alumni groups. For e.g.: a Shiksha user can start a discussion
at "Ask & Discuss" in order to seek opinion of other Shiksha users and
Shiksha experts. A Shiksha user can seek opinion of students, alumni
and faculty of colleges and schools at College Groups and School
Groups.

Shiksha.com has a team of experienced Counsellors on its rolls who


assist students find the right college and course. Typically our
Counsellors provide services completely free of cost to education
seekers.
