HERO HONDA

CODE OF CONDUCT
FOR DIRECTORS AND SENIOR MANAGEMENT

I. INTRODUCTION

This Code of Conduct has been adopted by the Board of Directors


of Hero Honda Motors Limited for its members and the Senior
executives one level below, the Directors, including all functional
heads (hereinafter referred to as "Specified employee").

There are certain clauses of the Code, which are meant for
Directors only such as attending meetings of the Board and
Committee thereof. The Specified employees need to ignore such
clauses.

The principal duty of the Board of Directors, along with


management, is to ensure that the Company is well managed in
the interests of its shareholders. The Board of Directors plays the
central role in the Company's governance. It is the Company's
decision-making authority on all matters except those reserved to
shareholders or delegated to the management. The Board of
Directors is not expected to assume an active role in the day-to-
day management of the Company.

II. GUIDELINES FOR CONDUCT

Each director and Specified Employees seek to use due care in


the performance of his/her duties, be loyal to the Company, act in
good faith and in a manner such Director and Specified employee
reasonably believes to be not opposed to the best interests of the
Company. A Director and Specified employee should seek to also:

• Make reasonable efforts to attend Board and committee


meetings.

• Dedicate time and attention to the Company.

• Comply with all applicable laws, regulations,


confidentiality obligations and corporate policies of the
Company.

• Be independent in judgement and actions and to take all


reasonable steps to be satisfied as to the soundness of all
decisions taken by the Board of Directors.
III. CORPORATE BUSINESS OPPORTUNITIES

In carrying out their duties and responsibilities, Directors and


Specified employees should avoid:

• Appropriating corporate business opportunities for


themselves that are discovered through the use of
Company property or information or their position as
Directors and Specified employees.

• Using Company property or information, or their position


as Director and Specified employees, for personal gain.

• Competing with the Company.

A corporate business opportunity is an opportunity:

1. Which is in the Company's line of business or proposed


expansion or diversification.

2. Which the Company is financially able to undertake.

3. Which may be of interest to the Company.

A Director and Specified employee, who learns of such a


corporate business opportunity and who wishes to avail of it
should disclose such opportunity to the Company's Board of
Directors. If the Board of Directors determines that the Company
does not have an actual or expected interest in such opportunity,
then, and only then, may the Director and Specified employee
avail of it, provided that the Director and Specified employee has
not wrongfully utilized the Company's resources in order to
acquire such opportunity.

IV. CONFLICTS OF INTEREST

• Each Director and Specified employee should endeavour


to avoid having his or her private interests interfere with:
i) the interests of the Company or
ii)his or her ability to perform his or her duties and
responsibilities objectively and effectively.

• They should avoid receiving, or permitting members of


their immediate family to receive, improper personal
benefits from the company, including loans from or
guarantees of obligations by the Company, except as may
be provided in their employment contract.

• They should make a full disclosure to the entire Board of


any transaction or relationship that such a Director and
Specified employee reasonably expects could give rise to
an actual conflict of interest with the Company and seek
the Board's authorization to pursue such transactions or
relationships.

V. COMPANY PROPERTY

In carrying out their duties and responsibilities, Directors and


Specified employees should endeavour to ensure that
management is causing the Company's assets, proprietary
information and resources to be used by the Company and its
employees only for legitimate business purposes of the Company.

VI. CONFIDENTIAL INFORMATION

Director and Specified employees should maintain the


confidentiality of information entrusted to them in carrying out
their duties and responsibilities, except where disclosure is
approved by the Company or legally mandated or if such
information is in the public domain.

The Company's confidential and proprietary information shall not


be inappropriately disclosed or used for the personal gain or
advantage of any Director and Specified employees or anyone
other than the Company. These obligations apply not only during
a Director's and Specified employee's term, but thereafter as
well.

VII. FAIR DEALING

In carrying out their duties and responsibilities, Director and


Specified employees should endeavour to deal fairly, and should
promote fair dealing by the Company, its employees and agents,
with customers, suppliers and employees.

Director and Specified employees should not seek to take unfair


advantage of the Company through manipulation, concealment,
abuse of privileged information, misrepresentation of material
facts or any other unfair dealing.

VIII. COMPLIANCE WITH LAWS AND REGULATIONS

In carrying out their duties and responsibilities, Directors and


Specified employees should comply, and endeavour to ensure
that the management is causing the Company to comply, with
applicable laws, rules and regulations. In addition, if any Director
and Specified employee becomes aware of any information that
he or she believes constitutes evidence of a material violation of
any securities or other laws, rules or regulations applicable to the
Company or the operation of its business, by the Company, any
employee or another Director and Specified employee, then such
Director and Specified employee should bring such information to
the attention of the Chairman of the Audit Committee.

IX. INSIDER TRADING

Director and Specified employees should observe all applicable


laws and regulations including the Company policies and Codes
as applicable to them with respect to the purchase and sale of the
Company's securities.

It is the responsibility of each Director and Specified employee to


become familiar with and understand these laws, regulations,
policies and codes and should seek further explanations and
advice concerning their interpretation, if required.

Any waiver of or amendments to the Company's policies or Codes


may be made only by the Company's Board of Directors and will
be disclosed promptly as required by applicable laws and
regulations including the rules of any exchange on which the
Company's securities are listed or traded.

Director and Specified employees should direct questions


regarding the application or interpretation of these guidelines to
the Company Secretary/Compliance Officer.

X. ENCOURAGING THE REPORTING OF ILLEGAL OR


UNETHICAL
BEHAVIOUR

Director and Specified employees should endeavour to ensure


that management is causing the Company to promote ethical
behaviour and to encourage employees to report evidence of
illegal or unethical behaviour to appropriate Company personnel.

Director and Specified employees should endeavour to ensure


that the Company will not allow retaliation against any employee
who makes a good faith report about a possible violation of the
Company's Code of Conduct.
XI. NON-COMPLIANCE

Suspected violations of this Code may be reported to the


Chairman of the Board or the Chairman of the Audit Committee.
All reported violations should be appropriately investigated.

A Director and Specified employees charged with a violation of


this Code should not participate in or vote on the matter in the
meeting of a Committee or the Board concerning his/her alleged
violation, but may be present at a meeting of the Board or of a
Committee convened for that purpose.

Any waiver of this Director and Specified employees' Code must


be approved by the Board of Directors and publicly disclosed if
required by any applicable law or regulation.

XII. EMPLOYEES

The Director and Specified employee should respect each and


every employee of the Company, treat each of them in a fair and
equitable manner; respect their privacy and not to share/disclose
their personal information without their prior consent; maintain
non-discriminatory approach and refrain from harassing
employees, making sexual advancements, coercion, threat by
virtue of his/her position with the Company.

XIII. CUSTOMERS

The Director and Specified employee should ensure to provide


products and services, which meet the desired quality and safety
standards and redress the Customer's grievance genuinely.

XIV. SHAREHOLDERS

The Director and Specified employee should ensure to protect


shareholders interest by ensuring maintenance of accurate and
complete records by avoiding false misleading or artificial entries
in the Books of accounts.

BRIEF PROFILE OF DIRECTORS

MR. BRIJMOHAN LALL MUNJAL

Mr. Brijmohan Lall Munjal is the founder Director and Chairman of


the Company and the $ 3.2 billion Hero Group. He is the Past
President of Confederation of Indian Industry (CII), Society of
Indian Automobile Manufacturers (SIAM) and was a Member of the
Board of the Country's Central Bank (Reserve Bank of India). In
recognition of his contribution to industry, Mr. Munjal was
conferred the Padma Bhushan Award by the Union Government.

MR. PAWAN MUNJAL

Mr. Pawan Munjal is the Managing Director and CEO of the


Company. He is responsible for growth and strategic planning for
the entire Group. A graduate in mechanical engineering, Mr.
Munjal has been instrumental in bringing about technological and
managerial excellence in the Company's operations. He has been
the Chairman of several Committees of CII.

He is also on the board of Indian Institute of Management,


Lucknow . An avid golfer, Mr. Munjal is Past Chairman of the Asian
PGA Tour Board of Directors and the Past President of
Professional Golfers Association of India (PGAI). Under his
guidance, Hero Honda launched the Hero Indian Sports Academy
(HISA) in collaboration with Laureus Foundation to provide equal
opportunities in sports to various communities and to reward
talent in the country.

MR. TOSHIAKI NAKAGAWA


Mr. Toshiaki Nakagawa joined the Company as Joint Managing
Director on February 1, 2006.

He joined Honda Motor Co., Ltd, Japan in April 1973 and later on
took various assignments at Senior Positions in world wide Honda
net work, such as staff member of UK, Hongkong and President of
Honda Czech Republic, Honda France and General Manager of
Honda Beijing Office.

Before joining the Company, he held the position as General


Manager of Operating Office of China, ASEAN succeeding by
Operating Office No.1 (North America, South America and Europe)
at Honda Head Office, Japan.

His specialization is “Overseas Sales of Automobiles and


Motorcycles.”

MR. SUMIHISA FUKUDA

Mr. Sumihisa Fukuda was appointed as an Additional and


Technical Director in the Whole-time employment of the Company
by way of passing a resolution by Circulation on May 13, 2008 .
Mr. Fukuda was born on December 12, 1955 at Nagasaki , Japan
and after completing a course in Mechanical Engineering, he
joined Honda Motor Co., Ltd., Japan as an Engineer & has
completed various assignments in Honda. In recent past, he was
working as Manager - Asian Autoparts Co. Ltd., Thailand . He

MR. SUNIL KANT MUNJAL

Mr. Sunil Kant Munjal was appointed on the Board of Directors of


Hero Honda Motors Limited August 25, 2006 as an Non Executive
Director of the Company. After his graduation, he underwent
training in the field of Mechanical Engineering. Presently he is
Managing Director of Hero Cycles Ltd. (C.R. Division) and Hero
Corporate Services Limited.

Mr. Munjal has also been the President of Confederation of Indian


Industry (CII), India's premier business association. He is also on
the Board of Indian School of Business, Hyderabad and is the
visiting faculty at various Business Schools and Corporate. His
specialization is in Business Studies and Holistic Management
Practices. Apart from the above he is a member of Prime
Minister's Council on Trade and Industry, Consultative Group on
Industry, Planning Commission, Government of India and SEBI
Committee on Disclosures. He has made significant contributions

MR. TAKASHI NAGAI

Mr. Takashi Nagai is President & CEO, Honda Siel Cars India Ltd.
and Honda Motor India Private Ltd. He is also the head of Honda’s
overall operations in the entire South West Asia region. He has
been associated with Honda Motor Co. for more than 27 years. He
joined Honda in 1982 and began his career in Production Control
at company’s Hamamatsu Plant in Japan.

Mr. Nagai has vast experience in the automobile industry, having


worked with Honda ventures in different markets, across the
globe including America and Europe. From February 2003 to
January 2006, Mr. Nagai was stationed in Mexico as Director of
Honda de Mexico, S.A. de C.V. In February 2006, he was
appointed as General Manager, Overseas Operations Office No. 1
of Honda Motor Co. Ltd. looking after North America, South
America and European market. In April 2007, Nagai became
Executive Vice President, Asian Honda Motor Company Ltd. and a
Director of Honda Motor Co. Ltd from June of the same year.

MR. YUJI SHIGA

Mr. Yuji Shiga was appointed on the Board of Directors of Hero


Honda Motors Limited on April 19, 2010 in Casual Vacancy caused
by the resignation of Mr. Masahiro Takedagawa. Mr. Shiga began
his career at Honda Motors in Domestic Sales of Power Products
in 1982. He has distinguished his business expertise over 27
years in the field of power products, and was appointed as
President of Jialing Honda Motor Co., Ltd (China) in June 2005..

He has extensive experience of Honda’s products and global


operations, having worked in many regions across the globe. In
April 2009, he was appointed as General Manager of Overseas
Operation Office No.1, overlooking operations of North & South
America, and Europe. Combined with his current role of
supervising Asia & Oceania, he possesses a scope covering close
to all of Honda’s markets.

GEN. (RETD.) V. P. Malik

Gen. (Retd.) V. P. Malik was appointed as an Additional Director

DR. PRITAM SINGH

MR. M. DAMODARAN

Mr. M. Damodaran has been appointed as an Additional Director


w.e.f. June 16, 2008 in the category of Non-Executive and
Independent Director. Mr. Damodaran, aged 61 years was born
on May 4, 1947 and belongs to the Indian Administrative Service,
Manipur-Tripura Cadre. He had held various coveted positions in
Government / Public Sector and Regulatory Bodies.

In the past he held the position of Joint Secretary (Banking


Division) in the Ministry of Finance, Chairman Unit Trust of India.
He headed the IDBI bank before being appointed as the Chairman
of the Securities and Exchange Board of India (SEBI), the
country's financial market watchdog. He was also appointed as
officer on special duty with the Reserve Bank of India dealing
primarily with the restructuring of three identified weak public
sector banks.

MR. RAVI NATH

Mr. Ravi Nath has been appointed as an Additional Director w.e.f.


October 14, 2009 in the category of Non-Executive and
Independent Director. Mr. Nath, aged 64 years is an Advocate of
Supreme Court of India. He is a Partner of one of the India's oldest
legal firms Rajinder Narain & Co. He has done his B.Com
(Honours), LLB, International and Competitive Laws from King's
College, London, and PIL from Harvard. He did his apprentice
from Sinclair Roche and Temperley, London. He brings with him
rich and specialized experience in the field of Corporate and
Commercial law, Asset Finance, Aviation and Cross Border issues
of nearly 40 illustrious years. He has also been recognized several
times by Euromoney and others as a leading lawyer in the field of
Mergers & Acquisitions. He is listed in Who's Who and Legal 500.
The Bar Association of India conferred its highest honour on him.

WARRANTY POLICY

Scope of Warranty
Hero Honda Motors Limited warrants all its two–wheelers manufactured/assembled in
Dharuhera, Gurgaon and Haridwar Plants, distributed in India and sold through its
Authorised dealers to be free, under normal use and condition, from any defect both in
material and workmanship, subject to the following terms and conditions.

Terms and Conditions


1. All Hero Honda two-wheelers are warranted for a certain period specified in
terms of time and kms from the date of purchase, whichever term gets satisfied
earlier.
2. It is mandatory for the customer to avail all free and paid services as per the
recommended schedule to be eligible for the warranty benefits.
3. If a defect is observed in any Hero Honda two-wheeler, Hero Honda's only
obligation/liability is to repair or replace those parts which is/are considered to
be the cause of malfunction free of charge of both labour and material, when
Hero Honda acknowledges that such malfunction has not come out of misuse or
improper handling etc. such defective two-wheeler should be brought to the
nearest Hero Honda dealer/authorised service centre by the owner for necessary
inspection and subsequent repairs.

Limitations of Warranty
The warranty shall not apply:
• If any of the free services or subsequent paid service is not availed as per
the recommended service schedule given in the owner's manual.
• If Hero Honda recommended engine oil SAE- 10 W 30 SJ Grade (JASOMA) is
not used.
• To normal wear and tear components like bulbs, electrical wiring, filters, spark
plugs, clutch plates, brake shoes, fasteners, shims, washers, oil seals, gaskets,
rubber parts, plastic components, chain and sprockets and in case of wheel rim
misalignment or bend.
• If there is any damage due to modification or fitting of accessories other than
the ones recommended by Hero Honda.
• If the two-wheeler has been used in any competitive events like track races or
rallies.
• If there is any damage to the painted surface due to industrial pollution or other
extraneous factors.
• For claims made for any consequential damage due to any previous
malfunction.
• For normal phenomenon like noise, vibration, oil seepage, which do not affect
the performance of the two-wheeler.
• If there is any damaged caused due to usage of improper oil/grease, non genuine
parts.
• For two-wheelers which have been used for any commercial purposes as taxi
etc.
• For maintenance repairs required due to misuse while driving or due to
adulteration of oil, petrol or due to bad road conditions.
• For consumables like oil, grease etc. used during free services or used during
warranty repairs.
• If any part of the vehicle is tampered/repaired by unauthorized
persons/workshops etc.
• For two-wheelers not used in accordance with the owner's manual supplied with
each two-wheeler by Hero Honda.

Warranty on Proprietary Items


Warranty on proprietary items like tyres, tubes & battery etc. will be directly handled
by the respective Original Equipment Manufacturers (OEM’s) except AMCO for
batteries and Dunlop/Falcon for tyres, tubes. In case of any defect in proprietary items,
other than the above two mentioned OEM's the dealer must approach the branch
office/dealer of the respective manufacturers.

For AMCO batteries and Dunlop/Falcon tyres, tubes claims will be accepted at our
Authorised Dealership/Service Centres, w.e.f 1st May 2002, as per the mutually agreed
terms and conditions between Hero Honda and these two OEM's. While for other
OEM's in case the claim is not accepted for any invalid reason, then the claim along
with the refusal note from the OEM can be sent to the warranty section at Gurgaon
Plant after due recommendation of the area service engineer.

tools and a team of highly trained service technicians. Having your two-wheeler serviced at
an authorised workshop ensures highest standards of service quality and reliability.

Service Schedule
Hero Honda offers free services on all its two-wheelers. You should avail these services
within the stipulated conditions of time period or km range, whichever condition gets
satisfied earlier from the date of purchase. After the completion of free services or its validity
period you must continue availing paid services as per the recommended service schedule.

PRE RIDE INSPECTION

You should conduct pre-ride inspection before riding a two


wheeler to enhance safety and riding comfort.

Clean the two-wheeler body surface regularly to maintain the


surface finish. Use specifically designed cleaning products only.

Inspect your motorcycle before you start the engine. The items
listed here will only take few minutes, and in the long run they
can save time, expense, and possibly your life. Click to follow the

motorcycle.
10. AIR SUCTION VALVE: Make sure all tube connections
are secured properly.

To meet emission standards, presently all models of Hero


Honda are provided with the air suction valve. Air suction
valve supplies fresh air from air filter to the exhaust
manifold to convert carbon monoxide to carbon dioxide.
This reduces the CO% in the vehicle exhaust.
11. FITTING & FASTENERS: Check & tighten if necessary.

FUEL ECONOMY - DO'S & DONT'S

Stretch That Litre

In order to get the maximum mileage from your motorcycle


you should keep the following points in mind.

DO's

• Drive at steady speed (between 40 to 50 km/hr)


• Maintain correct tyre pressure
• Adjust drive chain tension correctly
• Get your engine tuned and motorcycle serviced
regularly by a Hero Honda authorised dealer
DONT's

• Do not keep the clutch lever pressed while riding


• Do not run the engine in low gear for long times
• Do not park your motorcycle under direct sunlight as
it causes evaporation of petrol
• Do not keep brake pedal pressed while riding
• Do not raise the engine rpm during traffic halts
• Switch off the engine if the halt is for more than 30
seconds
• Do not cover Inlet of Air Filter assembly
• Do not cover the engine in the front and sides. This
may restrict the smooth air flow to the engine fins
required for air cooling and the engine may run at a
higher temperature.
In case you wish to have the fuel efficiency tested, please take
your motorcycle to the nearest dealer and ask for a fuel
efficiency test ("KPL test") done. They can then also make
any adjustments that are found necessary.

PUC CERTIFICATION

You should get your motorcycle inspected and certified from


an authorised PUC centre to ensure that the emission
performance of the vehicle in within the desired limits.

For petrol engine two - wheelers the c urrent regulation


requirement is as follows -

Idle CO (Carbon Monoxide) % = 3.50 % (max)

HC (Hydrocarbon) = 4500 ppm (max)

Vehicles which do not undergo a periodic maintenance are


liable to emit exhaust gases more than the permissible limit.
Few important tips to maintain low emission levels -

• Clean spark plug and maintain specified gap between


electrodes.
• Keep the air filter clean.
• Get the carburetor tuned at authorised Hero Honda
workshop.
• Do not overfill the engine oil and follow the
replacement schedule.
• Avoid use of adulterated fuel.
You should get the emission level certified once in every 3
months at any of the authorised emission checking Centres.

Engine oil is a key determinant for efficient motorcycle


performance and increased engine life. Hero Honda 4-T Plus
Genuine Engine Oil is a premium quality engine oil, engineered
to meet the lubrication requirements of Hero Honda
Engines.Hero Honda 4-T Plus conforms to International
specifications of API SJ SAE 20 W 40 / 10 W 30 (JASOMA)
specifications.

We strongly recommend that you use Hero Honda 4-T plus to


maintain optimum engine performance during extreme driving
conditions.

How to check the engine oil level?

In order to check the level of the engine oil, the vehicle should be
on main stand. Check the engine oil level using the dipstick. The
engine oil level should be maintained between the upper and the
lower level marks of the dipstick. In case it is needed, top up the
engine oil up to the upper level on the dipstick.

Replace the engine oil if it is due for replacement

BATTERY MAINTENANCE

Your motorcycle battery needs periodical maintenance to ensure


a long and trouble free life. Do the following checks at regular
intervals for a reliable battery performance.

Check the electrolyte level against the top and bottom markings
on the battery shell. Always top up with distilled water whenever
required.

Check for any leakage from battery. It should be clean and free
from any leakages. In case of non use of motorcycle, battery
should be kept fully charged and electrolyte level should be at
Top mark.

TYRE PRESSURE

Proper tyre pressure provides maximum riding comfort and tyre


life.

Check the tyre pressure of both the front and rear wheels. Ensure
recommended air pressures once a week. Also check for any cuts,
embedded nails or any other sharp objects in the tyre.

STAKEHOLDER TIES AT THE GRASSROOTS

Hero Honda Motors takes considerable pride in its stakeholder relationships,


especially ones developed at the grassroots. The Company believes it has
managed to bring an economically and socially backward region in
Dharuhera, Haryana, into the national economic mainstream.
An Integrated Rural Development Centre has been set up on 40 acres of land
along the Delhi-Jaipur Highway. The Centre-complete with wide approach
roads, clean water, and education facilities for both adults and children-now
nurtures a vibrant, educated and healthy community.
The Foundation has adopted various villages located within vicinity of the
Hero Honda factory at Dharuhera for integrated rural development. This
includes:
• Installation of deep bore hand pumps to provide clean drinking water.
• Constructing metalled roads and connecting these villages to the
National Highway (NH -8).
• Renovating primary school buildings and providing hygienic water and
toilet facilities.
• Ensuring a proper drainage system at each of these villages to prevent
water-logging.
• Promoting non-conventional sources of energy by providing a 50 per
cent subsidy on biogas plants.

Other key projects taken up by the Foundation include: Raman Munjal


Vidya Mandir

The Raman Munjal Vidya Mandir began with three classes (up to class II)
and 55 students from nearby areas. It has now grown into a modern Senior
Secondary, CBSE affiliated co-educational school with over 1200 students
and 61 teachers. The school has a spacious playground, an ultra-modern
laboratory, a well-equipped audio visual room, an activity room, a well-
stocked library and a computer centre.
Raman Munjal Memorial Hospital
Multi-specialty hospital equipped with the latest diagnostic and
surgical technology. The Raman Munjal Memorial
Hospital provides healthcare to the rural population in and
around Dharuhera, and also caters to accident and trauma
victims driving along the Delhi-Jaipur highway.
Raman Munjal Sports Complex

The Raman Munjal Sports Complex has basketball courts, volleyball


courts, and hockey and football grounds are used by the local villagers. In the
near future, sports academies are planned for volley ball and basket ball, in
collaboration with National Sports Authority of India.
Vocational Training Centre

In order to help local rural people, especially women, Hero Honda has set up
a Vocational Training Centre. So far 26 batches comprising of nearly 625
women have been trained in tailoring, embroidery and knitting. The Company
has helped women trained at this centre to set up a production unit to stitch
uniforms for Hero Honda employees. Interestingly, most of the women are
now self-employed.
Adult Literacy Mission
This Scheme was launched on 21st September, 1999, covering the nearby
villages of Malpura, Kapriwas and Sidhrawali. The project started with a
modest enrolment of 36 adults. Hero Honda is now in the process of
imparting Adult Literacy Capsules to another 100 adults by getting village
heads and other prominent villagers to motivate illiterate adults.
Marriages of underprivileged girls

Marriages are organized from time to time, particularly for girls from
backward classes, by the Foundation by providing financial help and other
support to the families.
Rural Health Care

Besides setting up a modern hospital, the Foundation also


regularly provides doorstep health care services to the local
community. Free health care and medical camps are now a
regular feature in the Hero Group's community outreach program.

Hero Honda Motors Ltd (HHML), the world’s largest two-


wheeler manufacturer, continues to post monthly sales of over 3
lakh units. This is the 16th consecutive month that the company
has reported three-lakh-plus sales.

The company today started the first quarter (April-June) of


Financial Year (FY) 2010-11, with sales of 3,71,652 units in the
month of April, 2010. Hero Honda had sold 3,70,575 two-
wheelers in April last year.

Mr. Anil Dua, Sr. Vice-President (Marketing and Sales),


Hero Honda Motors Ltd said, ““We have been witnessing a
steadily growing demand for our products, and have been
ramping up our production levels accordingly. However, as we
have already informed, due to certain IR issues at our suppliers'
end, we have faced an acute shortage of batteries for over two
weeks in the month of April. As a result of this, our despatches
have been adversely impacted and currently over 50,000 fully
finished motorcycles are stranded at our plants for want of
batteries. I am happy to inform that these issues have now been
resolved and we have been assured of supply returning to normal
within a week’s time."

Hero Honda’s retail sales continue on its robust growth trajectory.


To further keep up this momentum, the company has introduced
two models in April – the refreshed Glamour and Glamour FI. Both
these models have been contributing significant volumes to the
company’s strong share in the deluxe segment, and the launch of
the refreshes are set to further build on this leadership.

Hero Honda also recently crossed yet another significant


milestone by covering 100,000 villages under its path-breaking
rural initiative – “Har Gaaon Har Angan”.The umbrella platform
for all rural initiatives which was launched in late 2007, has been
instrumental in the steadily growing share of Hero Honda in the
rural and upcountry markets, taking the contribution of sales from
these markets to 42 per cent of the company’s total sales.

Hero Honda crossed several new milestones in the recently


concluded fiscal (2009-10). The company posted a stellar top line
performance with the total cumulative sales volume of more than
4.6 million units. Hero Honda also crossed the landmark million
units in sales in each quarter of fiscal ’10, capping it off with the
highest-ever quarter sales of 11, 86,536 units in the fourth

(HHML), the world’s largest two-wheeler manufacturer, has
achieved yet another milestone with sales of 4,35,933 two-
wheeler units – the highest-ever monthly sales in the history
of the company. The previous record of monthly sales by the
company was 415,137 units achieved in August 2009.
The sales of 4,35,933 in May, 2010 is a robust 14 per cent
growth over the corresponding month in 2009, when it had
sold 3,82,678 units.
Hero Honda has been constantly building on its leadership
position in the domestic motorcycle market in the country and
continues to demonstrate an upward trend with an enormous
customer base.
Mr. Anil Dua, Sr. Vice-President (Marketing, Sales &
Customer Care), Hero Honda Motors Ltd said, “The 14 per
cent growth in May is very satisfying, coming as it does over
the high base of our sales last year. We have had significant
contribution from all segments resulting in this achievement.
For example, our scooter Pleasure has recorded sales of over
24,000 units this month, growing at a healthy 65 per cent.
"Similarly, the refreshed models of Glamour and Glamour FI
- introduced in April’10 - have also proved to be a great

reported its highest-ever quarterly sales, and yet another month
of sales exceeding four lakhs.

Close on the heels of over four lakh unit sales in May 2010, Hero
Honda yet again repeated the feat, selling 4,26,454 units in June
2010 - a growth of 16 per centover the corresponding month in
2009, when the company had sold 3,65,734units.

Hero Honda’s cumulative sales for the Q1 (April-June) of FY’11


went up to12,34,039 units of two-wheelers – the company’s
highest-ever quarterly sales. This is a 10 per cent growth over
the corresponding quarter in FY’10 when Hero Honda had
sold 11,18,987 units.

Mr. Anil Dua, Sr. Vice-President (Marketing & Sales), Hero


Honda Motors Ltd. said, “We are quite happy with our solid
performance in Q1’11 which has set a positive tone for the rest of
the financial year. The 16 per cent growth in June is very
encouraging, coming as it does on the back of the high base of
our sales last year. The growth is coming across all segments
including our scooter Pleasure which is now contributing over
25,000 units every month to the overall volume.”

The recently-launched Glamour and Glamour FI have also been


well-received by customers and driving the company’s volumes in

consecutive month of four lakh-plus sales.

The company sold 4,27,686 units of two-wheelers in the month


of July’10, a growth of 16.6 per cent over the corresponding
month in 2009, when it had sold 3,66,808 units.

Hero Honda had recorded its all-time high monthly sales


- 4,35,933- in May this year, followed by 4,26,454 units in June
2010.

Hero Honda’s July growth comes close on the heels of the


company’s performance in the first quarter (April-June) 2010-11
when it posted its highest ever quarterly sales of 12,34,039 units
of two-wheelers – which was the fifth consecutive quarter of a
million-plus sales.

Honda Motors Ltd said, “The four-lakh plus sales in July has set
an upbeat tone for the beginning of the new quarter (July-
September). As we move into the festive season in the coming

The company sold 4,24,617 units of two-wheelers in the month


of August’10, maintaining its robust sales record and setting the
pace for the upcoming festive season. Hero Honda’s sales in
August 2009 were 415,137 units.

Hero Honda has been consistently selling four-lakh plus two-


wheelers, with May recording its highest-ever monthly sales of
4,35,933 units, followed by 4,26,454 units in June and 4,27,686
units in July.

Mr. Anil Dua, Sr. Vice-President (Marketing & Sales), Hero


Honda Motors Ltd said, "The domestic two-wheeler industry
remains buoyant and we expect growth to maintain this
trajectory in the coming months. With GDP growth showing
encouraging signs and most of the country having a good
monsoon, the outlook seems positive for the industry. The first
quarter GDP growth of 8.8 per cent has come on back of solid
growth in the manufacturing sector, which is very encouraging.
However, certain concerns such as high inflation and short supply
of components continue to bother the two-wheeler industry in the
near term.

more than 27,000 units in August.

again set another benchmark, recording its highest-ever quarterly
sales.

In the Q2 (July-September) of FY’11, Hero Honda has recorded


sales of12,85,944 two-wheeler units, a growth of nine per cent
over the corresponding quarter in FY’10 when the company had
sold 11,83,235 units.

The previous record of quarterly sales by the company was


12,34,039 units achieved in Q1 (April-June) of FY’11.

Hero Honda sold 4,33,641 units of two-wheelers in the month of


September’10 – thereby reporting a record fifth consecutive
month of four-lakh plus sales. These numbers – a growth of eight
per cent – has come about despite the very high base of
September last year, when the company had sold 4,01,290 units.

The cumulative sales for H1 of FY’11 stood at 25,19,983 units, a


growth of 9.4 per over the corresponding period in 2009, when it
had sold 23,02,222 units

extremely encouraging as it has set the pace for the second half
of this financial year. We have recently introduced two new bikes

The despatch sales of 505,553 units of two-wheelers in


October’10 is a healthy42.7 per cent growth over the
corresponding month in 2009, when it had sold 354,156 units.
The previous record of highest-ever monthly sales was in May this
year when Hero Honda sold 435,933 two-wheeler units.

Motors Ltd (HHML), the world’s largest two-wheeler
manufacturer today reported yet another month of bumper sales.

The company’s sales for the month of November 2010 stood


at 421,366 units – a record seventh consecutive month of
four-lakh plus sales. This is a growth of 10.5 per cent over the
corresponding month in the previous year when Hero Honda had
sold 381,378 units.

Hero Honda has been constantly building on its leadership


position in the domestic motorcycle market in the country and
continues to demonstrate a healthy upward trend even on a large
customer base.

The company’s cumulative sales in the financial year so far (April-


November’10) has now risen to 34,46,602 units, a 13.46 per
cent growth over the corresponding period last year (April-
November’09) when Hero Honda had sold 30,37,756 units.

December, a surge of 33% over the corresponding month in '09.

ever with cumulative sales of over 5 million units, up 16.2% from
'09.

December also marked the most successful quarter for the


company, with sales of 14,26,919 units, up 29% over the
corresponding quarter in '09, where the company sold 11,05,838
units. HHML also achieved 4 Lakh plus sales for 7 consecutive
months and capped it off with 5 Lakh sales in December.

The company’s sales figures for the month of January 2011 stood
at 4,66,524, a growth of almost 20 per cent over the
corresponding month last year, when it sold 3,89,802 units.

The cumulative sales of the company in the financial year so far,


April – January'11, stood at 44,14,537. This is an increase of 16
per cent over the corresponding period last year, April –
January'10, when the company sold 38,03,396 units.

ever February sales.

Hero Honda sold 4,72,055 units of two-wheelers in February


2011, representing a growth of more than 23% over the
corresponding month last year, when the company had
sold 382,096. This is also the 10th consecutive month of 4-lakh
plus sales for the company.

With cumulative sales of 48,86,592 units so far in this fiscal,


Hero Honda looks comfortably positioned to cross the initial
guidance of five million sales, for the fiscal year '10-11. The
cumulative sales represents a rise of almost 17% over the
cumulative sales for the corresponding period last year, when
Hero Honda sold41,85,492 units.

New Delhi, October 21, 2008: Hero Honda Motors Ltd


(HHML), the world's largest two-wheeler company for seven
consecutive years, today firmly reiterated its undisputed
leadership in the domestic two-wheeler market with impressive
bottom line growth for the second quarter (Q2) – July to
September - of this financial year (FY) 2008-09.
Even as the industry continued to face tough market conditions
on account of uncertainty over interest rates and overall credit
squeeze, the company reported 50 per cent growth in profit after
tax (PAT) at Rs 306.30 crore for the second quarter. Hero Honda's
profit after tax in the corresponding period last fiscal (July - Sept,
2007-08) stood at Rs 204.33 crore.

Total turnover (Net sales & Other Operating income) grew to Rs


3202 crore, a growth of 35.6 per cent over Rs 2361 crore
recorded in the corresponding period last fiscal. The company has
recorded an EBIDTA margin of 13.58 per cent in the quarter. The
EBIDTA margin in the previous quarter (April - June '08) was 12.20
per cent.

The strong financial performance is in line with the company's


better-than-industry top line growth. After posting a growth 11.38
per cent in the first quarter, the company kicked off the second
quarter with a 39.8 per cent growth in sales in the month of July,
and followed up with 26.8 per cent growth in August and 22.4 per
cent in September. Hero Honda consistently keeps growing its
share in the domestic motorcycle market, and currently enjoys
over 55 per cent share.

Hero Honda's cumulative sales for the second quarter (Q2) this FY
stands at 9,72,095 units - a growth of 28.5 per cent over Q2 last
FY (2007-08). The cumulative sales for the first six months (H1)
stands at 18, 66,339 units of two-wheelers compared to 15,
59,486 units sold in H1 in the last FY – reflecting a consistent 19.7
per cent growth in cumulative sales.

will further augment its product portfolio with new launches
across segments.

segments - CD Deluxe in entry segment, Glamour, the new
Splendor NXG, Splendor + and Passion Plus in deluxe segment,

Celebrating its 25th year, Hero Honda released an innovative


music video in the month of September. Titled "Hero Honda Dhak
Dhak Go", and involving as many as eight brand ambassadors of

New Delhi, February 2, 2011: Hero Honda Motors Ltd


(HHML), the World No.1 two-wheeler manufacturer for 10th
consecutive year, today reported a total turnover (Net Sales &
Other Operating income) of Rs. 5161.66 crores for the third
quarter (October-December 2010) of FY’11, a growth of over
34.44 per cent over the corresponding period in the last fiscal
(October-December 2009) of FY’ 10.

The company’s profit before tax (before exceptional items) for the
period stood at Rs 587.87 crore, while profit after tax (PAT) for the
period stood at Rs 429.00 crores. The company has recorded an
EBIDTA margin of 11.17 per cent.

Hero Honda had registered its highest ever quarterly sales of


14,28,030 two-wheelers in the third quarter this fiscal, fuelled by
its half million-plus unit sales in the months of October and
December 2010. Hero Honda also for the first time crossed the
five million unit sales during calendar year 2010, retaining the
coveted status of World No.1 two-wheeler manufacturer for the
10th consecutive year.

“For the past few quarters, the industry has faced a multitude of
issues with constraints in supply of components and rising input
costs. Our margins have been under pressure on account of that.
While we expect the market demand for two-wheelers to remain
bullish and we are confident of carrying on our growth trajectory,
we do foresee margins to remain under pressure in the short
term.

“We, as a company, are also in the middle of a transition. Last


week, we have signed the new licensing agreements with Honda.
We are also close to finalizing the location for our fourth plant. We
will shortly be making an announcement in this regard even as we
keep adding further capacities at our existing three plants.”

Hero Honda is a Global Partner of the forthcoming ICC Cricket


World Cup 2011 to be held in India, Bangladesh and Sri Lanka. To
leverage the association, Hero Honda is hosting a Karizma ZMR
Cricket Championship across 75 cities in India and also in

New Delhi, October 29, 2010: Riding on its record quarterly


sales of 12,85,944two-wheeler units in the second quarter (July-
September) of this fiscal, Hero Honda Motors Ltd (HHML), the
world’s largest two-wheeler manufacturer, today reported its best-
ever quarterly turnover.

Fuelled by its four lakh-plus sales in each month of Q2 of Financial


Year (FY) 2010-11, Hero Honda registered a total turnover (Net
Sales & Other Operating income) of Rs. 4551.95 crores. The
company’s turnover in the corresponding period last fiscal (July-
September 2009-10) was Rs 4069.60 crores.

The H1 (April-September) of FY’ 10-11 also witnessed another


milestone in the onward march of Hero Honda as the company for
the first time crossed the 25 lakh plus units of sales in one half of
a fiscal year.

The company reported profit after tax (PAT) of Rs 505.60 crores


and EBIDTA margin of 13.36 per cent. This was despite rising
input costs, primarily steel and aluminum, as well as BS-III-linked
product up-gradation costs. The company’s PAT for the
corresponding period last fiscal was Rs. 597.14 crores.

Hero Honda in Q2 of FY’10-11 launched two new models. The all-


new Splendor Pro was introduced to strengthen Hero Honda’s
leadership in the deluxe segment. It comes with APDV engine with
Advanced Pro-Series Digital Variable Ignition System. Besides this,
the newly launched Super Splendor in the deluxe segment has
also been received well. The company had also earlier announced
two launches in the first quarter (April-June) as well.

The new launches are doing well and have been driving volumes
for the company.

The Q1’11 also marked the fifth consecutive


quarter registering sales of over one million two-wheeler units.

Fuelled by its all-time high monthly sales of 4.35 lakh unist (in
May) and yet another four-lakh plus sales in June, Hero Honda
registered a total turnover (Net Sales & Other Operating income)
of Rs 4296.61crores. The company’s turnover was Rs 3829.16
crores in the corresponding period last fiscal.

The company reported profit after tax (PAT) of Rs 491.69 crores


and EBIDTA margin of 14%, in the face of a steep rise in
commodity prices in the first half of the quarter and additional
expenditure incurred on account of conversion to new emission
norms. The company’s PAT for the corresponding period last fiscal
(April – June’ 09-10) was Rs 500.11 crores

(HHML), world's largest two-wheeler manufacturer for nine
consecutive years, today reported record financial results for
FY’10 with its highest-ever annual revenues, operating income
and earnings per share.

The company’s total turnover (Net sales and other operating


income) grew to Rs 15860.51 crores, a growth of 28.1per cent
over Rs. 12382.25 crores recorded over the last fiscal. The
company has recorded an EBIDTA margin of 17.4 per cent in this
fiscal. The EBIDTA margin in the previous year (08-09) was 14.1
per cent.

Riding on robust sales growth of 18.9 per cent in the fourth


quarter, Hero Honda’s total turnover (Net Sales & other Operating
Income) grew to Rs. 4122.32 crores, a growth of 20.1 per cent
over Rs.3430.41 crores, recorded in the corresponding quarter in
last fiscal. EBIDTA margin for the quarter stood at a healthy 17.2
per cent.

Celebrating the strength of its operations and the resulting strong


financial position, Hero Honda had recently announced a Special
Silver Jubilee Dividend of 4000% or Rs 80 on each share of Rs 2
face value, which totals to a payout of Rs. 1869 crores. The
dividend in percentage terms is the highest pay out by an Indian
company to date.

Hero Honda has crossed yet another significant milestone – the


total cumulative sales landmark of 30 million of two-
wheelers. The company crossed this milestone in the month of
March, 2010.

Hero Honda also crossed the landmark million units in


sales in each quarter of fiscal ’10, capping it off with the
highest-ever quarter sales of 11,86,536 units in the fourth
quarter.

New Delhi, January 25, 2010: Hero Honda Motors Ltd


(HHML), the world's largest two-wheeler manufacturer, today
reported a profit after tax (PAT) of Rs.535.77 for the third quarter
(Oct – Dec’09) of Financial Year (FY) 2009-10 - a growth of over
78.34% over the corresponding period in the last fiscal (Oct-
Dec’08). The company has recorded an EBIDTA margin of 17.27
per cent in the quarter. The EBIDTA margin in the previous quarter
(Oct - Dec'08) was 14.47 per cent.

YTD FY ’10 has been a remarkable year for Hero Honda


with the company posting sales of over a million units and
a PAT of over Rs. 500 crores in each of the quarters. With
the third quarter of fiscal 2009, Hero Honda concludes the
calendar year with record sales of over 4.4 million units, a growth
of 22 per cent over the calendar year 2008 when the company
had sold 3.6 million units. With this, Hero Honda has retained the
coveted status of World No.1 two-wheeler manufacturer for the
9th consecutive year.

Riding on a record sales of more than a million units (34, 13,594)


of two-wheelers –the third consecutive time that the
company crossed the magic million mark in a quarter this
year – Hero Honda’s total turnover (Net sales & Other Operating
income) grew to Rs 11708.91 crore, a growth of 31.05 per cent
over Rs 8934.36 crore recorded in the corresponding period last
fiscal. The company has recorded an EBIDTA margin of 17.55 per
cent in the nine months ending December 09. The EBIDTA margin
in the corresponding previous period (April - Dec'08) was 13.44
per cent.

The company continued with its commendable top line


performance as sales volumes were up 25.31% per cent during
last nine months, while the industry grew by 20.05% per cent
during the same period.

The consistent growth has been propelled by several factors. The


company has been continuously investing in innovative and
ground-breaking brand building initiatives. Taking forward its
commitment to promote sports in the country, Hero Honda is
going to be associated with four global sporting events in 2010 –
Commonwealth Games, the title sponsor of the FIH Men’s Hockey
World Cup 2010, to be held in Delhi in March, the team sponsor
for IPL, and title sponsor for Hero Honda India Open ( Golf).

As part of its product strategy, every year the company launches


8-9 new models. In line with this, Hero Honda has so far launched
six new models during this financial year– the ZMR, Limited
Edition Splendor, and the new Hunk, the new Passion Pro, the new
Pleasure and the new Splendor NXG. During the balance months
of the financial year, the company will further augment its product
portfolio with new launches across segments. The scooter

September) 2009-10 earnings at 94.9 per cent growth over the
same period last year, Hero Honda Motors Ltd (HHML), the
world's largest two-wheeler manufacturer, continues to set new
milestones. The company’s highest quarterly earnings of all
time at Rs 597.14 crores in profit after tax (PAT) represents
the second consecutive record quarter of solid and growing
revenues and profits.

Riding on the second consecutive quarter of record sales of more


than a million units (11, 83,235) of two-wheelers, Hero Honda’s
total turnover (Net sales & Other Operating income) grew to Rs.
4059.44 crore, a growth of 26.8 per cent over Rs 3202.05 crore
recorded in the corresponding period last fiscal. The company has
recorded an EBIDTA margin of 18.33 per cent in the quarter. The
EBIDTA margin in the corresponding quarter (July – September FY
2008-09) was 13.58 per cent, and 17 per cent in the previous
quarter (April – June FY 2009-10).

The company’s strong market position across geographies and


customer segments coupled with the increasing demand for its
winning brands resulted in the sales volume growth of a steady
21.7 per cent during the quarter.

2009 has proved to be a remarkable year for Hero Honda Motors

of more than 3 lakh units each month this calendar year, and for
two consecutive months of August and September, sales crossed

reported its best-ever quarterly earnings of all time with Rs
500.11 crore profit after tax (PAT) in the first quarter (April-June)
of Financial Year (FY) 2009-10.

Defying a sluggish economy and challenging market conditions,


the company’s PAT grew by a robust 83.28% over the PAT of Rs
272.87 crores in the corresponding period last fiscal (April -
June’09).

Riding on a record sales of more than a million units (11.18,987)


of two-wheelers – the first time it crossed the magic million mark
in a quarter – Hero Honda’s total turnover (Net sales & Other
Operating income) grew to Rs 3822.44 crore, a growth of 34 per
cent over Rs 2851.04 crore recorded in the corresponding period
last fiscal. The company has recorded an EBIDTA margin of 17 per
cent in the quarter. The EBIDTA margin in the previous quarter
(April – June '09) was 12.23 per cent.

The company posted a stellar top line performance as sales


volumes were up 25 per cent during the quarter, while the
industry grew by 12 per cent during the same period.

With over 59 per cent market-share in the domestic motorcycle
market and with sales of over a million units in the quarter, the
robust top line growth has largely contributed to the strong
bottom line performance. Several other key factors such as cost
rationalization across the board, softening of commodity prices,
and tax benefits also contributed to the bottom line. The current
quarter reflects a substantial tax benefit accrued on account of
the company’s full utilization of the tax benefits available for the
Haridwar plant, which resulted in bringing down the overall
effective tax rate.,

The consistent robust top line performance has been driven by


volume growth across segments and markets, aggressive brand
building initiatives and rapid network expansion, reflecting the
strong brands and continued expansion of new markets. Most of
the recent launches such as Passion Pro, Splendor NXG self-start,
the special edition Hunk, the new Pleasure, in addition to the
trusted Splendor + and Passion Plus, have been share-and-volume
drivers for the company. Hunk and CBZ X-treme continue to help
build on Hero Honda’s steadily growing share in the premium
segment.

consecutive years, continues to defy the sluggish trends across
the economy to report a robust bottom line growth to match its
impressive top line performance during the fourth quarter
(January-March) of the financial year (FY) '09.

Riding on an industry-beating 12 per cent growth in sales volumes


in FY'09, Hero Honda's total turnover (Net sales & Other Operating
income) grew to Rs 12356.88 crores, a growth of 19.22 per cent
over Rs. 10364.54 crores recorded over the last fiscal. The
company has recorded an EBIDTA margin of 14.16 per cent in this
fiscal. The EBIDTA margin in the previous year (07-08) was 13.33
per cent.The strength of the operations and the resultant strong
financial position translates into a dividend payout of Rs 20 per
share, than the payout of Rs 19 per share in the last fiscal.

New Delhi, January 20, 2009: Hero Honda Motors Ltd


(HHML), the world's largest two-wheeler manufacturer, today
carried its growth story forward in the third quarter (October-
December) of the financial year 2008-09.

Reflecting its robust retail sales during the quarter, when the
company sold a record six lakh two-wheelers during the month of
October, Hero Honda reported Rs 300.42 crores of net profit after
tax for the third quarter. The company’s profit after tax in the
corresponding period last fiscal (October to December, 2007-08)
stood at Rs 275.01 crores.

Even as the industry continues to reel under high interest rates


and an overall credit squeeze, Hero Honda’s total turnover (Net
sales & Other Operating income) grew to Rs 2881.27 crores, a
growth of 4.77.per cent over Rs 2750.20 crores recorded in the
corresponding period last fiscal. The company has recorded an
EBIDTA margin of 14.47 per cent in the quarter. The EBIDTA
margin in the previous quarter (July-September '08) was 13.58.
per cent.

During the first nine months of this financial year (April-


December’08), Hero Honda’s total turnover (Net sales & Other
Operating income) grew to Rs 8934.36 crores, a growth of
18.1.per cent over Rs 7564.65 crores recorded in the
corresponding period last fiscal. The company has recorded an
EBIDTA margin of 13.44 per cent in the first nine months. The
EBIDTA margin in the corresponding period (April– December’07)
last year was 12.68 per cent.

Softening of commodity prices, cost rationalization across the


board, strengthening of the premium product portfolio and a
growing rural market have played key role in the company’s
performance.

With over 56 per cent market-share, the company continues to


enjoy the number 1 position and is consistently growing its share
in the domestic motorcycle market. Hero Honda launched seven
new models this quarter – the new CBZ X-treme in the
premium segment, "Passion Pro Power Start”, new Glamour
FI, new Glamour and a self–start version of Splendor NXG
in the deluxe segment, new CD Deluxe in the entry
segment and the refreshed Pleasure in the scooter
segment. The scooter ‘Pleasure’ has also been growing strongly,
with more than 12,000 units being sold every month on an
average.

Hero Honda’s pioneering efforts in the two-wheeler industry have


also been acknowledged by various entities. Mr. Pawan
Munjal was recently awarded the“CNBC TV18 Overdrive Man
of the Year Award”. The company also recently won three

(HHML), the world's largest two-wheeler company for seven
consecutive years, today firmly reiterated its undisputed
leadership in the domestic two-wheeler market with impressive
bottom line growth for the second quarter (Q2) - July to
September - of this financial year (FY) 2008-09.

Even as the industry continued to face tough market conditions on


account of uncertainty over interest rates and overall credit
squeeze, the company reported 50 per cent growth in profit after
tax (PAT) at Rs 306.30 crore for the second quarter. Hero Honda's
profit after tax in the corresponding period last fiscal (July - Sept,
2007-08) stood at Rs 204.33 crore.

Total turnover (Net sales & Other Operating income) grew to Rs


3202 crore, a growth of 35.6 per cent over Rs 2361 crore recorded
in the corresponding period last fiscal. The company has recorded
an EBIDTA margin of 13.58 per cent in the quarter. The EBIDTA
margin in the previous quarter (April - June '08) was 12.20 per
cent.

The strong financial performance is in line with the company's


better-than-industry top line growth. After posting a growth 11.38
per cent in the first quarter, the company kicked off the second
quarter with a 39.8 per cent growth in sales in the month of July,
and followed up with 26.8 per cent growth in August and 22.4 per
cent in September. Hero Honda consistently keeps growing its
share in the domestic motorcycle market, and currently enjoys
over 55 per cent share.

Hero Honda's cumulative sales for the second quarter (Q2) this FY
stands at 9,72,095 units - a growth of 28.5 per cent over Q2 last
FY (2007-08). The cumulative sales for the first six months (H1)
stands at 18, 66,339 units of two-wheelers compared to 15,
59,486 units sold in H1 in the last FY - reflecting a consistent 19.7
per cent growth in cumulative sales.

year, Hero Honda Motors Limited (HHML) is set to release an
innovative music video today across all TV channels.

The music video features for the first time top achievers from
Bollywood and sports together to celebrate the 25th year of
another high achiever – Hero Honda Motors – which has retained
the coveted title of world’s largest manufacturer of two-wheelers
for seven consecutive years.

In a casting coup of sorts, the company has roped in almost all its
brand ambassadors to feature in the music video - Bollywood
heartthrobs Hrithik Roshan and Priyanka Chopra; top cricketers
such as Virender Sehwag, Irfan Pathan, Suresh Raina, Gautam
Gambhir and Ishant Sharma; and ace Indian shooter Lt. Col.
Rajyavardhan Rathore.

Titled “Hero Honda Dhak Dhak Go”, the blockbuster three-minute


long video has been conceptualized by Draft FCB Ulka and
produced by Ravi Udyawar who has several music videos to his
credit, including the recent Strings' video featuring John Abraham,
titled "Koi Aaney Wala Hai".

The catchy music track has been composed for a pan-India feel
reflecting the brand’s reach. Composed by Ranjit Barrot and

the commencement of production at its new manufacturing plant

Truly a “Shrine of Technology” in the Holy City of Haridwar, the


latest state-of-the-art addition to the Hero Honda family of
manufacturing facilities was today inaugurated by Dr. Brijmohan
Lall, Chairman, Hero Honda Motors Ltd. at a glittering
ceremony in the presence of dignitaries including senior
bureaucrats, business leaders, members of the media and a wide
cross section of the company’s stakeholders.

Key Information on the Haridwar Plant

• Initial installed capacity of 500,000 units, to be scaled up


to a million units by end-2008

• Initial investment of approx. Rs. 450 crores by Hero


Honda, Rs. 150 crores more to be invested by end-2008

• Capacity to be expanded to 1.5 million units by 2010, with


a combined investment of Rs. 1,900 crores by Hero Honda

The new plant will employ flexible production technique enabling


production of different models in the Hero Honda portfolio. In
addition to manufacturing for the domestic market, the plant will
also cater to export requirements.

Hero Honda’s Haridwar plant will contribute significantly to the


economic development of Uttarakhand. Hero Honda and its
ancillaries have already generated direct employment
opportunities for over 2000 people in the state. As the company
expands its operations in the state, this number will grow further
to over 7,000 people. Along with employment, emphasis has also
been laid on training and learning. The plant has set up a Gurukul
within the complex, which serves not only as a learning centre for
all employees who join the plant, but also for their continuous
development.

As a part of ‘Hero Honda We Care’, the company’s Corporate


Social Responsibility (CSR) program, the company has lined up
several initiatives that promise to bring about significant
improvements in the lives of people residing in Haridwar and
neighbouring areas.

A group company will be setting up a Technology Park, two


Industrial Parks and a shopping mall within the plant complex over
the next two years. Housing issues will be addressed with the
construction of two residential complexes. Accessibility of quality
healthcare and education are other priority areas, and accordingly
the company plans to set up 200-bed hospital and a school within

(HHML), the world’s largest two-wheeler manufacturer, today
reported an impressive bottom line growth to match its robust top
line performance during the first quarter (April-June) of the
financial year (FY) 2008-09.

Hero Honda reported 44 per cent growth in profit after tax (PAT)
at Rs 272.87 crore for the first quarter of this financial year. Hero
Honda’s profit after tax in the corresponding period last fiscal
(April-June, 2007-08) stood at Rs 189.84 crore.

Total turnover (sales turnover plus other income, net of excise)


grew to
Rs. 2890.25 crore, a growth of 16 per cent over Rs 2486.90 crore
recorded in the corresponding period last fiscal. The company has
recorded an EBIDTA margin of 11.99 per cent in the quarter. The
EBIDTA margin in the previous quarter (Jan-March ’07-08) was
14.77 per cent.

This strong financial performance comes close on the heels of the


company’s good overall sales through the first quarter. Hero
Honda kicked off the new financial year with a 9 per cent growth
in sales in the month of April, and followed up with 9.5 per cent
growth in May and 16 per cent in June. Indeed, Hero Honda’s
share in domestic motorcycle market has been growing upward of
55 per cent.

Hero Honda’s cumulative sales for the first quarter (Q1) this FY
stands at 8,94,244 units - a growth of 11 per cent over Q1 last FY
(2007-08). Hero Honda had sold 8,02,853 units of two-wheelers in
Q1 in the last FY.

The consistent performance comes on account of key Hero Honda


brands driving strong volumes across segments – CD Deluxe in
entry segment, Glamour, the New Splendor NXG, Splendor + and
Passion Plus in deluxe segment and Hunk, CBZ X-treme and
Karizma in the premium segment. Hero Honda’s scooter Pleasure
has also been contributing to the volumes, with more than 10,000
units being sold in June this year.

According to Dr. Brijmohan Lall, Chairman, Hero Honda


Motors Ltd, “This financial year is the 25th year of Hero Honda’s
existence. We had a befitting beginning to the year with the
inauguration of our new plant at Haridwar in April, which is going
to substantially augment our installed capacity. This is a

The industry, however, is severely impacted with the very high


costs of raw materials such as steel, aluminum, copper and
rubber; double-digit inflation and the continuing uncertainty over
interest rates.

consecutive years, today reported a robust bottom line growth to
match its impressive top line performance during fourth quarter
(January-March) of the financial year 2007-08.

Financial Results for Q4, FY'07-08

• Total sales for Q4 stands at 884075 units, growth of


3.28%

• Total turnover Rs. 2843.79 crores growth of 5.95 %

• Net profit after tax at Rs 298.70 crores, growth of 53%

• EBIDTA margin for the quarter 14.77 %

Financial Results for FY'07-08

• Total unit sales of 33,37,142 two-wheelers


• Total turnover of Rs. 10517 crores

• Net profit after tax at Rs. 967.88 crores

• Dividend pay out of 950 %

• EBIDTA margin for the year 13.06 %

Riding on the impressive tally of 33,37,142 two-wheelers it sold


during the FY, the company reported a Profit after tax of Rs.
967.88 crores in this financial year (detail as per annexure
attached) , even as the domestic two-wheeler industry remained
sluggish on account of high interest rates and low availability of
consumer finance. Hero Honda's sales surpassed its tally of
previous year, further boosting its share in the domestic
motorcycle market to more than 52 per cent, even as the industry
saw a decline in domestic motorcycle sales by 12 per cent and
overall two-wheeler sales by seven per cent during the financial
year.

In a year which saw new launches and landmark achievements by


the company, Hero Honda introduced several successful new
models including the 150-cc Hunk in the premium segment,
Splendor NXG in the deluxe segment, and refreshed Pleasure in
the scooter segment which all went on to drive impressive
volumes. The company also achieved the landmark of 20 million
(Two Crore) cumulative sales during the year.

Announcing the annual results here today, Dr. Brijmohan Lall,

HERO HONDA PASSES ON EXCISE DUTY CUT BENEFIT TO


CUSTOMERS

New Delhi, March 1, 2008: Passing on the excise duty cut


benefit in Budget 2008 to customers, Hero Honda Motors Ltd
(HHML), the world’s largest manufacturer of motorcycles, today
reduced prices on all its models, ranging from Rs1000/- to Rs
2400/-.

The company, which sold 265,431 units of two-wheelers in the


month of February, reduced the price of Splendor+ by about Rs
1300/- (ex-showroom Delhi) and on Karizma by about Rs 2400/-
(ex-showroom Delhi). Similarly, the price of its best-selling 150cc
bike Hunk has been reduced by about Rs 1800/- (ex-showroom
Delhi).

Mr. Pawan Munjal, MD & CEO, HHML, said “Hero Honda has
taken the voice of the customer to the government, and
consequently the excise duty on two-wheelers has been reduced
to 12 per cent from 16 per cent. This is a welcome move, and we
are happy to pass on the entire benefit to customers. The
reduction in excise duty cut will enable us to draw more
customers to our fold, but the basic factors causing the industry
slowdown still remain unattended. Credit financing has been
withdrawn in some key markets, while interest rates on consumer
loans also remain very high. This credit squeeze continues to be
the most critical factor adversely impacting industry growth, and
we still don’t see any indication from the banks and the

New Delhi, January 31, 2008: Hero Honda Motors Ltd.


(HHML), the world's largest two-wheeler manufacturer, today
reported 31% per cent growth in profit after tax (PAT) at Rs 275
crore for the third quarter (October-December) of this financial
year (2007-08). Hero Honda's profit after tax in the corresponding
period last fiscal stood at Rs 209.18 crore.

Total Turnover (sales turnover plus other income, net of excise)


grew to Rs 2795.17 crores, a growth of 3.54 per cent over Rs
2699.63 crores recorded in the corresponding period last fiscal.
The company has recorded an EBIDTA margin of 13.95% in the
quarter. The EBIDTA margin in the previous quarter (July-
September'07) was 12.39%.

This strong financial performance comes close on the heels of the


company's good overall sales even in the face of the prevailing
slowdown in the two-wheeler industry. Hero Honda's cumulative
total turnover for the first three quarters (April-December 2007) of
this financial year stood at Rs. 7673.43 crores.

Hero Honda's strategy for aggressive top line growth through new
product launches, brand building initiatives backed by innovative
communication has resulted in market share gain across every
segment. Indeed, Hero Honda's share in domestic motorcycles
market has been growing upward of 50 per cent, despite the
slowdown in the two-wheeler industry.

According to Mr. Brijmohan Lall, Chairman, Hero Honda

fiscal has been very encouraging considering the current
slowdown in the two-wheeler industry. We have been consistently
reporting better-than-industry sales numbers, and it has also been

album comes 35 years after they hit global headlines with their
debut album “Lonesome Crow” in 1972. In all these years, the
Scorpions have produced some of the most popular albums such
as “In Trance”, “Tokyo Tapes”, “Animal Magnetism”, “Savage
Amusement”, “Face the Heat”, “Eye to Eye”, “Moment of
Glory” and “Unbreakable”.
Scorpions will perform at Mumbai on December 14th, and in
Bangalore on December 16th. Humanity World Tour
2007/2008 takes the Scorpions right through Europe, North and
South America and Asia.

Turnover increases 15% to Rs 2700 crore for Q3 2006-07

Investments in capacity expansion, brand building and


new models begin to yield results

New Delhi, January 31, 2007: Hero Honda Motors Ltd., (HHML)
which has achieved the unique distinction of being the World No1
two-wheeler company for six consecutive years in terms of unit
sales in a calendar year by one single company today announced
the financial results for the quarter ending December 31, 2006.

The Company clocked an impressive 896,113 units of two-


wheeler sales during Q3¬ 2006-07, more than 12 per cent higher
than 798,302 units sold in Q3 of 2005-06. This has resulted in
Hero Honda’s market share in two-wheelers going up to 40 per
cent from 39.5 per cent in the corresponding quarter previous
fiscal. Turnover increased from Rs 2351 crore to Rs 2700
crore, a healthy growth of 15% per cent.

HHML significantly increased its investments in brand building


initiatives which helped the company achieve world record
dispatch and retail sales in the festive season. This coupled with
rising input costs resulted in EBIDTA margin of 11.32% per cent.
The profit before tax ( PBT) was Rs. 303.43 crore and profit after
Tax ( PAT) was Rs 209.18 crores in Q3 of 2006-07 as compared to
Rs 382.72 crore and Rs 261.78 Crores respectively in the
corresponding quarter of previous financial year.

Ltd., said "in this quarter, Hero Honda crossed significant
milestones and received recognition from various quarters. We
fulfilled our commitment to our customers by providing the latest
technology and styling in our five new products launched in Q3
2006-07. Significant investment in marketing, coupled with
current levels of raw material prices have impacted operating
margins as we had predicted at the time of Q2 results
announcement and subsequently."

The third quarter of 2006-07 witnessed significant action at Hero
Honda - a new manufacturing facility, world record sales figures,
an array of new launches across segments and recognition
received from industry experts for innovations in product design
and technology. In Q3 2006-07, the company aggressively

Posted World record dispatch sales of 3.63 lakhs and retail sales
of over 5.31 lakhs in October 2006.
