Dear Ray:

This letter confirms whereby Pontchartrain Capital, L.L.C. (“Pontchartrain”) will arrange a financing on behalf
of Urinary BioSolutions, LLC or any other affiliated entity or any entity to be formed (“UB”).

UB represents that any information provided to Pontchartrain with regards to this and other transactions will be
accurate and complete to the best of its knowledge. UB agrees to hold Pontchartrain and its principals harmless
and indemnify from, any damages resulting in the use of that information, with regards to this and subsequent
transactions provided that the information is disseminated only to interested parties disclosed first to UB.

UB agrees to pay Pontchartrain (or a Pontchartrain designee) a success fee at the closing of this and subsequent
transactions:

 A 6.0% (cash) fee of any capital obtained by UB through a Pontchartrain contact. Example: If
Pontchartrain arranges a financing, Pontchartrain will be owed a 6.0% fee on the amount of the financing.
Example: If Pontchartrain arranges a $4,000,000 financing, UB will owe Pontchartrain a fee of $240,000 at the
closing.

And

 In addition to the (cash) fee, UB will allow Pontchartrain to purchase 50% of the equity which is
required to get a financing closed, which is less than 40% of the equity of UB. Example: If UB completes a
financing through a Pontchartrain contact and has to sell 30% of the equity of UB, then Pontchartrain will have
the option to purchase 5% of the UB equity for $1.00. This equity incentive fee is only for the first round of
financing.

This agreement is non-exclusive and may be canceled by either party by giving written notice to the other party.
In the event this agreement is canceled, UB agrees to pay Pontchartrain the fee as stated above if UB completes
a transaction with any party introduced to UB by Pontchartrain during this engagement. Furthermore, if UB
completes any subsequent transactions with a Pontchartrain contact, UB will owe Pontchartrain the cash portion
of the fee as stated above provided that contact was not one which UB was working with another broker or
investment banker.

Urinary BioSolutions, LLC will reimburse Pontchartrain for any out-of-pocket expenses (printing, travel, etc.),
which Pontchartrain incurs on behalf of UB. Pontchartrain will get UB’s approval prior to incurring any cost
and reimbursement shall come solely from closing proceeds.

Please indicate your acceptance of this agreement by signing and returning an original copy of this engagement
letter.
