FATO RELEVANTE – AQUISIÇÃO SAHA

O Fleury S.A. (“Companhia”) comunica aos seus acionistas e mercado em geral que,
nesta data, por meio de sua subsidiária integral CIP – Centro de Infusões Pacaembu
Ltda (“CIP”), celebrou o Contrato de Compra e Venda de Quotas para aquisição de
100% das quotas de emissão da Saha Centro de Infusões Ltda e da Saha Serviços
Médicos e Hospitalares Ltda (em conjunto “Sociedades”).

As Sociedades são renomados centros de infusão de medicamentos imunobiológicos

e de assistência médico-hospitalar localizados na Região Metropolitana da Cidade
de São Paulo e sua receita bruta atingiu R$156,2 milhões em 2021.

Alinhada com a estratégia da Companhia de ampliar seu ecossistema de saúde,

esta aquisição reforça a presença em (i) infusões de medicamentos e (ii)
procedimentos de menor complexidade em centro cirúrgico ambulatorial (hospital
dia), segmento que proporciona maior segurança, conforto e efetividade em custo
para pacientes, assim como para fontes pagadoras.

Na data de fechamento, a Companhia pagará o valor de R$ 120,0 milhões pela

aquisição das Sociedades.

A conclusão desta transação está condicionada a determinadas condições

precedentes, dentre elas a aprovação da aquisição pelo CADE.

A Companhia manterá seus acionistas e o mercado informados sobre os fatos

relacionados a esta transação.

MATERIAL FACT – SAHA ACQUISITION

Fleury S.A. ("Company") hereby informs its shareholders and the market in general that,
on this date, through its wholly owned subsidiary CIP - Centro de Infusões Pacaembu
Ltda ("CIP"), it entered into an Agreement for the Purchase and Sale of Quotas to
acquire 100% of the quotas representing the capital stock of Saha Centro de Infusões
Ltda. and Saha Serviços Médicos e Hospitalares Ltda. (jointly referred to as the
“Companies”).

The Companies are renowned immunobiological infusion therapy and medical care
centers located in the Metropolitan Region of the City of São Paulo and their gross
revenue reached BRL 156.2 million in 2021.

Aligned with the Company's strategy to expand its healthcare ecosystem, this
acquisition reinforces the presence in (i) infusion therapy and (ii) lower complexity
procedures in ambulatory surgical center (day hospital), a segment that provides
greater safety, comfort and cost effectiveness for patients, as well as for paying
sources.

On the closing date, the Company will pay the amount of BRL 120.0 million for the
acquisition of the Companies.

The conclusion of this transaction is subject to certain conditions precedent, among

which, the approval of the acquisition by CADE.

The Company will keep its shareholders and the market informed about the facts
related to this transaction.
