AND VIOM NETWORKS LIMITED a company incorporated under the provisions of The Companies Act, 1956 having its Circle Office at 706 B, 7th Floor, Ratan Square, 20 A, Vidhan Sabha Marg, Lucknow 226001, hereinafter referred to as the Second Party which expression shall unless repugnant to the context be deemed to mean and include its affiliates, assigns, administrators and successors) being represented by its authorized representatives. WHEREAS

A. VIOM NETWORKS LIMITED is in the business providing value added services and passive infrastructure facilities to telecommunication service providers and have an IP-1 registration from Department of Telecommunications, Government of India as Infrastructure Provider. B. The First Party is the bonafide owner in possession of the property situates at _____________________________________________________________________________ _____________________________________________________________________________ ____ hereinafter refereed to as the said premises. C. The First Party is engaged in the business of providing Cellular Telecom Infrastructure Services and for the said purpose has set up passive infrastructure like Cell Towers and other related equipments like BTS, DG etc. in the premises of the LICENSOR vide a License Agreement dated ________________ (Hereinafter referred to as the earlier License Agreement) and the present addendum is entirely intended to be a part of the said earlier License Agreement executed between the parties herein. D. As per term and conditions of the said license agreement dated ______________ second have applied a power connection for the cell site situated at said property, to take a electric connection at the cell site, second party requires to install a pole at the saidproperty, which is necessary to take a safe and proper electric connection. E. Through this MOU First Party permits to second party to install EB pole at the said demised portion and shall not raise any objection regarding the said EB pole. IN WITNESS WHEREOF, BOTH THE PARTIES HAVE EXECUTED THESE PRESENTS ON THE DAY, MONTH AND YEAR HEREINABOVE FIRST WRITTEN
