AVISO AOS ACIONISTAS

Juros sobre o Capital Próprio

São Paulo, 12 de dezembro de 2022 – A São Martinho S.A (B3: SMTO3), (“Companhia”), comunica
que, em Reunião do Conselho de Administração realizada nesta data, foi aprovado o pagamento
de juros sobre capital próprio (“JCP”), no valor bruto de R$ 140.000.000,00 (cento e quarenta
milhões de reais), equivalente a R$ 0,404186137 por ação, com retenção de Imposto de Renda na
Fonte.

O montante de JCP será pago aos acionistas no dia 23.12.2022, sem atualização monetária, e será
deduzido dos dividendos do exercício social a ser encerrado em 31.3.2023.

Terão direito ao recebimento de JCP os acionistas da posição acionária verificada em 15.12.2022,

sendo as ações negociadas “ex” JCP a partir de 16.12.2022.

Considerando o valor bruto de JCP de R$ 115.000.000,00 (cento e quinze milhões de reais) pagos
em 5.7.2022, o montante de JCP bruto pago aos acionistas totaliza R$ 255.000.000,00 (duzentos e
cinquenta e cinco milhões de reais), equivalentes a R$ 0,736196179 por ação.

Aos acionistas custodiados no Banco Bradesco S.A., os créditos serão disponibilizados de acordo
com o domicílio bancário fornecido à instituição financeira, a partir da data de início do
pagamento dos JCP. Aos acionistas custodiados na B3 S.A. - Brasil. Bolsa. Balcão, os JCP serão
pagos e repassados por intermédio dos agentes de custódia.

 NOTICE TO SHAREHOLDERS

Interest on Equity

São Paulo, December 12, 2022 – São Martinho S.A. (B3: SMTO3), (“Company”) hereby announces
that the Board of Directors Meeting held on this date approved the payment of interest on equity
(“IOE”) in the gross amount of R$140,000,000.00 (one hundred and forty million reais), equivalent to
R$0.404186137 per share, with income tax withheld at source.

The IOE will be paid to shareholders on December 23, 2022, without monetary adjustment, and will
be deducted from dividends for the fiscal year ending on March 31, 2023.

Shareholders of record on December 15, 2022 will be entitled to receive IOE and shares will be
traded ex IOE starting from December 16, 2022.

Considering the IOE gross amount of R$ 115,000,000.00 (one hundred and fifteen million reais) paid
on July 05, 2022, the gross amount of IOE paid to shareholders totals R$ 255,000,000.00 (two hundred
and fifty-five million reais), equivalent to R$ 0.736196179 per share.

For shareholders with shares held in custody at Banco Bradesco S.A., payment will be credited
based on the bank account information provided to the financial institution, as from the
commencement of the period for payment of the IOE. For shareholders with shares held in custody
at B3 S.A. – Brasil, Bolsa, Balcão, the IOE will be paid to the institution, which will transfer it to
shareholders through the custody agents.
