INTERNSHIP CONTRACT

OF A CIVIL NATURE

En la ciudad de Guayaquil, al 01 de septiembre del 2016, comparecen por una

parte el señor XXXXXXXXXXXXXXXXXXXX por los derechos que represento
en mi calidad de Presidente Ejecutivo de la compañía
XXXXXXXXXXXXXXXXXXXXX... which for the purposes of this contract shall be
referred to as "EMPLOYER or THE CONTRACTOR"; and on the other hand, Mr.
XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX in his own right, with
citizenship carda No XXXXXXXXXXXXXXXXXXX, who for the purposes of this
contract may be referred to simply as "THE INTERNSHIPEE", agree to enter into
this Internship Contract of a Civil Nature, in accordance with the Internship Law in
the Business Sector (Reformed in R. O. 720 of March 28, 2016), in accordance
with the following clauses:

FIRST: The Contracting Party grants Mr.

XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX, who is studying
XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXX at the
XXXXXXXXXXXXXXXXXXXXXXXX University, the necessary facilities for him to
carry out the respective internships. The aforementioned is evidenced by the
certificate issued by the UNIVERSITY xxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxx,
which proves that the intern is enrolled in the ninth semester of the career in
question.

SECOND.- The Contractor and Mr.

xxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxx, enter into this CIVILIAN
NATURE ASSISTANCE AGREEMENT, with THE PASSENGER, the term of which
shall be until xxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxxx.

THIRD.- THE INTERNSHIPEE shall receive as a monthly stipend or internship

allowance, the amount of: $xxxxx (xxxxxxxxx U.S. dollars and 00/100).
FOURTH: The intern shall work 6 hours a day for 5 days a week.

FIFTH: CONFIDENTIALITY STATEMENTS: The intern shall keep with the utmost
care and reserve each and every one of the secrets that he/she may come to know
for reasons of the internship, both with regard to the company and its officers, as
well as with regard to the companies and persons in general with whom said
company has any relationship, especially since the work he/she will perform is of
trust.

SIXTH: Labor exclusion: The legal relationship between THE CONTRACTOR and
THE INTERNSHIPEE shall be established by means of this Internship Agreement
and shall be governed solely and exclusively by the provisions of THE BUSINESS
INTERNSHIP LAW and those expressly referred to in its provisions. It will not be of
a labor nature, therefore, the norms of the Labor Code and other labor laws will not
be applicable to it.

As a sign of acceptance, the parties hereto sign this CIVIL LIABILITY

AGREEMENT, in three copies of equal content and effect, in Guayaquil at
