The year 1992 ushered in an upheaval of sorts in the country. With the political, social and
economic landscape changing facades, an upsurge in the world of media and entertainment was
waiting to burst open. An upsurge that would resculpt social drifts and impart new meaning to
TV viewing in India. Subhash Chandra, one of India's leading entrepreneurs, who sought to
create a revolution by facilitating the convergence of media and communication with a mirror
into the common man's life and ways, created Zee Telefilms Limited in October 1992. This
enterprise was to act as the chief content provider for Zee TV - India's first Hindi satellite
channel. Zee Telefilms Limited (ZTL) is now known as Zee Entertainment Enterprises Limited
(ZEE).

Very early in the aftermath of launching ZTL, Subhash Chandra entered into a joint venture with
the STAR group of companies. This pact was to augment television broadcasting in India and
deliver higher quality of programming content. In another development around the same time,
media mogul, Rupert Murdoch's News Corp Limited acquired the rights to distribute STAR's
satellite TV content. This made News Corp a de facto partner of ZEE. To strengthen their
network further, ZEE and News Corp co-founded Siticable, a leading cable MSO. In March 2000
however, ZEE bought News Corp's stake in both the broadcasting business and Siticable.

History

Wire and Wireless (ndia) Limited (WWL) is one of group company of Essel Group. Essel Group which
is one of ndia's leading business houses with a diverse portfolio of assets in media, packaging,
entertainment, technology-enabled services, infrastructure development and education. Essel Group is
headed by Mr. Subhash Chandra. WWL, one of the largest Multi System Operator in the cable industry
is involved in the distribution of TV channels through cable network.
WWL has been formed as a part of the whole de-merger of Zee Entertainment Enterprises Limited
(ZEEL, erstwhile known as Zee Telefilms Limited), the publicly listed flagship company of Zee Group. As
per the Scheme of Arrangement approved by the Hon'ble High Court, Mumbai, all the cable TV
distribution business within ZEEL and Siti Cable Networks Limited (Siti Cable) has been transferred to
WWL w.e.f. March 31, 2006. Siti Cable was a 100% subsidiary of Zee Telefilms Limited ("ZTL"). The
cable operations of Siti Cable were launched in June 1994. Siti Cable offered a wholesale service to
Local Cable Operators ("LCO"), as individual LCOs were not capable enough to make the investment in
head-ends to carry the rapidly increasing number of channels. Siti Cable invested in head-ends and
trunk cable networks to the LCOs, while the LCOs owned and operated the network to the subscriber
premises. This model enabled Siti Cable to secure a rapid market penetration.
WWL has been in the business of providing content through analog cable system from the broadcaster
to the Local Cable Operators (LCOs) since inception. With the implementation of CAS (Conditional
Access System) in Delhi, Kolkata and Mumbai, WWL is providing content through digital cable system.

Road Projects:
EIL has already demonstrated an excellent track record in Road Projects and is dynamically
pursuing Road Projects across the country. Some of its projects are:
Malegaon Manmad Koapargaon Road: EIL has finished the construction of 200 Lane Km
Stretch road project in July 2007. The project outlay was Rs 113 cr
EIL has also constructed the Lebad Jaora Road project in MP of 600 Lane Km with a project
outlay of around Rs 815cr.
The company is presently constructing 5 projects of 1000 lane KM, with 4 being in Madhya
Pradesh ad one in Gujarat and actively pursuing to win projects of 3000 Lane Km in the
next one year.

Urban Infrastructure Development:

EIL is developing a sports city in Bhopal spread over an area of 172 acres. The project
outlay is around Rs 1600cr. The complex of 8 Million sq. ft would comprise sports facilities,
a golf course, commercial and residential complexes, a mall and a hotel.
Its also developing a Family recreation centre comprising an amusement park and a water
park in Bhopal spread over 50 acres.
It also has plans to develop a commercial and residential complex of 2.6 million Sq. ft. in
Hyderabad.

Special Economic Zone (SEZ)

The Company is setting up a multi product SEZ in Mumbai relating to
Media/Entertainment, Health & Wellness, Leisure & Shopping and Sports & Recreation. The
Company has received a formal approval for around 270 acres. It is coming up in RTDZ
Zone with a project outlay of around RS 2500 cr.

Power projects

The company is developing a Hydel project between 75 to 120 MW in Lower Solu under
BOOT arrangement with Government of Nepal. It's a joint venture with Clean Energy
Development bank Ltd, Nepal. The project outlay is around Rs 350 cr.
The company has signed an MOU with Government of Madhya Pradesh for setting up 660
MW Thermal Power project in the state of Madhya Pradesh with a Project outlay of Rs.
3000 Crores
The Company is bidding for transmission project of 750 km with a projects outlay of Rs.
1600 Crores.
The Company is also bidding for Distribution projects.
The Company is concentrating on Renewable Energy projects Such as Solar Power and
Wind Power.

Water Management

The Company is actively pursuing opportunities in water management related projects
such as water distribution, irrigation, desalination, water treatment etc.
It has been prequalified for a water project in Rajasthan and is likely to bid few more in
the states of Maharashtra and Tamil Nadu.

Education:

Subhash Chandra is the immediate past Chairman of Ekal Vidyalaya Foundation of India, a
charitable trust that initiates, supports and runs one teacher schools providing support
education in 34,343 (as on 1st Sept 2010) villages all over the country. Ekal has ambitious
target of reaching a lac of villages by 2013, when the movement will be celebrating its silver
jubilee. This is also the year when we all will be celebrating the 150th birth anniversary of
Swami Vivekanand, the inspiration to Ekal movement.
Currently, there are more than 1,000,000 (one million) students taking advantage of the
support education programmes in 34,343 Ekal Vidyalayas working to educate and empower
children in rural and tribal India. These schools are spread across remote tribal areas. Ekal
Vidyalaya's education programme is customized to meet the needs of rural and tribal children.
The classes are scheduled to meet the needs of the village children and are often adapted
depending on the season and harvest schedule. The school curriculum is tailored to teach the
children basic literacy and life skills to help them develop self-confidence and succeed in rural
occupations or pursue higher education, if they choose.
Like the ZEE's drive for tree plantation to save the environment, Ekal also undertook a drive of
planting a million trees on 5th June 2010 and achieved the target in just four months. Ekal will
continue in its efforts to help in reducing global warming.

Spiritual Uplift:

ZEE is a staunch supporter of the belief that happiness in family life, peace and efficiency at
work comes from peace of the mind. The group has supported the Global Vipassana Foundation
for years. Vipassana is said to be a 2500 year old non-sectarian, rational process of mental
purification through self observation (introspection and abstinence). These courses have helped
many an individual to experience spiritual well-being and peace within. The group also has
taken a policy decision of granting 12 days leave to all employees desirous of attending the
Vipassana course.

Global 'ipassana Foundation
Subhash Chandra is the Senior Trustee of the Global
Vipassana Foundation in his capacity as a Vipassana
meditator. Having completed the Vipassana course in the
1990s (around 1994), he was impelled to spread the
philosophy of mental purification through self-observation.
Developments in the fields of science, technology,
communication, transport, agriculture and medicine have
revolutionized human life at the material level. But this
progress is only superficial. Beneath this progress, people are living lives of high mental
and emotional stress, even in the most developed and affluent societies. The problems and
conflicts arising out of racial, ethnic, sectarian and caste prejudices, poverty, warfare,
disease, terrorism, environmental devastation and the general decline of moral values
have cast a dark shadow on the future of civilization.

The Vipassana Foundation propagates the Vipassana technique of meditation that was
rediscovered 2500 years ago by Gautama the Buddha. Over centuries, the technique
spread to the neighboring countries of Burma, Sri Lanka, Thailand and others. However,
the noble heritage disappeared from India. Vipassana was reintroduced to India by Shri S
N Goenka, who has been conducting Vipassana courses since 1969.

The Vipassana movement now operates in over 90 countries through more than 150
Vipassana centres. The centres conduct ten-day courses as well as train people to be
assistant teachers to spread the Vipassana legacy across the globe.

Vipassana can be accepted and applied by people from any background. Vipassana courses
are open to anyone wanting to learn the technique, irrespective of race, caste, faith and
nationality. The technique works on the principle that all human beings share the same
problems; when the malady is universal, the remedy has to be universal.

The Global Vipassana Foundation is a non-commercial organization. All courses,
throughout the world, are run solely on freely-offered donations. No fee is charged. The
courses are financed totally by donations from students who have completed a prior course
and wish to share the benefits they received by giving donations for students who come
after them. Neither the teacher nor the assistant teachers receive remuneration and
volunteer their time and service. This practice is consistent with the pure tradition whereby
the teaching is to be offered free.

The Foundation has conducted courses in prisons and for senior police officers in Rajasthan
and Gujarat. A course was also conducted for the 1,000 inmates of Tihar Jail, where
Vipassana was adopted as a prison reform technique. A large number of government
officers and corporate executives are increasingly adopting Vipassana as a stress buster
and to increase their efficiency and productivity. Thousands of prisoners are practicing
Vipassana, transforming their mental attitudes and benefiting from the resultant peace and
harmony in their lives. School and college students are taking full advantage of this
technique to increase their faculties of memory and understanding whilst developing self-
esteem, self-confidence and humane qualities like tolerance and good-will. Vipassana is
also known to help in the rehabilitation of tobacco, alcohol and drug addiction. Some
rehabilitation centres for drug addicts in Australia and Switzerland have adopted Vipassana
in their programmes with encouraging results.

The Global 'ipassana Pagoda

With increasing number of people taking to Vipassana, the Global Vipassana Foundation
has built a Global Vipassana Pagoda near EsselWorld in Mumbai. The monument in stone is
an expression of gratitude and sharing of benefits of Vipassana as well as serving a
practical function of enabling thousands of students of Vipassana to meditate together,
under the enshrined corporeal relics of the Buddha.

The Global Pagoda is being built on nearly 11 acres of land (worth around Rs 25 crores),
donated by Subhash Chandra. The massive dome of the Pagoda encloses a meditation hall,
which is 90 feet high and 280 feet in diameter, where 8,000 people can meditate together.
The Pagoda is built using interlocking stones instead of cement, concrete or metal and is
unsupported by any pillar. This is the largest pillarless dome to be built in stone in the
world.

Two small pagodas are located on either side of the main pagoda. The Global Pagoda also
has an art gallery depicting the life of Buddha and his teachings. The Pagoda is surrounded
by examples of Burmese architecture, including a 21 feet high monolithic marble statue of
the Buddha weighing 60 tons, and a 13-ton 8 foot high brass bell, both donated by the
people of Myanmar.

The Pagoda's main aim is to provide information about Vipassana in all major Indian and
South Asian languages as well as international languages. While adding fresh life and
vitality to the teachings of the Buddha, this monument will also be a destination for
spiritual tourism.

Ekal 'idyalaya
Subhash Chandra is the immediate past Chairman of
Ekal Vidyalaya Foundation of India, a charitable trust that
initiates, supports and runs one teacher schools providing
support education in 34,343 (as on 1st Sept 2010) villages all
over the country. Ekal has ambitious target of reaching a lac
of villages by 2013, when the movement will be celebrating
its silver jubilee. This is also the year when we all will be
celebrating the 150th birth anniversary of Swami
Vivekanand, the inspiration to Ekal movement.

Chandra takes special pride in being associated with the movement. His inspirational talks
and guidance have given a big boost to the movement in India and abroad, motivating
people to join in the cause. He has been continuously contributing in the strategic growth
plan of the movement and in networking the corporate world with the movement.

Currently, there are more than 1,000,000 (one million) students taking advantage of the
support education programmes in 34,343 Ekal Vidyalayas working to educate and
empower children in rural and tribal India. These schools are spread across remote tribal
areas. Ekal Vidyalaya's education programme is customized to meet the needs of rural and
tribal children. The classes are scheduled to meet the needs of the village children and are
often adapted depending on the season and harvest schedule. The school curriculum is
tailored to teach the children basic literacy and life skills to help them develop self-
confidence and succeed in rural occupations or pursue higher education, if they choose.

Like the Zee's drive for tree plantation to save the environment, Ekal also undertook a
drive of planting a million trees on 5th June 2010 and achieved the target in just four
months. Ekal will continue in its efforts to help in reducing global warming.

The schools are run for three hours every day and the timings are as per the local needs.
There are no school buildings the schools are run under a tree or a small hut offered by
the local people. Apart from basic education, Ekal also extends support for health care
education, development education and empowerment education to the marginalized
section of society residing in remote India.

Chandra has visited many of the villages in remote areas where the schools are run. He
has got a feel of the life there and seen the impact the Ekal Education has made in the life
of the tribal brethren. He has also attended the training programmes where the trainers
are trained and interacted with the volunteers and teachers.

Under the Global expansion programme, Chandra has extended considerable support and
motivation to form Ekal Support Groups in countries abroad.
TALEEM
Transnational Alternate Learning for
Emancipation and Empowerment thorough
Multimedia (TALEEM) Research Foundation was set up by
Subhash Chandra as a literary, scientific and charitable
society and trust in May 1996.
TALEEM is an initiative of the Essel Group to channelize part
of its creative and financial resources to address issues of
national concern.
The TALEEM mission is to provide access and opportunities for quality education through
distance and open learning leading to employment and income generation.

Under its auspices, the TALEEM Foundation has three main activities:
Asian Communications and Creative-Arts Research Institute for Training and
Information (ACCRITI)
ACCRITI has continuously supported and promoted social science research with a focus on
health, communication, micro economy, social marketing, education, social audit and poll
studies. It is devoted to developing and using innovative techniques of information,
education and communication. Since its inception, the Foundation has conducted a wide
range of research projects funded by several national and international agencies.
Among the health care projects, the Foundation has successfully completed national
projects entrusted by the Ministry of Health and Family Welfare like Global Adult Tobacco
Survey (GATS) in Gujarat and Rajasthan, National Family Health Survey-3 (NFHS-3) in the
states of Gujarat and Uttarakhand, District Level Household Survey (DLHS -3) in Madhya
Pradesh and Gujarat states, District Level Household Survey (DLHS -2) and Reproductive
and Child Health in Assam, Meghalaya and Nagaland states.
Apart from research, the Foundation has also experience in developing training modules
and conducting short-term training courses in the field of rural and tribal Development,
Health and Empowerment of women as well as media research studies.

TALEEM has also conducted workshops on women and child development and tobacco
control as well as media research studies.

Programme for Rural Advancement, Guidance and Training Initiatives (PRAGATI)

PRAGATI strives to create grass-root level awareness and contribute towards the
empowerment of the disadvantaged through education and training. PRAGATI's activities
are focused towards tribal and rural development by initiating need-based participatory
action programmes for community development.
After the devastating earthquake in Gujarat on January 26, 2001, the TALEEM Foundation
and Zee Telefilms Ltd adopted Samakhiali village in Kutch District. The Group has
contributed more than Rs 1.5 crore towards the reconstruction and rehabilitation of the
village.
The first step was to set-up communication links through satellite phones. Simultaneously,
TALEEM set up a round-the-clock helpline facility at the Zee News office in Ahmedabad.

The Zee Telefilm Relief Fund was set up with contributions from Zee viewers across the
world. The fund was used to provide tents for temporary shelter, medicines and installation
of water storage tanks at various locations. A girls' school, a children's play school, a
veterinary hospital and a multi-purpose community centre were built at a total cost of Rs
1.5 crore.

Further responding to the needs expressed by the community, Chandra and his brother
Laxmi Narain Goel, initiated a second phase of construction of public utilities including an
overhead water tank with a capacity of 1,00,000 litres, a Panchayat Ghar, a bus stand,
crematorium and a shelter for cows. In addition, the office of the District Development
Officer, at Bhuj in Kutch was reconstructed and support was provided to digitize land
records by way of supplying computer hardware and manpower.
University in the Sky.
The TALEEM Foundation is establishing and building the Himgiri Nabh Vishwavidyalaya in
Dehradun, according to the Himgiri Nabh Vishwavidyalaya (University in the Sky) Act,
2003 dated July 11, 2003, passed by the Government of Uttaranchal. The focus of the
University is to offer vocational education through open and distance learning, while
emphasizing on globalizing education with the help of satellite television and information
technology. The aim is to empower the poor and unprivileged youth through education.

The objectives of the University are:
1.To disseminate learning and knowledge by multimedia and other information and
communication technology as well as conventional means, to provide opportunities for
education to a larger segment of population.
2.To benefit humanity without any discrimination on the ground of caste, creed,
community, gender and religion according to its motto Vasudhaiv Kutumbakam (World as
Family)
The various courses currently running in the University are Bachelor's degree in
Architecture (B. Arch.), Bachelor of Education (B.Ed), Master in Technology (M.Tech-IT)
and Bachelor in Computer Application (BCA) in distance mode.

EsselWorld Oasis
EsselWorld has joined hands with an NGO OASIS
(Organisation of Aware Saviours in Society) to create
environment awareness in the future generation. This involves
working with schools and students to ecosensitise individuals
through various ways.
In June 2004, Esselworld and OASIS launched Eco
Mission - an endeavour to bring about environmental
consciousness among children. Through a series of informative
sessions, contests and activities, the message of saving the
planet is spread to thousands of students. They also provide practical solutions to many
environmental problems, which the students can easily implement. Eco-Mission 2005-06
was themes 'Project Proactive Republic' where more than 40 schools from across Mumbai
participated.
The Eco Mission propagates environment awareness through activities throughout the
year. World Forestry Day, National Nutrition Week, Water Conservation Day are celebrated
with interactive skits, dance performances and exhibitions to create awareness on
environment problems.
As a part of Eco Gallery, students are taken on a field trip around EsselWorld/ Water
Kingdom to show the sewage treatment plant, water recycling facilities, vermiculture pits
and other eco-friendly measures adopted by the park. College and school students have
been trained on the right way of disposing garbage. Students have been practicing
vermiculture and zero garbage in their homes. These proactive programmes have also
encouraged people to liaison with organisations in their vicinity to host awareness
programmes.
Eco Mission has also trained students as 'Eco Ambassadors' who will promote the cause of
the environment in schools.
The EsselWorld-OASIS newsletter, published annually, is a treasure trove of infotainment.
The newsletter is circulated in all schools.
