PR & Marketing Special Consultant Contract

This agreement is made and entered into effective by Southeastern Libraries Cooperating (hereinafter referred to as SELCO) and [library name] (hereinafter referred to as the Library). Assertions: As part of the SELCO Special Consultants Project, SELCO has contracted with independent contractors (hereinafter referred to as the Consultant.) The Consultant possesses specific library related expertise and will undertake on behalf of the Library a variety of tasks as part of the SELCO Special Consultant project. The Library affirms a specific interest or need in the area of PR & Marketing and requests assistance that can be served by the Consultant. In mutual agreement: SELCO and the Library agree to: 1. Services. Services to be performed by the Consultant will include providing subject expertise under the direction and supervision of the SELCO Executive Director or specific SELCO staff assigned to the Special Consultant project. By way of illustration, tasks may include: conducting training seminars, facilitating discussions with library staff and trustees, either onsite at the local library or at the SELCO office, and preparing written documentation in the subject area. The documentation, with proper attribution to the author, will subsequently become the shared property of SELCO and the Library and may be used according to the needs of SELCO and the Library. 2. Schedule. The Library is eligible for up to eight (8) hours of Consultant time, excluding travel time. SELCO, the Consultant, and the Library will negotiate a schedule acceptable to all parties. 3. Consultant Fees. SELCO and the Consultant will negotiate and agree to compensation for the performance of the Consultants services. The fees will be an inclusive rate for pre-visit preparations, onsite consultations, post-visit follow-up, and travel time. SELCO assumes no responsibility for any costs incurred by the Library related to the Special Consultant Project such as, but not limited to, staff salaries or library expenses during Consultant visit; the creation or purchase of materials; equipment or other products or services undertaken as a result of the Consultants recommendations. 4. Term. The duration of the contract will be from [start date] through June 30, 2009 or the conclusion of the project, whichever comes first, unless terminated earlier by either party with thirty (30) days written notice. The contract may be extended for an additional period upon agreement by SELCO and the Library. 5. Property Rights. SELCO shall retain all property rights, title and interest in any research, written products, computer analysis, artistic renderings, or other information or

documentation produced or developed by the SELCO Special Consultant for the Library while engaged in SELCOs Special Consultant project. The Library will have use of such property. 6. Publicity: Any publicity developed for the program, publications, or services provided including but not limited to informational pamphlets, posters, press releases, reports, whether conventional media or presented electronically in a virtual environment shall identify SELCO as the sponsoring agent in cooperation with the Library. 7. Liability: The Library agrees to notify SELCO promptly in the event of any disagreement or dissatisfaction with the Consultant. SELCO will attempt to negotiate a resolution and, if a mutually acceptable solution cannot be identified, SELCO will attempt to identify the services of another Consultant to complete the Librarys project. The Library agrees to indemnify and hold SELCO harmless from any and all claims or causes of action arising from the Consultant as part of the SELCO Special Consultant Project. 8. Confidentiality. In the course of performing the contracted services, the Library may have access to confidential information. The Library agrees not to use or disclose any confidential information to third parties. This document, which is to be performed and constructed under Minnesota law, states the entire Agreement between SELCO and the Library and supersedes any and all prior Agreements affecting this subject matter.
