, 1226 Makati City Gentlemen: I, ________________________, of legal age, with postal address at ________________________, on account of the cessation of my employment with SyCip Gorres Velayo & Co., Certified Public Accountants (hereafter referred to as the Firm, SGV & Co., or SGV) manifest and declare that: 1. I have been employed on _________________ as _______________________. 2. On ___________________________, I tendered my resignation as ________________________, the resignation to be effective at the close of business hours on ___________________________. 3. As of the date of my resignation, my basic monthly salary was Php______________________. 4. I hereby acknowledge the validity of the termination of my employment with the Firm for reasons stated in my letter of resignation 5. I hereby authorize __________________ to receive and acknowledge receipt the full payment due me for all services, including overtime, and unused vacation leave and all other benefits to which I am entitled. I further authorize him/her to receive any vesting benefit from the provident fund to which I may be entitled. 6. I hereby declare that I have been fully paid my salaries, allowances and other benefits including vesting benefits from the provident fund that may be due me, whether such amounts are due me by virtue of my contract of employment or any laws, rules on equity, company programs and/or company practices. 7. In consideration of the foregoing payments, I hereby release, remise, waive and forever discharge the Firm, and/ or its partners and principals, from any action, whether civil, criminal, administrative or otherwise, or from any claim of any kind or character arising out of or in connection with my employment, such as, without limitation, salaries, allowances, holiday pay, fringe benefits, gratuity pay, retirement pay or any financial assistance. 8. I undertake not to do anything prejudicial to the interest of the Firm, and/ or its partners and principals. I also agree that whenever so requested, without any expectation of compensation, I will assist said persons or entities in a reasonable manner that may be requested of me relative to any matter of which I have personal knowledge.

9. I hereby pledge that all matters known to me through my work for clients while in the employ of the Firm will be held in strictest confidence. 10. I also hereby pledge not to work with any accounting or management or tax consulting Firm within the Philippines whose line of business is in direct competition with SGV & Co. within a period of two (2) years from my date of resignation. These competing Firms include, but are not limited to, the following: Isla Lipana & Co., Punongbayan & Araullo, KPMG Manabat Sanagustin & Co., and Manabat Delgado Amper & Co. If I violate this provision, I agree to pay SGV liquidating damages computed at 50% of my compensation for the last twelve (12) months. 11. I shall render every cooperation necessary and obligate myself to turn over and account for all records, books, money, properties, and assets of the Firm which are in my possession. 12. I hereby declare that I have no cause of action whatsoever against the Firm, and/ or partners, principals, officers, agents, employees and affiliates in respect of any matter incident to or arising out of my employment or due to the cessation of said employment. 13. I further declare that if I commit an act contrary to any provision of this document, I will hold the Firm, and/ or its partners, principals, officers, agents, employees and affiliates free and harmless from any and all liabilities, and will pay for all damages suffered by them.
