TUFLOW PRODUCTS SOFTWARE LICENCE AGREEMENT SCHEDULE B PRICE LIST

To be read in conjunction with the latest TUFLOW PRODUCTS SOFTWARE LICENCE AGREEMENT available from www.tuflow.com (Direct link: http://www.tuflow.com/Downloads/Licence%20Agreements/TUFLOW%20Licence%20Agreement.pdf) . The applicable currency listed in this schedule is the currency of the country of the licensees invoicing address. For countries whose official currency is not listed in this schedule, the AUD rate applies unless otherwise quoted in writing. All prices exclude the Australian Goods and Services Tax (GST) and/or any other government taxes. The Australian GST is only applied to sales within the Commonwealth of Australia. Whether or not any other government taxes are applicable is the responsibility of the licensee. BMT WBM reserves the right to vary the Purchase Prices and Rental Prices for the Licences and Software Locks set out in this Schedule from time to time without notice to the Licensee.

The following introductory discounts are offered for the TUFLOW FV Engine until June 30th, 2012. A discount of 50% for local TUFLOW FV licences, licensed to an existing TUFLOW local licence dongle. A discount of 20% for new local TUFLOW FV licences (ie. a new dongle is issued) for existing TUFLOW licensees. A discount of 20% for TUFLOW FV network licences for existing TUFLOW licensees. The above discounting does not apply to the rental of licences.

Types of Software Locks WIBU Codemeter Locks: BMT WBM issued Software Locks are WIBU (Codemeter) USB locks. These locks offer substantial benefits in terms of performance and are recognised by 32 and 64-bit versions of TUFLOW Products. For further details view this TUFLOW Forum announcement or contact info@tuflow.com. SoftLok Locks: Prior to WIBU locks, Softlok USB or Parallel Port locks were issued. Softlok locks will continue to be supported for 32-bit versions of TUFLOW, and can still be upgraded. Softlok could not offer 64-bit support for its dongles, therefore, Softlok locks cannot be recognised by 64-bit versions of TUFLOW. For details on exchanging an existing Softlok lock for a WIBU lock view this TUFLOW Forum announcement. * TUFLOW FV is parallelised allowing a single simulation to utilise more than one thread (ie. more than one CPU or core). The maximum total threads activated by TUFLOW FV simulations is limited to twice the maximum number of TUFLOW FV licences available across all accessible dongles. For example, for a Local 4 licence allowable combinations are: 1 simulation utilising 8 cores; or 1 simulation using 4 cores and 2 simulations using 2 cores each; or 4 simulations each utilising 2 cores each.

B-3 TUFLOW and TUFLOW FV Optional Modules For WIBU locks, the number of module licences on a lock can be the same or less than the number of TUFLOW or TUFLOW FV Engine licences. For example, a WIBU lock can have a TUFLOW Network 10 licence, a Network 3 M2D Module Licence and a Network 1 AD Module Licence. The Purchase Price in this case would be: TUFLOW Network 10 price + 50% of a TUFLOW Network 3 for the M2D + 100% of a Network 1 for the AD giving in AUD $39,600 + 0.5*$19,800 + 1.0*$9,900 = $59,400. For Softlok locks, the number of module licences has to be the same as the number of TUFLOW licences due to the limitations of these locks. Additional Local 4 Lock discounts only apply to modules that are added to Local 4 locks. Modules can be purchased at a later date, and changes to the lock can be carried out remotely. B-4 TUFLOW and TUFLOW FV Annual Software Upgrades and Support 15% Annual Software Upgrades and Support Fee First instalment is pro-rated to the end of next June using the following factors: Order Date: Jul to Sep 0.75 Oct to Dec 0.50 Jan to Mar 0.25 Apr to Jun 1.00 (to end of next June) Thereafter, an invoice is issued around June each year to cover software upgrades and support for the next 12 months from July to June. A credit note cancelling this invoice is issued if the annual fee is cancelled. Not applicable for rentals. A surcharge of 25% on unpaid annual fees applies to cancelled licences that are reinstated. miTools MapInfo and TUFLOW Productivity Utilities (miTools) Allows the Licensee to access the MapInfo and TUFLOW Productivity Utilities (miTools). Use of miTools requires a valid TUFLOW licence. miTools can be installed on unlimited machines within the Licensees Office(s). miTools can be purchased at a later date than the TUFLOW licence. See notes for TUFLOW Annual Software Upgrades and Support above. 15% of the licensees total base TUFLOW value (ie. total licence(s) value excluding modules) 15% of licence value including modules. Miscellaneous Academic Licence Discount Upgrade of an Existing Lock Licences and the annual software upgrades and support fee are discounted for academic institutions for non-commercial use. Upgrading a licence (eg. from a Local 4 to a MultiCore or Network Lock) is allowed. Other licences cannot be returned or refunded as part of an upgrade. Softlok locks exchanged for a WIBU lock, or locks that are damaged and need to be replaced. Also see download exchange form. Note: If a lock becomes faulty through normal use, there is no replacement charge - please contact sales@tuflow.com. Note: The Licensee is responsible for taking out insurance against the loss, theft or disappearance of the Software Lock(s). Replacement cost upon application 50% discount

B-5 Rental of Licences Rental of additional Software Locks on a monthly basis is available to an existing TUFLOW Products Licensee on request. The Rental Price is calculated as follows: Rental Price = R + D where: R = Number of months times 10% of the Purchase Price of the licence(s) as current at the beginning of the month for which the Rental Price is being paid. BMT WBM's delivery expenses.

If at the end of the rental period the rental licence is purchased, 50% of the rental fees accrued from R above are deducted from the sale price. The Licensee is responsible for returning the lock(s) to BMT WBM at the conclusion of the rental period. Both SoftLok and WIBU locks are available for rental including old SoftLok locks that recognise TUFLOW releases prior to 2006-06 which are not recognised by WIBU locks.
