AGREEMENT FOR SALE

THIS AGREEMENT FOR SALE EXECUTED AT CHENNAI ON THIS THE ____ DAY OF DECEMBER 2009 BETWEEN :

Mr. N. VIJAYARAGHAVAN CHAKRAVARTHY, S/O Late Shri. RCS. Narayanan, aged about years, residing at 15/8, 4th Cross Street, CIT Colony, Mylapore, Chennai 600 004, hereinafter called the VENDOR.

AND Mr. V. BALAJI, son of Late Mr. M.S. Viswanathan, aged about 40 years, residing at DOSHI SYMPHONY, 2L, Kesari Block, 129, Velachery Tambaram Main Road, Chennai 600 061, hereinafter called the PURCHASER.

The terms VENDOR and PURCHASER wherever the context so admits or requires shall mean and include themselves, their respective heirs, legal representatives, administrators, nominees, executors, assigns etc. WHEREAS the VENDOR herein became entitled to all that piece and parcel of Residential Flat Bearing No. D-107 on the First Floor of the building called SREEVATSA RESIDENCY measuring 1255 Sq. Ft. or thereabouts (inclusive of common area), situated in SF No. 416/2, at Sreevatsa Residency, Mettupalayam Road, Coimbatore 29 by virtue of Registered Sale deed dated 28.02.2007 vide Document No. 3420/07. AND WHEREAS ever since the aforementioned date of acquisition of the Schedule property the VENDOR herein has been in absolute possession and enjoyment of the same without any interruption or interference whatsoever from whomsoever, paying in her own right taxes and all other public charges, thus having absolute right, title, interest and possession to sell the same. AND WHEREAS the VENDOR is currently desirous of selling the Schedule property to the PURCHASER herein for a total Sale Consideration of Rs. 36, 00,000/- (Rupees Thirty Six Lakhs only) AND WHEREAS the PURCHASER herein based on the assurance of the VENDOR that the Schedule Property is not the subject matter of any mortgage, charge, lien or any other encumbrance has agreed to purchase the same for the said price free from all encumbrances, claims and demands as aforesaid.

NOW THIS AGREEMENT OF SALE WITNESSETH:01. THAT the VENDOR agrees to sell the Schedule mentioned Flat for a total sale consideration of Rs.36, 00,000/- (Rupees Thirty Six Lakhs only) free from all the encumbrances.

02. The PURCHASER does hereby agree and undertake to purchase the said Schedule property at the above mentioned sum of Rs.36,00,000/- (Rupees Thirty Six Lakhs only) which shall be paid in the following manner.

A sum of Rs. 3, 60,000/- (Rupees Three Lakhs Sixty Thousand only) paid vide Cheque bearing No.064373 dated 07.12.2009 drawn on The Karur Vysya Bank Limited, Nanganallur, Chennai as advance at the time of signing this Agreement for Sale, the receipt of which sum the VENDOR does hereby admit and acknowledge and (b) The balance sum of Rs. 32,40,000/- (Rupees Thirty Two Lakhs Forty Thousand only) shall be paid by the PURCHASER to the VENDOR within 45 days from the date of signing this Agreement for Sale.

THE TIME SHALL BE AN ESSENSE OF THIS CONTRACT.

04. The VENDOR has already handed over the Photo copies of all available Title Deeds in respect of the Schedule Property to the PUCHASER herein and the PURCHASER has satisfied himself with regard to the primafacie title of the VENDOR in respect of the Schedule Property.

05. The VENDOR agrees to execute and register a Sale Deed in favour of the PURCHASER herein and or his nominees ultaneous to the receipt of the balance sale consideration as contemplated in Clause 2(b) of this Agreement of Sale.

06. The VENDOR covenants that she has not entered into any other sale Agreement with any Third Party with respect to the Schedule mentioned Flat.

07. The VENDOR declares that all Taxes, rates, Association/maintenance charges and other public charges with respect to the Schedule mentioned Flat have been paid up to date and further covenants to pay the same till the date of Registering the same in favour of the PURCHASER herein and/or his nominee/s.

08. The VENDOR is in absolute possession of the Schedule Flat and the said Flat is free from any other encumbrance and the same is not the subject matter of any court Attachment for Sale, pending litigation, etc.

09. The VENDOR further agrees not to create any mortgage, lien or any other encumbrance over the Schedule Flat or suffer any other execution or attachment over the said Flat till the same is executed and registered in favour of the PURCHASER herein and/or his nominee/s.

10. The VENDOR agrees to hand over vacant peaceful possession of the Schedule Flat along with all the required Original Title Deeds pertaining to the Schedule Flat at the time of the PURCHASER making the full and final payment as contemplated in clause 2(B) of this Agreement of Sale.

11. The Stamp duty and Registration Charges for Registration of the Sale of the Schedule Flat shall be borne by the PURCHASER herein and/or his nominee/s.

12. The VENDOR covenants that except the VENDOR no other person is entitled to the Schedule mentioned Flat.

13. If either party fail to fulfill any of their obligations under this Agreement of Sale, the party not at fault, shall have the right to sue the other party for specific performance of this Agreement with or without damages as per the clause of The Transfer of Property Act.

SCHEDULE OF PROPERTY All that piece and parcel of Residential Flat Bearing No. D-107 on the First Floor of the building called SREEVATSA RESIDENCY measuring 1255 Sq. Ft. or thereabouts (inclusive of common area), situated in SF No. 416/2, at Sreevatsa Residency, Mettupalayam Road, Coimbatore 29. WHEREAS the VENDOR is the absolute owner of an extend of 7.64 Acres and 378 sft of land in S.F.Nos. 416/2,3, 417/2,3, 418/2,3 & 4, in Thudialur Village and 0.44 acres of lands in SF No. 337/4, in Vellakinar Village, more fully described in schedule A hereunder, he having purchased the same under four sale deed vide document No. 6114/2005 dated 10.08.2005, No. 6115/2005 dated 10.08.2005, No.6659/2005 dated 28.08.2005 registered in the office of the Sub-Registrar, Perianaickanpalayam, Coimbatore and Document No. 5129/2005 dated 10.08.2005 registered in the office of the Sub-Registrar, Gandhipuram, Coimbatore. All the above items together measuring to a total extend of Punjai Acres 8.08 and 378 sq.ft. of land situated within the following boundaries: North of South of East of West of S.F. No. 417/2 part, 418/5,6 & 336/1A & 337/4 Part S.F. No. 416/1, & 417/1 and 337/4 part of Vellakinar Village Site No. 2&3 Thudialur Village S.F. No. 337 part of Vellakinar Village & S.F. No. 338

In this, an extend of 27622 Sq. Ft of land in S.F. Nos. 416/2,3, 418/2,3 earmarked for construction of 64 apartments in Block 3 as per the DTP approval. Situated in Srivatsa Residency, within the limits of Thudiyalur Village, Coimbatore. IN WITNESS WHEREOF THE PARTIES HERETO HAVE SET THEIR HANDS AND SIGNATURES ON THE DAY, MONTH AND YEAR FIRST ABOVE WRITTEN IN THE PRESENCE OF :-
