As Amended on April 18, 2005, by vote of the Committee assembled in the County Seat of Alfred, Maine.

Article 1 Name
The name of this organization shall be the York County Republican Committee. Hereafter referred to as the YCRC.

Article 2 Purpose
The YCRC shall be responsible for supporting and strengthening the Republican Party in the county of York and shall take whatever steps are necessary.

To strengthen the party To encourage all persons to register to vote and to enroll in the Republican Party and to vote in all elections. To support all Republican candidates To issue such publicity and arrange such events and meetings as may be deemed necessary or advisable by the YCRC. To provide for the dissemination to the public of information in support of the Party, its principles, its candidates for office and its incumbents in office.

To cooperate with the State and Municipal committees, and To do such other acts and things as may be necessary in support of the Republican Party.

Article 3 Members
The members of the YCRC shall consist of: Three (3) persons from each of the towns and cities in York County to be nominated by the towns and citys respective committees.

The elected officers of the YCRC The members of the Maine State Republican Committee from York County All Republican members of the State House of Representative and of the State Senate as voting members of the YCRC as long as they hold office representing districts within the county.

The Chairman of each municipal Republican committee A representative from any affiliated Republican club, such as Federated Republican Women and Young Republican Clubs, and All Republican nominees for county and legislative office in York County for the general election, whose terms expire at the next primary election.

Each of the members of the YCRC qualified as above defined shall have one vote in any of the proceedings of the YCRC at any meeting called in accordance with the provisions of the Bylaws. All enrolled Republicans in York County are associate members of the Committee. They shall have all the rights of members elected or otherwise chosen except they shall have all the rights of members elected or otherwise chosen except they shall have no voting rights. Any elected member of the Committee who misses three or more consecutive meetings

without proxy by a proxy notice in writing may be expelled from membership by a vote of the Committee.

Article 4 Officers
Chair
The Chair shall preside at all meetings of the YCRC and its Executive Committee. He or she shall preserve order, appoint all committees provided for herein, and exercise general supervision the affairs of the YCRC. He or she shall be an exofficio member of all committees. The Chair shall call special meetings if deemed necessary and shall perform such other duties as are usually required of a presiding officer. The Chair shall have no vote except in the case of a tie, when he or she shall cast the deciding vote. The Chair shall have no vote in any matter involving the election of a successor.

Vice-Chair
The Vice-Chair shall assume all duties of the Chair in the absence of the Chair and shall perform such other functions as may be assigned to him or her by the Chair.

Secretary
The secretary shall keep a true and accurate record of all proceedings of the YCRC. He or she shall have custody of all the records, files and correspondence. He or she shall be subject at all times to the supervision of the Chair. The Secretary shall report at each meeting the minutes of the previous meeting.

The Secretary shall keep a complete and current list of all members names and addresses. The Secretary shall submit in writing to all members notification of all meetings not less than five (5) days prior to such meetings. The notification shall contain the time, place and purpose of such meetings.

Treasurer
The Treasurer shall receive all the moneys and shall be custodian of all funds of the YCRC. He or she shall keep separate accounts of funds held for specific purposes. The Treasurer shall report at each meeting of the YCRC on the general financial condition of the YCRC. The Treasurer shall pay all bills when such bills are supported by proper vouchers and when bills are approved for payment and are approved by a majority of the YCRC Executive Committee.

Finance Chair
The Finance Chair shall be responsible for all fund-raising activities of the YCRC The Finance Chair shall report at each meeting of the YCRC on all fundraising activities in progress. The Finance Chair shall be the Chair of all fund-raising committees

Article 5 Election of Officers


The officers referred to in Article 4 shall be filled by persons elected biennially by the YCRC.

The Chair shall appoint a nominating committee, the function of which shall be to recommend persons to be considered for election at the second meeting of the YCRC following general elections and a report shall be presented at the first meeting following the general election. This provision shall not preclude nominations from the floor. The meeting of the YCRC for the purpose of electing offices shall be called from the State Committeeman or State Committeewoman. This responsibility shall be alternated with the State Committeewoman calling the next meeting for elections purposes following the adoption of these Bylaws. In absence or inability of the State Committeeman or woman to call the required meeting, the other shall do so in his or her stead. At least five days notice of the meeting to elect officers shall be given by the Secretary of the Committee when instructed to do so by the State Committeeman or woman responsible for calling the meeting. The expense shall be borne by the YCRC.

Article 6 Terms of the Office


The term of each office shall begin on the date at the time elected and continue until the date and time which a successor may be elected.

Article 7 Executive Committee


There shall be an Executive Committee consisting of the officers of the YCRC and the members of the State Committee from York County. It shall be the duty of the Executive Committee to approve disbursement of all funds of the YCRC, and the Treasurer shall pay no bill or disburse no money

except such disbursement shall have been approved by the Executive Committee as attested by the Chairman, or in his or her absence or inability to act, by a Vice Chair of the YCRC. The Executive Committee shall constitute an advisory group for the officers and assist and guide them in the exercise of their responsibilities as the Executive Committee may deem necessary or desirable. The Chair of the YCRC shall be the Chair of the Executive Committee. At any meeting of the Executive Committee the majority of the members shall constitute a quorum. Meetings of the Executive Committee shall be called by the Chair, or in his or absence or inability to act, by a Vice-Chair of the YCRC. All members of the Executive Committee shall received written notice of each meeting called at least 48 hours in advance of such meeting.

Article 8 Voting
Each voting member of the YCRC shall be entitled to one vote on all questions at any regular or special meeting if present in person or represented by a duly appointed proxy. The proxy must be an enrolled Republican and a resident of the same municipality as the said Committee member. No person can use more than one proxy or in any other way have more than one vote on any question at any meeting.

Article 9 Calling of Meetings

A meeting of the YCRC may be held at any time upon the call of the Chair or in his or her absence or inability to act, the Vice-Chair, or upon written petition of at least ten (10) members of the YCRC filed with any member of the Executive Committee. The Executive Committee member may instruct the Secretary to call such a meeting; if the Secretary fails to do that Executive Committee member shall be empowered to call such a meeting. With exception to the first meeting of the YCRC provided for in Article 5 Election of Officers, notice of any regularly scheduled meeting of the YCRC shall be given at least ten (10) calendar days before such a meeting is to be held. This notice shall contain the time and place of such meeting and the purpose of such meeting. Emergent meetings may be called at the discretion of the chair, or as provided above, with at least five (5) calendar days notice. Notification for all meetings shall be made through regular mail or electronic mail, at the discretion of the YCRC member. The secretary shall be notified, in writing, of the delivery method for each member by their respective town chairs.

Article 10 Vacancies
A vacancy may occur for the following reasons: Resignation Death Change of enrollment so that such member is no longer an enrolled Republican Expulsion due to absences (Article 3-Membership) and

Municipal, failure to nominate a person to the YCRC Vacancies among members of the State Committee from York County shall be filled by an election of any YCRC meeting, provided the notice of the election is given along with the notification required by Article 9-Calling of Meetings. When a vacancy occurs among members representing town or city committees, the Secretary of the YCRC shall notify the respective town or city committee of that vacancy and request the committee involved to nominate a replacement within thirty (30) calendar days. If no nomination is received within thirty (30) calendar days, a new member may be elected may be elected by YCRC, who is resident of the town or city involved.

Article 11 Conduct of Meetings


All meetings of the YCRC and all committees formed by it shall be governed by the Roberts Rules of Order, newly revised.

Article 12 Quorum
One tenth of the members of the YCRC shall constitute quorum.

Article 13 Amendments
The By-Laws may be amended at any YCRC meeting by a two-thirds (2/3) vote of the members present at such a meeting, provided that notice in writng of the proposed amendments is mailed to each member at least five (5) calendar days before the date of such meeting and also provided that at least a quorum is present. Such notice of meeting must contain the wording of the proposed amenmant exactly as it is proposed.

Article 14 Standing Committees


The Standing Committee of the YCRC shall be the following:
