And whereas: The Agent expressed his wish to work in the above-mentioned position and presented himself as having the knowledge, experience suitable to perform the above-mentioned position. And whereas: Both parties wish to define in this agreement the conditions of the Agent's employment. And whereas: Both parties wish to arrange their association in a written agreement subject to what is stated in this agreement. The following is therefore agreed and stipulated between the parties: 1. The introduction to this agreement is an integral part of it. 2. a. The agreements starting from __________. If necessary the Company is entitled to delay the signing of the agreement by 10 days. Expected end of employment date will be __________________. If necessary the employment period will be extended by about another 14 days. b. Despite the aforementioned in sub-clause a above, the Company is entitled to terminate the relationship between the parties for any reason including the company's dissatisfaction with the Agent's performance, by 7 days prior notice. c. If the Agent will want to terminate the relationship with the Company, he will give his supervisors in Great Britain 30days prior notice, or alternately arrange for a replacement with suitable qualifications and a European passport, subject to the Company's confirmation to accept the new agent. # should the Agent leave the Company before the end of the period (30 days) any salaries owing will not be paid by the Company. d. Notices by one of the parties as mentioned above will terminate this agreement at the end of the period as set in the aforementioned sub-clause b and c.

The Agent's relationship with the Company will be on a self-employed basis and not as an employee of the Company. In the frame of his position as mentioned in the introduction to this agreement, the agent shall, among others, perform the following: a. To fulfill with complete responsibility the instructions of his supervisors loyally and accurately and to the best of his ability, understanding, and skills. b. To know the theoretical material before arrival to Great Britain, in order to ease integration at work, to be able to speak English fluently. c. To perform his duties with total dedication and diligence. d. e. To follow the work procedures and be responsible to perform them.

To arrive to work punctually!! This is a 6-day work week with one day off in the middle of the week (Monday or Thursday) there are no holidays on weekends!! * If there are extra people, it is also possible to work 5 days a week. f. Not to be absent during working hours without approval from his supervisors.

g. Not to take any action and/or failure of malice and/or negligence which is liable to result in damage and/or loss and/or profit deterrence to the Company or his place of employment and/or any third party connected to and/or concerning the Company. h. Use of drugs is absolutely prohibited!!!! An Agent who breaches this clause will be dismissed from the Company without prior notification and will also be fined the amount of 500 Pounds Sterling. i. If there is merchandise missing, it will be the Agent's responsibility to explain the reason to the supervisors. If the missing goods will not be discovered - the amount of the missing goods will be deducted from the employee's salary. j. k. If you have a driver's license you need to bring it with you Appropriate dress for work (black clothes only) dress pants and shirt no jeans!!!

l. For the period of the agreement the Agent shall not demand from the Company to change his salary and/or use sanctions and any actions against the Company regarding the matter of the salary. 4. In the frame of its duty the Company shall: a. b. Pick you up from the airport. To give personal training and the required tools in order to ease integration at work.

c. To arrange residence for the employee in a Company apartment that has a television and cable, internet

and a computer. Rights of the Agents: The Agent's absorption in Great Britain 1. The Company is responsible for the full absorption procedure of the Agent in Great Britain beginning with picking him up from the airport and all the initial needs of the Agent. 2. (1) The Agent will have 3 days of training (not on weekends). (2) The Agent will be paid 25 Pounds Sterling for a full training day (10:00-18:00) although during these three days the Agent will not be entitled to commissions as detailed below. (3) At the end of the three training days, the Agent will have to pass a theoretical and practical test. If the Agent will not pass the test the ongoing work will not be possible until he will pass the theoretical and practical test successfully. (4) After the agent passed successfully the theoretical and practical test the two following weeks Will be considering as probation period by this terms: Week 1 payment as set in the aforementioned sub-clause 5 e. If the agent passes this week Successfully the payment for week 2 and farter will be as set in the aforementioned sub-clause. If not the payment in week two will be a rate of 25%-30% from the Agent's personal sales only. If the agent didnt passed week 1 and week 2 he will lose the job.

3. The start of work will be determined by the Agent one to two days from his arrival to Great Britain (only if the Agent is completely familiar with the theoretical material!!!). The Agent will not be able to start working if he does not know the theoretical material!!! 4. The Agent will undergo a number of training days on the product at the points of sale close to the regional manager or product manager. 5. The Company shall pay the Agent: a. Payment at a rate of 25% and 30% from the Agent's personal sales, after reduction of VAT subject to the rules of the country in which he works. We guarante 850 pound per month if the employee will not reach that amount with his selling percentage * The Agent will be entitled to daily and/or weekly and/or monthly bonuses if he will reach the objectives that will be fixed by the employers in Europe (the objectives are subject to change). b. The Company will pay once a month , The payment will be paid by cheque or bank transfer. e. If the agent terminate this agreement before the period mentioned above all basic 850 guaranteed per month or daily/weekly bonuses will deduct from the last salary .

thats mean that the agent can terminate this agreement before the mentioned date by given 30 days notice but any basic or bonus during this period will deduct from the last salary . 6. The Agent shall pay: a. The Agent shall pay an amount of 75 Pounds per week which includes rent, water, electricity, cable, internet, etc.

b. The Agent will make sure to arrange all the necessary approvals in order to be able to work in Great Britain legally before beginning his employment in the Company. 7. Lack of employee-employer relationship a. It is clarified that the relationship between the parties to this agreement are self-employed contractorclient relationship and there is not nor will there be employee-employer relationship between the Company and the Agent and/or the Agent's employees in the performance of this agreement. b. The Agent will bear all responsibility placed on him according to law for the payment of salaries and/or receipts of those employed by him in the performance of this agreement. c. It is clarified herewith that the Agent is not entitled to receive from the Company payment of any social benefits and conditions set by any law and/or custom and/or collective agreement, as well as dismissal compensation. d. It is clarified that the Agent is not entitled to any benefits, except the commissions as detailed in clause 5 above, as a result of fulfilling this agreement and its instructions accordingly and/or as a result of cancellation and/or termination of the agreement for whatever reason. e. The Company will pay the Agent the commissions as stated only and in order to remove any doubt, it is agreed between the parties that the Agent will not be entitled to any compensation, pension, or any other rights granted to the Company employees. f. The Agent shall not claim or raise complaints in any forum or occasion which could damage his position as a self-employed contractor towards the company and in the absence of employeeemployer relationship between himself and the Company. g. The Agent will bear all responsibility placed on him before the customs and, immigration authorities.
