The IRS has come out with new audit rules, so if you have LLC's or LP agreements, it's important that they be amended before the end of the year. In the past, an IRS audit required interaction with all members of an LLC or partnership. That could become very complicated, especially if there are many partners who could potentially litigate. The new rules involved a Centralized Partnership Audit Regime, so that the IRS deals with a single partnership representative. And that representative doesn't even have to be a member of the LLC. Here's where it gets tricky. If a representative isn't appointed by the LLC or LP, the IRS can choose whoever they want! This should give you some good motivation to amend to pay attention to our next guest.
