Este Irrevogável Acordo Mestre de Proteção de Comissionamento (“IMFPA”) é emitido em nome

do Beneficiário (doravante denominado “Beneficiário”): representado pelo Sra. ANA MARIA
FELIX DAS DORES, número do passaporte FU630412 e o Co-Beneficiário (doravante denominado
“Co-Beneficiário”), representado pelo Sr.(a) MYENE DE CARVALHO SALES, documento de
identidade nº 2004097003704, participante na venda de ativos financeiros diversos, celebrados
através do contrato código SWITZERLAND 045972-16126.

Os honorários serão pagos ao Co-Beneficiário acordado neste IMFPA, por todos os valores
contratados

This Irrevocable Master Fee Protection Agreement (“IMFPA”) is issued on behalf of the
“Beneficiary (also known as the “Beneficiary”): represented by Mrs. ANA MARIA FELIX DAS
DORES, passport number FU630412 and Mr(s). MYENE DE CARVALHO SALES, identification
document number 2004097003704, issued on behalfof the Co-Beneficiary (also known as the
“Co-Beneficiary”), both involved in the negotiation of the asset identified as by the above
contract SWITZERLAND 045972 – 16126.

Fees payments will be made after each amount of payment sent.

The honorary will be paid to the Co-Beneficiary agreed in this IMFPA for the entire contracted
amount, including all extensions and enrolments as defined below:

• Payable at the time of payment for each transaction, whether by SWIFT, wire
transfer or current bank transfer.

• The payments will be made without protest, delay, or deductions and free from any
transaction fees (other than normal bank money transfer fees and tax related).

A titularidade sob esta IMFPA cobre toda a transação identificada e definida neste
instrumentoincluindo todas as suas extensões e arrolamentos

• The entitlement under this IMFPA covers the entire transaction identified and defined
herein including all extensions and rollovers.

Todas as partes envolvidas nesta transação, irrevogavelmente concordam que eles não
podem assumir quaisquer responsabilidades sobre a conclusão da operação no quesito

liberação ou motivos de Estado ou Governamentais sobre a transação referida, e não

neste IMFPA configura ou cria qualquer parceria ou relação empregado - empregador entre
as partes.

• All parties involved in this transaction irrevocably agree that they cannot assume any
responsibility for the completion of the transaction with respect to release or state or
governmental reasons for the said transaction and cannot be held liable for any reasons
associated with delays of any kind and nothing in this IMFPA sets up or creates any
partnership or employee-employer relationship between the parties.

• Esta IMFPA deverá ser válida, executável na força da lei, mesmo que os códigos da
transação sejam alterados pelo banco ou por qualquer uma das partes, durante qualquer
ponto ou fase da transação, e o Co-Beneficiário descrito nesta IMFPA, NÃO pode, em
nenhuma hipótese ou circunstância, alterar seus dados bancários em qualquer momento,
caso se faça necessário, o Co- Beneficiário deverá enviar uma solicitação original por escrito,
com 20 dias de antecedência, com assinatura reconhecida em cartório ou meio eletrônico
atual de validação, para o seguinte endereço.

• This IMFPA must be valid, enforceable under the law even if the transaction codes are
changed by the bank or any of the parties, during any point or phase of the transaction and
the Co-Beneficiary described in this IMFPA CANNOT under any circumstances or in any
circumstance to change their bank details at any time, if necessary, the Co-Beneficiary must
send an original written request, 20 days in advance, with a notarized signature or current
electronic means of validation, to the following address:

• Toda disputa insurgente desta IMFPA deverá ser resolvida por competência da Câmara
deArbitragem ICC http://www.iccwbo.org/

• All disputes arising regarding this IMFPA shall be resolved by binding INTERNATIONAL
CHAMBER OF COMMERCE I.C.C http://www.iccwbo.org/

• Todas as partes envolvidas nesta transação acordam com a não circunvenção dos
demais envolvidos nesta transação ou qualquer outro pendente, ou ainda qualquer
outra futura, sejadiretamente ou indiretamente, deste momento por um período
de cinco (5) anos.

• All parties involved in this transaction hereby agree not to circumvent each other in this
transaction, or in any transaction pending, or in any transaction in the future, whether
directly or indirectly, for now a period of five (5) years.

e incondicionalmente, a pagar os honorários especificados neste IMFPA em REAIS, em favor do

O honorário referido neste IMFPA torna-se pagável apenas quando a transação referenciada

No evento do atraso do Beneficiário ou falha em honrar os compromissos contratuais, após o

recebimento da transação celebrada através do contrato principal SWITZERLAND 045972, ou
por qualquer outra razão não efetue o repasse após a conclusão do pagamento, o total dos
honorários deverá ser pago completamente a vista no ato do requerimento feito pelo Co-
Beneficiário nomeado neste contrato, sem protesto e sem atraso.

In the event that the Beneficiary delays or fails to honour the contractual commitments, after
receiving the transaction under the main contract SWITZERLAND 045972, or for any other
reason does not makethe transfer after completion of payment, the total fees shall be paid in
full to seen in the act ofapplication made by the Co-Beneficiary named in this contract, without
protest and without delay.

any provisions of this Contract. As applicable, this agreement shall be:

nacional e Global” ou qualquer outra lei aplicável conforme o modelo de Assinaturas
Eletrônicas UNCITRAL (2001);

Incorporate U.S. Public Law 106-229, ‘‘Electronic Signatures in Global and National
Commerce Act’’ or such other applicable law conforming to the UNCITRAL Model Law
on Electronic Signatures (2001) and

ACORDO DE COMÉRCIO ELETRÔNICO (ECE/TRADE/257, Genebra, maio 2000) adotado

pelo Centro de Comercio Exterior e Negócios Eletrônicos das nações Unidas
(UN/CEFACT)

ELECTRONIC COMMERCE AGREEMENT (ECE/TRADE/257, Geneva, may 2000) adopted

by the United Nations Centre for Trade Facilitation and Electronic Business
(UN/CEFACT).

E por estarem de acordo com as regras de sigilo absoluto, as partes assinam o presente contrato
de forma eletrônica, dispensando o uso de testemunhas pelo seu conteúdo sigiloso.

electronically, dispensing with the use of witnesses for the secrecy of this contract.
