FATO RELEVANTE

DESKTOP – SIGMANET COMUNICAÇÃO MULTIMÍDIA S.A. (“Companhia”), em

cumprimento ao disposto no parágrafo 4º do artigo 157 da Lei nº 6.404/76 e na Instrução
CVM nº 358/02, vem informar a seus acionistas e ao mercado em geral que, nesta data,
ocorreu o fechamento da operação de aquisição de 100% (cem por cento) das quotas
representativas do capital social da Net Barretos Participações S.A. (“Net Barretos”),
através de sua controlada Starnet Telecomunicações Ltda., conforme os termos e
condições do Contrato de Compra e Venda de Ações e Outras Avenças, celebrado em
14 de agosto de 2021 (“Contrato”) (“Transação”).

A Net Barretos é líder de serviços de internet de banda larga com tecnologia de fibra
óptica na região norte do Estado de São Paulo, operando nos municípios de Barretos,
Bebedouro, Colina, Guaíra, Jaborandi, Jaboticabal e Pitangueiras. A Companhia vem
crescendo em um ritmo bastante acelerado, em linha para fechar o ano de 2021 com
aproximadamente 67 mil assinantes, uma receita bruta anual de aproximadamente
R$ 78.000.000,00 (setenta e oito milhões de reais) e um EBITDA de aproximadamente
R$ 31.000.000,00 (trinta e um milhões de reais).
A aquisição está alinhada com a estratégia de crescimento inorgânico da Companhia
por meio de aquisições de ativos que: (i) estejam localizados em áreas geográficas
adjacentes à operação atual da Companhia; (ii) que possuam forte dominância em seu
mercado de atuação; e (iii) com potencial para continuar o crescimento pós-transação
de forma orgânica. Além disso, foram mapeadas sinergias operacionais e
administrativas que totalizaram aproximadamente R$ 5.000.000,00 (cinco milhões de
reais) incrementais ao EBITDA.

O preço total da transação é de R$ 191.289.709,75 (cento e noventa e um milhões,

duzentos e oitenta e nove mil, setecentos e nove reais e setenta e cinco centavos),
sendo que o montante de R$ 116.808.408,00 (cento e dezesseis milhões, oitocentos e
oito mil, quatrocentos e oito reais) será pago à vista, e o montante de R$ 74.481.301,75
(setenta e quatro milhões, quatrocentos e oitenta e um mil, trezentos e um reais e
setenta e cinco centavos) será pago a prazo, a partir do segundo aniversário da
transação, em 4 (quatro) parcelas anuais.

Com o fechamento da operação, a Companhia, nesta data, passa a ser a titular da

totalidade das quotas representativas do capital social da Net Barretos.

MATERIAL FACT

DESKTOP – SIGMANET COMUNICAÇÃO MULTIMÍDIA S.A. (“Company”) pursuant to

the provisions of paragraph 4 of article 157 of Law No. 6,404/76 and of CVM Ruling No.
358/02, hereby communicates its shareholders and the market in general that, on this
date, has carried out the acquisition of 100% (one hundred percent) of quotas
representing the capital stock of Net Barretos Participações S.A. (“Net Barretos”),
through its subsidiary Starnet Telecomunicações Ltda., pursuant to the terms and
conditions of the Sales and Purchase Agreement signed on August 14, 2021
(“Agreement”) (“Transaction”).

Net Barretos is the leading Company in fixed broadband internet with fiber optic
technology in the northern region of the State of São Paulo, operating in the cities of
Barretos, Bebedouro, Colina, Guaíra, Jaborandi, Jaboticabal and Pitangueiras. The
Company has been growing at a fast pace, in line to close 2021 with approximately 67
thousand subscribers, an annual gross revenue of approximately R$ 78,000,000.00
(seventy-eight million reais) and an EBITDA of approximately R$ 31,000,000.00 (thirty-
one million reais).

The acquisition of Net Barretos demonstrates the maintenance and continuity of the
Company's inorganic growth strategy through acquisitions that: (i) are in geographic
areas adjacent to the Company's current operations; (ii) that have a strong dominance
in their markets; and (iii) with potential to keep growing organically. There are operational
and administrative synergies already mapped totaling approximately R$ 5,000,000.00
(five million reais) in addition to EBITDA.

The total price of the transaction is R$ 191,289,709.75 (one hundred and ninety-one
million, two hundred and eighty-nine thousand, seven hundred and nine reais and
seventy-five cents), and the amount of R$ 116,808,408.00 (one hundred and sixteen
million, eight hundred and eight thousand, four hundred and eight reais) will be paid at
closing, and the amount of R$ 74,481,301.75 (seventy-four million, four hundred and
eighty-one thousand, three hundred and one reais and seventy-five cents) will be paid in
installments, as of the second anniversary of the transaction, in 4 (four) annual
installments.

With the closing of the transaction, the Company, on this date, becomes the holder of all
the shares representing the capital stock of Net Barretos.
