AVISO AOS ACIONISTAS

Pagamento de Dividendos

A AUREN ENERGIA S.A. (“Auren” ou “Companhia”) (B3: AURE3), em continuidade ao Fato

Relevante divulgado em 16 de fevereiro de 2023, comunica aos acionistas e ao mercado em
geral que, nesta data, a Assembleia Geral Ordinária e Extraordinária aprovou, dentre outras
deliberações, a declaração e distribuição de dividendos obrigatórios e adicionais relativos ao
exercício social findo em 31 de dezembro de 2022, em montante total de R$1.500.000.000,00
(um bilhão e quinhentos milhões de reais), equivalentes a R$1,50 (um real e cinquenta centavos)
por ação ordinária de emissão da Companhia, sendo: (i) R$635.169.919,57 (seiscentos e trinta e
cinco milhões, cento e sessenta e nove mil, novecentos e dezenove reais e cinquenta e sete
centavos), a título de dividendos obrigatórios, correspondente a 25% do lucro líquido ajustado
do exercício social de 2022; e (ii) R$864.830.080,43 (oitocentos e sessenta e quatro milhões,
oitocentos e trinta mil, oitenta reais e quarenta e três centavos), a título de dividendos
adicionais.

1. Data-base: Terão direito aos dividendos declarados, os acionistas da Companhia na data

base de 04 de maio de 2023, respeitadas as negociações realizadas até essa data, inclusive.

2. Data “ex-dividendos”: As ações serão negociadas ex-dividendos a partir de 05 de maio de

2023, inclusive.

3. Data de pagamento: O pagamento dos dividendos será realizado em moeda corrente

nacional, em parcela única em 15 de maio de 2023. Não haverá atualização monetária ou
incidência de juros entre a data da declaração dos dividendos e a data do efetivo
pagamento.

4. Na data do pagamento dos dividendos, a Companhia creditará o dividendo devido a cada

acionista, segundo o número de ações ordinárias de sua titularidade na data-base de 04 de
maio de 2023 (respeitadas as negociações realizadas até esse dia, inclusive), de acordo com
o domicílio bancário fornecido a Itaú Corretora de Valores Mobiliários S.A., instituição
responsável pela escrituração das ações da Companhia.

5. Para os acionistas cujo cadastro não contenha a inscrição do número do CPF/CNPJ ou a

indicação de “Banco/Agência/Conta Corrente”, os dividendos somente serão creditados
depois da atualização cadastral e nos prazos determinados pelo Itaú Corretora de Valores
Mobiliários S.A.
6. O recebimento dos dividendos será isento de imposto de renda, de acordo com o art. 10 da
Lei n.º 9.249/95.

7. Os acionistas cujas ações estão depositadas em instituições prestadoras dos serviços de

custódia de valores mobiliários terão seus dividendos creditados conforme procedimentos
adotados pelas próprias instituições.

NOTICE TO SHAREHOLDERS

Dividend Payment

AUREN ENERGIA S.A. (“Auren” or "Company") (B3: AURE3), following up on the Material Fact
released on February 16th, 2023, informs to its shareholders and the market in general that, on
this date, the Annual General Meeting approved, among other matters, the declaration and
distribution of mandatory and additional dividends related to the fiscal year ended on December
31st, 2022, in the total amount of BRL 1,500,000,000.00 (one billion and five hundred million
Brazilian Reais), equivalent to BRL1.50 (one Brazilian Real and fifty cents) per common share
issued by the Company, of which: (i) BRL 635,169,919.57 (six hundred and thirty-five million,
one hundred and sixty-nine thousand, nine hundred and nineteen Brazilian Reais and fifty-seven
cents), as mandatory dividends distribution, corresponding to 25% of the adjusted net income
for fiscal year 2022; and (ii) BRL 864.830,080.43 (eight hundred and sixty-four million, eight
hundred and thirty thousand, eighty Brazilian Reais and forty-three cents), as complementary
dividend distribution.

1. Record date: The Company's shareholders will be entitled to the declared dividends on the
record date of May 04th, 2023, with regards to the negotiations carried out until that date.

2. Ex-dividend date: The shares will be traded ex-dividend as of and including May 05th, 2023.

3. Payment date: Dividends payment will be made in Brazilian currency, in a single installment
on May 15th, 2023. There will be no monetary restatement or incidence of interest between
the dividend declaration date and the effective payment date.

4. On the dividend payment date, the Company will credit the amount due to each
shareholder, according to the number of ordinary shares held on record date of May 4th,
2023 (considering negotiations carried out until that day, inclusive), in accordance with the
bank details provided to Itaú Corretora de Valores Mobiliários S.A., the institution
responsible for the bookkeeping of the Company’s shares.

5. For shareholders whose records do not include their CPF/CNPJ number or the indication of
"Bank/Branch/Checking Account", dividends will only be credited after the update of their
registration information and within the deadlines determined by Itaú Corretora de Valores
Mobiliários S.A.
6. The dividends payment is exempt from income tax, according to article 10 of Law 9249/95.

7. Shareholders whose shares are deposited with institutions that provide securities custody
services will have their dividends credited in accordance with procedures adopted by the
depositary institutions.
