FATO RELEVANTE – COMPRA DE EMPRESA FRANQUEADA

Localiza Rent a Car S.A. – “Localiza” ou “Companhia” (B3: RENT3 e

OTCQX: LZRFY), em atendimento ao disposto na Instrução CVM nº 358/02, vem
informar aos seus acionistas e ao mercado que, dando prosseguimento à
transação informada no Fato Relevante de 15 de julho de 2018, sua subsidiária
integral Car Rental Systems S.A. (“Car Rental Systems”), celebrou nesta data
os contratos definitivos e de fechamento da aquisição da Localiza RP Aluguel
de Carros S.A., composta de parte cindida da empresa franqueada da Localiza,
Ativa Service Ltda, baseada em Ribeirão Preto, com operação em mais 3 cidades
do interior do estado de São Paulo e frota de 2.715 carros, pelo preço total de
R$ 124.069.020,19 (cento e vinte e quatro milhões, sessenta e novel mil, vinte
reais e dezenove centavos).

Esclarece ainda que, a aquisição não será submetida à assembleia geral da

Companhia, bem como não ensejará aos acionistas da Localiza o direito de
recesso, nos termos do artigo 256 da Lei 6.404/76, alterada pela Lei nº
10.303/01, conforme entendimento consolidado pela CVM, exposto no item 7.6
do OFÍCIO-CIRCULAR/CVM/SEP/Nº02/2016.

MATERIAL FACT - ACQUISITION OF FRANCHISEE

Localiza Rent a Car S.A. – “Localiza” (B3: RENT3 and OTCQX: LZRFY), in compliance
with CVM Instruction 358/02, hereby informs its shareholders and the market that
resuming the transaction informed in the Material Fact of July 15, 2018, its wholly owned
subsidiary Car Rental Systems SA (“Car Rental Systems”) concluded on this date the signing
of the definitive and closing contracts for the acquisition of Localiza RP Aluguel de Carros
S.A., the company resulted from the spin-off of Ativa Service Ltda., a franchisee of Localiza
based in Ribeirão Preto, operating 3 other cities in the interior of the state of São Paulo with
a fleet of 2,715 cars, for the total price of R$124,069,020.19 (one hundred and twenty four
million, sixty-one thousand, twenty reais and nineteen cents).

It further clarifies that the acquisition will not be submitted to general shareholders’
meeting and will not grant to the Company’s shareholders the right of withdrawal,
pursuant to article 256 of Law 6,404 / 76, as amended by Law 10,303 / 01, and
according with the consolidated understanding of CVM, provisioned in item 7.6 of
CIRCULAR OFFICE / CVM / SEP / Nº02 / 2016.
