FATO RELEVANTE

ATACADÃO S.A. (B3: CRFB3) (“Grupo Carrefour Brasil” ou “Companhia”), em observância

ao disposto no art. 157, parágrafo 4º da Lei nº 6.404/76 e à Instrução da Comissão de
Valores Mobiliários nº 358/2002, e, ainda, em complemento aos Fatos Relevantes
divulgados em 16 de fevereiro, 11 e 30 de novembro, 03 e 16 de dezembro de 2020, e ao
Comunicado ao Mercado divulgado em 17 de setembro de 2020, vem comunicar aos
seus acionistas e ao mercado em geral que celebrou, nesta data, os instrumentos
definitivos de aquisição ou locação, conforme o caso, de 02 (duas) lojas (sendo 1 própria
e 1 alugada) e 01 (um) posto de combustível da rede Makro, localizadas no estado do Rio
de Janeiro e no Distrito Federal.

Em contrapartida à celebração dos instrumentos indicados acima, a Companhia efetuou,

nesta data, o pagamento ao Makro do montante de R$ 96.509.536,00 (noventa e seis
milhões, quinhentos e nove mil e quinhentos e trinta e seis reais).

Dessa forma, em relação ao Fato Relevante de 16 de fevereiro de 2020, e, conforme

divulgado nos fatos relevantes acima mencionados, a Companhia informa que, até a
presente data, concluiu a aquisição de 25 lojas (sendo 18 próprias e 7 alugadas) e 10
postos de combustível da rede Makro, tendo realizado o desembolso de
R$1.725.115.264,15 (um bilhão, setecentos e vinte e cinco milhões, cento e quinze mil,
duzentos e sessenta e quatro reais e quinze centavos) pela operação até o momento.
Resta apenas a transferência de 4 lojas próprias, 1 alugada e 4 postos de combustível
para a conclusão integral da transação, o que ocorrerá tão logo sejam concluídos os
processos de regularização de titularidade junto aos Cartórios de Registro de Imóveis
competentes e de cessão do contrato de locação remanescentes, conforme o caso.

A Companhia manterá seus acionistas e o mercado em geral informados acerca da

conclusão das referidas transferências remanescentes

MATERIAL FACT

ATACADÃO S.A. (B3: CRFB3) (“Grupo Carrefour Brasil” or “Company”) in compliance with
the provisions of article 157, paragraph 4 of Law No. 6,404/76 and of Ruling No. 358/2002,
issued by the Brazilian Securities Commission, further to the Material Facts disclosed on
February 16, November 11 and 30, and December 03 and 16, 2020, and the Notice to the
Market disclosed on September 17, 2020, hereby announces to its shareholders and to the
market in general that, on the date hereof, the Company has entered into the definitive
instruments for the acquisition or rental of two (2) stores (one owned and one rented) and
one (1) gas station operated by Makro, located in the state of Rio de Janeiro and the
Federal District.

In consideration for the execution of the above referenced instruments, the Company paid
to Makro on the date hereof the amount of BRL 96,509,536.00 (ninety six million, five
hundred and nine thousand and five hundred and thirty six reais).

Therefore, in relation to the Material Fact of February 16, 2020, and as disclosed through the
material facts mentioned above, the Company informs that, on the date hereof, it has
concluded the acquisition of 25 stores (18 owned and 7 rented) and 10 gas stations
operated by Makro, paying a total amount of R$1,725,115,264.15 (one billion, seven
hundred and twenty-five million, one hundred and fifteen thousand, two hundred and sixty-
four reais and fifteen cents) for the deal so far. The remaining stores required for the full
closing of the transaction, composed of 4 owned stores, 1 rented store and 4 gas stations,
will be transferred to the Company once the ownership regularizations before the
competent Real Estate Registry Offices and assignment of the outstanding lease
agreement are concluded.

The Company shall maintain its shareholders and the market in general informed about the
conclusion of said transfers.
