América Latina, anuncia hoje seus resultados do segundo trimestre de 2019. As informações financeiras são apresentadas em
milhões de Reais (R$ milhões), exceto quando indicado o contrário, e têm como base as informações contábeis consolidadas, que
foram elaboradas e apresentadas de acordo com as práticas contábeis adotadas no Brasil e de acordo com as normas
internacionais de relatório financeiro (International Financial Reporting Standards – IFRS), emitidas pelo International Accounting
Standard Board – IASB, aplicáveis às entidades de incorporação imobiliária no Brasil, como aprovadas pelo Comitê de
Pronunciamentos Contábeis (CPC), pela Comissão de Valores Mobiliários (CVM) e pelo Conselho Federal de Contabilidade (CFC),
e com todos os pronunciamentos emitidos pelo CPC.

Diversificação de funding: Lançamento de mais um empreendimento no SBPE com repasse na planta
Dando prosseguimento à estratégia de diversificação de funding de nossos produtos, foi lançado, no 2T19, um
importante projeto na cidade de Campinas, com um total de 272 unidades, em parceria com o Banco Bradesco e
elegível ao SBPE com repasse na planta, a exemplo do empreendimento lançado no 1T19, em parceria com o Banco
Santander, além dos projetos que já possuímos, na mesma modalidade, com a Caixa Econômica Federal.
Já é possível perceber o reflexo da queda da taxa SELIC nos financiamentos e bancos privados tem oferecido taxas de
juros em torno de 8% a.a, o que coloca os financiamentos com funding do SBPE em um patamar equivalente aos do
MCMV faixa 3, confirmando o timing correto da nossa estratégia de diversificação.

LUGGO
Dentro da estratégia de se tornar uma Plataforma Habitacional capaz de oferecer diversas soluções em moradia e
revolucionar a experiência de morar de seus clientes, a MRV pretende oferecer o produto ideal para atender às suas
necessidades individuais, em cada momento de sua vida. Uma peça fundamental desta plataforma é a Luggo.
Atualmente, a MRV atua majoritariamente na incorporação, construção e venda de imóveis residenciais com funding
do SBPE e do FGTS, no programa Minha Casa Minha Vida, além de terrenos para construções residenciais (Urbamais).
Iniciamos, agora, uma nova fase da companhia, em que serão incluídos na cadeia produtiva os imóveis exclusivos para
locação da Luggo.

Uma importante parte desta Plataforma Habitacional é a rede de serviços oferecidos, como o Marketplace, que
oferece descontos exclusivos e garante valor agregado e satisfação do cliente, através de uma crescente rede de
parceiros, e a Mão na Roda MRV, uma rede de serviços e produtos entre moradores, oferecido em um ambiente virtual
da MRV.
É oferecida, também, uma gama de serviços pay-per-use que vai desde a limpeza e arrumação até o acesso à internet,
lavanderia, petcare, mudança, entre diversos outros, como o programa de fidelidade que traz benefícios e garante a
fidelização dos clientes através de vantagens como troca de pontos por produtos do marketplace e até crédito para a
compra de um MRV novo. Valendo-se de toda a experiência construtiva da MRV, os empreendimentos são
desenvolvidos exclusivamente para a Luggo e não simplesmente retirados de um estoque não vendido. Caberá à
Luggo alugar e administrar o ativo e, no momento em que a locação das unidades for estabilizada, o mesmo será
vendido a um fundo de investimento imobiliário (FII), permanecendo a manutenção e administração com a Luggo.

O primeiro empreendimento lançado, o Luggo Cipreste, foi alugado em tempo recorde, com uma excelente margem,
o que confirma o grande potencial deste tipo de produto. O empreendimento, que conta com 116 unidades, alcançou
uma ocupação de 90% em poucos meses de lançamento.
Esperamos que a margem líquida de um empreendimento Luggo fique em linha com a observada para os demais
empreendimentos da MRV. Um cenário de queda de SELIC é extremamente vantajoso para este novo modelo de
negócio.

Além do Luggo Cipreste, já possuímos três empreendimentos em construção (456 unidades, com previsão de
conclusão em 2019) e mais cinco empreendimentos (que somarão 976 unidades) a serem lançados no 2S19 e 1S20,
em Belo Horizonte, Salvador, São Paulo, Campinas e Porto Alegre.

Após uma breve interrupção em um ciclo de 26 trimestres recorrentes de geração de caixa, observada no 1T19, a
companhia voltou a gerar caixa no 2T19.

Esta retomada, entretanto, poderia ter sido ainda mais expressiva, como pode ser observado ao se analisar os fatores
abaixo:
I) Em junho de 2019 foi arrematado, em leilão, um terreno de grande relevância estratégica para a
companhia, no valor total de R$ 30 milhões, a ser descrito no tópico Banco de Terrenos;
II) No 1S19 houve um aumento de R$ 108 milhões no gasto com terrenos previamente adquiridos pela
companhia, frente ao 1S18. Este aumento é reflexo do processo de expansão do Land bank, uma vez que
diversos triggers de pagamento são acionados em estágios chave do empreendimento, como o registro
da incorporação, a aprovação do projeto, entre outros;
III) A aceleração do ritmo de produção observado no 2T19 exigiu, também, um aumento no investimento em
fôrmas de alumínio. No 1S19 foi registrado um investimento equivalente a R$ 43 milhões acima do
observado no 1S18.
O valor de R$ 62 milhões de geração de caixa, informado na prévia operacional do 2T19, foi corrigido para os R$ 68
milhões apresentados nesta divulgação de resultados, após a revisão final dos números do período.

A companhia julga já ter atingido um volume satisfatório de terrenos, passando a adquirir, atualmente, apenas o
suficiente para renovar seu estoque no ritmo dos lançamentos. Isto pode ser observado no valor de seu Land bank:
R$ 49,0 bilhões no 2T19, frente a R$ 48,8 bilhões no 1T19.
Em junho de 2019 foi adquirido, em um leilão, um importante terreno em Salvador, que exigiu um pagamento à vista
no valor total de R$ 30 milhões. Apesar do impacto causado na geração de caixa do trimestre, trata-se de uma
aquisição de grande valor estratégico, que potencializará uma área vizinha que a companhia já possuía em seu Land
bank e permitirá o lançamento de um empreendimento de 4.600 unidades, com VGV estimado de R$ 797 milhões,
no 2T20, o maior complexo já desenvolvido pela companhia no estado da Bahia.

Registramos um significativo aumento no volume de lançamentos no 2T19, totalizando um VGV de R$ 1,8 bilhão, o
que equivale a um acréscimo de 65,3% se comparado ao 1T19 e 5,8% frente ao 2T18. Comparando os semestres, o
1S19 apresentou uma expansão de 15,4% em relação ao 1S18. Este resultado demonstra que a MRV está pronta para
suprir a forte demanda por habitação do Brasil, graças a um robusto Banco de Terrenos construído ao longo dos
últimos anos.
É importante destacar que, como ocorrido no ano passado, em 2019 a companhia terá um maior volume de
lançamentos concentrado no segundo semestre do ano.

As vendas líquidas do trimestre permaneceram estáveis no saudável patamar do 1T19. Devido ao fato de grande parte
dos empreendimentos terem sido lançados no final do trimestre, um maior crescimento no volume de vendas líquidas
deve ser observado nos próximos meses.

Cabe destacar a intensificação da queda no número de distratos, graças à bem sucedida implementação do projeto
Venda Garantida, que permitiu à companhia registrar sua melhor marca em 6 anos, alcançando apenas 816 distratos
no trimestre, 51,3% abaixo do registrado no 2T18.

Graças à grande eficiência alcançada nos canteiros de obra, fruto da redução do ciclo produtivo, intensificamos o já
forte ritmo de produção apresentado no trimestre passado. Esta evolução pode ser observada no aumento de 18,9%
no número de unidades produzidas, se compararmos o 2T19 com o 2T18, e de 28,5% frente ao 2T17, o que suportou
uma topline robusta.

Este resultado é explicado pela alta Receita Operacional Líquida apresentada, aliada à diluição de despesas.

Continuamos, no 2T19, com nossa estratégia de alongamento da dívida, emitindo um CRI 400 (para o público em geral)
no valor de R$ 360 milhões, com pagamento bullet em cinco anos, a uma taxa de 100,4% do CDI.
A companhia aumentou o duration de sua dívida em 18,3% no comparativo do 2T19 com o 2T18 e em 51,8% frente
ao 2T17. Simultaneamente, houve uma redução no custo da dívida total na ordem de 6,0 p.p desde 2018.

Glossário
ABL - Área Bruta Locável, que corresponde às áreas disponíveis para locação.
Banco de Terrenos (Land bank) – terrenos mantidos em estoque com a estimativa de VGV futuro dos mesmos.
Cash Burn – consumo de caixa medido pela variação da dívida líquida, excluindo-se os aumentos de capital, recompra de ações
mantidas em tesouraria e os dividendos pagos, quando houver.
Caixa – composto pelo saldo das contas de caixa e equivalentes de caixa e aplicações financeiras (títulos e valores mobiliários)
EBITDA - é o lucro líquido antes do resultado financeiro, encargos financeiros incluídos na rubrica de custo dos imóveis vendidos,

Empreendimentos Contratados – Total de unidades que tiveram o financiamento a construção (pessoa jurídica) contratado em
uma instituição financeira no período.
FFO – Funds From Operations, que é igual ao Lucro Líquido menos depreciação.
LOG Commercial Properties – Empresa subsidiária, controlada em conjunto, com atuação em propriedades comerciais e
industriais.
Lucro por ação - O lucro básico por ação é calculado por meio da divisão do lucro líquido do trimestre atribuído aos detentores de
ações ordinárias da controladora pela quantidade média ponderada de ações ordinárias disponíveis durante o período, excluídas

Minha Casa Minha Vida - O Programa Minha Casa Minha Vida, conhecido como MCMV, é o programa nacional de habitação do
Governo Federal, que tem como objetivo a redução do Déficit Habitacional. O programa prevê a construção de três milhões de
moradias para famílias com renda mensal de até R$ 5,4 mil. Este programa está na segunda fase. O Minha Casa Minha Vida 1,
lançado em abril de 2009, com o objetivo de construir um milhão de moradias, que foram contratadas até 2010 e atualmente está
em vigor o Minha Casa Minha Vida 2, lançado em 2010, com o objetivo de construir dois milhões adicionais de moradias, a serem
contratadas entre 2011 e 2014.
Novo Mercado - Segmento especial de listagem da BOVESPA, com regras diferenciadas de governança corporativa, do qual a
Companhia faz parte a partir de 23 de julho de 2007.
OCPC 04 e Método POC (Percentage of Completion) – A receita, bem como os custos e despesas relativos à atividade de
incorporação, são apropriados ao resultado ao longo do período de construção do empreendimento imobiliário, à medida da
evolução do custo incorrido, de acordo com o OCPC 04. A maior parte das nossas vendas é realizada a prazo, com os recebimentos
em parcelas. Em geral, recebemos o valor (ou parte do valor, no caso de vendas a prazo) dos contratos de venda antes da
apropriação da receita. A receita de incorporação relativa a um período reflete a apropriação de vendas contratadas
anteriormente.

Permuta física – sistema de compra de terreno pelo qual o proprietário do terreno recebe um determinado número de unidades
do empreendimento a ser construído no mesmo.
Portfólio LOG Commercial Properties – contempla a ABL dos projetos em operação, em construção e a ABL potencial em

Recursos do SFH – Recursos do SFH são originados do Fundo de Garantia por Tempo de Serviço (FGTS) e dos depósitos de

Resultados de Vendas de Imóveis a Apropriar – Se refere ao resultado do saldo de transações de vendas de imóveis já contratadas,

ROE - Return On Equity (em português: Retorno sobre o Patrimônio Líquido). O ROE é definido pelo quociente entre o lucro líquido

SBPE – Sistema Brasileiro de Poupança e Empréstimo – Financiamento bancário que tem como fonte os recursos da poupança.
Unidades Concluídas – Unidades finalizadas pela engenharia. Registradas após a conclusão da obra.
Unidades Produzidas – Unidades produzidas por medição de evolução da obra, construção equivalente.
Unidades repassadas – Quantidade de clientes (pessoa física) que assinaram seus financiamentos com uma instituição financeira

VGV – Valor Geral de Vendas - O valor do VGV equivale ao total de Unidades potenciais de lançamento, multiplicado pelo preço

announces its results for the second quarter of 2019. The financial information is presented in millions of Brazilian Reais (R$
million), save where otherwise indicated, and is based on the consolidated financial statements prepared and presented in
accordance with the accounting practices adopted in Brazil and the International Financial Reporting Standards (IFRS), issued by
the International Accounting Standard Board – IASB, applied to the Brazilian real estate entities, as approved by the Accounting
Pronouncements Committee (CPC), the Brazilian Securities and Exchange Commission (CVM) and the Federal Accounting Council
(CFC), consistent with the standards issued by the CPC.

Funding diversity: We’ve Launched another important Project with SBPE funding and transfer on
construction fase
Proceeding with our funding diversification strategy, on 2Q19 we launched an important project in the city of
Campinas, with a total of 272 units, in partnership with Banco Bradesco and eligible to SBPE funding, with transfer
on construction fase, following the example of the project in partnership with Banco Santander we announced on
1Q19, as well as other SBPE projects that we already have in with Caixa Econômica Federal (CEF).
It is already possible to notice the impact of the downfall of the SELIC rate on the bank’s mortgages. Private banks are
already offering interest rates around 8% y.o.y., setting the mortgages with SBPE funding in a threshold equivalent to
the bracket 3 of MCMV, reasuring that our strategy of funding diversification came at the right time.

LUGGO
According to the company’s strategy of becoming a Housing Platform, capable of offering a range of housing
solutions and revolutionize the living experience of its clients, MRV intends to offer the ideal product to address their
individual needs, in every stage of their life. A Key element of this Platform is Luggo.
Currently, MRV´s core business is incorporation, construction and sale of residential properties, through SBPE and
FGTS funding (Minha Casa Minha Vida program), as well as residential land plots (Urbamais). We are now starting a
new stage of the company, in which Luggo’s real estate will be part of MRV’s product line.

The network of services offered by Luggo is an important part of the Housing Platform, which includes a Marketplace,
with exclusive discounts through a growing network of partners and “Mão na Roda MRV”, a network of products and
services traded by residents, all in a virtual MRV platform.
Luggo also offers a variety of pay-per-use services, ranging from cleaning and storage, internet access, laundry, pet
care, moving services, among many others. Through its loyalty program the customer can benefit from the
marketplace by using accumulated points to withdraw rewards and even use it as credit for the purchase of an MRV.
Applying MRV’s construction experience, the projects are developed from scratch, exclusively for Luggo, and not
simply a rebrand of the MRV unsold stock. Luggo will be responsible for renting and managing the asset and as soon
as the number of rented units has reached the target, the project will be sold to a real estate investment trust (REIT),
in which Luggo will upkeep the maintenance and management.

The first venture launched, Luggo Cipreste, was rented in record time, with an excellent yield on cost, which restates
the great potential of this product. This project, with 116 units, reached an occupation of 90% only a few months from
launch.
We expect the net margin of a Luggo project to be equivalent with the reported MRV current results. Given a scenario
of the Selic rate downfall, this new business model could be extremely advantageous.

Following a brief interruption on a cycle of 26 recurring quarters of cash generation, noted on the 1Q19, the company
returned to the positive levels of cash generation on the 2Q19.

The recovery, however, could have been even more substantial, as it can be noted when analyzing the aspects below:
I) In June 2019, the company acquired a strategic land plot through a public auction, in the total amount of
R$ 30 million, to be presented in the topic Land Bank;
II) In 1H19, there was an increase of R$ 108 million in the disbursement on land plots previously acquired by
the company, compared to the 1H18. This increase is a reflection of company´s Land bank expansion
process, since several payment triggers are set up to key stages of the project, such as registration,
approval and others;
III) The acceleration in the rhythm of production noticed in the 2Q19, also demanded an increase of
investments in aluminum molds. In 1H19 the company registered an investment equivalent to R$43
million over the 1H18 figure.
The Cash Generation previously reported in our Operational Preview (R$ 62 million), has been rectified to R$ 68 million
in this Earnings Release.

The company have already reached a satisfactory land bank size, therefore starting to acquire just enough land plots
to maintain its stock, according to the volume of the launches. This can be seen in the value of its land bank: R$ 49.0
billion in 2Q19, compared to R$ 48.8 billion in 1Q19.
In June 2019, an important land plot was acquired in Salvador, through a public auction, which demanded an upfront
cash payment of R$ 30 million. Despite its impact on the quarter’s cash generation, this acquisition is of great strategic
value, as it will boost an adjacent area that the company already had in its land bank and will allow the launch of a
project of 4,600 units, with an estimated PSV of R$ 797 million in 2Q20, the largest Real Estate complex ever
developed by the company in the state of Bahia.

We registered a significant boost in Launches volume on 2Q19, reaching R$ 1.8 billion in PSV, which represents an
increase of 65.3% compared to the 1Q19 and 5.8% to the 2Q18. Comparing the semesters, the 1H19 recorded an
expansion of 15.4% in relation to the 1H18. This improvement shows that MRV is ready to address the strong housing
demand on Brazil, thanks to the robust Land Bank strategically built on the last few years.
It is important to emphasize that, as occurred last year, in 2019 the company will have a higher volume of Launches
concentrated in the 2nd half of the year.

Flattish net sales, following the healthy results observed in the 1Q19. Due to the fact that the majority of the launches
were made at the end of the quarter, a greater growth in volume of net sales should be recognized in the coming
months.

It should be noted that the downfall in the number of cancellations enhanced even further, thanks to the successful
implementation of the Zero Cancellation Project, which allowed the company to record its lowest cancellation
volume in 6 years, reaching only 816 in the quarter, 51.3% lower than 2Q18.

Thanks to the high efficiency achieved on the building sites, as a result of the reduction of the production cycle, we
intensified the already strong production pace presented in the last quarter. This evolution can be noticed on the
18.9% expansion in number of units produced, when comparing 2Q19 with 2Q18, and 28.5% compared to 2Q17, which
supported a robust topline.

The increase noted on the General & Administrative Expenses (G&A), comparing 2Q19 to 1Q19, were due to the
payment of R$ 11 million to PLR (Profit sharing Program) above the foreseen allowance for the quarter.
As for the growth observed on “Other operating (income) expenses” value, it can be explained by the payment of
attorneys´ legal fees, regarding the conclusion of a large number of lawsuits. Nevertheless, we expect a future downfall
in this line´s figures, as a result of a decrease in the number of new lawsuits, thanks to a constant improvement in our
operations.

On the 2Q19 we continued our strategy of lengthening the debt maturities, issuing a CRI 400 (for the general public),
of R$ 360 million, with bullet payment in five years and a indexed rate of 100,4% of CDI.
The company has increased its debt duration in 18.5% comparing the 2Q19 to 2Q18, and in 51.8% compared to 2Q17.
At the same time, there was a decrease on total debt cost, by 6 p.p. since 2018.

Glossary
Built Units – Recorded according to the construction’s evolution, equivalent construction.
Cash – Composed by the balance of cash and cash equivalents and financial investments (bonds and securities).
Cash Burn – is measured by the change in net debt, excluding capital increases, purchased shares held in treasury and dividend
payments, when available.
Construction financing – Units from projects that had the construction financing approved by a financial institution in the period
Client financing – Quantity of clients (individuals) that signed their mortgages with a financial institution in the period
Pre-Sales – Every contract resulting from the sale of units over a certain period, including units being launched and units in stock.
“Crédito Associativo” – is a type of mortgage offered by Caixa Econômica Federal and Banco do Brasil to individuals that aim to
finance their houses during the construction period. On the other hand, the homebuilders will also be paid by the banks according
to the percentage of completion method. In this method, the cash flow is faster and more efficient than the traditional method
where the company is financed only when the project is delivered.
EBITDA - is equal to net income plus income tax and social contribution, net financial result, financial charges recorded under cost
of goods sold, depreciation, amortization and minority interest. MRV believes that the reversion of the adjustment to present
value of receivables from units sold and not yet delivered that is recorded as gross operating revenue is part of our operating
activities and therefore we do not exclude these revenues from EBITDA’s calculation. EBITDA is not a Brazilian GAAP measure and
should not be considered in isolation and should not be considered an alternative to net income, as an indicator of our operating
performance or cash flows or as a measure of our liquidity. EBITDA does not have a standard definition and other companies may
measure their EBITDA in a different way. Because the calculation of EBITDA does not take into consideration income tax and social
contribution, net financial result, financial charges recorded under cost of goods sold, depreciation, amortization, minority
interest, and expenses related to financial and legal advisory fees in connection with the entry of the selling shareholder and MRV
initial public offering, EBITDA is an indicator of our general economic performance which is not affected by changes in interest
rates, income tax and social contribution rates and rates of depreciation and amortization. Because EBITDA does not consider
certain costs related to our business which could materially affect our profits, such as financial result, taxes, depreciation,
amortization and capital expenditures, among others, EBITDA is subject to limitations that impair its use as a measure of our
profitability.
EPS - Earnings per share - Basic earnings per share are calculated by dividing income for the period attributed to the holders of
common shares of the parent entity by the weighted average number of common shares outstanding during the period, less
treasury shares, if any.
FFO Margin – Margin calculated dividing the FFO by Net Operational Revenues.
Finished Units – Recorded according to the construction’s conclusion, full project at once.
GLA – Gross leasable area, which corresponds to the areas available for lease.
INCC – Índice Nacional de Custos da Construção – inflation index associated with construction costs of residential units.
LOG Commercial Properties – Subsidiary company, jointly controlled, in the business of industrial and commercial properties.
LOG-CP Portfolio – contemplates the GLA of the projects in operation, in construction and the potential GLA in development.
Minha Casa Minha Vida – The Program Minha Casa Minha Vida, known as MCMV, is the national housing program of the Federal
Government, which aims to reduce the housing deficit. The program envisages the construction of 3 million units for families
earning up to 10 minimum wages. This program has two versions: Minha Casa Minha Vida, released in April 2009, with the goal

of building one million houses to be contracted until 2010, and Minha Casa Minha Vida 2, released in 2010 with the goal of building
two million additional homes, to be contracted between 2011 and 2014.
NOI - Net Operating Income, that is equal to the operating revenues less project direct expenses.
Novo Mercado - Special listing segment of the BM&FBOVESPA, with differentiated corporate governance rules, in which the
Company was included on July 23, 2007.
OCPC 04 and PoC Method (Percentage of Completion) – Revenues, as well as the costs and expenses relating to the real estate
development activity, are recognized along the real estate project’s construction period, in line with the evolution of the cost
incurred, according to OCPC 04. Most of our sales consist of credit sales carried out through instalments. On an overall basis, we
receive the value (or part of the value, in case of credit sales) in the sales contracts before revenue recognition. The revenue from
real estate development relative to a certain period reflects the recognition of sales that were previously contracted.
PSV – Potential Sales Value - The PSV value is equivalent to the total number of potential launch Units, multiplied by the Unit’s
average estimated sales price.
ROE – Return on Equity – ROE is defined as the ratio between net income (after interest and taxes) and the average shareholder’s
equity.
SBPE – Sistema Brasileiro de Poupança e Empréstimo – Real Estate mortgage using funds from the savings accounts’ deposits.
SFH Funds – Funds from the National Housing System (SFH) are originated from the Governance Severance Indemnity Fund for
Employees (FGTS) and from savings accounts deposits (SBPE).
Swap Agreements – A system in which the land-owner gets a certain number of units to be built on the land in exchange for the
land.
Unearned Results – the balance of real estate sale transactions already contracted, referring to uncompleted properties, non-
incurred budgeted costs (according to budgets), and unearned revenue from sale of properties, not reflected in the financial
statements.
