FATO RELEVANTE

MADERO INDÚSTRIA E COMÉRCIO S.A. (“Companhia”), em cumprimento ao disposto

na Lei nº 6.404, de 15 de dezembro de 1976, conforme alterada, e na regulamentação da
Comissão de Valores Mobiliários (“CVM”), em especial a Resolução CVM nº 44, de 23 de
agosto de 2021, vem informar aos seus acionistas e ao mercado em geral que os acionistas Luiz
Renato Durski Junior e Madrid Fundo de Investimento em Participações Multiestratégia
(“Madrid FIP”), com a interveniência e anuência da Companhia, celebraram em 20 de
novembro de 2021 um Restated Shareholders’ Agreement da Companhia (Acordo de
Acionistas Consolidado da Companhia), cuja cópia encontra-se disponível na página de
Relações com Investidores da Companhia e no site da CVM.

Também em 20 de novembro de 2021, os acionistas Luiz Renato Durski Junior e Madrid FIP,
com a interveniência e anuência da Companhia, celebraram (a) um Investment Agreement
(Acordo de Investimento), por meio do qual o acionista Madrid FIP se comprometeu a realizar,
sujeito às condições estabelecidas entre as partes, um aumento de capital da Companhia, em
moeda corrente nacional, no valor total de R$300.000.000,00 (trezentos milhões de reais),
mediante a subscrição de novas ações preferenciais da Companhia; e (b) um Share Purchase
Agreement (Contrato de Compra e Venda de Ações), por meio do qual o Madrid FIP se
comprometeu a adquirir, e Luiz Renato Durski Junior se comprometeu a vender ao Madrid FIP,
sujeito às condições estabelecidas entre as partes, 2.426.239 (dois milhões quatrocentas e vinte
e seis mil duzentas e trinta e nove) ações ordinárias de emissão da Companhia.

Uma vez concluídas as operações aqui divulgadas, o controle da Companhia permanecerá

detido por Luiz Renato Durski Junior.

A realização das operações aqui divulgadas, notadamente o aporte de capital pelo Madrid FIP
na Companhia, está sujeita ao cumprimento de condições suspensivas usuais, incluindo a
deliberação pela assembleia geral da Companhia. A Companhia manterá o mercado informado
a respeito da matéria tratada neste Fato Relevante.

MATERIAL FACT

MADERO INDÚSTRIA E COMÉRCIO S.A. (“Company”), in compliance with the

provisions of Law No. 6,404, of December 15, 1976, as amended, and the Brazilian Securities
Exchange Commission (Comissão de Valores Mobiliários - CVM) regulations, especially of
CVM Resolution No. 44, of August 23, 2021, hereby informs its shareholders and the market
in general that the shareholders Luiz Renato Durski Junior and Madrid Fundo de Investimento
em Participações Multiestratégia (“Madrid FIP”), with the Company as intervening consenting
party, entered on November 20, 2021 into a Restated Shareholders’ Agreement of the Company,
which copy is available on the Company's Investors Relations page and on the CVM website.

Also on November 20, 2021, the shareholders Luiz Renato Durski Junior and Madrid FIP, with
the Company as intervening consenting party, entered into (a) an Investment Agreement,
pursuant to which shareholder Madrid FIP has undertaken to perform, subject to the conditions
agreed between the parties, a capital increase of the Company, in national currency, in the
amount of three hundred million Reais (R$300,000,000.00), upon the subscription of new
preferred shares of the Company; and (b) a Share Purchase Agreement, pursuant to which
Madrid FIP has undertaken to purchase, and Luiz Renato Durski Junior has undertaken to sell
to Madrid FIP, subject to the conditions agreed between the parties, two million four hundred
and twenty-six thousand two hundred and thirty-nine (2,426,239) common shares issued by the
Company.

Upon completion of the transactions disclosed hereby, the control of the Company will remain
with Luiz Renato Durski Junior.

The execution of the transactions disclosed hereby, notably the capital injection by Madrid FIP
in the Company, is subject to satisfaction of usual conditions precedent, including the resolution
by the Company's general shareholders’ meeting. The Company will maintain the market
informed about the matter addressed in this Material Fact.
