ACORDO DE CONFIDENCIALIDADE

Mercadoria / Produto COMMODITIES (OURO, DIAMANTES, BTC, AÇÚCAR, SOJA, ETC)

Considerando que os abaixo assinados desejam celebrar este Contrato para definir parâmetros das futuras
obrigações legais, estão vinculados ao dever de confidencialidade com relação às suas fontes e contatos. Este
dever está de acordo com a Câmara de Comércio Internacional (ICC 500).

WHEREAS the undersigned wish to enter into this Agreement to define certain parameters of the future legal
obligations, are bound by a duty of Confidentiality with respect to their sources and contacts. This duty is in
accordance with the International Chamber of Commerce (I.C.C. 500).

CONSIDERANDO QUE o abaixo assinado deseja iniciar uma relação comercial de trabalho para o benefício
mútuo e comum das partes, incluindo suas afiliadas, subsidiárias, acionistas, parceiros, co-
empreendimentos, parceiros comerciais e outras organizações associadas (doravante denominadas
“Afiliadas” ).

WHEREAS the undersigned desire to enter a working business relationship to the mutual and common benefit
of the parties hereto, including their affiliates, subsidiaries, stockholders, partners, co-ventures, trading
partners, and other associated organizations (hereinafter referred to as “Affiliates”).

AGORA, PORTANTO, em consideração às promessas, afirmações e acordos mútuos aqui contidos e outras
considerações boas e valiosas, cujos recebimentos são reconhecidos por este meio, as partes concordam
com o seguinte:

NOW THEREFORE in consideration of the mutual promises, assertions, and covenants herein and other good
and valuable considerations, the receipts of which is acknowledged hereby, the parties hereby agree as follows:

TERMOS E CONDIÇÕES /TERMOS E CONDIÇÕES:

1. As partes não solicitaram de forma alguma, nem aceitarão qualquer negócio de qualquer forma de
fontes ou suas afiliadas, cujas fontes foram disponibilizadas através deste contrato, sem a permissão
expressa da parte que disponibilizou a fonte e,

The parties will not in any manner solicit, nor accept any business in any manner from sources or their
affiliates, which sources were made available through this agreement, without the express permission of
the party who made available the source and,

2. As partes manterão total confidencialidade em relação às outras fontes de negócios e/ou suas Afiliadas
e divulgarão tais fontes de negócios apenas às partes nomeadas, de acordo com a permissão expressa
por escrito desta parte que disponibilizou a fonte e,

The parties will maintain complete confidentiality regarding each other business sources and/or their
Affiliates and will disclose such business sources only to the named parties pursuant to the express written
 permission of this party who made available the source and,

3. Que não participaram em nenhuma das transações que as partes desejam celebrar e realizar, na melhor
das suas capacidades, garantir à outra que os códigos de transação estabelecidos não serão afetados e,

4. Que não divulgarão nomes, endereços, endereços de e-mail, números de telefone e telefax ou telex a
quaisquer contatos de qualquer uma das partes a terceiros e que cada um deles reconhece tais
contratos como propriedade exclusiva das respectivas partes, e que irão não entrar em quaisquer
negociações ou transações diretas com tais contratos revelados pela outra parte e

That they will not disclose names, addresses, e-mail address, telephone and tele-fax or telex numbers to
any contacts by either party to third parties and that they each recognize such contracts as the exclusive
property of the respective parties, and they will not enter any direct negotiations or transactions with such
contracts revealed by the other party and

5. Que se comprometem ainda a não realizar transações comerciais com bancos, investidores, fontes de
fundos ou outros órgãos, cujos nomes tenham sido fornecidos por uma das partes deste acordo, a
menos que permissão por escrito tenha sido obtida da(s) outra(s) parte(s). para fazer isso. Para a venda
deste contrato, não importa se as informações são obtidas de uma pessoa física ou jurídica. As partes
comprometem-se ainda a não recorrer a terceiros para contornar esta cláusula e,

That they further undertake not to enter business transaction with banks, investors, sources of funds or
other bodies, the names of which have been provided by one of the parties to this agreement, unless
written permission has been obtained from the other party(ies) to do so. For the sale of this agreement, it
does not matter whether information is obtained from a natural or a legal person. The parties also
undertake not to make use of a third party to circumvent this clause and,

6. Que, no caso de violação deste Contrato por qualquer uma das partes, direta ou indiretamente, a parte
contornada terá direito a uma penalidade monetária legal igual ao serviço máximo que deveria realizar
em tal transação, mais todas as despesas, incluindo, mas não se limitando a todas custos legais e
despesas incorridas para recuperar a receita perdida e,

That in the event of circumvention of this Agreement by either party, directly or indirectly, the
circumvented party shall be entitled to a legal monetary penalty equal to the maximum service it should
realize from such a transaction plus all expenses, including but not limited to all legal costs and expenses
incurred to recover the lost revenue and,

7. Todas as contraprestações, benefícios, bônus, taxas de participação e/ou comissões recebidas devido
às contribuições das partes no Contrato, relativas a toda e qualquer transação, serão alocadas
conforme mutuamente acordado e confirmadas pela emissão de uma Ordem de Pagamento a cada das
partes interessadas.

All considerations, benefits, bonuses, participation fees and/or commissions received because of the
contributions of the parties in the Agreement, relating to any and all transactions will be allocated as
mutually agreed and, and confirmed by the issuance of a Pay Order to each of the parties concerned.

8. Este Contrato é válido para todas as transações entre as partes aqui contidas e será regido pela lei
aplicável por todos os países da Commonwealth, países da União Europeia, tribunais dos EUA ou pela
 lei suíça em Zurique. Em caso de disputa, as leis de arbitragem dos estados serão aplicadas.

This Agreement is valid for all transaction between the parties herein and shall be governed by the
enforceable law by All Commonwealth Countries, European Union Countries, USA Courts, or under Swiss
Law in Zurich, in the event of dispute, the arbitration laws of states will apply.

9. As partes signatárias aceitam a jurisdição selecionada como foro exclusivo. A duração do Acordo será
perpetuada por cinco (5) anos a partir da última data de assinatura.

He signing parties hereby accept such selected jurisdiction as the exclusive venue. The duration of the
Agreement shall perpetuate for five (5) years from last date of signing.

ACORDO DE PROTEÇÃO DE TAXAS/CONTRATO DE PROTEÇÃO DE TAXAS:

10.Este Contrato define a associação legal de todas as partes e também serve como um Contrato de
Proteção de Taxas para Comissões, Taxas e/ou Posição(ões) Patrimonial(is).

This Agreement defines the legal association of all parties and also serves as a Fee Protection Agreement
for Commissions, Fees, and/or Equity Position(s).

11.sultantes da consumação do empreendimento principal e quaisquer outros empreendimentos,

projetos, propriedades, commodities, interesses bancários ou serviços serão acordados através de um
adendo por escrito com antecedência entre as partes abaixo assinadas, acordo por acordo, a menos
que estipulado e acordado de outra forma pelas partes abaixo assinadas por escrito.

It is agreed that any and all commissions, fees, consulting fees and/or equity position(s) resulting from the
consummation of the primary venture and any other ventures, projects, properties, commodities, bank
interests or services will be agreed to through an addendum in writing in advance among the undersigned
parties on a deal- by-deal basis, unless otherwise stipulated and agreed upon by the undersigned parties
in writing.

12.Qualquer adendo será considerado parte deste acordo legal e estará totalmente sujeito aos termos e
condições definidos acima.

Any such addendum will be considered part of this legal agreement and shall be fully subject to the above
defined terms and conditions.

13.As partes do presente documento envidarão seus melhores esforços para garantir que todos os
contratos celebrados entre o Comprador eo Vendedor incluam:

The parties hereto shall use their best efforts to ensure that all contracts by and between the Buyer and
the Seller shall include:

a. Linguagem específica que reflete os termos deste acordo, durante toda a duração do seu
contrato e prorrogação do mesmo.

Specific language reflecting the terms of this agreement, for the entire duration of their
contract and extensions thereof.
 b. Instruções específicas de que as Ordens de Pagamento serão emitidas imediatamente após
o Contrato, sujeitas a acordo sobre os termos.

Specific instructions that Pay Orders shall be issued immediately following the Agreement
subject to agree upon terms.

ACORDO COM OS TERMOS / ACORDO DE TERMOS.

14.As assinaturas deste Contrato recebidas por fax, correio e/ou e-mail serão consideradas um contrato
executado. Acordo exequível e admissível para todos os fins que possam ser necessários nos termos
do acordo.

Signatures on this Agreement received by the way of Facsimile, Mail and/or Email shall be deemed to be
an executed contract. Agreement enforceable and admissible for all purposes as may be necessary
under the terms of the agreement.

15.Todas as assinaturas deste documento reconhecem que leram o Contrato anterior e, por suas iniciais
e assinatura, que têm autoridade total e completa para assinar o documento para e em nome da
parte para a qual deram sua assinatura.

All signatures hereto acknowledge that they have read the foregoing Agreement and by their initials and
signature that they have full and complete authority to execute the document for and in the name of the
party for which they have given their signature.

EM TESTEMUNHO DO QUE: As partes aqui firmaram e entregaram esses acordos por acordo mútuo no dia
e ano mencionados acima. Todos os faxes são considerados originais, legais e vinculativos

IN WITNESS WHEREOF: The parties hereto have executed and delivered those covenants by mutual
agreement the day and year first written above. All faxes are considered original, legal and binding.
